Box 201601 Helena,MT 59620-1601 Memorandum of Commercial Ground Lease for lease Nos: 3072941,3072942,3072943,3072944 THIS MEMORANDUM OF COMMERCIAL LEASE is made effective as of July 9, 2021 (though signed at an earlier date), between THE STATE OF MONTANA BY AND THROUGH THE STATE BOARD OF LAND COMMISSIONERS IN TRUST FOR COMMON PUBLIC SCHOOLS ("Lessor"), whose address is P.O. Box 201601, Helena, MT 59620-1601, and Bozeman TRAX Partners, LLC, ("Lessee"), having an address of 5148 US Highway 89 S, Livingston MT. 59047. RECITALS OF FACT A. Lease: Lessor and Lessee entered into those certain Commercial Lease Agreements dated effective July 9, 2021 (the "Commercial Lease"), in which Lessor leased to Lessee that certain real property consisting of a total of approximately 87.4-acres located on IS 5E 36 — consisting of Area 3, 4, 5, and 6 on Certificate of Survey 3019. See Exhibit A for full legal description of the leased tracts and Exhibit B for Certificate of Survey. B. Term: Subject to the terms, covenants, conditions and provisions of this Lease, Lessor leases to Lessee and Lessee leases from Lessor the Land for the Term of 30 year starting as of the Commencement Date of the original leases as assigned. August 1, 2019 — February 28,2050. C. Assi ent: Lessee shall not assign its interest under this Lease, in whole or in part, without Lessor's prior written consent. Such consent shall be determined in Lessor's sole and absolute discretion. D. Use of Premises: Lessee shall use the Premises in a manner that does not reduce the value of the Land. The Lessee agrees to comply with all applicable laws, rules, and regulations in effect upon the Commencement Date of this Lease and those laws, rules, and regulations which may be enacted or adopted thereafter from time to time, and which do not impair or impede the obligations of this Lease, and which do not deprive the Lessee of an existing property right recognized by law. Lessee shall keep the Premises in good repair, including necessary repairs to the interior, exterior and structure of any Buildings, mowing of grass and general landscaping, and contract for the same in Lessee's own name and pay all costs and expenses in connection therewith. Lessee shall not commit waste or permit impairment or deterioration of the Premises, ordinary wear and tear and damage by casualty and condemnation excepted. E. Indemnification: Lessee agrees to defend (with attorneys reasonably satisfactory to Lessor), protect, indemnify and hold harmless Lessor from and against any and all liabilities, obligations (including removal and remedial actions), losses, damages SLC-7511391-1 Memorandum of Ground Lease-3072941, 3072942, 3072943,3072944 2740728 Page 2 of 5 07/09/2021 01 :48:23 PM penalties, actions,judgments, suits, claims, costs, expenses and disbursements (including reasonable attorneys' and consultants' fees and disbursements) of any kind or nature whatsoever that may at any time be incurred by, imposed on or asserted against Lessor directly or indirectly based on, or arising or resulting, in whole or in part, from: (i) the administration by Lessee of these Leases; (ii) the requirement that Lessor execute as the owner of the Land any instrument required by local government code, ordinance, regulation or law; (iii) the actual or alleged presence of Hazardous Substances on the Premises Released by Lessee or anyone acting by, through or under Lessee in any quantity or manner which violates Environmental Law, or the removal, handling, transportation, disposal or storage of such Hazardous Substances by Lessee or anyone acting by, through or under Lessee; or any Environmental Claim with respect to Lessee or the Premises resulting from a Release by Lessee or anyone acting by, through or under Lessee regardless of when such indemnified matters arise. F. Abstract of Lease: This Memorandum is an abstract of the Commercial Leases between Lessor and Lessee prepared in accordance with Mont. Code Ann.§ 70-21-101 and shall neither enlarge nor diminish the obligations or rights of any party to said Commercial Leases. A full and complete copy of the Commercial Leases can be obtained from Lessor, without cost, upon request. G. Counterparts: This Memorandum may be executed in any number of counterparts, each of which shall be deemed an original, but all of which shall constitute one and the same agreement.
