ANGLED PARKING MAINTENANCE AGREEMENT
This ANGLED PARKING MAINTENANCE AGREEMENT ("Agreement","Maintenance
Agreement")ismade and enteredintothis/-rrildayof dungrx ,2022 ("Effective
Date"),by and between the CITY OF BOZEMAN ("City"),with a mailing address of 121 N.
Rouse,P.O.Box 1230,Bozeman,Montana,59771-1230,and BLACKWOOD LAND FUND,
LLC,a Delaware limitedliabilitycompany,("Blackwood")with a mailingaddressof 140 Village
Crossing Way,Unit 3B,Bozeman,MT 59715.City and Blackwood may hereinafterbe referred
to collectivelyas the"Parties"and individuallyas a "Party."
RECITALS:
A.Blackwood is the owner of the following described real property located within the
Bozeman City limitsinGallatinCounty,Montana:
BLACKWOOD GROVES SUBDIVISION,PHASE 2,City of Bozeman,according to the plat
thereof,on fileand of record inthe officeof theClerk and Recorder,GallatinCounty,Montana,
and locatedin the Southwest 1/4 of Section 24 and Northwest 1/4 of Section 25,Township 2
South,Range 5 East of P.M.M.,GallatinCounty,Montana.
B.Blackwood isdeveloping proposed Blackwood Groves Subdivision on the Property and
has submitted a FinalPlatApplicationto the City forapproval.
C.The FinalPlatincludespublicrightof ways so thatthe City may provide theBlackwood
Propertywith access,water,and sewer services(City'sRight of Ways).
D.Blackwood plans to installangled parking stallswithin the City'sRight of Ways.The
angled parking stallswill be installedalong South 15thAvenue between VictoriaStreetand
Blackwood Road and along VictoriaStreetbetween South 15thAvenue and South lithAvenue.
AGREEMENT:
NOW THEREFORE,in considerationof themutual promises and covenants contained
herein,and other good and valuable consideration,the receiptand sufficiencyof which are
hereby acknowledged,the Partiesagree as follows:
1.Incorporationof Recitals.The above recitalsare trueand correctand incorporatedherein.
2.Maintenance Agreement.Blackwood will installa concrete border and/or valley gutter
between the paved travellanes and the angled parking stalls.The City is responsiblefor all
maintenance,snow removal,and allother maintenance functionsof the paved travellanes in
between saidconcretebordersand/or valleygutters.The Blackwood Groves Owner's Association
isresponsibleforallmaintenance,snow removal,and allothermaintenance functionsof theangled
parkingspaces as well astheconcreteborderand/orvalleygutter.The Blackwood Groves Owner's
Association reservesthe rightto remove snow and ice within the City-maintainedpaved travel
lanes within thesesectionsin order to ensure snow and iceare removed in a timely manner to
enhance publichealthand safety.
3.Maintenance Agreement to Run with the Land.This Agreement,the obligations,and all
other covenants,agreements,rights,and obligationscreatedhereby,shallrun with,benefitand
burden the Blackwood Property,and shallbenefitthe development and use of the constructed
Improvements on the Blackwood Property,and shallbe binding on and inureto the benefitof all
personshaving or acquiringfee titleto the Blackwood Property.This Agreement,theobligations,
and allthe rightsand obligationsof the City and Blackwood with respectto theretoas set forth
hereinwillcommence as of the EffectiveDate and shallcontinue in perpetuityunlessterminated
inaccordance with thisAgreement.
4.Waiver of Claims,Limitationof Liability,and Indemnification.Except fortheCity'sown
negligence and/or willfulmisconduct,Blackwood hereby expresslyagrees to indemnify and hold
theCity harmless forand againstallclaims,costs,and liabilityofevery kind and nature,forinjury
or damage received or sustained by any person or entityin connection with thisAgreement.
Blackwood furtheragreestoaidand defend theCity intheevent thatitisnamed as a defendant in
an actionconcerning thisAgreement,except where the suitisbrought by Blackwood.
5.Miscellaneous.
a.Counterparts.This Maintenance Agreement may be executed inseveralcounterparts,and all
such counterpartstogethershallconstituteone (1)Agreement binding on thePartieshereto,
notwithstandingthatthe Partiesare not signatoriestothe same counterpart.
b.Successorsand Assigns.This Agreement shallbe bindingon and inuretothebenefitof City's
and Blackwood's respectivesuccessorsand assigns;provided,however,thatBlackwood may
not assignthisAgreement,or itsrightsthereunder,or delegateitsobligationshereunder to
any thirdpartywithout theexpress writtenapproval of Cityand except concurrentlywith an
assignment or conveyance of Blackwood's interestin the Blackwood Property.References
to Blackwood and City inthisAgreement shallbe deemed to also refertoany successorsin
interestto such Partieswith respect to theirinterestsin the Blackwood Property,as
applicable.
c.Section Headings.Section headings areonly forconvenience and referenceand shallin no
way define,limitor prescribethe scope or intentof any provisionsof thisAgreement.
d.Entire Agreement.This Maintenance Agreement and the documents referenced and
incorporatedintothisAgreement,contain the entireagreement of the Partiesheretowith
respecttothesubjectmatterhereofand no priorwrittenor oralagreement with respecttothe
subjectmatterhereofshallhave any forceor effector be binding upon the Partieshereto.
e.Severability.Ifany provisioncontainedhereinisfound tobe invalid,illegalor unenforceable
the remaining provisionsof thisAgreement shallneverthelesscontinue in fullforce and
effectand be binding on thePartieshereto,theirsuccessorsand assigns,and the Partiesshall
negotiatein good faithand attempttoagree to anotherprovision(inlieuof theprovisionheld
to be invalid,illegalor unenforceable)thatisvalid,legaland enforceableand carriesout the
Partiesintentionsas closelyas possibletoeffectthe originalintentand purpose,
f.Governing Law.The terms and provisionsof thisMaintenance Agreement shallbe construed
under and govemed by the laws of the Stateof Montana and venue forjudicialresolutionof
any dispute relatingto thisAgreement shallbe the 18thJudicialDistrictCourt,Gallatin
County,Montana.
g.Waivers.No provisionof thisMaintenance Agreement shallbe deemed waived except by a
writingexecuted by the Partyagainstwhom the waiver issought to be enforced;No waiver
of any provisionof thisAgreement shallbe deemed a continuingwaiver of such provision
or deemed a waiver of any otherprovisionof thisAgreement.
h.Notices.All notices,requests,consentsand otherformal communication between the Parties
thatarerequiredor permittedunder thisAgreement (each,a "Notice")shallbe inwritingand
sentto the addressforthe respectiveaddressee provided inthe preamble to thisAgreement.
The Partiesmay provide the requiredNotice by electronicmeans in compliance with the
requirementsof the Montana Uniform ElectronicTransactionsAct,MCA Sections30-18-
101,et seq.Each Party shallbe entitledto change itsNotice address from time to time by
deliveringto the other Party Notice thereof in the manner provided for the delivery of
Notices.
i.Amendment and Termination.This Maintenance Agreement may not be amended or
terminatedexcept by a writteninstrumentsignedby theParties,ortheirsuccessorsininterest
with respectto the Blackwood Property;provided however,ifthereare multipleowners of
the Blackwood Property,any amendment or terminationshallrequirethe signatureof a
majority in interestof the owners of the Blackwood Property,and shallnot requirethe
signatureof allowners of the Blackwood Property.
j.Default.Ifany Partyheretobreachesany provisionof thisMaintenance Agreement and fails
to cure such breach within ten (10)days afterreceiptof writtennoticethereof,the non-
defaultingPartyshallhave the rightto enforce the terms and provisionsof thisAgreement
by any proceeding at law or in equity.The failureby any PartytoenforcethisAgreement or
any term or provision hereof shallin no event be deemed a waiver of the rightto do so
hereunder.
k.Attorney'sFees.Intheevent itbecomes necessaryforeitherpartytothisAgreement to retain
an attorneytoenforce any of the terms or conditionsof thisAgreement,then the prevailing
partyshallbe entitledtoreasonableattorney'sfeesand costs,includingfees,salary,and costs
of in-housecounsel includingtheCity Attorney.
l.Authority to Execute.Each person executing thisMaintenance Agreement representsand
warrants thatthe person so executing isduly authorizedtoexecute thisAgreement for,and
bind,the Partyon whose behalfthe person isso executing.
m.Recordation.Blackwood shallrecordthisMaintenance Agreement at Blackwood 'ssolecost
and expense.In the event thisAgreement isterminated,thePartiesshallprepare,execute and
record,attheshared expense of both Parties,any reasonableinstrumentnecessaryto release
thisAgreement of record.
n.Disclaimer of JointVenture.This Maintenance Agreement isnot intended to createa joint
venture,partnershipor agency relationshipbetween City and Blackwood,and such joint
venture,partnershipor agency relationshipisspecificallydisclaimed.
o.Survival.All terms,conditions,covenants,and indemnitieswhich are intended to survive
terminationof this Maintenance Agreement shallsurvive such termination and shallbe
binding upon the heirs,successorsand assignsof the Partieshereto.
p.Construction.The Partiesto thisMaintenance Agreement have participatedjointlyin the
negotiationand draftingof thisAgreement.In theevent of ambiguity or a questionof intent
or interpretationarises,thisAgreement shallbe construed as ifdraftedjointlyby the Parties
and no presumption or burden of proofshallarisefavoringor disfavoringany Partyby virtue
of theauthorshipof any of theprovisionsof thisAgreement.
