RECIPROCAL DECLARATION OF EASEMENT
This Reciprocal Declaration of Easement is made by G.M.Hubbard,Inc.,a
Montana Corporation,of 507 West Main,Bozeman,MT 59715,("G.M.Hubbard")and
601 West Main,LLC,of 9325 Trooper Trail Bozeman MT 59715 ,("601"),
collectivelyreferredto as the partiesas the owners of certainparcelsof realproperty in
the City of Bozeman,County of Gallatin,Stateof Montana,more particularlydescribed
as follows:
PARCEL 1:
The West Half of Lot 10,Lots 11 and 12,except three feetoffof the West
side thereof,allin Block "E"of Tracy's FirstAddition to the City of
Bozeman,GallatinCounty,Montana according to the officialplatthereof
on fileand of record in the officeof the County Clerk and Recorder,
GallatinCounty,Montana.(Deed Reference:Film 39,Page 921).

All of Lots 1,2,3,4,5,6,7,8,9 and the East Half of Lot 10,Lots 40,41,42,
43,44,45,and 46 in Block "E"of Tracy's FirstAddition to the City of
Bozeman,Gallatin County,Montana,together with that portion of the
vacated alleylyingbetween Lots 3,4,5,6,7,8,and 9 and Lots 40,41,42,
43,44,45,and 46 in Block "E"of Tracy's FirstAddition to the City of
Bozeman,according to the officialplatthereofon fileand of record in the

SECTION ONE
CREATION,USE,AND PURPOSE OF EASEMENT
The partieshereby establisha common and mutual easement forthe purpose of
parking and ingressand egress forthe soleand exclusivebenefitof owners,guests,
patrons,and employees from Main Streetbordering the south sideof the parking area,
to the public alleyway bordering the north side of the parking area.No buildings or
other structuresmay be locatedor constructed in the common easement area so thatthe
purposes designated herein are in any way impeded.Both Parcel 1 and Parcel2 shall
mutually benefitfrom such common easement,and each may enjoy the benefitof one-
halfthe parking spaces located in the easement area for theirrespectiveparcels.This
easement isnot intended to confer any rightsto the general public,except insofaras
such members of the general public are guests or patrons of the commercial
establishmentslocatedon Parcel1 and Parcel2.
SECTION TWO
LOCATION OF EASEMENT
The easement islocatedon Lot 10,and a portion of Lot 9,inBlock "E"of Tracy's
FirstAddition to the City of Bozeman,Gallatin County,Montana,and is as more
particularlylegallydescribed and setforthin the exhibitattached to thisinstrument as
Exhibit A and,by thisreference,made a part of thisinstrument as fullyand to the same
effectas ifsetforth in thisinstrument in itsentirety.The easement shallboth burden
and benefiteach of Parcel 1 and Parcel2.
SECTION THREE
AGREEMENT FOR MAINTENANCE AND REPAIR OF COMMON AREA
Parcel 1 and Parcel 2 shallshare the costs and expenses of the cost of snow
removal,and the maintenance and repair of pavement,curbs,and gutters,located
within the described easement.The scope and extent of such snow removal,repairs

and maintenance shallbe,prior to being undertaken,agreed upon by the owners of
Parcel 1 and Parcel 2 and the share of such expense shallbe paid equally in the
proportion thatthe partiesshare parking spaces.Nothing herein shallrelieveany party
from repairingat that party'ssoleexpense,any damage caused by such Party or such
Party'sguests,inviteesor contractors.
SECTION FOUR
GOVERNING LAW
The parties agree that this Declaration of Easement shall be governed by,
construed,and enforced inaccordance with the laws ofthe Stateof Montana.
SECTION FIVE
BINDING EFFECT
This declarationshallbe binding upon and shall inure to the benefitof the
owners of Parcel 1 and Parcel 2,theirsuccessorsand assigns,and any persons or other
entitiesthat at any time hereafter shall become the owner of either of the above
described parcels,or any portion of such lots,comprising the premises,and shall
furtherrun with and bind both parcelsinperpetuity.
