The parties mutually promise and covenant as follows : .1 . Lot 2 . Lot 6 Owners and Lot 2 Owners agree that the following uses shall be added as allowable uses to Lot 2 of Valley Commons Business Park: (a) Furniture store (b) Interior decorator' s shop (c) Office services/Reproduction (d) Office supply and Office equipment store In addition, Lot 6 Owners and Lot 2 Owners agree that the following uses for Lot 2 of Valley Commons Business Park shall be deleted: (a) Delicatessen, (b) Barbershop/beauty shop. Page 1 of 6 2 . Lot 6. Lot 2 Owners and Lot 6 Owners agree that the following uses shall be added as allowable uses to Lot 6 of Valley Commons Business Park: (a) Barbershop/beauty shop, (b) Coffee shop/bakery/sandwich shop, formerly "delicatessen" . In addition, Lot 2 Owners and Lot 6 Owners agree that the following uses shall be deleted as allowable uses for Lot 6 of Valley Commons Business Park: (a) Furniture store (b) Interior decorators shop (c) Office services/reproduction (d) Office supply and office equipment store 3 . Amendment to Declaration. Lot 2 Owners and Lot 6 Owners agree to execute a Second Amendment to the Declaration of Covenants, Conditions and Restrictions for Valley Commons Business Park which shall provide for the exchange of uses set forth in paragraphs 1 and 2 above. Lot 2 Owners and Lot 6 Owners shall use their best efforts to secure signatures from other lot Page 2 of 6 owners within Valley Commons Business Park, sufficient to lawfully amend the Declaration of Covenants, Conditions and Restrictions for Valley Commons Business Park. The parties' obligations under the terms of this Memorandum of Understanding are specifically conditioned upon their ability to secure sufficient signatures to lawfully amend the Declaration of Covenants, Conditions and Restrictions for Valley Commons Business Park. In the event they are unsuccessful in securing sufficient signatures to lawfully amend the Declaration of Covenants, Conditions and Restriction for Valley Commons Business Park by the 15th day of September, 2007, this Memorandum of Understanding shall be null and void, with no further force or effect. 4 . Amendment to Business Park Plan. Lot 6 Owners agrees to apply for, pay all fees associated with, and diligently prosecute an amendment to the Valley Commons Master Plan which will provide for the use and development of Lot 2 and 6 in accordance with the change of uses contemplated by this Memorandum of Understanding. Lot 2 Owners shall fully cooperate with Lot 6 Page 3 of 6 Owners in processing said amendment . Lot 2 Owners shall sign all documents required to accomplish that purpose, and do all other things reasonable and necessary to accomplish that purpose. However, Lot 2 Owners shall not be required to expend any funds to accomplish that purpose. This Memorandum of Understanding is expressly conditioned upon securing an amendment to the Master Plan from the City of Bozeman. In the event that Lot 6 Owners are not able to successfully secure said Amendment on or before the 1st day of November, 2007, then this Memorandum of Understanding shall be null and void and of no further force or effect. 5 . Sale. It is understood and agreed by the parties that Lot 6 Owners have executed an Agreement for Sale and Purchase Lot 6. Said sale is scheduled to close on or before the 1st day of November, 2007 . It is understood and agreed that execution of the Amendment to Declaration of Covenants, Conditions and Restrictions for Valley Commons Business Park required herein, is necessary to j Page 4 of 6 complete said sale. It is further understood and agreed that the Conditional Use Permit required by this Memorandum of Understanding is necessary to complete said sale. The parties' obligations under the terms of this Memorandum of Understanding are expressly conditioned upon the successful sale by the Owner of Lot 6, and the recording of a Warranty Deed by Lot 6 Owners concluding said sale, on or before the lst day of November, 2007 . In the event the sale is not accomplished and the Warranty Deed is not recorded by that date, this Memorandum of Understanding shall be null and void and of no further force or effect .
