Attachments DS/dps IMPROVEMENTS AGREEMENT FOR LOT 4 , WESTRIDGE MEADOWS NO. 2 This AGREEMENT is made and entered into this AY711V day of April , 1986 , by and between Clair W. Daines , hereinafter called the "Developer" , and the City of Bozeman, hereinafter called the "City" , County of Gallatin, State of Montana , acting by and through the Director of Public Service for the City of Bozeman, hereinafter called the "Director" . WHEREAS , it is the intent and purposes of the Developer to obtain Final Site Plan Approval; WHEREAS , it is the intent and purposes of both the Developer and the City to hereby enter into an Agreement which will guarantee the full and satisfactory completion of the required improvements on the property hereinafter described; and it is the intent of this Agreement, and of the parties hereto, to satisfy the improvements guarantee requirements for the Final Site Plan approval of said Conditional Use Permit; NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, it is hereby agreed as follows : 1 . Property Description This Agreement pertains to, and includes, those properties which are designated and identified as Lot 4 of Westridge Meadows No. 2 to the City of Bozeman, Montana. 1 2 . Improvements This Agreement specifically includes the installation of paved parking areas and driveway, and other improvements as illustrated on the plans and specifications hereto attached and made a part of this Agreement, as Exhibit "A" . The estimated cost of said improvements is attached and made a part of this Agreement as Exhibit "B" . 3 . Financial Guarantee, Time for Completion of Improvements If occupancy of any structure is to occur prior to installa- tion of the improvements, it must be secured by the financial guarantee, as may be deemed acceptable by the City, payable to the City of Bozeman, in an amount equal to one and one-half times the estimated cost of the installation of any required improve- ments not completed at that time. In any event, all required improvements on the site as delineated on Exhibit "A" , which is attached and made a part of this Agreement, shall be completed within eighteen (18) -months of written approval of the Final Site Plan by the Local Governing Body, or their designated representative. 4 . Inspection Representatives of the City shall have the right to enter upon the property at any reasonable time in order to inspect it and to determine if the Developer is in compliance with this Agreement, and the Developer shall permit the City and its repre- sentatives to enter upon and inspect the property at any reasonable time. 5. Default Time is of the essence of this Agreement. If the Developer shall default in or fail to fully perform any of its obligations in conformance with the time schedule under this Agreement, and such default or failure shall continue for a period of thirty (30) days after written notice specifying the default is deposited in the United States mails addressed to the Developer at x o?O Z- t"K4 V or such other address as 2 i the Developer shall provide to the City from time to time, with- out being completely remedied , satisfied , and discharged , the City may elect to enforce any of the following specified remedies: A) The City may, at its option, declare the financial guarantee to be forfeited and secure the complete construction and inspection of the improvements described herein. 1. The City' s representative, contractors, and engineers shall have the right to enter upon the property and perform such work and inspec- tion, and the Developer shall permit and secure any additional permission required to enable them to do so. B) The City may enforce any other remedy provided by law. 6 . Warranty The Developer shall warrant against defects in these improvements for a period of one year from the date of their written acceptance by the governing body. 7 . Governing Law This Agreement shall be construed according to the laws of the State of Montana. 8 . Modifications or Alternations No modifications or amendment of this Agreement shall be f valid', unless evidenced by a writing signed by the parties hereto. 9. Invalid Provision The invalidity or unenforceability of any provision of this Agreement shall not affect the other provisions hereof, and this Agreement shall be construed in all respects as if such invalid or unenforceable provision were omitted . 10 . No Assignment It is expressly agreed that the Developer shall not assign this Agreement in whole, or in part, without prior written consent to City. 3 r • • i 11 . Daines, hereinafter called the "Developer" , and the City of Bozeman, hereinafter called the "City" , County of Gallatin, State of Montana , acting by and through the Director of Public Service for the City of Bozeman, hereinafter called the "Director" . WHEREAS , it is the intent and purposes of the Developer to obtain Final Site Plan Approval; WHEREAS , it is the intent and purposes, of both the Developer and the City to hereby enter into an Agreement which will guarantee the full and satisfactory completion of the required improvements on the property hereinafter described; and it is the intent of this Agreement, and of the parties hereto, -to satisfy the improvements "guarantee requirements for the Final Site Plan approval of said Conditional Use Permit; NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, it is hereby agreed as follows : 1 . Property Description This Agreement pertains to, and includes, those properties which are designated and identified as Lot .4 of Westridge Meadows No. 2 to the City of Bozeman, Montana. 1 2 . Improvements This Agreement specifically includes the installation of paved parking areas and driveway, and other improvements as illustrated on the plans and specifications hereto attached and made a part of this Agreement, as Exhibit "A" . The estimated cost of said improvements is attached and made a part of this Agreement as Exhibit "B" . 3 . Financial Guarantee, Time for Completion of Improvements If occupancy of any structure is to occur prior to installa- tion of the improvements, it. must be secured by the financial guarantee, as, may be deemed acceptable by the City, payable to the City of Bozeman, in an amount equal to one and one-half times the estimated cost of the installation of any required improve- ments not completed at that time. In any event, all required improvements on the site as delineated on Exhibit "A" , which is attached and made a part of this Agreement, shall be completed within eighteen (18) months of written approval of the Final Site Plan by the Local Governing Body, or their designated representative. 4 . Inspection Representatives of the City shall have the right to enter upon the property at any reasonable time . in order to inspect it and to determine if the Developer is , in compliance with this Agreement, and the Developer shall permit the City and its repre- sentatives to enter upon and inspect the property at any reasonable time. 5 . Default Time is of the essence of this Agreement. If the Developer shall default in or fail to fully perform any of its obligations in conformance with the time schedule under this Agreement, and such default or failure shall continue for a period of thirty (30) days after written notice specifying the default is deposited in the United States mails addressed to the Developer at/ 024 Z- U V I , or such other address as 2 the Developer shall provide to the City from time to time, with- out being completely remedied , satisfied , and discharged , the City may elect to enforce any of the following specified remedies: A) The City may, at its option , declare the financial guarantee to be forfeited and secure the complete construction and inspection of the improvements described herein. 1 . The City' s representative, contractors, and engineers shall have the right to enter upon the property and perform such work and inspec- tion, and the Developer shall permit and secure any additional permission required to enable them to do so. B) The City may enforce any other remedy provided by Taw. 6 . Warranty The Developer shall warrant against defects in these improvements for a period of one year from the date of their written acceptance by the governing body. 7 . Governing Law This Agreement shall be construed according to the laws of the State .of Montana. 8 . Modifications or Alternations No modifications or amendment of this Agreement shall be valid , unless evidenced by a writing signed by the parties hereto. 9. Invalid Provision The invalidity or unenforceability of any provision of this Agreement shall not affect the other provisions hereof, and this . Agreement shall be construed in all respects as if such invalid or unenforceable provision were omitted. 10. No Assignment It is expressly agreed that the Developer shall not assign this Agreement in whole, or in part, without prior written consent to City. 3 11. Successors Except as provided in paragraph 10 , this Agreement shall be binding upon, enure to the benefit of, and be enforceable by the I parties hereto and their respective hei uccessors a6d, assigns. Board of Directors shall consist of one director for each condominium, elected by the Condominium - Unit Owners Association, two directors representing the Westridge Meadows Technical Center, appointed by the owners and one director representing the Single Family residences and the Undeveloped Land. Initially the Board of Directors shall be Clair W. Daines representing the W/M Condominium, Donald K. Weaver, Jr. and Richard D. Weaver representing the Westridge Meadows Technical Center and Martha F. Weaver representing the Single Family Residences and Undeveloped Land. 10. Officers - The officers shall consist of a Chairman, Vice- Chairman and Secretary/Treasurer. Initially the Chairman shall be Donald K. Weaver Jr., the Vice-Chairman shall be Richard D. Weaver, and the Secretary/Treasurer shall be Martha F. Weaver. The officers are elected by the Board of Directors at the annual meeting. 11. Meeting 4f Ih•g Board Qf Directors - There shall be regular annual meetings to be held in March. In addition special meetings may be called by the Chairman as needs require. 12. Private Streets - Fairway Drive is a planned private street serving Westridge Meadows. It is on a 60 foot wide right- of-way extending from Kagy Blvd. to the southern boundary of Westridge Meadows. It is divided into two segments, the Entrance Street and the Residential Street. The Entrance i Street extends south for a distance of 500 feet from Kagy Blvd. and has served as the access to Westridge Meadows . Technical Center since 1980. The Residential Street is planned to continue south through the residential area as Westridge Meadows is developed, eventually reaching the southern boundary of Westridge Meadows. i r • • Fairway Drive is not a through street and shall never become a through street open to public use. However, the master plan of the Westridge Meadows residential PUD, approved by the Bozeman City Commission on April 19, 1982, does require a Secondary Access for emergency use only. This Secondary Access road is planned to run west from Fairway Drive connecting to Spring Creek Drive between Lots 4 and 5 of Block 3 in the Westridge Subdivision. 13. Qalnershin _Qj Private gets - - The Westridge Meadows Owners Association will accept ownership of segments of Fairway Drive as development is complete and the street is complete with paving installed. The developers shall be responsible for initial construction including landscaping and paving. The first segment to be accepted is all of Fairway Drive located in Section 18., from Kagy Blvd. to the southern boundary of Section 18. This is expected to occur before Dec. 31 , 1983. 14. Secondary Access - During development, an easement will be given to the City of Bozeman and Westridge Meadows Owners Association by the owners of the Undeveloped Land for a continuation of Fairway Drive right-of-way to its intersection with the secondary access. An easement will also be given for the Secondary Access to Spring Creek Dr. The developers shall be responsible for constructing the secondary access to the standard required by the City of Bozeman. WMOA will have no responsibility for the secondary access until construction is complete and easements given. 15. Maintenance and Control -Qf Fairway Drive - Once WMOA has accepted ownership of a segment of Fairway Drive it assumes the responsibility for maintenance and control. This includes snow removal, mowing the grassed areas, maintaining the road surface, maintaining walking paths (the Sourdough Trail) and any landscaping within the 60 foot right-of-way. WMOA shall set the speed limit, post signs and generally control use including approving new driveways connecting with Fairway Drive. WMOA has no responsibility for the maintenance or operation of the sewer and water system located in the Fairway Drive right-of-way. These are part of the City of Bozeman sewer and water systems and these services are provided by the City of Bozeman which charges each user a monthly fee for these services. FILM __ VAGEiZ 9 16. Qf. -thg Secondary Access - Once the development of the Secondary Access is completed to the City of Bozeman requirements and easements have been given to the City of Bozeman and WMOA, the association shall assume the responsibility for the maintenance to meet the requirements for the City of Bozeman. This includes snow removal and maintaining the road surface to a standard acceptable to the City for use by emergency vehicles. Any gates across the Secondary Access will meet City requirements. No member of WMOA will hold the City of Bozeman responsible for the failure of emergency vehicles reaching their destination in Westridge. Meadows 'if such failure results from inadequate maintenance including snow removal of either the Secondary Access or Fairway Drive. 17. Future Improvements - Future improvements of streets in Westridge Meadows which have been accepted for ownership by WMOA shall be the responsibility of WMOA. 18. Aaag_a_amsn_t Qf f4afa - All costs for maintenance and future improvements will be divided between those allocated to the Entrance Street (first 500 feet of Fairway Drive from Kagy Blvd.) and the Residential Streets (remainder of Fairway Drive and the Secondary Access ) . The costs assigned to the Entrance Street will be assessed equally to Westridge Meadows Technical Center and the residential development. The costs for the Residential Streets will be assessed entirely to the residential development. All costs assigned to the residential development will be divided equally among all residences which includes each residence unit of a condominium and each single family residence' on a separate lot. In the case of a condominium , the assessment will be made to each Unit Owners Association for the number of residential units in the condominium. Undeveloped land will not be assessed any of these costs. 19. Futurg D&Y 4pment Q.f Jarcej 2A C.O.S. 406B - At present there are no plans to develop Parcel 2A of C.O.S. 406. At such a time as development occurs the owners will become member.s of WMOA and will participate in the costs of maintenance and future improvements of the Entrance Street but not .the Residential Streets. At that time the distribution of costs allocated to the Entrance Street will be' one third to the owners of Parcel 2A, one third to the owners of Parcel 1 , C.O.S. 406A and one third to the residential area to the south. The owners of Parcel 2A will be entitled to one position on the Board of Directors of WMOA when development is complete. Future Incorporation - The WMOA shall ' become incorporated under the laws of the State of Montana before accepting ownership of Fairway Drive or any other land in Westridge Meadows. 21. The Bozeman Area Land Use Plan of the Bozeman Master Plan suggests that this area should develop as low-density residen- tial ; therefore, the parcel in question is in compliance with the Bozeman Area Comprehensive Plan. Proposal The applicant is proposing to develop two condominium duplexes (Unit Nos. 25-28) which will become Phase V of Westridge Meadows Planned Unit Development. All four units will be similar in floor plan and exterior facade treatment as the existing condominiums developed in previous phases . Owners of the dwellings will automatically become members of the Westridge Meadows Homeowners ' Association. The proposed 4-unit development is part of a Major Planned Unit Development consisting of 53 dwelling units and approved by the City Commission in March 1982 (see Attachment "A") . Access to the four condominiums will be provided by private driveways which will service onto Fairway Drive. Staff Findings Planned Unit Developments are listed as permitted uses in the "R-1" District through the application for a Conditional Use Permit. Section 18 . 54 .300 of the Bozeman Area Zoning Code allows for in-house summary review and approval by the Planning Staff. Section 18 . 52 . 101 (B) of the Zoning Code establishes six criteria which must be considered in the review of applications for Conditional Use Permits: (1) The proposed use meets all submittal requirements as contained in Section 18 . 52. 120. The application generally complies with the submittal requirements. (2) The proposed use will not, particularly because of con- ditions imposed, be detrimental to the public health, safety, or general welfare of persons residing or working in the vicinity, nor injurious to property or improvements in the vicinity. The submitted site plan indicates that the designated snow removal storage area is located along the east side of Fairway Drive and not on the parcel under review. The designated storage area will conflict with driveways and condominiums currently under construction as they are both located in the same general location. In addition, Section 18 . 62 . 180 (1) stipulates that snow storage areas will be provided on the site and shall not cause unsafe ingress/egress to the parking areas , 2 • • shall not cause snow to be deposited on public rights- of-way, and shall not be placed in such a manner as to damage landscaping . Spring Creek generally lies along the western boundary of the Master Plan for Westridge Meadows Planned Unit Development, as well as the proposed four single-family condominium units. Due to the proximity of Spring Creek , the City Engineering Officer requests verifica- tion of any floodplain boundaries within the area and provide such information on the Final Site Plan. (3) The proposed use will comply with the regulations and standards specified in the Bozeman Zoning Code, codified in this title, for such use. Covenants and other legal agreements which regulate areas or facilities of common or restricted ownership are required as part of the submittal (Section 18 . 54 . 250 (B) . These documents have not been submitted to the Planning Staff. Adequate drainage for off-street parking areas shall be provided as noted in Section 18 . 62. 180 of the Zoning Code. The City Engineering Officer has requested that spot elevations be submitted for each private drive and Fairway Drive to confirm the proposed drainage plan. In addition, the location and size of water and sewer service stubs to be utilized should be identified on the site plan. Section 18 .54 . 250 (11) requires a development phasing schedule describing the phasing for the entire P.U.D. Since the original approval of the Master Plan in 1982 development of each phase has been inconsistant with the proposed Master Plan. As a result, the identification of each phase is not similar to the i actual construction, which in turn has created confu- sion during the discussion and review of each phase. The Planning Staff recommends that the developer revise the Master Plan in order to coordinate existing phases with the sequence in which they were built, as well as the sequence of proposed development in the future. (4) The granting of the Conditional Use Permit will be in general compliance with the Bozeman Area Master Plan, and the requirements as set forth in this Chapter . The property in question is designated as Low Density Residential in the Land Use Plan of the Bozeman Area Master Plan. It is currently zoned "R-1" (Low-Density, 3 �I Residential , Single-Family District) . As a Conditional Use in the "R-l" District, the Minor Planned Unit Development is in compliance with the Bozeman Area Master Plan. I (5) The proposed use conforms to the standards of this Chapter including, but not limited to , density, lot coverage, yards, and height limitations as set forth in this Chapter , unless otherwise provided for in this Code. The applicant 's proposal complies with the density lot coverage, yards, and height limitations established in the Zoning Code. (6) The proposed use has been duly noticed , a public hear- ing held in accordance with Section 18 . 52 . 020 , and the pub- lic has been given sufficient opportunity to be heard on the matter . Section 18 .54 .300 provides for all Minor Planned Unit Developments to be reviewed in-house by the Planning Director and Planning Staff. Copies of the Staff Report are submitted to the Zoning Commission which may request a public hearing , within three days of receipt, if so desired. CONCLUSION The Planning Staff has reviewed the applicant ' s proposal for a four-unit condominium Minor P.U.D. and found it to be in general compliance with the Bozeman Area Master Plan and Zoning Regulations . As a result, the Staff recommends conditional approval of the application for a Conditional Use Permit pursuant to the following conditions : (1) That snow removal storage areas be located on the parcel in question to the approval of the Planning Director prior to Final Site Plan approval ; (2) That final site drainage plans , location and size of water and sanitary sewer service lines, and floodplain boundaries be reviewed and approved by the City Engineering Officer , prior to Final Site Plan approval ; (3) That all covenants and other legal documents for the four-unit Minor P.U.D. be submitted , reviewed , and approved by the Planning Staff, prior to Final Site Plan approval; (4) That the developer provide a revised Master Plan of the Major Planned Unit Development, coordinating the identifi- cation of each phase with the actual sequence of construc- tion, actual layout of each phase, and proposed future development, prior to Final Site Plan approval ; 4 (5) That the developer enter into an Improvements Agreement with the City of Bozeman. The structures may not be occupied until all required improvements have been installed and inspected and accepted by the City of Bozeman for each phase. If occupancy is to occur prior to the installation of the required improvements, the agreement with an accept- able method of security equal to one and one-half times the amount of the cost of the scheduled improvements for each phase shall be provided to secure completion; (6) That three copies of the Final Site Plan containing all the conditions, corrections and modifications approved by the City Commission be submitted for review and approved by the Planning Director within six months of the date of the City Commission approval and prior to issuance of a building permit for the project for each phase . One signed copy shall be retained by the Building Department, one by the Planning Director , and one by the applicant; (7) That all on-site improvements (i .e. , paving, landscap- ing , etc . ) shall be completed within 18 months of the Con- ditional Use Permit as shown on the approved Final Site Plan for each phase; (8) That the Conditional Use Permit shall be valid for a period of only 18 months following approval of the use for each phase. Prior to the permanent renewal of the permit at the end of that period , the applicant must satisfy all the conditions in the granting of the permit. An on-site inspection will be made, and a report will be made to the City Commission for their action. If all required condi- tions have been satisfied, the permit will be permanently renewed .
