AGREEMENT FOR THE PAYMENT OF DEFERRED IMPACT FEES AND
NOTICE OF INTENT TO LIEN
THIS AGREEMENT ismade and enteredintothis day of (EP f.,2023,
by and between RG 5400 Fowler LLC,1144 15thStreet,Suite2475,Denver,CO 80202 hereinafter
calledthe"Obligor,"and theCityof Bozeman,a MunicipalCorporationof theStateofMontana,
hereinaftercalledthe"City."
WHEREAS,itisthe intentand purpose of the Obligor to meet the requirementsof
Commission Resolution#4433 toallowtheissuanceofbuildingpermit23-34916 priortopayment
of transportationimpact feesrequiredby 2.06.1640BMC on propertylocatedat3284 Kurk A &
B Drive (lA/B),and legallydescribedas,N ½SW ¼SW ¼of Section23,Township 2 South,
Range 5 East,PrincipalMeridian,GallatinCounty,Montana.
WHEREAS,itistheintentof theObligortodeferpayment of transportationimpact fees
untiloccupancy fortheconstructionauthorizedunder buildingpermit23-34916;and
WHEREAS,itistheintentand purpose of both theObligorand theCitytoherebyenter
into an Agreement which willguaranteethe fulland satisfactorycompletion of the required
payment;and itistheintentofthisAgreement,and ofthepartieshereto,tosatisfytherequirements
ofthemunicipalcode and Commission Resolution#4433.
NOW,THEREFORE,inconsiderationofthemutual covenantsand conditionscontained
herein,itisherebyagreedas follows:
1.Property Description
This Agreement pertainsto and includesthose propertieswhich are designatedand
identifiedas 3284 Kurk A &B Drive (lA/B),and legallydescribedas,N ½SW ¼SW ¼of

Section23,Township 2 South,Range 5 East,PrincipalMeridian,GallatinCounty,Montana.
2.Payment of Deferred Impact Fees
This Agreement specificallyincludesthe payment of transportationimpact feescalculatedfor
buildingpermit23-34916,intheamount of$8,621.78(EightThousand Six Hundred Twenty-One
dollarsand Seventy-Eightcents).Obligoracknowledges thattheabove impactfeemust be paid in
fullbeforetheCertificateofOccupancy may be issued.Obligoragreestopay theabove statedfee
in accordance with thisagreement and Commission Resolution#4433 beforethe structure(s)
identifiedinthebuildingpermitreferencedabove isoccupied.
3.Guarantee,Time forCompletion ofAgreement
No occupancy ofthestructure,eithertemporaryorpermanent priortofullpayment ofthedeferred
transportationimpact feeand completionof thisagreement.This agreement constitutesaNotice
ofIntenttoLienagainstthepropertyintheeventthatthedeferredimpactfeesarenotpaid.Should
thefeesnotbe paid theCity may withoutfurtheractionrecorda lienagainstthepropertyinthe
fullamount ofthedeferredfeesas statedabove and forcostsrequiredforcollectionofthedeferred
fee.
4.Inspection
Representativesof theCityshallhave therighttoenterupon thepropertyatany reasonabletime
inordertoinspectitand todetermineiftheObligorisincompliancewith thisAgreement,and the
ObligorshallpermittheCityand itsrepresentativestoenterupon and inspectthepropertyatany
reasonabletime.
5.Default
Time isof theessenceforthisAgreement.IftheObligorshalldefaultinor failtofullyperform
any of itsobligationsinconformance withthetime scheduleunder thisAgreement theCitymay
electtoenforceany ofthefollowingspecifiedremedies:
A)The Citymay withholda Certificateof Occupancy and prohibituse of theproperty.
B)The Citymay,atitsoption,recorda lienagainsttheproperty.
C)The Citymay enforceany otherremedy providedby law or thisagreement.
6.Indemnification
The Obligorhereby expresslyagreesto indemnify and hold theCityharmlessforand againstall

claims,costsand liabilityof everykind and nature,forinjuryordamage receivedor sustainedby
any person or entityin connectionwith,or on account of the performance of work at the
development siteand elsewhere pursuantto thisAgreement,or delays in the issuanceof a
CertificateofOccupancy pursuanttothisagreement.The Obligorfurtheragreestoaidand defend
theCityintheeventthatitisnamed as a defendantinan actionconcerningtheperformance of
work pursuanttothisAgreement exceptwhere such suitisbroughtby theObligor.The Obligor
isnot an agentor employee of theCity.
7.Governing Law and Venue
This Agreement shallbe construedunder and governed by thelaws oftheStateof Montana.In
the event of litigationconcerningthisAgreement,venue isin the EighteenthJudicialDistrict
Court,GallatinCounty,Stateof Montana.
8.Changes in Fee During DeferralPeriod
The feesdue atconclusionof thedeferralperiodshallnotchange from theamount determinedin
Section2.Intheeventtheamount offeesdue forthecategoryofdevelopment fornewly submitted
projectswhich isthesame categoryas thatwhich isthesubjectof thisagreementeitherdecreases
orincreasesno change intheamount offeesdue from theprojectwillbe made unlesstheproject
constructsmore or lessdemand generatingimprovements thanoriginallydepictedon thebuilding
permitforthework.Intheeventofnon-payment additionalfeesforcollectioncostsand otherfees
asestablishedby Resolution4433 willbe chargedinadditiontothedeferredtransportationimpact
fee.
9.Attorney'sFees or Other Fees
Intheeventitbecomes necessaryforeitherpartytothisAgreement toretainan attorneytoenforce
any of the terms or conditionsof thisAgreement,then the prevailingpartyshallbe entitledto
reasonableattorney'sfeesand costs,to includethesalaryand costsofin-housecounselincluding
CityAttorney.Other feesand costsmay be incurredassetforthinResolution4433 relatingtothe
enforcementof thisagreement.
10.Modificationsor Alterations
No modificationsor amendment of thisAgreement shallbe valid,unlessagreedto inwritingby
thepartieshereto.

11.InvalidProvision
The invalidityor unenforceabilityof any provisionof thisAgreement shallnot affectthe other
provisionshereof,and thisAgreement shallbe construedin allrespectsas ifsuch invalidor
unenforceableprovisionwere omitted.
12.No Assignment
ItisexpresslyagreedthattheObligorshallnotassignthisAgreement inwhole,orinpart,without
priorwrittenconsentoftheCity.
13.Successors
Except asprovidedinparagraph10,thisAgreement shallbe bindingupon,enuretothebenefitof,
and be enforceableby thepartiesheretoand theirrespectiveheirs,successorsand assigns.
