WHEREAS,itis the intentand purpose of the Obligor to meet the requirementsof Commission Resolution#4433 toallowtheissuanceofbuildingpermit23-34920 priortopayment oftransportationimpact feesrequiredby 2.06.1640BMC on propertylocatedat3329 EdgertonA &B Avenue,and legallydescribedas,N ½SW ¼SW ¼of Section23,Township 2 South,Range 5 East,PrincipalMeridian,GallatinCounty,Montana. WHEREAS,itistheintentof theObligortodeferpayment of transportationimpact fees untiloccupancy fortheconstructionauthorizedunder buildingpermit23-34920;and WHEREAS,itistheintentand purpose of boththeObligorand theCitytoherebyenter intoan Agreement which willguaranteethe fulland satisfactorycompletion of the required payment;and itistheintentofthisAgreement,and ofthepartieshereto,tosatisfytherequirements of themunicipalcode and Commission Resolution#4433. NOW,THEREFORE,inconsiderationofthemutual covenantsand conditionscontained herein,itishereby agreedas follows: 1.Property Description This Agreement pertainsto and includesthose propertieswhich are designatedand identifiedas 3329 EdgertonA &B Avenue,and legallydescribedas,N ½SW ¼SW ¼ofSection Page 1 of 6 Agreement forPayment ofDeferred Impact Fees and NoticeofIntentto Lien 23,Township 2 South,Range 5 East,PrincipalMeridian,GallatinCounty,Montana. 2.Payment ofDeferred Impact Fees This Agreement specificallyincludesthepayment of transportationimpact feescalculatedfor buildingpermit23-34920,intheamount of$8,621.78(EightThousand SixHundred Twenty-One dollarsand Seventy-Eightcents).Obligoracknowledges thattheabove impactfeemust be paid in fullbeforetheCertificateof Occupancy may be issued.Obligoragreestopay theabove statedfee in accordance with thisagreement and Commission Resolution#4433 beforethe structure(s) identifiedinthebuildingpermitreferencedabove isoccupied. 3.Guarantee,Time forCompletion of Agreement No occupancy ofthestructure,eithertemporaryorpermanent priortofullpayment ofthedeferred transportationimpact feeand completionof thisagreement.This agreement constitutesaNotice ofIntenttoLienagainstthepropertyintheeventthatthedeferredimpactfeesarenotpaid.Should thefeesnot be paidtheCitymay withoutfurtheractionrecorda lienagainstthepropertyin the fullamount ofthedeferredfeesasstatedabove and forcostsrequiredforcollectionofthedeferred fee. 4.Inspection Representativesof theCityshallhave therighttoenterupon thepropertyatany reasonabletime inordertoinspectitand todetermineiftheObligorisincompliancewiththisAgreement,and the ObligorshallpermittheCityand itsrepresentativestoenterupon and inspectthepropertyatany reasonabletime. 5.Default Time isof theessenceforthisAgreement.IftheObligorshalldefaultinor failto fullyperform any of itsobligationsin conformance with thetime scheduleunder thisAgreement the Citymay electto enforceany of thefollowingspecifiedremedies: A)The Citymay withholda Certificateof Occupancy and prohibituse of theproperty. B)The Citymay,atitsoption,recorda lienagainsttheproperty. C)The Citymay enforceany otherremedy providedby law or thisagreement. 6.Indemnification The Obligorhereby expresslyagreestoindemnifyand hold theCityharmlessforand againstall Page 2 of6 Agreement forPayment ofDeferred Impact Fees and Notice ofIntenttoLien claims,costsand liabilityof everykindand nature,forinjuryor damage receivedorsustainedby any person or entityin connectionwith,or on account of the performance of work at the development siteand elsewhere pursuantto thisAgreement,or delays in the issuanceof a CertificateofOccupancy pursuanttothisagreement.The Obligorfurtheragreestoaidand defend theCityin theeventthatitisnamed as a defendantinan actionconcerningtheperformance of work pursuanttothisAgreement exceptwhere such suitisbroughtby theObligor.The Obligor isnot an agentor employee of theCity. 7.Governing Law and Venue This Agreement shallbe construedunder and governed by thelaws of the Stateof Montana.In the event of litigationconcerningthisAgreement,venue isin the EighteenthJudicialDistrict Court,GallatinCounty,StateofMontana. 8.Changes in Fee During DeferralPeriod The feesdue atconclusionofthedeferralperiodshallnotchange from theamount determinedin Section2.Intheeventtheamount of feesdue forthecategoryofdevelopmentfornewly submitted projectswhich isthesame categoryasthatwhich isthesubjectof thisagreement eitherdecreases or increasesno change intheamount of feesdue from theprojectwillbe made unlesstheproject constructsmore or lessdemand generatingimprovements thanoriginallydepictedon thebuilding permitforthework.Intheeventofnon-payment additionalfeesforcollectioncostsand otherfees asestablishedby Resolution4433 willbe chargedinadditiontothedeferredtransportationimpact fee. 9.Attorney'sFees or Other Fees Intheeventitbecomes necessaryforeitherpartytothisAgreement toretainan attorneytoenforce any of the terms or conditionsof thisAgreement,then theprevailingpartyshallbe entitledto reasonableattorney'sfeesand costs,toincludethesalaryand costsof in-housecounselincluding CityAttorney.Other feesand costsmay be incurredas setforthinResolution4433 relatingtothe enforcementof thisagreement. 10.Modificationsor Alterations No modificationsoramendment ofthisAgreement shallbe valid,unlessagreedtoinwritingby thepartieshereto.
