WHEREAS,itis the intentand purpose of the Obligor to meet the requirementsof Commission Resolution#4433 toallowtheissuanceofbuildingpermit23-34919 priortopayment oftransportationimpactfeesrequiredby 2.06.1640BMC on propertylocatedat3325 EdgertonA &B Avenue,and legallydescribedas,N ½SW ¼SW ¼ofSection23,Township 2 South,Range 5 East,PrincipalMeridian,GallatinCounty,Montana. WHEREAS,itistheintentoftheObligorto deferpayment oftransportationimpactfees untiloccupancy fortheconstructionauthorizedunderbuildingpermit23-34919;and WHEREAS,itistheintentand purposeofboth theObligorand theCityto hereby enter intoan Agreement which willguaranteethe fulland satisfactorycompletion of the required payment;and itistheintentofthisAgreement,and ofthepartieshereto,tosatisfytherequirements ofthemunicipalcode and Commission Resolution#4433. NOW,THEREFORE,inconsiderationofthemutual covenantsand conditionscontained herein,itisherebyagreedas follows: 1.Property Description This Agreement pertainsto and includesthose propertieswhich are designatedand identifiedas3325 EdgertonA &B Avenue,and legallydescribedas,N ½SW ¼SW ¼ofSection Page 1 of 6 Agreement forPayment ofDeferred Impact Fees and NoticeofIntenttoLien 23,Township 2 South,Range 5 East,PrincipalMeridian,GallatinCounty,Montana. 2.Payment ofDeferred Impact Fees This Agreement specificallyincludesthe payment of transportationimpact feescalculatedfor buildingpermit23-34919,intheamount of $8,621.78(EightThousand Six Hundred Twenty-One dollarsand Seventy-Eightcents).Obligoracknowledges thattheabove impactfeemust be paidin fullbeforetheCertificateof Occupancy may be issued.Obligoragreestopay theabove statedfee in accordance with thisagreement and Commission Resolution#4433 before the structure(s) identifiedinthebuildingpermitreferencedabove isoccupied. 3.Guarantee,Time for Completion of Agreement No occupancy ofthestructure,eithertemporaryorpermanent priortofullpayment ofthedeferred transportationimpact feeand completionof thisagreement.This agreementconstitutesaNotice ofIntenttoLien againstthepropertyintheeventthatthedeferredimpactfeesarenotpaid.Should thefeesnot be paid theCitymay withoutfurtheractionrecorda lienagainstthepropertyinthe fullamount ofthedeferredfeesasstatedabove and forcostsrequiredforcollectionofthedeferred fee. 4.Inspection Representativesof theCityshallhave therightto enterupon thepropertyatany reasonabletime inordertoinspectitand todetermineiftheObligorisincompliancewiththisAgreement,and the ObligorshallpermittheCityand itsrepresentativestoenterupon and inspectthepropertyatany reasonabletime. 5.Default Time isof theessenceforthisAgreement.IftheObligorshalldefaultinor failto fullyperform any of itsobligationsinconformance withthetime scheduleunder thisAgreement theCitymay electtoenforceany ofthefollowingspecifiedremedies: A)The Citymay withholda CertificateofOccupancy and prohibituse oftheproperty. B)The Citymay,atitsoption,recorda lienagainsttheproperty. C)The Citymay enforceany otherremedy providedby law or thisagreement. 6.Indemnification The Obligorherebyexpresslyagreesto indemnifyand hold theCityharmlessforand againstall Page 2 of6 Agreement forPayment ofDeferred Impact Fees and NoticeofIntenttoLien claims,costsand liabilityof everykind and nature,forinjuryordamage receivedor sustainedby any person or entityin connectionwith,or on account of the performance of work at the development siteand elsewherepursuant to thisAgreement,or delays in the issuanceof a CertificateofOccupancy pursuanttothisagreement.The Obligorfurtheragreestoaidand defend theCityin theeventthatitisnamed as a defendantinan actionconcerningtheperformanceof work pursuantto thisAgreement exceptwhere such suitisbroughtby theObligor.The Obligor isnot an agentor employee oftheCity. 7.Governing Law and Venue This Agreement shallbe construedunder and governed by the laws of theStateof Montana.In the event of litigationconcerningthisAgreement,venue isin the EighteenthJudicialDistrict Court,GallatinCounty,Stateof Montana. 8.Cliangesin Fee During DeferralPeriod The feesdue atconclusionof thedeferralperiodshallnotchange from theamount determinedin Section2.Intheeventtheamount of feesdue forthecategoryof developmentfornewly submitted projectswhich isthesame categoryasthatwhich isthesubjectof thisagreement eitherdecreases or increasesno change intheamount of feesdue from theprojectwillbe made unlesstheproject constructsmore or lessdemand generatingimprovements thanoriginallydepictedon thebuilding permitforthework.Intheeventofnon-payment additionalfeesforcollectioncostsand otherfees as establishedby Resolution4433 willbe chargedinadditiontothedeferredtransportationimpact fee. 9.Attorney'sFees or Other Fees Intheeventitbecomes necessaryforeitherpartytothisAgreement toretainan attorneytoenforce any of the terms or conditionsof thisAgreement,thentheprevailingpartyshallbe entitledto reasonableattorney'sfeesand costs,toincludethesalaryand costsof in-housecounselincluding CityAttorney.Otherfeesand costsmay be incurredassetforthinResolution4433 relatingtothe enforcementofthisagreement. 10.Modificationsor Alterations No modificationsor amendment of thisAgreement shallbe valid,unlessagreedto in writingby thepartieshereto.
