WHEREAS,itis the intentand purpose of the Obligor to meet the requirementsof Commission Resolution#4433 toallowtheissuanceofbuildingpermit23-34921 priortopayment oftransportationimpact feesrequiredby 2.06.1640BMC on propertylocatedat3333 EdgertonA &B Avenue,and legallydescribedas,N ½SW ¼SW ¼ofSection23,Township 2 South,Range 5 East,PrincipalMeridian,GallatinCounty,Montana. WHEREAS,itistheintentoftheObligortodeferpayment oftransportationimpactfees untiloccupancy fortheconstructionauthorizedunder buildingpermit23-34921;and WHEREAS,itistheintentand purpose ofboth theObligorand theCityto hereby enter intoan Agreement which will guaranteethe fulland satisfactorycompletion of the required payment;and itistheintentofthisAgreement,and ofthepartieshereto,tosatisfytherequirements of themunicipalcode and Commission Resolution#4433. NOW,THEREFORE,inconsiderationofthemutual covenantsand conditionscontained herein,itisherebyagreedas follows: 1.Property Description This Agreement pertainsto and includesthose propertieswhich are designatedand identifiedas 3333 EdgertonA &B Avenue,and legallydescribedas,N ½SW ¼SW ¼of Section Page 1 of 6 Agreement forPayment ofDeferred Impact Fees and NoticeofIntenttoLien 23,Township 2 South,Range 5 East,PrincipalMeridian,GallatinCounty,Montana. 2.Payment ofDeferred Impact Fees This Agreement specificallyincludesthe payment of transportationimpact feescalculatedfor buildingpermit23-34921,intheamount of$8,621.78(EightThousand SixHundred Twenty-One dollarsand Seventy-Eightcents).Obligoracknowledges thattheabove impactfeemust be paidin fullbeforetheCertificateofOccupancy may be issued.Obligoragreestopay theabove statedfee in accordance with thisagreement and Commission Resolution#4433 before the structure(s) identifiedinthebuildingpermitreferencedabove isoccupied. 3.Guarantee,Time forCompletion ofAgreement No occupancy ofthestructure,eithertemporaryor permanent priortofullpayment ofthedeferred transportationimpact feeand completionof thisagreement.This agreement constitutesaNotice ofIntenttoLien againstthepropertyintheeventthatthedeferredimpactfeesarenotpaid.Should the feesnot be paidtheCitymay withoutfurtheractionrecorda lienagainstthepropertyinthe fullamount ofthedeferredfeesasstatedabove and forcostsrequiredforcollectionofthedeferred fee. 4.Inspection Representativesof theCity shallhave therighttoenterupon thepropertyatany reasonabletime inordertoinspectitand todetermineiftheObligorisincompliancewiththisAgreement,and the ObligorshallpermittheCityand itsrepresentativestoenterupon and inspectthepropertyatany reasonabletime. 5.Default Time isof theessenceforthisAgreement.IftheObligorshalldefaultinor failtofullyperform any of itsobligationsinconformance with thetime scheduleunder thisAgreement theCitymay electtoenforceany of thefollowingspecifiedremedies: A)The Citymay withholda Certificateof Occupancy and prohibituse of theproperty. B)The Citymay,atitsoption,recorda lienagainsttheproperty. C)The Citymay enforceany otherremedy providedby law or thisagreement. 6.Indemnification The Obligorhereby expresslyagreestoindemnifyand hold theCityharmlessforand againstall Page 2 of 6 Agreement forPayment ofDeferred Impact Fees and Noticeof IntenttoLien claims,costsand liabilityof everykindand nature,forinjuryor damage receivedorsustainedby any person or entityin connectionwith,or on account of the performance of work at the development siteand elsewherepursuant to thisAgreement,or delaysin the issuanceof a Certificateof Occupancy pursuanttothisagreement.The Obligorfurtheragreestoaidand defend the City inthe eventthatitisnamed as a defendantin an actionconcerningthe performanceof work pursuanttothisAgreement exceptwhere such suitisbroughtby theObligor.The Obligor isnotan agentoremployee oftheCity. 7.Governing Law and Venue This Agreement shallbe construedunder and governed by thelaws of theStateof Montana.In the event of litigationconcerningthisAgreement,venue isin the EighteenthJudicialDistrict Court,GallatinCounty,Stateof Montana. 8.Changes in Fee During DeferralPeriod The feesdue atconclusionof thedeferralperiodshallnot change from theamount determinedin Section2.Intheeventtheamount offeesdue forthecategoryofdevelopment fornewly submitted projectswhich isthesame categoryas thatwhich isthesubjectofthisagreement eitherdecreases or increasesno change intheamount of feesdue from theprojectwillbe made unlesstheproject constructsmore orlessdemand generatingimprovements thanoriginallydepictedon thebuilding permitforthework.Intheeventofnon-payment additionalfeesforcollectioncostsand otherfees asestablishedby Resolution4433 willbe chargedinadditiontothedeferredtransportationimpact fee. 9.Attorney'sFees or Other Fees Intheeventitbecomes necessaryforeitherpartytothisAgreement toretainan attorneytoenforce any of the terms or conditionsof thisAgreement,then the prevailingpartyshallbe entitledto reasonableattorney'sfeesand costs,to includethesalaryand costsof in-housecounselincluding CityAttorney.Otherfeesand costsmay be incurredassetforthinResolution4433 relatingtothe enforcementofthisagreement. 10.Modificationsor Alterations No modificationsor amendment of thisAgreement shallbe valid,unlessagreedtoinwritingby thepartieshereto.
