AGREEMENT FOR THE PAYMENT OF DEFERRED IMPACT FEES AND
NOTICE OF INTENT TO LIEN
THIS AGREEMENT ismade and enteredintothis day of SE?T -,2023,
by and between RG 5400 Fowler LLC,1144 15thStreet,Suite2475,Denver,CO 80202 hereinafter
calledthe"Obligor,"and theCityof Bozeman,a MunicipalCorporationof theStateofMontana,
hereinaftercalledthe"City."
WHEREAS,itis the intentand purpose of the Obligor to meet the requirementsof
Commission Resolution#4433 toallowtheissuanceofbuildingpermit23-34917 priortopayment
oftransportationimpactfeesrequiredby 2.06.1640BMC on propertylocatedat3315 Edgerton A
&B Avenue,and legallydescribedas,N ½SW ¼SW ¼ofSection23,Township 2 South,Range
5 East,PrincipalMeridian,GallatinCounty,Montana.
WHEREAS,itistheintentoftheObligorto deferpayment of transportationimpact fees
untiloccupancy fortheconstructionauthorizedunder buildingpermit23-34917;and
WHEREAS,itistheintentand purposeof both theObligorand theCitytohereby enter
intoan Agreement which willguaranteethe fulland satisfactorycompletion of the required
payment;and itistheintentofthisAgreement,and ofthepartieshereto,tosatisfytherequirements
ofthemunicipalcode and Commission Resolution#4433.
NOW,THEREFORE,inconsiderationof themutual covenantsand conditionscontained
herein,itisherebyagreedas follows:
1.Property Description
This Agreement pertainsto and includesthose propertieswhich are designatedand
identifiedas3315 EdgertonA &B Avenue,and legallydescribedas,N ½SW ¼SW ¼ofSection

23,Township 2 South,Range 5 East,PrincipalMeridian,GallatinCounty,Montana.
2.Payment ofDeferred Impact Fees
This Agreement specificallyincludesthe payment of transportationimpact feescalculatedfor
buildingpermit23-34917,intheamount of$8,621.78(EightThousand Six Hundred Twenty-One
dollarsand Seventy-Eightcents).Obligoracknowledges thattheabove impactfeemust be paidin
fullbeforetheCertificateof Occupancy may be issued.Obligoragreestopay theabove statedfee
in accordance with thisagreement and Commission Resolution#4433 before the structure(s)
identifiedinthebuildingpermitreferencedabove isoccupied.
3.Guarantee,Time forCompletion ofAgreement
No occupancy ofthestructure,eithertemporaryorpermanent priortofullpayment ofthedeferred
transportationimpact fee and completionofthisagreement.This agreement constitutesaNotice
ofIntenttoLienagainstthepropertyintheeventthatthedeferredimpact feesarenotpaid.Should
thefeesnotbe paid theCity may withoutfurtheractionrecorda lienagainstthepropertyinthe
fullamount ofthedeferredfeesasstatedabove and forcostsrequiredforcollectionofthedeferred
fee.
4.Inspection
RepresentativesoftheCityshallhave therightto enterupon thepropertyatany reasonabletime
inordertoinspectitand todetermineiftheObligorisincompliancewith thisAgreement,and the
ObligorshallpermittheCityand itsrepresentativestoenterupon and inspectthepropertyatany
reasonabletime.
5.Default
Time isof theessenceforthisAgreement.IftheObligorshalldefaultinor failtofullyperform
any of itsobligationsinconformance with thetime scheduleunder thisAgreement theCitymay
electtoenforceany of thefollowingspecifiedremedies:
A)The Citymay withholda Certificateof Occupancy and prohibituse of theproperty.
B)The Citymay,atitsoption,recorda lienagainsttheproperty.
C)The Citymay enforceany otherremedy providedby law or thisagreement.
6.Indemnification
The Obligorhereby expresslyagreestoindemnifyand hold theCity harmlessforand againstall

claims,costsand liabilityof everykind and nature,forinjuryordamage receivedor sustainedby
any person or entityin connectionwith,or on account of the performance of work at the
development siteand elsewhere pursuantto thisAgreement,or delays in the issuanceof a
CertificateofOccupancy pursuanttothisagreement.The Obligorfurtheragreestoaidand defend
theCityinthe eventthatitisnamed as a defendantinan actionconcerningtheperformanceof
work pursuanttothisAgreement exceptwhere such suitisbroughtby theObligor.The Obligor
isnotan agentor employee of theCity.
7.Governing Law and Venue
This Agreement shallbe construedunder and governed by the laws of the Stateof Montana.In
the event of litigationconcerningthisAgreement,venue isin the EighteenthJudicialDistrict
Court,GallatinCounty,StateofMontana.
8.Changes inFee During DeferralPeriod
The feesdue atconclusionofthedeferralperiodshallnotchange from theamount determinedin
Section2.Intheeventtheamount offeesdue forthecategoryofdevelopmentfornewly submitted
projectswhich isthesame categoryasthatwhich isthesubjectofthisagreement eitherdecreases
or increasesno change intheamount of feesdue from theprojectwillbe made unlesstheproject
constructsmore or lessdemand generatingimprovements thanoriginallydepictedon thebuilding
permitforthework.Intheeventofnon-payment additionalfeesforcollectioncostsand otherfees
asestablishedby Resolution4433 willbe chargedinadditiontothedeferredtransportationimpact
fee.
9.Attorney'sFees or Other Fees
Intheeventitbecomes necessaryforeitherpartytothisAgreement toretainan attorneytoenforce
any of the terms or conditionsof thisAgreement,thentheprevailingpartyshallbe entitledto
reasonableattorney'sfeesand costs,to includethesalaryand costsof in-housecounselincluding
CityAttorney.Other feesand costsmay be incurredassetforthinResolution4433 relatingtothe
enforcementofthisagreement.
10.Modificationsor Alterations
No modificationsor amendment of thisAgreement shallbe valid,unlessagreedto inwritingby
thepartieshereto.

11.InvalidProvision
The invalidityor unenforceabilityof any provisionof thisAgreement shallnot affecttheother
provisionshereof,and thisAgreement shallbe construedin allrespectsas ifsuch invalidor
unenforceableprovisionwere omitted.
12.No Assignment
ItisexpresslyagreedthattheObligorshallnotassignthisAgreement inwhole,or inpart,without
priorwrittenconsentoftheCity.
13.Successors
Except asprovidedinparagraph10,thisAgreement shallbe bindingupon,enuretothebenefitof,
and be enforceableby thepartiesheretoand theirrespectiveheirs,successorsand assigns.
