GRANT OF EASEMENT
This Grant of Easement ismade and enteredintoeffectivethis25thday of
September,2018,by and among James Anthony and Haili Anthony,("Grantor")and
ZOEY DEVELOPMENT,LLC,a Montana limitedliabilitycompany,("Grantee").
Recitals
The background of thisGrant of Easement isas follows:
A.Grantor owns certainrealpropertyinGallatinCounty,Montana,as more
particularlydescribedon ExhibitA hereto(the"Grantor Property").
B.Grantee isinthe process of developing a residentialdevelopment (the
"Development")on certainrealpropertyinGallatinCounty,Montana,more particularly
describedon ExhibitB hereto(the"Development Propertv").
C.Grantor desiresto grantand convey to Grantee,and Grantee desiresto
receivethebenefitsof,an exclusive,perpetualutilityeasement forthe installation,
construction,operation,repairand maintenance of underground utilitylines,including,
but not limitedto,water and sewer linesand relatedunderground vaultswith flush-to-the
ground manholes/access hatches(collectively,"Underground UtilityLines")in
connectionwith Grantee's Development on the Development Property.
NOW,therefore,forgood and valuableconsideration,the receiptand sufficiency
of which ishereby acknowledged,thepartiestothisGrant of Easement hereby agreeas
follows:
1.UtilityEasement.Grantor hereby grantsunto Grantee,and Grantee's
successorsand assigns,an exclusive,perpetualunderground utilityeasement (the"Utility
GrantofEasement

Easement"),which UtilityEasement shallbe 12.55'x 66.76'feetand locatedon that
portionof theGrantor Property shown as "UtilityEasement"and furtherdescribedon
ExhibitC (the"UtilityEasement Area").
2.Purpose and Scope of Easement.The UtilityEasement shallbe forthe
benefitofGrantee and Grantee'sassignees,designees,licensees,agentsand employees
forgeneralinstallation,construction,operation,repairand maintenance of Underground
UtilityLines inconnection with Grantee'sdevelopment on the Development Property.
Grantee'srightsunder theUtilityEasement shallincludethe rightto:(i)layout,mark,
develop,constructand maintain the Underground UtilityLines;(ii)make minor
topographicalchanges totherealpropertyunderlyingtheUtilityEasement forthe
necessityand convenience of locatingtheUnderground UtilityLines;(iii)enterupon the
Grantor Propertyforallreasonableand necessaryconstructionand maintenance in
connection with theUnderground UtilityLines,provided such access shallbe restricted
as setforthherein;and (iv)manage or restorevegetationon the realpropertywithinthe
UtilityEasement;provided,however,thatexcept inthecase of an emergency allwork
performed by Grantee under thisGrant of Easement shallbe performed with a minimum
of interferencewith Grantor'suse of the Grantor Property,as reasonably practicalgiven
the rightsgrantedto Grantee under thisGrant of Easement.
3.Access.Grantee may accessthe Grantor Property by utilizingtheUtility
Easement Area.
4.Restoration.Grantee shall,atGrantee'ssolecostand expense,restore
Grantor Propertyto itsoriginal,or better,conditionas itexistedpriorto disturbanceby
Grantee of any portionof the Grantor Propertyutilizedby Grantee,or Grantee's
licensees,contractors,and agents,inconnectionwith the exerciseof Grantee'srights
under thisGrant of Easement.
5.Indemnity.Grantee,inperpetuityand unconditionally,shallindemnify,
protect,defend and hold harmless,Grantor assignsand lenders(each,with Grantor,an
"Indemnified Party"))from and againstany and allobligations,settlements,liabilities,
losses,damages,injunctions,suits,actions,proceedings,fines,penalties,claims,liens,
demands,costs,charges and expenses of every kind or nature,including,without
limitation,reasonablefees of attorneysand otherprofessionalsthrough allactionsand
Peals,and fines,dama es and disbursements collectivel,"Claims"which m be
imposed on,incurredby or assertedagainstany Indemnified Party (otherthan any Claims
arisingout of any Indemnified Party'sgrossnegligenceor intentionalmisconduct)arising
out of or connected with Grantee'suse of the UtilityEasement.
6.Run with the Land.The UtilityEasement shallbe a perpetualeasement,
shallrun with the Grantor Propertyand be binding on Grantor'ssuccessorsand assigns.
7.Assignment.Grantee shallhave therighttoassignallor any of Grantee's
rightsand obligationsunder thisEasement without Grantor'spriorwrittenconsent.Any

such assignment shallbe evidenced by a writteninstrumentrecorded inthe recordsof the
Clerk and Recorder forGallatinCounty,Montana.Grantee shallprovide ten(10)days
priorwrittennoticeof assignment to Grantor and provide Grantor with a copy of the
recorded assignment.
8.No Public Access.Nothing contained inthisGrant of Easement shallbe
construedtogranteasement rightsto the generalpublic.
9.Compliance with Laws.While utilizingtheUtilityEasement,Grantee
shallfullycomply with alllaws,rules,regulationsand ordinances,includingbutnot
limitedto allenvironmental laws,rules,regulationsand ordinances of allfederal,state
and localgovernments.Grantee shallbe responsibleforobtainingallgovernmental
permitsand approvalsrequiredin connectionwith the exerciseof Grantee'srightsunder
thisGrant of Easement including,but not limitedto,any permits or approvalsrequired
under the Montana Department of Environmental QualityGeneral Permit forStorm
Water Discharges associatedwith constructionactivity.
10.Grantor Use.Grantee hereby agrees and acknowledges thatGrantor
retainsthe right,inperpetuity,to crossover,through and use the UtilityEasement Area
forthe purpose of ingress,egress,activitiesassociatedwith Grantor'sactivities
associatedwith themaintenance,use and/ordevelopment ofthe Grantor Property,or
UtilityEasement Area,subjectto Grantee'srightshereunder and provided thatGrantor's
exerciseof such rightsshallnot unreasonably interferewith,or impair,Grantee'sexercise
of itsrightsunder thisGrant of Easement.Without limitingthe foregoing,itis
understood and agreed by Grantor thatno buildingor otherstructuresmay be placedby
Grantoron the UtilityEasement Area.
11.Prevailing Party.Ifsuit,action,or otherproceeding of any nature
whatsoever (includingany proceeding under theU.S.Bankruptcy Code)isinstitutedin
connectionwith any controversyarisingout of thisGrant of Easement,orto interpretor
enforceany rightshereunder,theprevailingpartyin such action(asdetermined by a
final,non-appealabledecisionof thecourthaving jurisdictiontherefore)shallbe entitled
to recoveritsattorneyfees,paralegals,accountants,and otherexperts'fees,courtreporter
fees,and allotherfees,costs,and expenses actuallyincurredand reasonablynecessaryin
connectiontherewith,as determined by the arbitratoror courtattrialor on any appeal or
review,in additiontoallotheramounts provided by law.
12.Notices.All noticesrequiredunder thisGrant of Easement shallbe in
writingand eitherhand deliveredor mailed postage pre-paid,by registeredor certified
mail,returnreceiptrequested,and shallbe deemed given when delivered,ifby hand,or
when depositedwith the U.S.PostalService,ifmailed,to the principalofficeoftheparty
to which itisdirected,which isas followsunlessotherwisedesignatedby writtennotice
to the otherparty:

13.Miscellaneous.This Grant of Easement shallbe govemed by theLaws of
the Stateof Montana,with venue inGallatinCounty,Montana,and constitutesthe entire
agreement and understandingof the partieswith respectto the matterscontainedherein.
This Grant of Easement may not be modified or amended except by writtenagreement of
theparties,and shallbe binding upon the successorsor assignsof thepartiesheretoas
provided herein.No waiver shallbe deemed to be a furtheror continuingwaiver of any
conditionor breach.Ifany term of thisGrant of Easement isfound to be void or invalid,
such invalidityshallnot affectthe remaining terms of thisGrant of Easement,which shall
continuein fullforceand effect.This Grant of Easement may be executed in one or more
counterparts,which taken togethershallconstituteone and the same document.
