ANNEXATION AGREEMENT
THIS AGREEMENT made and enteredintothis )p day ofd(fb ,2020,
by and between the CITY OF BOZEMAN,a self-governingmunicipal corporationorganized and
existingunder itsCharterand the laws of the Stateof Montana with officesat 121 N.Rouse Avenue,
Bozeman,Montana 59771-0640,hereinafterreferredto as "City",and Blackwood Land Fund LLC,140
VillageCrossing Way,Unit 3B,Bozeman MT 59715 hereinafterreferredto as "Landowner".
W IT N E S S E T H:
WHEREAS,Landowner isowner in feeof a tractof certainrealproperty,hereinafterreferred
to as the BLACKWOOD GROVES ANNEXATION situatedin GallatinCounty,Montana,and more
particularlydescribedasfollows:

The S ½,SW ¼of Section24,and theN ½,N ½,NW ¼of Section25,Township 2 South,
Range 5 East,P.M.M.,GallatinCounty,MT,exceptthatpartconveyed tothe Stateof Montana
forhighway right-of-waypurposes forSouth 19th Avenue,StateProjectS 243(1),by bargain
and saledeed,recordedin Book 144 of Deeds,Page 148.

WHEREAS,theLandowner petitionedthe City forannexationto the City of saidtractof land;
and
WHEREAS,the BLACKWOOD GROVES ANNEXATION isnot withinthecorporatelimits
of the City or other municipalityand may thereforebe annexed to the City in accordance with the
provisionsof thisAgreement and Title7,Chapter 2,Part46,Mont.Code Ann.;and
WHEREAS,all parties recognize the annexation of the BLACKWOOD GROVES
ANNEXATION pursuantto Section7-2-4601,etseq.,Mont.Code Ann.willallow theBLACKWOOD
GROVES ANNEXATION to connect toand utilizeCity services,includingmunicipal water and sewer
service,parks and recreation,fireand policeservices,and the City'stransportationsystem;and
WHEREAS,Section 7-2-4610,Mont.Code Ann.provides thata municipalityand landowner
can agreetotheprovisionsof servicesto the area to be annexed;and

WHEREAS,the partiesrecognize additionaldevelopment on the BLACKWOOD GROVES
ANNEXATION willimpact area parks,recreation,transportation,police,and fireservices,and that
future improvements may require additionalpublic infrastructurestreetimprovements including
transportationfortrafficcirculationand theprovisionsof parks,recreation,police,and fireservices;and
WHEREAS,the Landowner findsthisAgreement willprovide forthe most satisfactoryand
dependable water supply and sewer supply or service,and provide transportation,parks,recreation,
policeand fireservicefordevelopment of the BLACKWOOD GROVES ANNEXATION;and
WHEREAS,thepartieshave determined thatitisinthebestinterestsoftheCityand Landowner,
and infurtheranceof thepublichealth,safetyand welfareof thecommunity to enterintoand implement
thisAgreement.
W IT N E S S E T H:
IN CONSIDERATION of the mutual covenants and agreements herein contained,the parties
heretoagree as follows:
1.Recitals
The above recitalsaretrueand correct.
2.Annexation
The Landowner filed an application for annexation of the BLACKWOOD GROVES
ANNEXATION with the Cityon January 17,2020.By executionof thisAgreement,theCitymanifests
itsintentto annex the BLACKWOOD GROVES ANNEXATION tractpursuant to the terms and
conditionsof thisAgreement.Subjecttotheprovisionsof Title7,Chapter 2,Part46,Mont.Code Ann.
the City shall,upon execution of this Agreement,adopt a Resolution of Annexation of the
BLACKWOOD GROVES ANNEXATION.Further,upon the execution of this Agreement,the
Landowner shalldo allthingsrequiredby thisAgreement and allthingsnecessaryand proper to aidand

assistthe City in carryingout the terms,conditionsand provisionsof thisAgreement and to effectthe
annexationof the BLACKWOOD GROVES ANNEXATION.
3.Services Provided
The City will,upon annexation,make available to the BLACKWOOD GROVES
ANNEXATION existingCity servicesonly to the extent currentlyavailable,or as provided in this
Agreement.
4.Municipal Water Service Defined
The term "municipal water service"as isused in thisagreement shallbe the servicewhich is
suppliedby the City in accordance with Chapter 40,Article2,Bozeman Municipal Code,as amended,
aswell as any otherterms and conditionswhich apply tothe City'sprovisionof municipal water service
but does not includetheextensionof linesor constructionof necessary improvements atany costto the
City fordeliveryofwater toand withintheBLACKWOOD GROVES ANNEXATION.Nothing inthis
Agreement shallobligatethe City to pay for right-of-wayacquisition,engineering,construction,and
other costsfor the deliveryof water to or within the BLACKWOOD GROVES ANNEXATION to
include,but not limitedto,any impact fees,hook-up,connection,or development charges which have
been or may be establishedby the City.
5.Municipal Sewer Service Defined
The term "municipalsewer service"as isused in thisAgreement shallbe the servicewhich is
suppliedby the City inaccordance with Chapter 40,Article3,Bozeman Municipal Code,as amended,
as well as any otherterms and conditionswhich apply totheCity'sprovisionof thisservicebut does not
include the extension of linesor constructionof necessary improvements at any cost to the City for
collectionof sewage at and within the BLACKWOOD GROVES ANNEXATION.Nothing in this
Agreement shallobligatethe City to pay for right-of-wayacquisition,engineering,construction,and
BLACKWOOD GROVES Annexation Agreement 4
other costs for the collectionof sewage services to or within the BLACKWOOD GROVES
ANNEXATION to include,but not limitedto,any impact fees,hookup,connection,or development
charges which may be establishedby theCity.
6.Water Rights
The Landowner specificallyrecognizesand agrees the Landowner must provide water rightsor
cash in-lieuof water rightsupon furtherdevelopment or subdivisionof thepropertyinaccordance with
Section 38.410.130,Bozeman Municipal Code.The City willcalculatethe amount of water rightsor
cash-in-lieuthereofdue atthetime of furtherdevelopment or subdivisionof the propertybased on the
annual demand forvolume of water the development willrequiremultipliedby themost currentannual
unitpriceineffecton the datethe water rightsaretransferredor payment-in-lieuof water rightsisto be
made to the City.As such,the Landowner acknowledges thatthe ratesfor cash in-lieuof water rights
may increase over time as establishedby Resolution of the City Commission.The applicantmust
perform a water rightssearch to determine ifany existforthisproperty.The Landowner must transfer
any water rightsthatexistforthispropertytotheCity of Bozeman priorto development.Ifinsufficient
water rightsexist,theLandowner must pay cash inlieuof water rights,inan amount determined by the
Directorof PublicService,priorto development.
7.Comprehensive Water and Water Design Report
Priortofuturedevelopment of thepropertytheCitymay requiretheLandowner tohave prepared
by a ProfessionalEngineer,at Landowner's sole expense,a comprehensive design reportevaluating
existingcapacityof sewer and water utilitiesinthe area.The reportmust includehydraulicevaluations
of each utilityforboth existingand post-development demands,and thereportfindingsmust demonstrate
adequate capacityto serve the fulldevelopment of the land.Ifadequate infrastructurecapacityisnot
availablefortheproposed development,the reportmust identifynecessarywater or wastewater system

improvements necessary forthe proposed development.If improvements to thiswater or wastewater
system are necessary,the Landowner agrees priorto development of the BLACKWOOD GROVES
ANNEXATION to complete,atLandowner's expense,the necessary system improvements toservethe
proposed development.
8.Future Development Limitations
The Landowner shallbe responsibleforinstallingallfacilitiesrequiredtoprovidefullmunicipal
servicestothepropertyinaccordance with theCity'sInfrastructureMaster Plansand allCityregulations,
policiesand guidelinesthatmay be in effectatthe time of any futuredevelopment.Thus,Landowner
understandsand agrees Landowner has no right,eithergrantedor implied,foritto furtherdevelop any
of the BLACKWOOD GROVES ANNEXATION untilitis verifiedby the City that the necessary
municipal services,including but not limited to police and fireprotection,parks and recreation,
transportation,and sewer and water capacity,are availableto allor a portionof the BLACKWOOD
GROVES ANNEXATION.Notice is thus provided to the Landowner that prior to additional
development of the property,the Landowner willbe solelyresponsiblefor installing,atLandowner's
sole expense,any facilitiesor infrastructurerequired to provide full municipal services to the
BLACKWOOD GROVES ANNEXATION in accordance with the City'sinfrastructureplans,adopted
Growth Policies/Community Plans,and allothercityregulations,policiesand guidelinesthatmay be in
effectatthetime ofdevelopment.
9.Stormwater Master Plan
Landowner understandsand agreesa Stormwater Master Plan forthe BLACKWOOD GROVES
ANNEXATION fora system designed toremove solids,oils,grease,and otherpollutantsfrom therunoff
from public streetsand otherimpermeable surfacesmay be requiredto be provided to and approved by
the City Engineer at the time of any futuredevelopment.The plan must demonstrate thatadequate

treatmentof runofffrom publicstreets,otherimpermeable surfaces,and allfuturelotswillbe achieved
by providing spotelevations,flow directionarrows,detentionand/or retentionbasin details(including
basin sizing calculationsand basin typicalsections),outletstructuredetails,and culvert capacity
calculations.The plan must also locateand provide easements for adequate drainageways within the
BLACKWOOD GROVES ANNEXATION to transporttreatedrunoff to the stormwater receiving
channel.The plan shall include site grading and elevation information,typical stormwater
detention/retentionbasin and discharge structuredetails,basin sizing calculations,and stormwater
maintenance plan.Landowner recognizes the City may require such Stormwater Master Plan to be
implemented inallor partas a conditionof approval of development of the BLACKWOOD GROVES
ANNEXATION.
10.Waiver of Right-to-ProtestSpecialDistricts
A.Landowner must executea Waiver ofRight-to-ProtestCreationof SpecialDistricts(SID)
or specialdistrictforthe maintenance of any parks withintheannexed areaand/orof a City-wide Park,
Trails,or Open Space District.The Landowner agrees such districtwillprovide a mechanism for the
fairand equitableassessment of maintenance costsfor parks servingthe development.The waiver is
attachedheretoas Exhibit"A"and ishereby incorporatedin and made a partof thisAgreement.
B.Landowner shallexecute a Waiver of Right-to-ProtestCreationof SpecialImprovement
Districtsor Special Districtsfor streetand transportationimprovements including design and
engineering,paving and subsurface improvements,curb and gutter,sidewalk or shared use path,
stormwater drainage facilities,and fiberopticconduit fora)South 19thAvenue,b)South lithAvenue,
and c)Blackwood Road and signalizationor other trafficcontrol improvements for the following
intersections:d)Blackwood Road and South 19thAvenue,e)Blackwood Road and South 11thAvenue,
f)Blackwood Road and South 3rd Avenue,g)Goldenstein Lane and South 3rd Avenue,and h)
BLACKWOOD GROVES Annexation Agreement 7
Goldenstein Lane and South 19thAvenue.The Landowner agrees such SID or specialdistrictswill
provide a mechanism for the fairand equitableassessment of constructionand maintenance costsfor
such improvements.The waiver isattachedhereto as Exhibit"B"and ishereby incorporatedin and
made a partof thisAgreement.
C.Landowner agrees thatin the event an SID isnot utilizedfor the completion of these
improvements as described in subsections A and B above,the Landowner shallparticipatein an
alternativefmancing method forthecompletion of saidimprovements on a fairshare,proportionatebasis
asdetermined by theCityon thebasisofthesquarefootageofproperty,taxablevaluationoftheproperty,
trafficcontributionfrom thedevelopment or a combination thereof.
11.Public Streetand UtilityEasements
The Landowner understandsand agreesthata publicstreetand utilityeasement must be provided
at the time Landowner returnsthe signed annexation agreement for a ninety (90)foot public street
easement for extensions of South lithAvenue and Blackwood Road as depicted in the Bozeman
TransportationMaster Plan.The Landowner understands and agrees thata public streetand utility
easement must be provided at the time Landowner returnsthe signed annexation agreement for an
additionalten (10)foot public streetand utilityeasement along the property frontageof South 19th
Avenue.The Landowner,atitssoleexpense,has createdsuch easements ina locationand form agreeable
to the City and the easements will be filedat the GallatinCounty Clerk and Recorder's Office.The
Landowner furtherunderstands and agrees thatadditionalpublic streetand utilityeasements may be
requiredfordeliveryof municipal serviceswith futuredevelopment and such easement shallbe provided
attheLandowner's soleexpense.
12.StreetImprovements
The Landowner understands and agrees that atthe time of futuredevelopment the portion of
BLACKWOOD GROVES Annexation Agreement 8
South 19*Avenue and itsrelatedtransportationinfrastructurefrontingthe BLACKWOOD GROVES
ANNEXATION must be improved to a City standard.
13.Impact Fees
Landowner acknowledges that annexation and development of theirproperty will impact the
City'sexistingstreet,water and sewer infrastructure,and the City'sfireservice.As approved by the
City,the Landowner and itssuccessorsmust pay:
A)Fireimpact feesequalto the amount per Chpt.2,Art.6.Div.9 BMC,or as amended,at
time of issuanceof a buildingpermit.
B)Transportationimpact fees equal to the amount per Chpt.2,Art.6.Div.9 BMC,or as
amended,attime of issuanceof a buildingpermit.
C)Water impact feesas requiredby Chpt.2,Art.6.Div.9 BMC,or as amended,atthetime
of connectionto citywater services.
D)Sewer impact feesasrequiredby Chpt.2,Art.6.Div.9 BMC,or as amended,atthetime
of connectionto citysewer services.
The amount of impact feethe Landowner or itssuccessorspay forconnectionto thecity'swater
and sewer services,ifany,shallbe calculatedbased on the provisionsof the Bozeman Municipal Code,
as amended,in effectat the time of applicationfora permit to connect.The amount of streetor fire
impact feesto be paid,ifany,shallbe calculatedbased on the provisionsof the Bozeman Municipal
Code,as amended,ineffectatthetime an applicationforbuildingpermit issubmitted.
Landowner furtherunderstands and agrees that any improvements,eitheron-siteor off-site,
necessary to provide connection of the BLACKWOOD GROVES ANNEXATION municipal services
and which are wholly attributableto the property as determined exclusivelyby the cityare considered
"projectrelatedimprovements"as definedinChapter 2,Article6,Division9,Bozeman Municipal Code,
as amended,and as such,arenot eligibleforimpact feecredits.
IfLandowner defaultson thisconditionatthe time such isto be performed,and should default
not be remedied or correctedwithinthirty(30)days afterwrittennoticeby Cityto the Landowner and
Landowner/Developer of such default,Citymay atitsoption:

A)Declare theamounts owing forimpact feesimmediately due and payable and City
shallhave therightand privilegeto take legalactionagainstLandowners forthe
collectionof such sum,includingthe entryof any judgment.In addition,the City
may,at itsoption,enforcepayment of such amount by levying an assessment on
theproperty.
B)Electany otherremedy availableto City under the laws ofthe Stateof Montana.
14.Charges and Assessments
Landowner understandsand agreesthatafterthisAgreement isrecorded the BLACKWOOD
GROVES ANNEXATION willbe subjectto City charges and assessments forarterialand collector
streets,streetmaintenance,and treemaintenance on the same basisas allotherpropertiesintheCity.
15.Payback Districts
Landowner understandsand agreesthatthe BLACKWOOD GROVES ANNEXATION iswithin
the Meadow Creek Subdivision payback districtboundary for trafficsignal,water,and sewer
improvements.The applicantmust pay the payback districtsupon future development.Reference
document Gallatin County Clerk and Recorder documents #2293491,2293492,and 2293493,
respectively.
16.Additional Terms
The partiesrecognizethesedocuments must be filedand of recordwith theGallatinCounty Clerk
and Recorder priorto the saleof any land within the BLACKWOOD GROVES ANNEXATION.The
partiesfurtheragreethatthe City may filethesedocuments atany time.
17.Governing Law and Venue
This agreement shallbe construedunder and governed by the laws of the stateof Montana.In
the event of litigation,venue isin the EighteenthJudicialDistrictCourt,inand forCounty of Gallatin,
Stateof Montana.

18.Attorney's Fees
In the event itbecomes necessary for eitherparty to thisAgreement to retainan attorneyto
enforce any of the terms or conditionsof thisAgreement,then the prevailingparty shallbe entitledto
reasonableattorney'sfeesand costs,to includethe salaryand costsof in-housecounsel includingCity
Attorney.
19.Waiver
No waiver by eitherparty of any breach of any term,covenant or agreement shallbe deemed a
waiver of thesame orany subsequent breach of thissame orany otherterm,covenant or agreement.No
covenant,term or agreement shallbe deemed waived by eitherpartyunlesswaived inwriting.
20.InvalidProvision
The invalidityor unenforceabilityof any provisionof thisagreement shallnot affectthe other
provisions hereof,and this Agreement shall be construed in all respects as if such invalid or
unenforceableprovisionwere omitted.
21.Modifications or Alterations
No modificationsor amendment of thisAgreement shallbe validunlessevidenced by a writing
signed by thepartieshereto.
22.No Assignment
Itis expressly agreed thatthe Landowner and/or Landowner/Developer shallnot assign this
Agreement in whole or inpartwithout priorwrittenconsent ofthe City.
23.Successors
This Agreement shallbe binding upon,inureto the benefitof and be enforceableby the parties
heretoand theirrespectiveheirs,successorsand assignsand specificallyto any subsequent purchaser of
the annexed property.

24.Covenants to Run with the Land
The partiesintendthatthe terms of thisAgreement shallbenefitthe BLACKWOOD GROVES
ANNEXATION and shallbe covenants running with thelandand shallnot expireattheirdeathsorupon
transferof ownership of theproperty.
The undersigned Landowner affirmsthatthey have authorityto enterintothisAgreement and to
bind themselves to thisAgreement.

forCityparks,trails,and open spaces,or tomake any writtenprotestagainstthe sizeor areaor creation
of the districtbe assessedin response to a duly passed resolutionof intentionto createone or more

In theevent a SID isnot utilizedforthecompletion of theseimprovements,the developer agrees
to participatein an alternatefinancingmethod forthe completion of saidimprovements on a fairshare,
proportionatebasisas determined by the City on the basisof the square footage of property,taxable
valuationof the property,trafficcontributionfrom thedevelopment or a combination thereof.
