MontanaAve.,HelenaMontana,theGRANTOR,inconsiderationofonedollarandothergood
andvaluableconsideration,receiptofwhichisacknowledged,grantstoSaccocciaLandsII,
LLC,aMontanalimitedliabilitycompanywithaddressof1234SpringhillSchoolRoad,
Belgrade,Montana,SACCOCCIA LANDS IILLC,GRANTEE,itssuccessorsandassigns,a
perpetualeasementtolayandconstruct,atSACCOCCIA LANDS IILLC,GRANTEE expense,
sewermainsandwatermainswiththeusualservices,valves,connections,accessoriesand
appurtenancesforthepurposeoftransmittingwaterandsewerin,under,through,andacrossa
stripoflandsituatedinGallatinCounty,Montana,thirty(30)feetwidetobelocatedonthe
followingdescribedrealproperty(GRANTOR'S PROPERTY):

Bozeman,GallatinCountyMontana.
FURTHER,GRANTOR,inconsiderationofonedollarandothergoodandvaluable
consideration,receiptofwhichisacknowledged,grantstoCityofBozeman,amunicipal
corporationoftheStateofMontana,withofficesat121NorthRouseAvenue,Bozeman
Montana59715,CITY GRANTEE,itssuccessorsandassigns,uponacceptancebyCITY
GRANTEE oftheconstructedsewermainsandwatermains,aperpetualeasementtomaintain
andrepairsaidsewermainsandwatermainswiththeusualservices,valves,connections,
accessoriesandappurtenancesforthepurposeoftransmittingwaterandsewerin,under,
through,andacrossGRANTOR'S PROPERTY.
TheeasementgrantedtoSACCOCCIA LANDS IILLC,GRANTEE forconstructionand
theCITY GRANTEE forrepair,operationsandmaintenanceismoreparticularlydescribedon
theattachedExhibitA forsewereasementandExhibitB forwatereasementwhichbythis
referencearemadeaparthereof.
ThisgrantincludestherightoftheSACCOCCIA LANDS IILLC,GRANTEE,its
successors,permittees,licensees,andassignsanditsandtheiragentsandemployees,toenterat
alltimesupontheabove-describedlandbyusingexistingroadsorotherwisebyaroutecausing
theleastdamageandinconveniencetotheGRANTOR inordertosurveyandestablishtheroute
andlocationoftheeasementandthepipelineandto:
(1)Construct,themains,services,connections,accessoriesandappurtenances;
(2)Trim,remove,destroy,orotherwisecontrolanytreesandbrushinsideoroutsidethe
boundariesoftheeasementwhichmay,intheopinionoftheSACCOCCIA LANDS II
LLC GRANTEE,interfereorthreatentointerferewithorbehazardoustothe
construction,ofthemains;
(3)Gradethelandsubjecttothiseasementandextendthecutsandfillsofthisgradinginto
andonthelandadjacenttothatwhichissubjecttothiseasementtotheextent
SACCOCCIA LANDS IILLC GRANTEE may findreasonablynecessary;and
(4)Uponacceptanceoftheinstalledmains,services,connections,accessoriesand
appurrenancesbyCITY GRANTEE,GRANTOR relinquishes,releasesandtransfersany
andallownershipinterestGRANTOR may haveinthesametoCITY GRANTEE.
THE CITY GRANTEE AGREES:
(1)That,uponacceptanceofinstalledthemains,withtheusualservices,valves,connections,
accessoriesandappurtenances,operating,patrolling,repairing,substituting,removing,
enlarging,replacing,andmaintainingofsaidsewerandwatermains,itwillrepairor
replace,atitssoleexpense,orpaytoGRANTOR thereasonablevalueofanydamages
landscaping,sidewalksandparkingareasinstalledandotherappurtenancesin
compliancewiththeCityofBozemanordinancesofsaidlandthatmay bedisturbedby
itsoperation,repairmaintenanceorotheractionsofCITY GRANTEE.
(2)That,duringrepair,maintenanceand/oroperationsCITY GRANTEE shallrestoreany
disturbedportionofGRANTOR'S PROPERTY tothesameconditionasexistedpriorto
thecommencementofrepair,maintenanceoroperationsanditwillleavethefinished
surfaceinsubstantiallythesameconditionasexistedpriortothebeginningofrepair,
maintenanceand/oroperations.
THE GRANTOR AGREES:
(1)Atnotimewillitbuild,construct,erectormaintainanypermanentstructurewithinthe
boundariesofsaideasementwithoutthepriorwrittenconsentofCITY GRANTEE.
(2)Atnotimewillitmodifythefinishedgradeofthelandoverthemainsbyremovalof
existingsoilorbyplacementoffillmaterialwithintheboundariesofsaideasement
withoutthepriorwrittenconsentoftheCITY GRANTEE.
(3)TheGRANTOR warrantsthatitislawfullyseizedandpossessedoftherealproperty
describedabove,thatithasalawfulrighttoconveytheproperty,oranypartofit,and
thatitwillforeverdefendthetitletothispropertyagainsttheclaimsofallpersons.
(4)TheCITY GRANTEE may peaceablyholdandenjoytherightsandprivilegesherein
grantedwithoutanyinterruptionbytheGRANTOR.Theterms,covenantsand
provisionsofthiseasementandagreementshallextendtoandbebindinguponthe
successorsininterest,heirs,executors,administrators,personalrepresentatives,
successorsandassignsofthepartieshereto.
