SEWER AND WATER PIPELINE AND ACCESS EASEMENT AND AGREEMENT
T__own&Country Foods Inc.,theGRANTOR(S),inconsiderationofOne Dollarand othergood
and valuableconsideration,receiptof which isacknowledged,grant(s)tothe Cityof Bozeman.
GRANTEE,itssuccessorsand assigns,a perpetualeasement tolay,constructand maintain
approximately 487 If (sewer)and 306 If(water)pipelineswith theusualservices,valves,
connections,accessoriesand appurtenancesforthepurposeoftransmittingsewer and water in,
through,and acrossa stripoflandsituatedinGallatinCounty,Montana,tobe locatedon the
followingdescribedrealproperty:
Lots 1A,2A &3A,Block 5 of Amended Platof Block 5 of The Ferguson Farms Subdivision
situatedintheSouthwest ¼of Section10,Township 2 South,Range 5 East,P.M.M.
CityofBozeman,GallatinCounty Montana.
The easement ismore particularlyshown on the attachedEXHIBIT A -PUBLIC UTILITY
EASEMENT which by thisreferenceismade a parthereof.
This grantincludestherightof theGRANTEE,itssuccessors,permittees,licensees,and
assignsand itsand theiragentsand employees,toenteratalltimesupon theabove-described
landby usingexistingroadsor trailsorotherwiseby a routecausingtheleastdamage and
inconveniencetotheGRANTOR(S)inorderto surveyand establishtherouteand locationofthe
easement and thepipelineand to:
(1)Construct,operate,patrol,repair,substitute,remove,enlarge,replace,and maintainthe
pipeline,services,connections,accessoriesand appurtenances;
(2)Trim,remove,destroy,or otherwisecontrolany treesand brush insideoroutsidethe
boundariesofthe easement which may,intheopinionoftheGRANTEE,interfereor
threatentointerferewithor be hazardoustotheconstruction,operationand maintenance
of thepipeline;
(3)Grade thelandsubjecttothiseasement and extendthecutsand fillsofthisgradinginto
and on thelandadjacenttothatwhich issubjecttothiseasementtothe extentGRANTEE
may findreasonablynecessary;and
(4)Support thepipelineacrossravinesand water courseswith structureswhich GRANTEE
deems necessary.
THE GRANTEE AGREES:
(1)That,inconnectionwith theconstruction,operating,patrolling,repairing,substituting,
removing,enlarging,replacing,and maintainingof saidSewer &Water pipeline,itwill
repairor replace,atitssoleexpense,orpay toGRANTOR(S)thereasonablevalueofany
damages togrowing crops,existingfences,ditchesand otherappurtenancesof saidland
thatmay be disturbedby itsoperation.
(2)That,duringoperationsinvolvingexcavation,itwillremove thetopsoilfrom thetrenched
areato a depth of one foot,or tothefulldepth ofthetopsoil,whichever isless,and
stockpilesaidtop soilforreplacementover thetrench.Itwillremove from thesiteany

largerocksor surplusexcavatingmaterialorany debristhatmay have been exposed by
theexcavationand remainsafterbackfillingiscompleted.And,itwillleavethefinished
surfaceinsubstantiallythesame conditionasexistedpriorto thebeginningofoperations
exceptthatthesurfaceof backfilledareasmay be mounded sufficientlytopreventthe
formationof depressionsafterfinalsettlementhas takenplace.
THE GRANTOR(S)AGREES:
(1)At no time willtheybuild,construct,erector maintainany permanent structurewithinthe
boundariesof saideasement withoutthepriorwrittenconsentof GRANTEE.
(2)At no time willtheymodify thefinishedgradeofthelandover thepipelineby removal of
existingsoilor by placementof fillmaterialwithintheboundariesof saideasement
withoutthepriorwrittenconsentoftheGRANTEE.
(3)That where thesubjectimprovements arenot locatedunder improved publicorprivate
streetsor otherprovidedaccess,a 12 footwide all-weatheraccessroad may be
constructedwithintheeasement where attheCity'sdiscretionsuch accessisrequiredfor
operationand maintenancepurposes.
(4)The GRANTOR(S)warrantsthattheyarelawfullyseizedand possessedof thereal
propertydescribedabove,thattheyhave a lawfulrighttoconvey theproperty,orany part
of it,and thatthey willforeverdefend thetitletothispropertyagainsttheclaimsof all
persons.
(5)The GRANTEE may peaceablyholdand enjoytherightsand privilegeshereingranted
withoutany interruptionby theGRANTOR(S).The terms,covenantsand provisionsof
thiseasement and agreement shallextendtoand be bindingupon theheirs,executors,
administrators,personalrepresentatives,successorsand assignsofthepartieshereto.
