ThisgrantincludestherightoftheGRANTEE,itssuccessors,permittees,licensees,and assignstheiragentsandemployees,toenteratalltimesupontheabove-describedlandbyusing existingroadsortrailsorotherwisebyaroutecausingtheleastdamageandinconveniencetothe GRANTOR inordertosurveyandestablishtherouteandlocationoftheeasementandthe pipelineandto: (1)Construct,operate,patrol,repair,substitute,remove,enlarge,replace,andmaintainthe pipeline,services,connections,accessoriesandappurtenances; (2)Trim,remove,destroy,orotherwisecontrolanytreesandbrushinsideoroutsidethe boundariesoftheeasementwhichmay,intheopinionoftheGRANTEE,interfereor threatentointerferewithorbehazardoustotheconstruction,operationandmaintenance ofthepipeline; (3)Gradethelandsubjecttothiseasementandextendthecutsandfillsofthisgradinginto andonthelandadjacenttothatwhichissubjecttothiseasementtotheextentGRANTEE may findreasonablynecessary;and (4)SupportthepipelineacrossravinesandwatercourseswithstructureswhichGRANTEE deemsnecessary. THE GRANTEE AGREES: (])That,inconnectionwiththeconstruction,operating,patrolling,repairing,substituting, removing,enlarging,replacing,andmaintainingofsaidwaterpipeline(s),itwillrepairor replace,atitssoleexpense,orpaytoGRANTOR thereasonablevalueofanydamagesto growingcrops,existingfences,ditchesandotherappurtenancesofsaidlandthatmay be disturbedbyitsoperation. (2)That,duringoperationsinvolvingexcavation,itwillremovethetopsoilfromthetrenched areatoadepthofonefoot,ortothefulldepthofthetopsoil,whicheverisless,and stockpilesaidtopsoilforreplacementoverthetrench.Itwillremovefromthesiteany largerocksorsurplusexcavatingmaterialoranydebristhatmay havebeenexposedby theexcavationandremainsafterbackfillingiscompleted.And,itwillleavethefinished surfaceinsubstantiallythesameconditionasexistedpriortothebeginningofoperations exceptthatthesurfaceofbacktilledareasmay bemoundedsufficientlytopreventthe formationofdepressionsafterfmalsettlementhastakenplace. THE GRANTOR AGREES- (1)Atnotimewilltheybuild,construct,erectormaintainanypermanentstructurewithinthe boundariesofsaideasementwithoutthepriorwrittenconsentofGRANTEE. (2)Atnotimewilltheymodifythefinishedgradeofthelandoverthepipelinebyremovalof existingsoilorbyplacementoffillmaterialwithintheboundariesofsaideasement withoutthepriorwrittenconsentoftheGRANTEE. (3)Thatwherethesubjectimprovementsarenotlocatedunderimprovedpublicorprivate streetsorotherprovidedaccess,a12footwideall-weatheraccessroadmay be constructedwithintheeasementwhereattheCity'sdiscretionsuchaccessisrequiredfor operationandmaintenancepurposes. (4)TheGRANTOR(S)warrantsthattheyarelawfullyseizedandpossessedofthereal propertydescribedabove,thattheyhavealawfulrighttoconveytheproperty,oranypart ofit,andthattheywillforeverdefendthetitletothispropertyagainsttheclaimsofall persons.
