AGREEMENT REGARDING PRESSURE IN
NELSON MEADOWS SUBDIVISION
This AGREEMENT ismade and enteredintothis20 day of v£cu /51 L -.,
2022,by and between NELSON MEADOWS PROPERTY OWNERS ASSOCIATION,INC.,a
Montana non-profitcorporationwith addressof 701 Gold Ave.,Bozeman MT 59715 ("Nelson
Meadows")and theCITY OF BOZEMAN,organizedand existingunder itsCharterand thelaws
of the Stateof Montana,121 North Rouse Street,Bozeman,Montana,with a mailingaddressof
PO Box 1230,Bozeman,MT 59771-1230 ("City").
WHEREAS,Nelson Meadows requeststhe City deviatefrom itsstandard practices
regardingwater pressurethroughout the City'sdistributionsystem for the benefitof Nelson
Meadows and allpropertyowners withintheNelson Meadows Subdivision(the"Subdivision")by
allowingfortheincreaseinwater pressureintheCity'sNorthwest 3 PressureZone beyond what
the Citywould otherwiseauthorizepursuanttotheCity'sexistingWater FacilityPlan;and
WHEREAS,theSubdivisionislocatedintheSE I/4ofSection22 and theNEl/4 ofsection
27,TIS,R5E,CityofBozeman,GallatinCounty Montana;and
WHEREAS,as partof thisAgreement,and subjecttotheconditionssetforthherein,the
Cityconsentstomodify thepressureinthewaterdistributionmains fortheNorthwest 3 Pressure
Zone toprovidepressureof approximately110 pounds per squarcinch(PSI).
NOW,THEREFORE,inconsiderationof themutual covenantsand conditionscontained
herein,itisherebyagreedas follows:
L RECITALS
The recitalssetforthabove areincorporatedasiffullysetforthherein.
2.AGREEMENT
The Cityagreestoincreasethedistributionsystem pressuresettingsfortheNorthwest 3
pressurezone,inwhich Nelson Meadows resides,toa staticwaterpressureof approximately110
PSI upon theexecutionofthisAgreement and fulfillmentof allconditionsstatedinthis
Agreement,exceptasprovided forinsection3.cand 3.d.The Citymay,afterincreasingthe
NelsonMeadows PSIAgreement 1
pressureintheNorthwest 3 PressureZone,incorporatetheterms ofthisAgreement as itdeems
necessarytodocument and updatetheCity'sWater FacilityPlan.Nelson Meadows shallabide
by allterms,conditions,and obligationsof thisAgreement and any futurerequirementsofthe
Cityas well as acknowledged by executionthesame.
3.CONDITIONS OF AGREEMENT
a.ExtensionofWarrantyPeriod.Nelson Meadows must and herebydoeswarrantand
agreesto extendthewarrantyperiodforallexistingpublicwater infrastructurelocatedwithinthe
Subdivisionforan additionalperiodof two (2)yearsfrom thedatethe City increasesthe water
pressure.To thatextentnecessaryto ensuretheenforcementby theCityof saidwarrantyperiod
extensionregardingthe publicwater infrastructure,the subdivision,the SubdividerBarTimCo
Properties,LLC and itssuccessorSawmill Gulch Properties,LLC,both with addressof701 Gold
Ave.,Bozeman MT 59715 executethisAgreement astotheextensionofthewarrantyperiod.
b.NoticetoOwners.Nelson Meadows must,priortotheCityincreasingthepressure
intheNorthwest 3 PressureZone,notifyallcurrentpropertyowners intheSubdivision,including
any person who may have a contractforpurchase of a parcelin the Subdivision,of Nelson
Meadows'requestand theCity'sconditionalconsent.Nelson Meadows must providetheCitythe
form of noticeand evidence the noticehas been sent.Then noticemust alsoindicateNelson
Meadows and allpropertyowners withintheSubdivisionacknowledge theCitypossessesand is
in exclusivecontrolof futuredeterminationsregardingpressureadjustmentsinthe Northwest 3
PressureZone.
c.Installationof additionalPressure Reducing Valve (PRV).Nelson Meadows
hereby acknowledges the currentand futureuses of lotswithintheSubdivisionareand willbe
industrialinnature.Further,theNelson Meadows acknowledges thatfuturemunicipalgrowth in
thevicinityof Nelson Meadows may not be industrial.As such,futuremunicipalgrowth inthe
vicinityofNelson Meadows may requirewaterpressureof a reducedPSI setting.To facilitatethe
increaseof PSI to the Subdivisionand the unknown natureof futuregrowth,in additionto the
otherprovisionsisthisAgreement,Nelson Meadows hereby agrees,warrantsand covenants,to
pay theCityallcostand expensesforcontracting,purchasing,design,testing,and installingsaid
an additionalPRV.The CitywillcontactNelson Meadows atthetime of installationofthePRV
and invoiceNelson Meadows for the work.Nelson Meadows,or itssuccessorsin interestor
assigns,must pay theCityforthecostsof thePRV within30 days ofbeing invoiced.
d.TechnicalMemorandum.SubsequenttotheCity increasingthedistributionsystem
water pressureintheNorthwest 3 PressureZone,Nelson Meadows must,no laterthanAugust 31,
2023,providetheCitya drafttechnicalmemorandum preparedby aprofessionalengineerlicensed
inthe Stateof Montana documenting thefollowingitems:

A summary of the operationalpressurechange requestin relationto the City's
recommended Water FacilityPlanmasterplanningcriteria,specificallyTable 5.1;
A generaldiscussionon industrialpressuresettings,pressurecriteriaplanning
considerationsaround industrialzoning,and recommendations the City should
considerforfuturemasterplanningpurposes.
Documentation of the existingoperationalPRV controlsettingsfortheNorthwest
3 Zone;
Documentation oftheincreasedoperationalPRV controlsettingsfortheNorthwest
3 zone afterthenew increasedstaticwaterpressurehas stabilized;
Provide (2)two updated fireflow analysistestswithin the Subdivisionin
coordinationwith the City'soperationsstaff.The fireflow testsmust be in
conformance with industrystandardsforfiresuppressionsystem design.The fire
flowtestsmust be completed underCitystaffsupervision.
An exhibitillustratingthenew staticwaterpressuresacrosstheSubdivision.
Upon returnby theCityof comments tothedrafttechnicalmemorandum,Nelson Meadows must
submit a finaltechnicalmemorandum meeting the requirementsof thissectionno laterthan 90
days aftertheCity'sreturnof comments.
4.INDEMNIFICATION
a.To thefullestextentauthorizedby law,Nelson Meadows agreestorelease,defend,
indemnify,and hold harmlesstheCity,itsagents,representatives,employees,and officers
(collectivelyreferredtoforpurposesof thisSectionas theCity)from and againstany and
allclaims,demands,actions,feesand costs(includingattorney'sfeesand the costsand
feesof and expertwitnessand consultants),losses,expenses,liabilities(includingliability
where activityisinherentlyor intrinsicallydangerous)or damages of whatever kind or
natureconnectedtherewithand without limitand withoutregardto the cause or causes
thereofor the negligenceof any partyor partiesthatmay be assertedagainst,recovered
from or sufferedby theCityoccasionedby,growing or arisingout of orresultingfrom or
inany way relatedto:(i)thenegligent,reckless,or intentionalmisconduct oftheNelson
Meadows;(ii)any negligent,reckless,or intentionalmisconduct of any of Nelson
Meadows'agents;or (iii)impacts to privatepropertyinterestsand publicinfrastructure
resultingfrom theincreaseinpressureintheNorthwest 3 PressureZone.
b.Such obligationsshallnotbe construedtonegate,abridge,orreduceotherrightsor
obligationsof indemnity thatwould otherwiseexist.The indemnificationobligationsof
thisSectionmust not be construedto negate,abridge,or reduce any common-law or
statutoryrightsof the City as indemnitee(s)which would otherwise existas to such
indemnitee(s).

c.Nelson Meadows'indemnity under thisSectionshallbe without regardto and
withoutany righttocontributionfrom any insurancemaintainedby City.
d.Should theCitybe requiredtobringan actionagainsttheNelson Meadows toassert
itsrightto defenseor indemnificationunder thisAgreement or under Nelson Meadows'
applicableinsurancepoliciesthe City shallbe entitledto recoverreasonablecostsand
attorneyfeesincurredinassertingitsrighttoindemnificationordefensebutonly ifa court
of competent jurisdictiondeterminesthe Nelson Meadows was obligatedto defend the
claim(s)or was obligatedto indemnifytheCityfora claim(s)or any portion(s)thereof.
e.In the eventof an actionfiledagainstCity resultingfrom theCity'sperformance
under thisAgreement,theCityrnayelecttorepresentitselfand incurallcostsand expenses
ofsuit.
f.Nelson Meadows alsowaives any and allclaims and recourseagainstthe City,
includingtherightof contributionforlossor damage toperson or propertyarisingfrom,
growing out of,or in any way connected with or incidentto the performance of this
Agreement except"responsibilityfor[City's]own fraud,forwillfulinjurytothepersonor
propertyof another,orforviolationof law,whether willfulornegligent"asper28-2-702,
MCA.
g.These obligationsshallsurviveterminationofthisAgreement.
5.ATTORNEYFEESANDCOSTS
In the eventitbecomes necessaryforeitherPartyto retainan attorneytoenforceany of
thetermsorconditionsof thisAgreement ortogiveany noticerequiredherein,thentheprevailing
Partyor thePartygivingnoticeshallbe entitledtoreasonableattorney'sfeesand costs,including
fees,salary,and costsofin-housecounselincludingtheCityAttorney'sOfficestaff.
6.GOVERNING LAW
This Agreement shallbe construedaccordingto thelaws of theStateof Montana.In the
event of litigationconcerningthisAgreement,venue isinthe EighteenthJudicialDistrictCourt,
GallatinCounty,Stateof Montana.
7.MODIFICATION OR ALTERATIONS
No modificationsor amendment of thisAgreement shallbe valid,unlessevidencedby a
writingsignedby thepartieshereto.

8.INVALID PROVISION
The invalidityor unenforceabilityof any provisionof thisAgreement shallnot affectthe
otherprovisionshereof,and thisAgreement shallbe construedinallrespectsas ifsuchinvalidor
unenforceableprovisionwere omitted.
9.NO ASSIGNMENT
ItisexpresslyagreedthatNelson Meadows shallnotassignthisAgreement inwhole,orin
part,withoutpriorwrittenconsenttoCity.
10.SUCCESSORS
Except asprovidedinparagraphNine (9),thisAgreement shallbe bindingupon,ensureto
thebenefitof,and be enforceableby thepartiesheretoand theirrespectiveheirs,successorsand
assigns.
11.COUNTERPARTS
To facilitateexecution of this Agreement,the partiesmay execute and exchange
counterpartsof signaturepages by facsimileorviae-mailby .pdf(orsimilarformat),and any such
facsimile/e-mailcounterpartsignaturesare binding on the partyprovidingsame and may be
combined toform one complete document.
12.NO THIRD-PARTY BENEFICIARY
This Agreement isfortheexclusivebenefitoftheparties,does notconstituteathird-party
beneficiaryagreement,and may notbe reliedupon or enforcedby a thirdparty.
13.REPRESENTATIVES AND NOTICES
a.City's Representative:The City's Representativefor the purpose of this
Agreement shallbe NicholasRoss,Directorof Transportationand Engineering,or such
otherindividualas City shalldesignatein writing.Whenever approvalor authorization
from or communication or submission to City is requiredby thisAgreement,such
communication or submissionshallbe directedtotheCity'sRepresentativeand approvals
or authorizationsshallbe issuedonly by such Representative;provided,however,thatin
exigentcircumstanceswhen City'sRepresentativeisnot available,Nelson Meadows may
directitscommunication or submissionto otherdesignatedCitypersonnelor agentsand
may receiveapprovalsor authorizationfrom such persons.
b.Nelson Meadow's Representative:Nelson Meadows'Representativefor the
purpose of thisAgreement shallbe Kent Merselisor such other individualas Nelson
Meadows shalldesignatein writing.Whenever directionto or communication with
Contractoris requiredby thisAgreement,such directionor communication shallbe

directedto Nelson Meadows'Representative;provided,however,that in exigent
circumstanceswhen Nelson Meadows'Representativeisnotavailable,Citymay directits
directionorcommunication tootherdesignatedNelson Meadows personnelor agents.
c.Notices:Allnoticesrequiredby thisAgreement shallbe inwritingand shall
be providedtotheRepresentativesnamed in thisSection.Noticesshallbe deemed given
when delivered,ifdeliveredby courierto Party'saddressshown above during normal
businesshours of the recipient;or when sent,ifsentby email or fax (witha successful
transmissionreport)to the email address or fax number provided by the Party's
Representative;or on thefifthbusinessday followingmailing,ifmailed by ordinarymail
totheaddressshown above,postageprepaid.
14.NONDISCRIMINATION AND EQUAL PAY
Nelson Meadows agreesthatallhiringby Nelson Meadows of personsperformingwork
under thisAgreement shallbe on thebasisofmeritand qualifications.Nelson Meadows willhave
a policyto provideequal employment opportunityin accordance with allapplicablestateand
federalanti-discriminationlaws,regulations,and contracts.Nelson Meadows willnot refuse
employment to a person,bar a person from employment,or discriminateagainsta person in
compensation or ina term,condition,or privilegeof employment becauseofrace,color,religion,
creed,politicalideas,sex,age,marital status,nationalorigin,actualor perceived sexual
orientation,gender identity,physicalor mental disability,exceptwhen thereasonabledemands of
thepositionrequirean age,physicalor mentaldisability,maritalstatusorsex distinction.Nelson
Meadows shallbe subjectto and comply with TitleVI of the CivilRightsAct of 1964;Section
140,Title2,UnitedStatesCode,and allregulationspromulgated thereunder.
Nelson Meadows representsitis,and fortheterm ofthisAgreement willbe,incompliance
with therequirementsof theEqual Pay Act of 1963 and Section39-3-104,MCA (theMontana
Equal Pay Act).Nelson Meadows must reporttotheCityany violationsoftheMontana Equal Pay
Act thatNelson Meadows has been found guiltyof within60 days of such findingforviolations
occurringduringtheterm ofthisAgreement.
Nelson Meadows shallrequire these nondiscriminationterms of its subcontractors
providingservicesunder thisAgreement.
15.DISPUTE RESOLUTION
a.Any claim,controversy,or disputebetween the parties,theiragents,
employees,or representativesshallbe resolvedfirstby negotiationbetween senior-level
personnelfrom each partydulyauthorizedtoexecutesettlementagreements.Upon mutual

agreement of theparties,thepartiesmay invitean independent,disinterestedmediatorto
assistinthenegotiatedsettlementdiscussions.
b.Ifthe partiesareunabletoresolvethedisputewithinthirty(30)days from
the date the disputewas firstraised,then such disputeshallbe resolvedin a courtof
competent jurisdictionin compliance with the Governing Law provisionsof this
Agreement.
