ANNEXATION AGREEMENT
THIS ANNEXATION AGREEMENT,hereinafter"Agreement,"ismade and entered
intothis2 day of ÔÓhh(',2022,by and between the CITY OF BOZEMAN,
a self-governingmunicipal corporationorganized and existingunder itsCharter and the laws of
the State of Montana with officesat 121 N.Rouse Avenue,Bozeman,Montana 59771-0640,
hereinafterreferredto as "City",and Edward Dratz &Constance B.Dratz,144 SirArthur Drive,
Bozeman MT 59718,hereinafterreferredto as "Landowner".The City and Landowner are
collectivelyreferredto hereinafteras "theparties."

WHEREAS,Landowner is owner in fee of a tractof certainrealproperty,hereinafter
referredto as the YELLOWSTONE MONTESSORI ACADEMY ANNEXATION situatedin
GallatinCounty,Montana,and more particularlydescribedas follows:
An area of land comprised describedas follows:
That partof Tract 11,BEATTY'S SUBDIVISION,[PlatE-26],accordingtothe plat
thereof,on fileand of record inthe officeof the Clerk and Recorder,GallatinCounty,
Yellowstone Montessori Academy Annexation Agreement,Application#22121
Montana,as describedinDocument No.2535497,and thatpartof adjacentKagy
Boulevard lyingnorth of the centerline,and locatedinthe Southwest Quarterof Section
13,Township 2 South,Range 5 East of P.M.M Said propertyisfurtherdescribedas
follows:
Beginning at thenortheastcornerof saidpartof Tract 11;thence southerly181°25'29",
assumed azimuth from north,264.72 feetalong the eastlineof saidpartof Tract 11 and
itssoutherlyextensiontothe centerlineof Kagy Boulevard;thence westerly270°57'21"

WHEREAS,theLandowner petitionedthe City forannexationtothe City of the
YELLOWSTONE MONTESSORI ACADEMY ANNEXATION;and
WHEREAS,theYELLOWSTONE MONTESSORI ACADEMY ANNEXATION isnot
within the corporatelimitsof the City or othermunicipalityand may thereforebe annexed to the
City in accordance with the provisionsof thisAgreement and Title7,Chapter 2,Part46,Mont.
Code Ann.;and
WHEREAS,the parties recognize the annexation of the YELLOWSTONE
MONTESSORI ACADEMY ANNEXATION pursuantto Section 7-2-4601,et seq.,Mont.Code
Ann.willallow the YELLOWSTONE MONTESSORI ACADEMY ANNEXATION to connect
toand utilizeCity services,includingmunicipal water and sewer service,parks and recreation,fire
and policeservices,and the City'stransportationsystem;and
WHEREAS,Section7-2-4610,Mont.Code Ann.providesthata municipalityand
landowner can agree tothe provisionsof servicesto the areato be annexed;and

WHEREAS,thepartiesrecognizedevelopment on the YELLOWSTONE MONTESSORI
ACADEMY ANNEXATION willimpact area parks,recreation,transportation,police,and fire
services,and that future development may require additionalpublic infrastructure,including
transportation,capacityformunicipal water and sewer services,parks,recreation,police,and fire
services;and
WHEREAS,the Landowner findsthisAgreement willprovide for the most satisfactory
and dependable water supply and sewer supply or service,and provide transportation,parks,
recreation,police and fireservice for development of the YELLOWSTONE MONTESSORI
ACADEMY ANNEXATION;and
WHEREAS,the partieshave determined that itis in the best interestsof the City and
Landowner,and infurtheranceof the publichealth,safetyand welfareof thecommunity to enter
intoand implement thisAgreement.
IN CONSIDERATION of the mutual covenants and agreements herein contained,the
partiesheretoagree as follows:
1.Recitals
The above recitalsare trueand correctand are hereby incorporatedintothisAgreement.
2.Annexation
The Landowner filed an application for annexation of the YELLOWSTONE
MONTESSORI ACADEMY ANNEXATION with the City on March 24,2022.By executionof
thisAgreement,the City manifests itsintentto annex the YELLOWSTONE MONTESSORI
ACADEMY ANNEXATION tractpursuant to the terms and conditionsof this Agreement.
Subject to the provisionsof Title7,Chapter 2,Part 46,Mont.Code Ann.the City shall,upon
execution of this Agreement,adopt a Resolution of Annexation of the YELLOWSTONE

MONTESSORI ACADEMY ANNEXATION.Further,upon the execution of thisAgreement,
the Landowner shalldo allthingsrequiredby thisAgreement and allthingsnecessaryand proper
to aid and assistthe City in carryingout the terms,conditionsand provisionsof thisAgreement
and to effect the annexation of the YELLOWSTONE MONTESSORI ACADEMY
ANNEXATION.
3.ServicesProvided
The City will,upon annexation,make availableto the YELLOWSTONE MONTESSORI
ACADEMY ANNEXATION existingCity servicesonly to the extentcurrentlyavailable,or as
provided inthisAgreement.
4.Municipal Water Service Defmed
The term "municipalwater service"asused inthisagreement istheservicesuppliedby the
City in accordance with Chapter 40,Article2,Bozeman Municipal Code,as amended,as well as
any otherterms and conditionswhich apply to the City'sprovisionof municipal water service,but
does not includethe extensionof linesor constructionof necessary improvements atany costto
the City fordeliveryof water to and within the YELLOWSTONE MONTESSORI ACADEMY
ANNEXATION.Nothing in thisAgreement shallobligatethe City to pay for right-of-way
acquisition,engineering,construction,and other costsfor the deliveryof water to or within the
YELLOWSTONE MONTESSORI ACADEMY ANNEXATION including,but not limitedto,
any impact fees,hook-up,connection,or development charges which have been or may be
establishedby theCity.
5.Municipal Sewer Service Defined
The term "municipal sewer service"as used in thisAgreement isthe servicesuppliedby
the City inaccordance with Chapter 40,Article3,Bozeman Municipal Code,as amended,as well

as any otherterms and conditionswhich apply to the City'sprovisionof thisservice,but does not
includethe extensionof linesor constructionof necessaryimprovements atany costto the City
for collectionof sewage at and within the YELLOWSTONE MONTESSORI ACADEMY
ANNEXATION.Nothing in this Agreement shall obligatethe City to pay for right-of-way
acquisition,engineering,construction,and othercostsforthe collectionof sewage servicesto or
within the YELLOWSTONE MONTESSORI ACADEMY ANNEXATION including,but not
limitedto,any impact fees,hookup,connection,ordevelopment chargeswhich may be established
by the City.
6.Water Rights
The Landowner specificallyrecognizes and agrees the Landowner must provide water
rightsor cash in-lieuof water rightsupon furtherdevelopment or subdivisionof the property in
accordance with Section 38.410.130,Bozeman Municipal Code.The City will calculatethe
amount ofwater rightsorcash-in-lieuthereofdue atthetime of furtherdevelopment or subdivision
of the property based on the annual demand for volume of water the development willrequire
multipliedby themost currentannual unitpriceineffecton thedatethewater rightsaretransferred
or payment in-lieuofwater rightsistobe made totheCity.As such,theLandowner acknowledges
thatthe ratesforcash in-lieuof water rightsmay increaseover time as establishedby Resolution
of the City Commission.The applicantmust perform a waterrightssearchtodetermineifany exist
forthisproperty.The Landowner must transferany usefulwater rightsthe City requiresforthis
property to the City of Bozeman priorto development.If insufficientwater rightsexist,the
Landowner must pay cash in-lieuof water rights,in an amount determined by the Directorof
Utilities,priorto development.
6.Water and Sewer Connections

Landowner understands and agrees thatwater and sewer servicesmust be constructedin
accordance with design and specificationsapproved by the City priorto the installationof the
water and sewer lines.Landowner must contacttheCityWater and Sewer Divisiontoobtaindetails
of constructionrequirements.Landowner must notifythe City Water and Sewer Superintendenta
minimum of 48 hours priortoconstructionof the servicesand disconnectionof thewelland septic
system abandonment.
Landowner furtherunderstands and agreesthatpriorto connection to the City water and
sewer system,the existingon-sitesewage treatment system must be properly abandoned and
certificationprovided to the City Water and Sewer Divisionthatthe abandonment occurred.The
Landowner must report the abandonment to the GallatinCity County Health Department.In
additionto abandonment of the septictank and leach field,the applicantmust demonstratethatthe
sanitarysewer linefrom thehouse to the septictank has been completely disconnectedfrom the
existingsepticsystem priorto the Landowner connecting the sanitarysewer linecoming fromthe
house tothe City sanitarysewer system.
Any wells presentlyused for domestic purposes may be retainedfor irrigationonly,with no
physicalconnection to domestic water piping.Certificationthatthereisno physicalconnection
between an on-sitewell and the domestic water linecoming from the City'swater supply to the
house must be provided.The City Water and Sewer Division may perform an inspectionof the
propertyto confirm thatthedisconnectionof thewell and septicsystem abandonment areproperly
completed.Landowner understands and agrees thatifLandowner failsto properlyabandon the
existingsepticsystem or failsto disconnectthe existingwell from the domestic water piping as
requiredherein,the City may,upon ten day's writtennoticeto the Landowner,terminatewater
and/orsewer servicesto the property.The costof alldisconnectsand subsequent reconnectsshall

be borne by Landowner.
7.Comprehensive Water and Water Design Report
Priorto futuredevelopment of the propertythe City may requirethe Landowner to have
prepared by a ProfessionalEngineer,atLandowner's soleexpense,a comprehensive designreport
evaluatingexistingcapacity of sewer and water utilitiesin the area.The reportmust include
hydraulic evaluationsof each utilityfor both existingand post-development demands,and the
reportfindingsmust demonstrate adequate capacityto serve the fulldevelopment of the land.If
adequate infrastructurecapacity is not availablefor the proposed development,the reportmust
identifywater or wastewater system improvements necessary for the proposed development.If
improvements to thiswater or wastewater system are necessary,the Landowner agrees priorto
development oftheYELLOWSTONE MONTESSORI ACADEMY ANNEXATION tocomplete,
atLandowner's expense,the necessary system improvements to servetheproposed development.
8.Future Development Limitations
The Landowner shallbe responsiblefor installingallfacilitiesrequiredto provide full
municipal servicesto the propertyin accordance with the City'sInfrastructureMaster Plans and
all City regulations,policiesand guidelinesthatmay be in effectat the time of any future
development.Landowner understands and agrees Landowner has no right,eithergranted or
implied,for itto furtherdevelop any of the YELLOWSTONE MONTESSORI ACADEMY
ANNEXATION untilitisverifiedby theCitythatthenecessarymunicipal services,includingbut
not limitedtopoliceand fireprotection,parks and recreation,transportation,and sewer and water
capacity,are availableto allor the relevantportion of the YELLOWSTONE MONTESSORI
ACADEMY ANNEXATION to serve the proposed development.Notice ishereby provided to
the Landowner thatpriorto additionaldevelopment of the property,the Landowner willbe solely

responsibleforinstalling,atLandowner's soleexpense,any facilitiesor infrastructurerequiredto
provide full municipal services to the YELLOWSTONE MONTESSORI ACADEMY
ANNEXATION in accordance with the City's infrastructureplans,adopted Growth
Policies/Community Plans,and allother cityregulations,policiesand guidelinesthatmay be in
effectatthe time of development.
9.Stormwater Master Plan
Landowner understands and agrees a Stormwater Master Plan forthe YELLOWSTONE
MONTESSORI ACADEMY ANNEXATION fora system designedtoremove solids,oils,grease,
and otherpollutantsfrom the runoff from public streetsand otherimpermeable surfacesmay be
required to be provided to and approved by the City Engineer at the time of any future
development.The plan must demonstrate thatadequate treatmentof runoff from public streets,
otherimpermeable surfaces,and allfuturelotswillbe achieved by providing spotelevations,flow
directionarrows,detentionand/orretentionbasin details(includingbasin sizingcalculationsand
basin typicalsections),outletstructuredetails,and culvertcapacitycalculations.The plan must
also locate and provide easements for adequate drainage ways within the YELLOWSTONE
MONTESSORI ACADEMY ANNEXATION to transporttreatedrunoff to the stormwater
receiving channel.The plan shall include site grading and elevation information,typical
stormwater detention/retentionbasin and dischargestructuredetails,basinsizingcalculations,and
stormwater maintenance plan.Landowner recognizes the City may require such Stormwater
Master Plan to be implemented intotalor inpartas a conditionof approval of development of the
YELLOWSTONE MONTESSORI ACADEMY ANNEXATION.
10.Waiver of Right-to-ProtestSpecialDistricts

A.Landowner shallexecute a Waiver of Right to Protestthe Creation of Special
Districtsor SpecialImprovement Districts(SID)forinfrastructureimprovements to streetsand
transportationsystems includingdesign and engineering,paving and subsurfaceimprovements,
curb and gutter,sidewalk and stormwater drainage facilities,and fiberoptic conduit for Kagy
Boulevard between S.19thAvenue and S.lithAvenue;and signalizationimprovements forthe
followingintersections:a)S.19thAvenue and Kagy Blvd;b)S.11*Avenue and Kagy Blvd as set
forthin Exhibit "A".The Landowner agrees such SID willprovide a mechanism forthe fairand
equitableassessment of constructionand maintenance costsfor such improvements.The waiver
is attached hereto as Exhibit "A"and is hereby incorporatedinto and made a part of this
Agreement.
B.Landowner agreesthatinthe event a specialdistrictoran SID isnotutilizedforthe
completion of these improvements as described in subsectionA above,the Landowner shall
participatein an alternativefinancingmethod for the completion of the improvements on a fair
share,proportionatebasisas determined by the City on thebasisof thesquarefootageof property,
taxable valuationof the property,trafficcontributionfrom the development or a combination
thereof.
C.Landowner understands and agrees thatthe City willchoose creationof a SID or
specialdistrictoran alternativefinancingmethod forthecompletion oftheimprovements and may
use eitherfinancingoptionatany time.
10.Payback Districts
The YELLOWSTONE MONTESSORI ACADEMY ANNEXATION isnot withinany
payback districts.
11.Public Streetand UtilityEasement

The Landowner understands and agrees thata public streetand utilityeasement must be
provided for Kagy Blvd to provide 60 feetof rightof way north of the centerlineof Kagy Blvd
across the fullwidth of allpropertiesowned by Landowner and adjacent to Kagy Blvd.The
Landowner,atitssoleexpense,has createdsuch an easement in a locationand form agreeableto
the City and the easement willbe filedatthe GallatinCounty Clerk and Recorder's Office.The
Landowner furtherunderstands and agreesthatadditionalpublicstreetand utilityeasements may
be required fordeliveryof municipal serviceswith futuredevelopment and such easement shall
be provided atthe Landowner's soleexpense.
12.StreetImprovements
The Landowner understandsand agreesthatatthetime of futuredevelopment theportion
of Kagy Boulevard and itsrelatedtransportationinfrastructurefrontingthe YELLOWSTONE
MONTESSORI ACADEMY ANNEXATION thispropertymust be improved to a City standard
atLandowner's expense.
13.Impact Fees
Landowner acknowledges thatannexation and development of theirpropertywillimpact
the City'sexistingstreet,water and sewer infrastructure,and theCity'sfireservice.As approved
by the City,the Landowner and itssuccessorsmust pay:
A)Fireimpact feesequal tothe amount per Chpt.2,Art.6.Div.9 BMC,or as
amended,attime of issuanceof a buildingpermit.
B)Transportationimpact feesequal totheamount per Chpt.2,Art.6.Div.9 BMC,
or as amended,attime of issuanceof a buildingpermit.
C)Water impact feesas requiredby Chpt.2,Art.6.Div.9 BMC,or as amended,at
the time of connection to citywater services.
D)Sewer impact feesas requiredby Chpt.2,Art.6.Div.9 BMC,or as amended,at
thetime of connection to citysewer services.

Landowner furtherunderstands and agrees thatany improvements,eitheron-siteor off-
site,necessary to provide connection of the YELLOWSTONE MONTESSORI ACADEMY
ANNEXATION municipal services and which are wholly attributableto the property as
determined exclusivelyby the City are considered "projectrelatedimprovements"as defined in
Chapter 2,Article6,Division 9,Bozeman Municipal Code,as amended,and as such,are not
eligibleforimpact fee credits.
IfLandowner failsto pay requiredimpact feeswithin thirty(30)days afterwrittennotice
by City tothe Landowner,the City may,atitsoption:
A)Declare the amounts owing for impact fees immediately due and payable
and City shallhave the right and privilegeto take legal action against
Landowners for the collectionof such sum,including the entry of any
judgment.In addition,the City may,atitsoption,enforcepayment of such
amount by levyingan assessment on the property.
B)Elect any other remedy availableto City under the laws of the Stateof
Montana.
14.Assessments
Landowner understands and agreesthatafterthisAgreement isrecorded the
YELLOWSTONE MONTESSORI ACADEMY ANNEXATION willbe subjectto City
assessments forarterialand collectorstreets,streetmaintenance,and treemaintenance on the
same basisas allotherpropertiesin the City.
15.Additional Terms
The partiesrecognizethesedocuments must be filedand ofrecordwith the GallatinCounty
Clerk and Recorder priorto the saleof any land within the YELLOWSTONE MONTESSORI

ACADEMY ANNEXATION.The partiesfurtheragreethatthe City may filethesedocuments at
any time.
16.Governing Law and Venue
This agreement shallbe construedunder and governed by the laws oftheStateof Montana.
In the event of litigation,venue isin the Eighteenth JudicialDistrictCourt,in and forCounty of
Gallatin,Stateof Montana.
17.Attorney's Fees
In the event itbecomes necessary for eitherparty to thisAgreement to retainan attorney
to enforce any of theterms or conditionsof thisAgreement or togive any noticerequiredherein,
then the prevailingpartyor the party givingnoticeshallbe entitledto reasonableattorney'sfees
and costs,includingfees,salaryand costsofin-housecounsel includingtheCityAttorney'sOffice
staff.
18.Waiver
A waiver by eitherpartyof any defaultorbreach by theotherpartyof any term or condition
of thisAgreement does not limitthe otherparty'srightto enforce such term or conditionor to
pursue any availablelegalor equitablerightsin the event of any subsequent defaultorbreach.No
covenant,term or agreement shallbe deemed waived by eitherpartyunlesswaived inwriting.
19.Invalid Provision
The invalidityor unenforceabilityof any provisionof thisagreement shallnot affectthe
otherprovisionshereof,and thisAgreement shallbe construedinallrespectsas ifsuch invalidor
unenforceableprovisionwere omitted.

20.Modifications or Alterations
No modificationsor amendment of thisAgreement arevalidunlessevidenced by a writing
signed by thepartieshereto.
21.No Assignment
Itis expresslyagreed thatthe Landowner shallnot assignthisAgreement in whole or in
partwithout priorwrittenconsent of the City.
22.Successors
This Agreement shallbe binding upon,inureto the benefitof and be enforceableby the
partiesheretoand theirrespectiveheirs,successorsand assignsand specificallytoany subsequent
purchaser of the annexed property.
23.Covenants to Run with the Land
The partiesintendthatthe terms of thisAgreement shallbenefitthe YELLOWSTONE
MONTESSORI ACADEMY ANNEXATION and shallbe covenants running with the land and
shallnot expireattheirdeaths or upon transferof ownership of theproperty.
The undersigned affirmsthatthey have authorityto enterintothisAgreement and to bind
Landowner tothisAgreement.

has waived and does hereby waive for itself,itssuccessorsand assignsforeverthe rightto protestthe
creationof one or more specialdistrictsor specialimprovement districtsforthedesign and engineering,
constructionand maintenance of following improvements:lighting,paving and subgrade material,
fiberoptic conduit,curb/gutter,sidewalk,trafficcontrol,and storm drainage facilitiesfor:

Landowner agrees the City has the sole rightto controlthe design and constructionof such
improvements and may include any of the above components and othersnecessary to ensure such
improvements comply with all adopted City infrastructureplans and requirements.Further,the
Landowner waives itsrightor to make any writtenprotestagainstthe sizeor area or creationof the
districtto be createdin response to a duly passed resolutionof intentionto createone or more special
improvement districtswhich would includethe above-describedproperty.
In the event a specialdistrictor specialimprovement districtisnot utilizedforthe completion of
these improvements,the developer agrees to participatein an alternatefinancing method for the
completion of the improvements on a fairshare,proportionatebasisas determined by the City on the
basisof the square footage of property,taxablevaluationof the property,trafficcontributionfrom the
development or a combination thereof.Landowner understands and agrees thatthe City willchoose
creationof a SID or specialdistrictor an alternativefinancing method for the completion of the
improvements and may use eitherfinancingoption atany time.
This waiver ismade forthe benefitof the property describedhereinshallbe a covenant running
with the land.
The terms,covenants and provisionsof thiswaiver shallextend to,and be binding upon the
