WEST UNIVERSITY PROPERTIES
ANNEXATION AGREEMENT
THIS AGREEMENT made and enteredintothis 15 day of Al0VCrrlbu ,2022,
by and between the CITY OF BOZEMAN,a self-governingmunicipal corporationorganized and
existingunder itsCharterand the laws of the Stateof Montana with officesat 121 N.Rouse Avenue,
Bozeman,Montana 59771-0640,hereinafterreferredtoas "City",and West University,LLC,113 East
Oak Street,Suite4A,Bozeman,MT 59715 hereinafterreferredto as "Landowner".The effectivedate
of thisAgreement shallbe the date upon which the Bozeman City Commission adopts a resolution
creatingthe West UniversityPropertiesand authorizingexecutionof thisAgreement.
WITNESSETH:
WHEREAS,Landowner isowner in fee of a tractof certainrealproperty,hereinafterreferred
to as the WEST UNIVERSITY PROPERTIES ANNEXATION or "Property"situatedin Gallatin
County,Montana,and more particularlydescribedas follows:

A tractof Land encompassing a portionof Lot 2A of Minor SubdivisionNo.191B,excepting
out Lot 1A of Minor Subdivision503 A,locatedwithinthe South EastOne Quarter of Section
14,Town ship2 South,Range 5 East,Principalof Meridian Montana,GallatinCounty,
Montana,and more particularlydescribedas follows:

Said area being 4,166,466 squarefeetor 95.65 acresmore or less,along with and subjectto all
easements of record.
All as depictedon the WEST UNIVERSITY PROPERTIES Annexation Map.
WHEREAS,the Landowner petitionedtheCity forannexation to the City of saidtractof land;
and
WHEREAS,the WEST UNIVERSITY PROPERTIES isnot within the corporatelimitsof the
City or othermunicipalityand may thereforebe annexed to the City in accordance with the provisions
of thisAgreement and Title7,Chapter 2,Part46,Mont.Code Ann.;and
WHEREAS,allpartiesrecognize the annexation of the WEST UNIVERSITY PROPERTIES
pursuant to Section 7-2-4601,et seq.,Mont.Code Ann.will allow the WEST UNIVERSITY
PROPERTIES toconnect toand utilizeCityservices,includingmunicipal water and sewer service,parks
and recreation,fireand policeservices,and the City'stransportationsystem;and
WHEREAS,Section 7-2-4610,Mont.Code Ann.provides thata municipalityand landowner
can agree tothe provisionsof servicestothe areatobe annexed;and

WHEREAS,the parties recognize additionaldevelopment on the WEST UNIVERSITY
PROPERTIES willimpact areaparks,recreation,transportation,police,and fireservices,and thatfuture
improvements may requireadditionalpublicinfrastructurestreetimprovements includingtransportation
fortrafficcirculationand theprovisionsof parks,recreation,police,and fireservices;and
WHEREAS,the Landowner findsthisAgreement willprovide forthe most satisfactoryand
dependable water supply and sewer supply or service,and provide transportation,parks,recreation,
policeand fireservicefordevelopment of the WEST UNIVERSITY PROPERTIES ;and
WHEREAS,thepartieshave determined thatitisinthebestinterestsof theCityand Landowner,
and in furtheranceofthe publichealth,safetyand welfareof thecommunity to enterintoand implement
thisAgreement.
W IT N E S S E T H:
IN CONSIDERATION of the mutual covenants and agreements hereincontained,the parties
heretoagree as follows:
1.Recitals
The above recitalsare trueand correct.
2.Annexation
The Landowner filedan applicationforannexation of the WEST UNIVERSITY PROPERTIES
with the City on November 3,2021.By execution of thisAgreement,the City manifestsitsintentto
annex the WEST UNIVERSITY PROPERTIES tractpursuant to the terms and conditionsof this
Agreement.Subject to the provisionsof Title7,Chapter 2,Part46,Mont.Code Ann.the City shall,
upon execution of thisAgreement,adopt a Resolution of Annexation of the WEST UNIVERSITY
PROPERTIES.Further,upon the execution of thisAgreement,the Landowner shalldo allthings

requiredby thisAgreement and allthingsnecessaryand proper to aid and assisttheCity incarryingout
the terms,conditionsand provisions of thisAgreement and to effectthe annexation of the WEST
UNIVERSITY PROPERTIES.
3.Services Provided
The City will,upon annexation,make availableto the WEST UNIVERSITY PROPERTIES
existingCity servicesonly to theextentcurrentlyavailable,or as provided inthisAgreement.
4.Municipal Water Service Defined
The term "municipal water service"as isused in thisAgreement shallbe the servicewhich is
suppliedby the City inaccordance with Chapter 40,Article2,Bozeman Municipal Code,as amended,
as well as any otherterms and conditionswhich apply to the City'sprovisionof municipal water service
but does not includetheextensionof linesor constructionof necessaryimprovements atany costto the
City for deliveryof water to and within the WEST UNIVERSITY PROPERTIES.Nothing in this
Agreement shallobligatethe City to pay for right-of-wayacquisition,engineering,construction,and
other costsforthe deliveryof water to or within the WEST UNIVERSITY PROPERTIES to include,
but not limitedto,any impact fees,hook-up,connection,or development charges which have been or
may be establishedby theCity.
5.Municipal Sewer Service Defined
The term "municipal sewer service"as isused in thisAgreement shallbe the servicewhich is
suppliedby the City inaccordance with Chapter 40,Article3,Bozeman Municipal Code,as amended,
as well as any otherterms and conditionswhich apply to theCity'sprovisionof thisservicebut does not
includethe extensionof linesor constructionof necessary improvements at any cost to the City for
collectionof sewage atand withinthe WEST UNIVERSITY PROPERTIES.Nothing inthisAgreement
shallobligatethe City to pay forright-of-wayacquisition,engineering,construction,and othercostsfor
WEST UNIVERSITY PROPERTIES AnnexationAgreernent 4
thecollectionof sewage servicesto or withinthe WEST UNIVERSITY PROPERTIES to include,but
not limitedto,any impact fees,hookup,connection,or development charges which may be established
by the City.
6.Water and Sewer Connections
Landowner understands and agrees that water and sewer servicesmust be constructed in
accordance with design and specificationsapproved by theCity priorto the installationof thewater and
sewer lines.Landowner must contacttheCity Water and Sewer Divisiontoobtaindetailsof construction
requirements.Landowner furtherunderstandsand agreesthatpriorto connection totheCity water and
sewer system,any existing on-site sewage treatment system must be properly abandoned and
certificationprovided to the City Water and Sewer Division that the abandonment occurred.The
Landowner must reporttheabandonment totheGallatinCity County Health Department.Inadditionto
abandonment of theseptictank and leach field,the applicantmust demonstrate thatany sanitarysewer
line has been completely disconnected from any existingseptic system prior to the Landowner
connecting the to theCity sanitarysewer system.
Any wells presentlyused for domestic purposes may be retainedfor irrigationonly,with no
physical connection to municipal domestic water piping.Certificationthat there is no physical
connection between any on-sitewell and a domestic water linecoming from the City'swater supply
must be provided.The City Water and Sewer Divisionmay perform an inspectionof the propertyand
certifythat the disconnection of the well and septicsystem abandonment are properly completed.
Landowner understands and agrees that ifLandowner failsto properly abandon any existingseptic
system and/orfailstodisconnectany existingwellfrom thedomestic water pipingas requiredhereinthe
City may upon ten day's writtennoticeto the Landowner terminatewater and/or sewer servicesto the
property.Costs of alldisconnectsand/or subsequent reconnectsshallbe borne by Landowner.

7.Water Rights
The Landowner specificallyrecognizesand agreesthatprovisionsforwater rightsor cash in-lieu
of water rightsshallbe provided upon furtherdevelopment or subdivisionof thepropertyinaccordance
with Section38.410.130,Bozeman Municipal Code and as may be amended.The amount of water rights
or cash-in-lieuthereofdue at the time of furtherdevelopment or subdivisionof the propertywillbe
calculatedbased on the annual demand forvolume of water the development willrequiremultipliedby
themost currentannual unitpriceineffecton thedatethe water rightsaretransferredorpayment-in-lieu
of water rightsisto be made tothe City.As such,the Landowner acknowledges thatthe ratesforcash
in-lieuof water rightsmay increaseover time as establishedby Resolutionof theCityCommission.The
Landowner must perform a water rightssearchtodetermine ifany existforthisproperty.The Landowner
must transferany water rightsthatexistforthispropertyto the City of Bozeman priorto development
thatthe City of Bozeman determines are usefulforcitypurposes.Ifinsufficientwater rightsexist,the
Landowner must pay cash in lieuof water rights,inan amount determined by the Directorof Utilities,
priortodevelopment.
8.Comprehensive Water and Water Design Report
Priortofuturedevelopment of thepropertytheCitymay requirethe Landowner tohave prepared
by a ProfessionalEngineer,at Landowner's sole expense,a comprehensive design reportevaluating
existingcapacityof sewer and water utilitiesinthe area.The reportmust includehydraulicevaluations
of each utilityforboth existingand post-development demands,and thereportfindingsmust demonstrate
adequate capacityto serve the fulldevelopment of the land.Ifadequate infrastructurecapacityisnot
availableforthe proposed development,the reportmust identifynecessarywater or wastewater system
improvements necessary forthe proposed development.Ifimprovements to thiswater or wastewater
system are necessary,the Landowner agrees prior to development of the WEST UNIVERSITY
WEST UNTVERSITY PROPERTIES AnnexationAgreement 6
PROPERTIES to complete,at Landowner's expense,the necessary system improvements to serve the
proposed development.
9.Future Development Limitations
The Landowner shallbe responsibleforinstallingallfacilitiesrequiredtoprovide fullmunicipal
servicestothepropertyinaccordance with theCity'sInfrastructureMaster Plansand allCityregulations,
policiesand guidelinesthatmay be in effectat the time of any futuredevelopment.Thus,Landowner
understandsand agrees Landowner has no right,eithergrantedor implied,foritto furtherdevelop any
of the WEST UNIVERSITY PROPERTIES untilitisverifiedby the City thatthenecessarymunicipal
services,includingbut not limitedtopoliceand fireprotection,parksand recreation,transportation,and
sewer and water capacity,are availableto allor a portionof the WEST UNIVERSITY PROPERTIES.
Notice isthus provided to the Landowner thatpriorto additionaldevelopment of the property,the
Landowner will be solelyresponsiblefor installing,at Landowner's sole expense,any facilitiesor
infrastructurerequiredto provide fullmunicipal servicestothe WEST UNIVERSITY PROPERTIES in
accordance with theCity'sinfrastructureplans,adopted Growth Policies/Community Plans,and allother
cityregulations,policiesand guidelinesthatmay be ineffectatthetime of development.
10.Stormwater Master Plan
Landowner understands and agrees a Stormwater Master Plan for the WEST UNIVERSITY
PROPERTIES fora system designed toremove solids,oils,grease,and otherpollutantsfrom therunoff
from publicstreetsand other impermeable surfacesmay be requiredto be provided to and approved by
the City Engineer at the time of any futuredevelopment in accordance with Chapter 40,Article3,
Bozeman Municipal Code,as amended,as well as any other terms and conditionswhich apply to the
City'sprovisionof thisservice.The plan must demonstrate thatadequate treatmentofrunofffrom public
streets,other impermeable surfaces,and allfuturelotswillbe achieved by providing spot elevations,

flow directionarrows,detentionand/or retentionbasin details(includingbasin sizingcalculationsand
basin typicalsections),outletstructuredetails,and culvertcapacitycalculations.The plan must also
locate and provide easements for adequate drainage ways within the WEST UNIVERSITY
PROPERTIES to transporttreatedrunoff to the stormwater receivingchannel.The plan shallinclude
sitegrading and elevationinformation,typicalstormwater detention/retentionbasin and discharge
structuredetails,basinsizingcalculations,and stormwater maintenance plan.Landowner recognizesthe
Citymay requiresuch Stormwater Master Plan tobe implemented inallor partasa conditionof approval
of development of the WEST UNIVERSITY PROPERTIES.
11.Waiver of Right-to-ProtestSpecial Districts
A.Landowner shallexecute a Waiver of Right-to-ProtestCreationof SpecialImprovement
Districtsor Special Districtsfor streetand transportationimprovements including design and
engineering,paving and subsurface improvements,curb and gutter,sidewalk,stormwater drainage
facilitiesfor:
a.Streetimprovements to West Lincoln Streetbetween South 19thAvenue and Fowler including
lighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
b.Streetimprovements to West Kagy Blvd between South 19thAvenue and South Fowler Road
includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
c.Streetimprovements to West Stucky Road between South 19thAvenue and South Fowler Road
includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
d.Streetimprovements to West Graf Streetbetween South 19thAvenue and South Fowler Road
includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
e.Streetimprovements to South 19thRoad between West Lincoln Streetand West Graf Street
includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
f.Streetimprovements to South 27thStreetbetween West Lincoln Streetand West Graf Street
includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
g.Streetimprovements to South Fowler between West Lincoln Streetand West Graf Street
includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.

The Landowner agreessuch SID or specialdistrictswillprovide a mechanism forthefairand equitable
assessment of constructionand maintenance costsforsuch improvements.The waiver isattachedhereto
as Exhibit"A"and ishereby incorporatedinand made a partof thisAgreement.
B.Landowner shallexecute a Waiver of Right-to-ProtestCreation of Special Improvement
Districts("SID")or SpecialDistrictsforIntersectionimprovements includinglighting,signalizationand
channelization,paving,curb/gutter,sidewalk,and storm drainage for:
a.Intersectionimprovements atWest Lincoln Streetand South 19*Avenue includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
b.Intersectionimprovements atWest Lincoln Streetand South 27thAvenue includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
c.Intersectionimprovements atWest Lincoln Streetand South Fowler Avenue includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
d.Intersectionimprovements atWest Kagy Blvd and South 19*Avenue includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
e.Intersectionimprovements atWest Kagy Blvd and South 27*Avenue includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
f.Intersectionimprovements atWest Kagy Blvd and South Fowler Avenue includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
g.Intersectionimprovements at Stucky Road and South 19thAvenue includinglighting,

h.Intersectionimprovements at Stucky Road and South 27thAvenue includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
i.Intersectionimprovements at Stucky Road and South Fowler Avenue includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
j.Intersectionimprovements at West Graf Streetand South 19*Avenue includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
k.Intersectionimprovements at West Graf Streetand South 27*Avenue including lighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
1.Intersectionimprovements at West Graf Streetand South Fowler Avenue includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.

The Landowner agrees such SID or specialdistrictswillprovide a mechanism forthefairand equitable
assessment of constructionand maintenance costsforsuch improvements.The waiver isattachedhereto
as Exhibit"B"and ishereby incorporatedinand made a partof thisAgreement.
C.Landowner agrees thatin the event an SID isnot utilizedfor the completion of these
improvements as described in subsectionsA and B above,the Landowner shallparticipatein an
alternativefinancingmethod forthecompletion ofsaidimprovements on a fairshare,proportionatebasis
as determined by theCity on thebasisofthesquarefootageof property,taxablevaluationoftheproperty,
trafficcontributionfrom the development or a combination thereof.
12.Public Streetand UtilityEasements
The Landowner understandsand agreesthata publicstreetand utilityeasement must be provided
atthetime Landowner returnsthesigned annexationagreement fortheportionof West Kagy Boulevard
thatisadjacentto itsProperty,which isclassifiedas a PrincipalArterialinthe Bozeman Transportation
Master Plan (TMP),which has a minimum right-of-way("ROW")width of one hundred twenty (120)
feet.
The Landowner must provide itsrespectiveWest Kagy Boulevard ROW section from the
centerlineof the existingROW or the entiresection(ifthe streetsectionresideswithin the proposed
annexation area)as a publicstreetand utilityeasement where West Kagy isadjacenttothe Property.
The Landowner understandsand agreesthata publicstreetand utilityeasement must be provided
atthetime Landowner returnsthesigned annexationagreement foritsrespectiveportionof West Stucky
Road,which isclassifiedas a Collectorin the Bozeman (TMP),which has a minimum ROW width of
ninety(90)feet.The applicantmust provide itsrespectiveWest Stucky Road ROW sectionfrom the
centerlineof the existingROW or the entiresection(ifthe streetsectionresideswithin the proposed
WEST UNIVERSITY PROPERTIES AnnexationAgreement 10
annexationarea)asa publicstreetand utilityeasement where West Stucky Road isadjacenttothesubject
property.
The Landowner,atitssoleexpense,has createdsuch easements ina locationand form agreeable
to the City and the easements will be filedat the GallatinCounty Clerk and Recorder's Office.The
Landowner furtherunderstands and agrees thatadditionalpublic streetand utilityeasements may be
requiredfor deliveryof municipal serviceswith futuredevelopment,and in such event,the easement
shallbe provided atthe Landowner's soleexpense.
13.Street Improvements
The Landowner understands and agrees thatat the time of futuredevelopment the portionof
West Stucky Road and West Kagy Boulevard and itsrelatedtransportationinfrastructurefrontingthe
WEST UNIVERSITY PROPERTIES must be improved toa Citystandard.The Citymay allow phasing
of streetimprovements coordinatedwith development areas.
14.Impact Fees
Landowner acknowledges thatannexation and development of theirproperty will impact the
City'sexistingstreet,water and sewer infrastructure,and the City'sfireservice.As approved by the
City,the Landowner and itssuccessorsmust pay:
A)Fireimpact feesequal to the amount per Chpt.2,Art.6.Div.9 BMC,or as amended,at
time of issuanceof a buildingpermit.
B)Transportationimpact fees equal to the amount per Chpt.2,Art.6.Div.9 BMC,or as
amended,attime of issuanceof a buildingpermit.
C)Water impact feesas requiredby Chpt.2,Art.6.Div.9 BMC,oras amended,atthetime
of connection to citywater services.
D)Sewer impact feesas requiredby Chpt.2,Art.6.Div.9 BMC,or asamended,atthetime
of connection to citysewer services.
The amount of impact fee the Landowner or itssuccessorspay forconnection to the city'swater
and sewer services,ifany,shallbe calculatedbased on the provisionsof the Bozeman Municipal Code,
as amended,in effectat the time of applicationfora permit to connect.The amount of streetor fire

impact feesto be paid,ifany,shallbe calculatedbased on the provisionsof the Bozeman Municipal
Code,as amended,ineffectatthetime an applicationforbuildingpermit issubmitted.
Nothing in thisAgreement shallbe construed to abridge Landowner's rights,under Chapter 2,
Article6,Division 9 of the Bozeman Municipal Code,to apply for,claim or assertcredits,exemptions
or refundsfrom theimpositionof impact fees.
Landowner furtherunderstands and agrees that any improvements,eitheron-siteor off-site,
necessaryto provide connection of the WEST UNIVERSITY PROPERTIES to municipal servicesand
which are wholly attributableto the Property as determined exclusivelyby the cityare considered
"projectrelatedimprovements"as definedinChapter 2,Article6,Division9,Bozeman Municipal Code,
as amended,and as such,arenot eligibleforimpact fee credits.
IfLandowner defaultson thisconditionat the time such isto be performed,and should default
not be remedied or correctedwithin thirty(30)days afterwrittennoticeby City to the Landowner and
Landowner/Developer of such default,City may atitsoption:
A)Declare theamounts owing forimpact feesimmediately due and payableand City
shallhave therightand privilegetotake legalactionagainstLandowners forthe
collectionof such sum,includingtheentryof any judgment.Inaddition,theCity
may,atitsoption,enforcepayment of such amount by levyingan assessment on
the property.
B)Electany otherremedy availabletoCity under the laws of theStateof Montana.
15.Charges and Assessments
Landowner understands and agrees that after this Agreement is recorded the WEST
UNIVERSITY PROPERTIES willbe subjectto City charges and assessments forarterialand collector
streets,streetmaintenance,and treemaintenance on the same basisas allotherpropertiesintheCity.

16.Additional Terms
The partiesrecognizethesedocuments must be filedand of recordwith theGallatinCounty Clerk
and Recorder priorto the saleof any landwithinthe WEST UNIVERSITY PROPERTIES.The parties
furtheragree thatthe City may filethesedocuments atany time.
17.Governing Law and Venue
This agreement shallbe construed under and governed by the laws of the stateof Montana.In
the event of litigation,venue isinthe EighteenthJudicialDistrictCourt,inand forCounty of Gallatin,
Stateof Montana.
18.Attorney's Fees
In the event itbecomes necessary for eitherpartyto thisAgreement to retainan attorneyto
enforce any of the terms or conditionsof thisAgreement,then the prevailingpartyshallbe entitledto
reasonableattorney'sfeesand costs,to includethe salaryand costsof in-house counsel includingCity
Attorney.
19.Waiver
No waiver by eitherparty of any breach of any term,covenant or agreement shallbe deemed a
waiver of the same or any subsequent breach ofthissame or any otherterm,covenant oragreement.No
covenant,term or agreement shallbe deemed waived by eitherpartyunlesswaived inwriting.
20.InvalidProvision
The invalidityor unenforceabilityof any provisionof thisagreement shallnot affectthe other
provisions hereof,and this Agreement shall be construed in all respects as if such invalidor
unenforceableprovisionwere omitted.

21.Modifications or Alterations
No modificationsor amendment of thisAgreement shallbe validunlessevidenced by a writing
signed by thepartieshereto.
22.No Assignment
Itis expressly agreed thatthe Landowner and/or Landowner/Developer shallnot assign this
Agreement inwhole or inpartwithout priorwrittenconsentof the City.
23.Successors
This Agreement shallbe binding upon,inureto the benefitof and be enforceableby the parties
heretoand theirrespectiveheirs,successorsand assignsand specificallytoany subsequent purchaserof
the annexed property.
24.Covenants to Run with the Land
The partiesintend thatthe terms of thisAgreement shallbenefitthe WEST UNIVERSITY
PROPERTIES and shallbe covenants running with the land and shallnot expireattheirdeathsor upon
transferof ownership of the property.
The undersigned Landowner affirmsthatthey have authoritytoenterintothisAgreement and to
bind themselves to thisAgreement.

districtbe assessedin response to a duly passed resolutionof intentionto createone or more special
improvement districts("SID")which would includethe Property.
In the eventa SID isnot utilizedforthe completion of theseimprovements,thedeveloperagrees
to participateinan alternatefinancingmethod forthe completion of saidimprovements on a fairshare,
