WAIVER OF RIGHT TO PROTEST
CREATION OF SPECIAL IMPROVEMENT DISTRICTS
FOR RTR Holdings II,LLC,by Three River Capital,LLC itsmanager
We,theundersigned Owners of therealpropertysituatedin the County of Gallatin,Stateof
Montana,and more particularlydescribedas follows:South UniversityDistrictPhase 3 Major
Subdivision
IN CONSIDERATION of receiving FinalPlatApproval from the City of Bozeman,along with
accompanying rightsand privilegesand forotherand valuableconsideration,thereceiptof which is
hereby acknowledged,inrecognitionof impacts to the City transportationand infrastructuresystems
thatwillbe generatedby thedevelopment of the above-describedpropertyat South UniversityDistrict
Phase 3 Maior Subdivision,have waived and do hereby forourselves,our heirs,personal
representatives,successorsand assigns,therighttoprotestthe creationof one or more special
improvement districtsforthe constructionof:
1.Streetimprovements to South 19thAvenue includingpaving,curb/gutter,sidewalk,lighting
and storm drainage,
2.Streetimprovements to West Kagy Boulevard includingpaving,curb/gutter,sidewalk,
lightingand storm drainage,and
3.Intersectionimprovements to the intersectionof South 19*Avenue and West Kagy Boulevard
orto make any writtenprotestagainsttheproposed work or againstthe extentor creationof thedistricts
to be assessedinresponseto a duly passed resolutionof intentiontocreateone or more special
improvement districtswhich would includethe above-describedproperty.
In the event an SID isnot utilizedforthe completion of theseimprovements,the developer agrees
to participatein an alternatefinancingmethod for the completion of saidimprovements on a fairshare,
proportionatebasisas determined by square footageof property,taxablevaluationof theproperty,traffic
contributionfrom the development or a combination thereof.
This waiver shallbe a covenant running with theland and shallnot expirewith the dissolutionof
the limitedpartnership,provided however thiswaiver shallapply to the landshereindescribed.
The terms,covenants and provisionsof the Waiver shallextend to,and be binding upon the
successors-in-interestand assignsof thepartieshereto.
