ThisIrrevocableOf er toDedicate and DeclarationofRestrictions(hereinafter"Offer")is
made this day of 2022,by Rosa Johnson Development,2264 Jackrabbit,
Bozeman,Montana 59718,(h einafterreferredto as "Grantor").
WHEREAS,Grantor isthelegalowner insimple feeinterestof certainrealpropertieslocated
intheCounty of Gallatin,Stateof Montana,and describedas Boulder Creek Subdivision,Phase 1
Located inthe South 1/2,Section4,T2S,R5E of P.M.M.,City of Bozeman,GallatinCounty,
Montana,PlatJ-633,on fileand ofrecordintheofficeofthe Clerkand Recorder of saidCounty
(hereinafterreferredtoasthe "Property")and
WHEREAS,GrantorappliedtotheCityofBozeman (the"Municipality")forapprovalto
undertakedevelopment as definedinChapter38.7,BMC withintheCityofBozeman (hereinafter
the "Permit");and )
WHEREAS,approvalof Application#19021 was grantedon July45-2021,by the
Municipalityinaccordancewith theprovisionsof Title38,BMC,herdby incorporatedby reference;
and
WHEREAS,Grantorwishes tomeet therequirementsof Title38,BMC,toprovidepublic
accessand/orallowsimultaneousconstructionofinfrastructureand improvements which willlater
be grantedtotheMunicipality,with thebuildings,remainingimprovements and landappurtenant
theretotoremain inprivateownership,asauthorizedinSection38.270.030.C;and
WHEREAS,thewaterand sewer improvements and streetinfrastructureappurtenantto and
to be installedor constructedon or under theabove describedlands,and infrastructureand/or
intereststhereinareto be dedicatedtotheMunicipality,freeand clearof allencumbrances,pursuant
to saidfinalapprovalofthePermit;and,
WHEREAS,itisintendedthatthisOfferisirrevocableand shall,upon writtenacceptanceby
theMunicipalityand finalapprovalofthePermitreferencedherein,grantallrightsof use oraccess
formaintenanceand repairof thesaidimprovements and infrastructureoffered;
NOW THEREFORE,inconsiderationof thegrantingof,and conditionedupon,thefinal
approvalforapplicationno.#19021,theGrantorhereby offerstodedicatetothe
Municipality,thesewer and water improvements and streetinfrastructureconstructedorbe
constructedupon therealpropertyas specificallysetforth,describedand identifiedintheplansand
specificationsissuedor preparedby Morrison Maierle,Inc.,2880 Technology Blvd West,
Bozeman,MT,59718 Project#19021 datedNovember 17,2021 (withsubsequentapproved
revisions),which areby thisreferenceincorporatedinthisinstrument.
1.Benefitand Burden.This Offershallrun with and burden thePropertyand all
obligations,terms,conditions,and restrictionshereby imposed shallbe deemed tobe covenantsand
restrictionsrunningwith the landand shallbe,upon theissuanceofthe finalPermit referenceherein,
be effectivelimitationson the use and accessof thePropertyby Grantorand shallbind theGrantor
and allsuccessorsand assigns.This OffershallbenefittheMunicipalityonlyso long as said
improvements and infrastructuresforsewer and water existon theProperty.
2.Construction and Validity.Ifany provisionoftheseRestrictionsisheldto be
invalidor forany reasonbecomes unenforceable,no otherprovisionshallbe therebyaffected
or impaired.
3.Successorsand Assigns.The terms,covenants,conditions,exceptions,
obligations,and reservationscontainedinthisOffershallbe bindingupon and inuretothe
benefitofthesuccessorsand assignsof both theGrantorand theMunicipality,whether
voluntaryor involuntary.
4.Limitations.The constructionand otherstandardsadoptedor utilizedby the
CityofBozeman regardinglegalform,constructionmaterials,warranty,and allotherelements
relatingtoimprovements or infrastructureconstructedorbe constructedpursuanttothePermit
shallbe fullyapplicable.
5.Term.This irrevocableOfferof Dedicationshallbe bindingforthedurationof
FinalSitePlan approvalprocess.Upon writtenacceptanceofthisOfferby theMunicipality,
thisOfferand theterms,conditions,and restrictionshereofshallexistinperpetuity,shallhave
theeffectof a grantby Grantor,subjecttotheconditionsstatedherein,and shallrun with the
landand be bindingon theparties,theirheirs,assigns,and successors,PROVIDED,
HOWEVER,thisgrantshallbe nulland void ifthePermitreferencedhereinisnot grantedand
issuedby theMunicipalityon or beforeone year afterthedateofFinalPlan approvalor
extensionsof thedateof approval.
