ACCESS AND UTILITY EASEMENT AGREEMENT
ThisAccess Easement Agreement ("Agreement")ismade and enteredintothis day
of Qe c ,2020,by and between JanetE.Colombo,TrusteeoftheJosephJohn
Colombo,Jr.and JanetE.Colombo LivingTrustDated December 8,2017,with an addressof 74
HitchingPostRoad,Bozeman,Montana 59718 ("Grantor")and BaxterMeadow Land Partners,
LLC,with a mailingaddressof 1356 N Chancey Lane,Midway Utah 84049 ("Grantee")(each
individuallya "Party"and togetherthe"Parties").
RECITALS
WHEREAS,Grantorowns Lot IA and Lot 2 ofMinor SubdivisionNo.400 as amended,
GallatinCounty,Montana,accordingtotheofficialplatthereofon fileand ofrecordintheoffice
of theCounty Clerk and Recorder,GallatinCounty,Montana (referredtohereinas the
"Grantor'sProperty");
WHEREAS,Granteeowns Lot 3 and Lot 4 of Sundance Minor SubdivisionNo.509,
Phase C,Platof Phases A &C of Sundance Minor SubdivisionNo.509,an amended platof Lot
R1 ofBaxterMeadows SubdivisionPhase 2B as amended by PlatJ-506A,locatedintheSE 1/4
of Section34,TlS,R5E,P.M.M.,CityofBozeman,GallatinCounty,Montana accordingtothe
officialplatthereofonfileand ofrecordintheofficeofthe County Clerk and Recorder,Gallatin
County,Montana (referredtohereinas the"Grantee'sProperty");
WHEREAS,Granteedesiresto obtainan accessand utilityeasement over,across,and
throughtheGrantor'sPropertyto extendtheexistingEquestrianLane forpublicaccess,ingress
and egress,forpublicdedication,futuregrantand donationtotheCityofBozeman ("City")for
thepublicuse and enjoyment ("publicdedication"),and to extendorplaceunderground utilities
over,acrossand throughtheGrantor'sPropertytoterminateatDavis Lane atthelocationas
describedand depictedon ExhibitA,attachedand incorporatedby reference(the"Access and
UtilityEasement"or"Easement"),and Grantordesiresto grantsuch Access and Utility
Easement accordingtotheterms and conditionsofthisAgreement;

WHEREAS,inconsiderationfortheAccess and UtilityEasement grantedherein,
Grantordesirestoobtainan accessand utilityeasement over,across,and throughtheGrantee's
PropertytoextendCaspian Avenue acrosstheGrantee'sPropertyforpublicaccess,ingressand
egress,futurepublicdedication,and toextendor placeunderground utilitiesover,acrossand
throughGrantee'sProperty,and Grantordesirestograntsuch easementsaccordingtotheterms
and conditionsof a separateeasement agreement,mutuallyagreedupon by theParties,tobe
providedby theGrantor,which termsshallbe substantiallysimilarto thisAgreement;
WHEREAS,infurtherconsiderationfortheAccess and UtilityEasement grantedherein,
GrantordesirestoobtainextensionoftheEquestrianLane sewer linetobenefitGrantor'sLot 2,
Minor SubdivisionNo.400 as amended and Granteeagreestoprovidesuch extensionof the
EquestrianLane sewer line,thecostofwhich shallbe paidby Grantor,and which terms and
costswillbe addressedina separatewrittenagreement,mutuallyacceptabletotheParties,to be
providedby Grantor;
WHEREAS,thePartiesunderstandand agreetheareaof EquestrianLane subjecttothe
Access and UtilityEasement willbe grantedand donatedtothe City forpublicuse and
enjoyment,and dedicatedtothepublicupon futureplatting,or otherconveyance to,and/or
approvalby theCityand Grantoragreestoexecuteand deliversuch additionaldocuments or
instrumentsas requiredby theCity forsuch PublicDedication;
WHEREAS,thePartiesunderstandand agree,upon such publicdedicationand
acceptanceby theCity,theCity has no obligationtomaintainEquestrianLane,and the
Sundance Minor SubdivisionOwners Association,Inc.("Association")willthereaftermaintain
EquestrianLane atitsexpense;and,
WHEREAS,untilsuch time astheareaof EquestrianLane subjecttotheAccess and
UtilityEasement isgrantedand donatedtotheCityforpublicuse and enjoyment,and dedicated
tothepublicand acceptedby theCity,Granteewillbe responsibleformaintenancescosts,as
maintenance isfurtherdescribedherein;
NOW,THEREFORE,forgood and valuableconsideration,thereceiptofwhich is
acknowledged,and inconsiderationof themutual promisesand covenantscontainedherein,the
partiesagreeas follows:
AGREEMENT
L Conveyance of Access and UtilityEasement
Grantorhereby grantsto Grantee,itssuccessorsand assigns,a non-exclusivesixtyfoot

(60')wide right-of-wayeasement to(i)extendtheexistingEquestrianLane,(ii)forpublic
access,ingressand egress,grantand donationtotheCityforpublicuse and enjoyment,and
dedicatedtothepublicupon futureplatting,or otherconveyance to,and/orapprovalby theCity
and (iii)forplacementor extensionofunderground electric,cable,telephoneand otherutilities
over,under,through,and acrosstheGrantor'sProperty,forthepurposesofextendingthe
existingEquestrianLane,pmviding publicaccessand publicdedication,and forthe placement
ofutilitiesthereinover,acrossand throughthe ServientTenement toterminateatDavis Lane at
thelocationas describedand depictedon ExhibitA,fortheexpressand limitedpurposesand on
theterms and conditionssetforthinthisAgreement.
II.Scope and Purpose;Public Dedication
The scopeof use fortheAccess and UtilityEasement isforextensionof EquestrianLane,
forpublicaccess,inguss and egressoverand across,grantand donationtotheCityforpublic
use and enjoyment,and dedicatedtothepublicupon futureplatting,orotherconveyance to,
and/orapprovalby theCity,and placement oforextensionof underground utilitiesover,under,
through,and acrosstheAccess and UtilityEasement,and dedicationand usethereofby the
publicatwhich timeEquestrianLane isextendedthroughtheEasement Area toDavis Lane.
III.Location
The Access and UtilityEasement and itslocationand width shallbe asmore particularly
shown,described,depictedand dimensioned on theattachedExhibitA,which isincorporatedby
thisreferenceas ifsetforthinfull.
The locationand width oftheAccess and UtilityEasement shallnotbe increasednor
relocatedwithouttheexpresswrittenconsentofServientTenement owner.
IV.Maintenance;Future Conveyance
Untilsuch time asthepublicdedication,Grantee acceptstheresponsibilityand costof
maintenanceof theAccess and UtilityEasement Area of EquestrianLane,exceptforany
damage caused by Grantor,itsagents,tenants,invitees,which damage shallbe repairedat
Grantor'ssolecostand expense.
As used inthissection,maintenance isdefinedasthework normallyand routinely
necessaryto preserve,repair,and keep theAccess and UtilityEasement initsimproved,paved,
and functionalcondition,includingroutinepotholerepairand patching,repavingand
resurfacing,and snow removal ("Maintenance"\Maintenance shallnot include,nor resultin,
thewidening ofthescope oftheEasement Area,which islimitedtothesizeand locationas
depictedon ExhibitA.
The Partiesacknowledge and expresslyagreedGranteewillbe thePartyperformingsuch
Maintenance and Grantee shallprovidereasonableadvance noticetoGrantorof thetimingof
any such Maintenance,which noticemay be oral.Notwithstandingtheforegoing,ifemergency

maintenanceisnecessary,priornoticeshallnot be required,however,writtenor oralnoticeof
such emergency maintenanceand coststhereofshallbe providedassoon thereafterasreasonably
possible.
The Partiesunderstandand expresslyagreethatatwhich time theAccess and Utility
Easement isgrantedand donated totheCityforpublicuse and enjoyment,and dedicatedtothe
publicupon futureplatting,or otherconveyance to,and/orapprovalby theCity,theAssociation
willthereaftermaintainEquestrianLane initsentirety,attheAssociation'sexpense.Grantor
expresslyagreestosuch grantand donationtotheCityforpublicuse and enjoyment and public
dedication,and furtheragreestoexecuteand deliversuch additionaldocuments or instrumentsas
requiredby theCityforsuch PublicDedication.
V.Nature and Term ofEasement;Assignment;EffectiveDate
This grantofAccess and UtilityEasement isnon-exclusive.Except asotherwise
providedherein,theAccess and Utilityeasement hereingrantedand given,and allother
covenants,agreements,rights,and obligationscmated hereby,shallrun with,benefitand burden
theGrantor'sProperty,shallbe and areperpetualinnature,may be assignedand reassignedby
Grantee,shallbe bindingon and inuretothebenefitofGrantee and Grantor,thepublic,and all
personshavingoracquiringfeetitletotheGrantor'sor Grantee'sProperty,subjecttotheterms,
provisionsand conditionssetforthherein.The Grantee'sPropertyshallbe thedominant
tenement and the Grantor'sPropertyshallbe the servienttenement.
Granteemay dedicateand assigntheAccess and UtilityEasement tothepublicortothe
CityofBozeman,withouttheexpresswrittenconsentoftheGrantor.Ifsuch consentisrequired
by theCityforsuch assignment,Grantoragreestoexecuteand deliversuch additional
documents orinstrumentsasrequiredby theCity.
This Agreement,and alltherightsand obligationsoftheGrantorand Granteeas setforth
hereinwillcommence as oftheEffectiveDate,which shallbe thelastdatethisAgreement is
executedeitherby GranteeorGrantor.
VI.Additional Provisions
The GrantorwarrantsGrantoristhesoleowner and lawfullyseizedand possessedofthe
realpropertydescribedabove astheServientTenement,thatGrantorhas thefull,free,
unhampered,and lawfulright,withoutexceptionor reservation,to grantan easement thereon.
The terms,covenants,and provisionsofthisAgreement shallextendtoand be binding
upon theheirs,executors,administrators,personalrepresentatives,successors,and assignsofthe
partieshereto.
This Agreement isnot intendedto createa jointventure,partnershiporagency
relationshipbetween theParties,and suchjointventure,partnershipor agency relationshipis
specificallydisclaimed.
NeitherParty'sfailureor neglecttoenforceany rightsunderthisAgreement willbe
deemed to be a waiverorabandonment ofthatParty'srights.A waiver shallonly be effectiveif

inwritingand signedby thePartygrantingit.No singleor partialexerciseof any rightorremedy
willprecludeany otheror furtherexerciseof any rightor remedy.
Notwithstanding any terms,provision,conditions,of any other documents to the
contrary,thisAgreement constitutesthe entireagreement among the partieshereto as to the
subjectmatter hemof,supersedesallprevious agreements,arrangements and understandings
between thepartiesin respectofthatsubjectmatter,and thepartiesdo not relyon any statement,
promise,or representationnothereinexpressed.
The Partieshave participatedjointlyinthe negotiationand draftingof thisAgreement.
In theevent of ambiguity or ifa questionof intentor interpretationarises,thisAgreement shall
be construedas ifdraftedjointlyby the Partiesand no presumptionor burden of proofshallarise
favoringor disfavoringany Partyby virtueof the authorshipof any of the provisionsof this
Agreement.
Ifany provisioncontainedherein is found to be invalid,illegalor unenforceableby a
courtof competent jurisdiction,the remaining provisionsof thisAgreement shallnevertheless
continue in fullforceand effectand be binding on the Partieshemto,theirsuccessorsand
assigns,and the Partiesshallnegotiateingood faithand attempttoagreeto anotherprovision(in
lieuof the provisionheld to be invalid,illegalor unenforceable)that is valid,legaland
enforceableand carriesout the Partiesintentionsas closelyas possibleto effectthe original
intentand purpose.
Each partyshallbe responsibleforand bear allof theirown Attorneys'fees,expertfees
and othercostsexpended inconnectionwith the executionof thisAgreement.However,inthe
event of futurelegalactionconcerningthe interpretationor applicationof thisAgreement,the
prevailingpartyinany such actionshallbe entitledto theirreasonableattorneys'feesand costs,
includingfeesand costson appeal.
This Agreement may not be amended except by a writteninstrumentsigned by the
Parties.
The partiesagree thatthisAgreement shallbe governed by,construedand enforced in
accordancewith thelaw of theStateof Montana.
IN WITNESS WHEREOF,thepartieshave signedthisAgreement on thedatesetforth
aftertheirsignaturesbelow.
