and more particularlydescribedas follows:

IN CONSIDERATION of receivingapprovalfor receivingsiteplanapproval
of thesubjectpropertyfrom theCityof Bozeman,alongwithaccompanying rightsand privilegesand
forotherand valuableconsideration,thereceiptof which ishereby acknowledged,and inrecognitionof
theimpactsto Citytransnortationand infrastnicturesystems
which willbe caused by thedevelopment of theabove-describedproperty,the owner has waived and
does hereby waive foritself,itssuccessorsand assignsforevertherightto protestthecreationofone or
more specialdistrictsorspecialimprovement districtsforthedesignand engineering,constructionand
maintenance of thefollowingimprovements:

includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
c.Streetimprovements toCatamount Streetbetween North 19thAvenue and Davis Lane
includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
d.Streetimprovements toCatron Streetbetween Valley CenterRoad and Davis Lane
includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
e.Intersectionimprovements atCattailStreetand Davis Lane includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
f.Intersectionimprovements atCatamount Streetand Davis Lane includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
g.Intersectionimprovements atEast ValleyCenter Road and Davis Lane including
lighting,signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
h.Intersectionimprovements atCatamount Streetand North 27th Avenue including
lighting,signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
i.Intersectionimprovements atCatron Streetand North 27th Avenue includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and stormdrainage.
Landowner agreestheCityhas thesolerighttocontrolthedesignand constructionof such
improvements and may includeany of theabove components and othersnecessarytoensuresuch
improvements comply with alladoptedCityinfrastructureplansand requirements.Further,the
Landowner waives itsrightortomake any writtenprotestagainstthesizeorareaor creationof the
districtbe assessedinresponsetoa duly passed resolutionof intentiontocreateone ormore special
improvement districtswhich would includetheabove-describedproperty.

Intheeventa specialdistrictorspecialimprovement districtisnot utilizedforthecompletion
of theseimprovements,thedeveloperagreestoparticipateinan alternatefinancingmethod forthe
completionof saidimprovements on a fairshare,proportionatebasisasdeterminedby theCityon the
basisofthesquarefootageof property,taxablevaluationof theproperty,trafficcontributionfrom the
development or a combination thereof.
This waiver ismade forthebenefitofthepropertydescribedhereinshallbe a covenantrunning
with the land.
The terms,covenantsand provisionsof thiswaiver shallextend to,and be bindingupon the
successors-in-interestand assignsof theLandowner.
