4.DURATION

5.LICENSED ACTIVITY
ThepurposeofthisLicenseistoprovidetemporaryaccessonanexistinggravelroadtoacelltowerontheirdeeded
land.Thewidthofexistingroadis~30feetandthelengthis~500feet.Thetotalacresinvolvedislessthan1acre.
6.RECLAMATION OF THE LAND
TheLicenseeshalltakeallreasonableprecautionstopreventorminimizedamagetonatural(i.e.,vegetation,soil,
water,wildlife),andculturalresourceswithintheLicensepremises.Withinthùty(30)daysoftheterminationof
thisLicensebyeitherpartytothisagreement,orfinalexpirationofagreement,theLicenseeshallreclaimtheareato
thespecifications-ofthe1;icensor--Suchreclamationshall-include,butnotbelimitedto-theeliminationofalltrace
ofdisturbances,compaction,andresurfacingofanyholesorterraces.Licenseeshallreseedalldisturbedareaswith
nativespeciesofgrasses,unlessotherarrangementsareagreeduponbetweentheLicensorandtheLicenseein
writing.When anyactionrequiresdisturbance,allsoilmaterialsshallbesalvaged,safeguardedfromlossdueto
windorwatererosionormachineryactivity,andshallbereplacedonalldisturbedareas.
7.PERFORMANCE BOND
To secureperformanceofLicensee'sreclamationobligation,Licensormay requireaperformancebondthatshall
remaininexistenceforthetermoftheLicense.Any performancebondrequiredshallbesubmittedtotheLicensor
beforeconductinganydisturbanceonthelandunderthisLicense.ThebondrequirementforthisLicenseis:
NONE.
8.MAINTENANCE,IMPROVEMENTS,UTILITY INSTALLATION
(a)TheLicenseeshallmaintaintheareawithintheLicenseinaneatandorderlymannerasreasonably
determinedbytheLicensorandwillnotallowwasteordebristoaccumulatethereon.

(b)TheLicenseeshallnotconstructanyimprovementsupontheLicensePremiseswithoutfirstobtaining
Licensor'spermissiontoconstructorinstallsuchimprovementsontheLicensePremises.Licenseeisresponsible
forallcostincurredinthedesign,construction,operation,andmaintenanceofallimprovementsonthisLicense.
(c)TheLicensee,atitssolecostandexpense,shallberesponsibleforinstallingandpayingallcostsofany
utilitiesifLicenseedesiresanysuchservices.Notwithstandingtheforegoing,theLicenseeshallnotenterintoany
contractoragreementwithanycity,county,orothergovemmentalagencyorbodyorpublicutilitywithreferenceto
sewerlinesorconnections,waterlinesorconnection,orstreetimprovementsrelatingtotheLicensePremises,
withoutthepriorwrittenconsentoftheLicensor,whichconsentshallnotbeunreasonablywithheld.
9.PERSONAL PROPERTY AT EXPIRATION OR TERMINATION OF LICENSE
Any personalpropertyorfixtureplacedonorinthelicensedareabythelicenseeortheiragentsshallberemoved
immediatelyuponexpirationorterminationofthelicense.Any personalpropertyorfixtureleftonthelicenseafter
theexpirationorterminationofthelicenseshallbecomethepropertyofthestateofMontana.TheDepartmentshall
havetheauthoritytouseallorpartofanyperformancebondissuedforthislicensetofundreclamationanddisposal
ofanypropertyorfixtureremainingonorinthelicensedarea.Thedepartmentshallhavetheauthorityto
otherwisedisposeofanypropertyorfixtureremainingonthelicensedareaattheterminationofthe
license.LicenseewillnotbeentitledtoanyvaluereceivedbytheDepartmentthroughdisposalofanypropertyor
fixtureremainingon thelicensedareaafterexpirationortermination.Thissubsectiondoesnotauthorizeplacement
ofimprovementsorpersonalpropertyuponthelicensedareathatwerenototherwiseauthorized.
10.LIMITATION OF AUTHORITY
Otherthanforthepurposesspecificallydescribedinthisagreement,theLicenseeagreesthatitdoesnothave,and
shallnotclaimatanytime,anyinterestsorestateofanykindorextentwhatsoeverintheLicensePremisebyvirtue
ofthisLicenseortheiroccupancyorusehereunderinexcessoftheusegrantedbytheLicense.TheLicensor
reservesallrightsandintereststotheLicensePremisesotherthanthosespecificallygrantedbytheLicense.
11.WEATHER CONDITIONS
TheLicensorreservestherighttorestrictorprecludeanysurfaceactivityduringperiodsofadverseweatherand
otherconditionswhichmay contributetoacceleratederosion.firehazard.disruptionofseasonalwildlife,orany
otherconditionwhichintheopinionoftheDepartmentmay haveanadverseeffectonTrustland.
12.NOXIOUS WEEDS
TheLicenseeshallberesponsibleforcontrollinganynoxiousweedsintroducedbyLicensee'sactivityonthe
LicensePremisesoradjacentstate-ownedland.TheDepartmentofNaturalResources&ConservationFieldOffice
thathasjurisdictionforthatlocalemustreviewtheLicensee'smethodsofcontrol.TheLicenseeshallcomplywith
theöfontanaCountyNoxiçusWeed ManagementAct.
13.CENERAL LIABILITIESAND INDEMNITY
TheLicenseeagreestoassumeresponsibilityforallclaimsandlawsuits,andshallbefullyandcompletelyliableto,
andindemnify,defendandholdharmless,theLicensorfromanyandalldamages,injuryordeathtopersonsand/or
propedythatoccuruponoraboutsaidlandcausedbyorarisingoutofLicensee'suseoftheLicensePremises
hereunder.
14.INSURANCE
TheLicensormay requiretheLicenseetoprocureandmaintainandkeepinforceacomprehensiveorcommercial
generalliabilityinsurancecoveringclaimsarisingoutoftheownership,operation,maintenance,conditionoruseof
theLicensePremisesforpersonalandbodilyinjuryanddeath,anddamagetoothers'propény.Any insurance
requiredunderthissectionshallnametheLicensorasanadditionalinsuredinthepolicy(ics)providingsuchliability
insurance,whichshallincludecrossliabilityandseverabilityofinterestsclauses.TheLicenseeshallprovide
certificatesofinsuranceevidencingthepoliciesobtainedbyLicensee.IftheLicenseedoesnotdelivertheevidence
requiredbytheprecedingsentencebeforetakingpossessionoftheLicensePremises,thenLicenseewilldeliverthe
samewithin30daysaftertakingpossessionoftheLicensePremises.Thereafter,duringtheTerm,within30days
aftertherenewaldateofeachpolicy,theissuanceofanewpolicyoronsuchotherdateasLicensorreasonably
requires,LicenseewilldeliveracopyofthelatestproofofinsurancetoLicensor.Eachpolicyofinsurancewill
requiretheissueroftheinsurancepolicytogiveLicensor30days'advancewrittennoticeoftheterminationor
modificationofthepolicy.TheminimuminsurancerequirementforthisLicenseforanyoneaccidentoroccurrence
asdescribedaboveis:NONE REQUIRED asinsunmceisalreadyrequiredthroughthecommerciallease.

15.PERMITS AND COMPLIANCE
Licenseeisresponsibleforobtaininganyadditionalpermitsorrequirementsfromanyotheraffectedregulatory
agency(ies).
TheLicenseeshallcomplywithallpubliclaws,statutes,ordinances,andadministrativeruleswhichareapplicable
toitsoperationsupontheabove-describedlands.InnoeventshalltheLicenseeconductanyactivity,orallowany
activitytobeconducted,upontheabove-describedlandsorwithintheProjectwhichis:anuisanceorviolatesof
publichealth,safety,orwelfare.
16.INDEMNIFICATION FOR HAZARDOUS MATERIALS
TheLicenseeshallbefullyandcompletelyliableto,andindemnify,defend,andholdharmless,theLicensorforany
andalldamagesandclean-upcostsandpenaltiesimposedbyanygovernmentalauthoritywithrespecttoLicensee's
use,disposal,transportation,generation,orsaleofHazardousSubstances,inorabouttheabovedescribedlands.
17.TAXES
TheLicenseeshallbesolelyresponsibleforallpersonalpropertytaxesthataccruetopersonalpropertyorreal
propertytaxesthataccruetoanyimprovementsownedbyLicenseethatarelocatedontheabovedescribedlands.
18.RIGHT OF ENTRY
RepresentativesoftheLicensorshallatallreasonabletimeshavetherighttoenterintoanduponthepremisesand
allpansthereofforthepurposeofmanagingthelandand/orinspectingandexaminingusesthereof.
19.TERMINATION OF LAND USE LICENSE
TheLicensorreservestherighttoterminatethepermissionherebygrantedatanytimebygivingtheLicenseeno
lessthanthirty(30)dayswrittennoticeofsuchtermination,exceptthattheLicensormay terminatetheLicenseand
allpermissiongrantedhereinimmediatelyifLicenseefailstocomplywith,orabideby,eachandallofthe
.provisionshereof,orceasestousethepermissionherebygranted.Licensee.agreestopeaceablyyieldtheLicense
Premisesuponterminationsubjectonlytoitsreclamationobligations.
20.SPECIAL STIPULATIONS
TheLicensorreservestherighttoimposespecialstipulationsonlicensebasedonuse,location,orotherreasons.
