WITN ESSETH: WHEREAS,Landowner isowner infeeof a tractof certainrealproperty,hereinafterreferred to as the 130 FLANDERS MILL ROAD ANNEXATION situatedinGallatinCounty,Montana,and more particularlydescribedas follows: An areaof landcomprised describedas follows: 130 FlandersMillRoad and more accuratelydescribedas Tract1ofCertißcateof Survey 2360 locatedintheSouthwest ¼of Section3,Township 2 South,Range 5 East,P.M.M.,Gallatin County,Montana more particularlydescribedasfollows: BeginningatThe Southeastcornerof saidTract1,a Gaston Yellow PlasticCap (YPC);thence N 00°59'59"E,a distanceof 127.51'toa Gaston YPC;thenceN 89°48'15"W,a distanceof 130 FLANDERS MILL ANNEXATION Agreement 1 371.54'toa calculatedpositionon theNorth-SouthI/16thelineoftheSouthwestQuarterof saidSection3;thencealongsaid1/16theline,S 00°59'59"W,a distanceof 127.51'toa calculatedposition;thenceS 89°48'15"E a distanceof371.54'tothePointof Beginning, containing47,371.1squarefeet,1.087acres,more or less. Subjecttoalleasementsof recordorapparentfrom a visualinspectionoftheproperty Allasdepictedon the130 FLANDERS MILL ROAD ANNEXATION Map. WHEREAS,theLandowner petitionedtheCityforannexationtotheCityof saidtractof land; and WHEREAS,the 130 FLANDERS MILL ANNEXATION isnotwithinthecorporatelim.itsof theCityorothermunicipalityand may thereforebe annexedtotheCityinaccordancewiththeprovisions ofthisAgreement and Title7,Chapter2,Part46,Mont.Code Ann.;and WHEREAS,allpartiesrecognizetheannexationofthe130 FLANDERS MILL ANNEXATION pursuant to Section 7-2-4601,et seq.,Mont.Code Ann.will allow the 130 FLANDERS MILL ANNEX.ATION toconnectto and utilizeCityservices,includingmunicipalwaterand sewer service, parksand recreation,fireand policeservices,and theCity'stransportationsystem;and WHEREAS,Section7-2-4610,Mont.Code Ann.providesthata municipalityand landowner can agreetotheprovisionsofservicestotheareatobe annexed;and WHEREAS,the partiesrecognizeadditionaldevelopment on the 130 FLANDERS MILL ANNEXATION willimpact areaparks,recreation,transponation,police,and fireservices,and that futureimprovements may requireadditionalpublic infrastructurestreetimprovements including transportationfortrafficcirculationand theprovisionsofparks,recreation,police,and fireservices;and WHEREAS,the Landowner findsthisAgreement willprovide forthemost satisfactoryand dependable water supplyand sewer supply or service,and providetransportation,parks,recreation, policeand fireservicefordevelopment ofthe 130 FLANDERS MILL ANNEXATION;and 130 FLANDERS MILL ANNEXATION Agreement 2 WHEREAS,thepartieshave determinedthatitisinthebestinterestsoftheCityand Landowner, and infurtheranceofthepublichealth,safetyand welfareofthecommunity toenterintoand implement thisAgreement. WITN ESSETH: IN CONSIDERATION of themutual covenantsand agreements hereincontained,the parties heretoagreeas follows: 1.Recitals The above recitalsaretrueand correct. 2..Annexation The Landowner filed an applicationfor annexation of the 130 FLANDERS MILL ANNEXATION withtheCityon April7,2021.By executionof thisAgreement,theCitymanifestsits intenttoannex the 130 FLANDERS MILL ANNEXATION tractpursuanttothetermsand conditions of thisAgreement.Subjecttotheprovisionsof Title7,Chapter 2,Part46,Mont.Code Ann.the City shall,upon executionof thisAgreement,adopt a Resolutionof Annexation of the 130 FLANDERS MILL ANNEXATION.Further,upon theexecutionof thisAgreement,the Landowner shalldo all thingsrequiredby thisAgreement and allthingsnecessaryand properto aid and assistthe City in carryingouttheterms,conditionsand provisionsof thisAgreement and toeffecttheannexationof the 130 FLANDERS MILL ANNEXATION. 3.ServicesProvided The Citywill,upon annexation,make availabletothe 130 FLANDERS MILL ANNEXATION existingCityservicesonlytotheextentcurrentlyavailable,orasprovidedinthisAgreement. 130 FLANDERS MILL ANNEXATION Agreement 3 4.Municipal Water ServiceDefined The term "municipalwater service"as isused inthisagreement shallbe theservicewhich is suppliedby theCityinaccordancewithChapter40,Article2,Bozeman MunicipalCode,asamended, as wellas any othertermsand conditionswhich applytotheCity'sprovisionofmunicipalwaterservice but does notincludetheextensionof linesorconstructionofnecessaryimprovements atany costtothe City fordeliveryof watertoand withinthe 130 FLANDERS MILL ANNEXATION.Nothing inthis Agreement shallobligatethe City to pay forright-of-wayacquisition,engineering,construction,and othercostsforthedeliveryofwater toor withinthe 130 FLANDERS MILL ANNEXATION toinclude, but not limitedto,any impactfees,hook-up,connection,or development chargeswhich have been or may be establishedby theCity. 5.Municipal Sewer ServiceDefined The term "municipalsewer service"as isused inthisAgreement shallbe theservicewhich is suppliedby theCityinaccordancewith Chapter40,Article3,Bozeman MunicipalCode,asamended, aswellasany othertermsand conditionswhich applytotheCity'sprovisionofthisservicebutdoes not includethe extensionof linesor constructionof necessaryimprovements atany costto the City for collectionof sewage at and within the 130 FLANDERS MILL ANNEXATION.Nothing in this Agreement shallobligatethe City to pay forright-of-wayacquisition,engineering,construction,and othercostsforthecollectionofsewage servicestoorwithinthe 130FLANDERS MILL ANNEXATION toinclude,butnotlimitedto,any impact fees,hookup,connection,or development chargeswhich may be establishedby theCity. 6.Water and Sewer Connections Landowner understandsand agreesthattheexistingresidenceon thepropertymust be connected toCitywaterand sewerutilities.Water and sewer servicesmust be constructedinaccordancewithdesign 130 FLANDERS MILL ANNEXATION Agreement 4 and specificationsapprovedby theCitypriortotheinstallationofthewaterand sewer lines.Landowner must contacttheCityWater and Sewer Superintendentto obtaindetailsof constructionrequirements. Landowner must notifythe City Water and Sewer Superintendenta minimum of 48 hours priorto constructionof theservicesand disconnectionof thewelland septicsystem abandonment.Landowner furtherunderstandsand agreesthatpriortoconnectionto theCitywaterand sewer system,theexisting on-sitesewage treatmentsystem must be properlyabandoned and certificationprovided to the City Water and Sewer Superintendentthat the abandonment occurred.The applicantmust reportthe abandonment to theGallatinCityCounty HealthDepartment.Inadditiontoabandonment of theseptic tankand leachfield,theapplicantmust demonstratethatthesanitarysewer servicetotheseptictankhas been completelydisconnectedfrom theold septicsystem priortoconnectiontotheCitysanitarysewer system. Any wellspresentlyused fordomestic purposesmay be retainedforirrigationonly,with no physicalconnectiontodomesticwaterpiping.Certificationthatthereisno physicalconnectionbetween an on-sitewell and the domestic water piping must be provided.The City Water and Sewer Superintendentmay performan inspectionof thepropertyand certifythatthedisconnectionofthewell and septicsystem abandonment are properlycompleted.Landowner understandsand agreesthatif Landowner failstoproperlyabandon theexistingsystemand/orfailstodisconnecttheexistingwellfrom thedomesticwaterpipingasrequiredhereintheCitymay upon tenday'swrittennoticetotheLandowner terminatewater and/orsewer servicesto the property.Costs of alldisconnectsand/orsubsequent reconnectsshallbe borne by Landowner. 7.Water Rights The Landowner specificallyrecognizesand agreesthatprovisionsforwaterrightsorcashin-tieu of waterrightsshallbe providedupon furtherdevelopmentorsubdivisionof thepropertyinaccordance 130 FLANDERS MILL ANNEXATION Agreement 5 withSection38.410.130,Bozeman MunicipalCode and asmay be amended.The amount ofwaterrights or cash-in-lieuthereofdue at the time of furtherdevelopment or subdivisionof the propertywillbe calculatedbased on theannualdemand forvolume of waterthedevelopment willrequiremultipliedby themost currentannualunitpriceineffecton thedatethewaterrightsaretransferredorpayment-in-lieu of waterrightsistobe made totheCity.As such,theLandowner acknowledges thattheratesforcash in-lieuof waterrightsmay increaseovertimeas establishedby Resolutionof theCityCommission.As such,theLandowner acknowledges thattheratesforcash in-lieuofwaterrightsmay increaseover time as establishedby ResolutionoftheCityCommission.Payment of$1,404forcash-in-lieuofwaterrights fortheexistinghome on thepropertyisdue atthetimeof annexation 8.Comprehensive Water and Water Design Report Priortofuturedevelopment ofthepropertytheCitymay requiretheLandowner tohave prepared by a ProfessionalEngineer,at Landowner's soleexpense,a comprehensive designreportevaluating existingcapacityofsewer and waterutilitiesinthearea.The reportmust includehydraulicevaluations ofeachutilityforbothexistingand post-developmentdemands,and thereportfindingsmust demonstrate adequatecapacitytoservethefulldevelopment of the land.Ifadequateinfrastructurecapacityisnot availablefortheproposeddevelopment,thereportmust identifynecessarywateror wastewatersystem improvements necessaryforthe proposed development.Ifimprovements to thiswateror wastewater system are necessary,the Landowner agreespriorto development of the 130 FLANDERS MILL ANNEXATION tocomplete,atLandowner's expense,thenecessarysystem improvements toservethe proposeddevelopment. 9.Future Development Limitations The Landowner shallbe responsibleforinstallingallfacilitiesrequiredtoprovidefullmunicipal servicestothepropertyinaccordancewiththeCity'sInfrastructureMasterPlansand allCityregulations, 130 FLANDERS MILL ANNEXATION Agreement 6 policiesand guidelinesthatmay be ineffectatthetime ofany futuredevelopment.Thus,Landowner understandsand agreesLandowner has no right,eithergrantedorimplied,forittofurtherdevelopany of the 130 FLANDERS MILL ANNEXATION untilitis verifiedby the City thatthe necessary municipal services,includingbut not limitedto policeand fireprotection,parks and recreation, transportation,and sewer and watercapacity,areavailabletoallor a portionof the 130 FLANDERS MILL ANNEXATION.Notice isthusprovidedtotheLandowner thatpriortoadditionaldevelopment of theproperty,theLandowner willbe solelyresponsibleforinstalling,atLandowner's soleexpense, any facilitiesorinfrastructurerequiredtoprovidefullmunicipalservicestothe130FLANDERS MILL ANNEXATION inaccordancewiththeCity'sinfrastructureplans,adoptedGrowth Policies/Community Plans,and allothercityregulations,policiesand guidelinesthatmay be in effectat the time of development. 10.Stormwater Master Plan Landowner understandsand agreesa Stormwater Master Plan forthe 130 FLANDERS MILL ANNEXATION forasystemdesignedtoremove solids,oils,grease,and otherpollutantsfrom therunoff from publicstreetsand otherimpermeable surfacesmay be requiredtobe providedtoand approved by theCity Engineerat the time of any futuredevelopment.The plan must demonstratethatadequate treatmentof runofffrom publicstreets,otherimpermeable surfaces,and allfuturelotswillbe achieved by providingspotelevations,flow directionarrows,detentionand/orretentionbasindetails(including basin si7.ingcalculationsand basin typicalsections),outletstructuredetails,and culvertcapacity calculations.The plan must alsolocateand provideeasements foradequatedrainageways withinthe 130 FLANDERS MILL ANNEXATION totransporttreatedrunofftothestormwaterreceivingchannel. The plan shallincludesitegradingand elevationinformation,typicalstormwaterdetention/retention basin and dischargestructuredetails,basin sizingcalculations,and stormwater maintenance plan. 130 FLANDERS MILL ANNEXATION Agreement 7 Landowner recognizestheCitymay requiresuch Stormwater Master Plan tobe implemented inallor partas a conditionofapprovalof development ofthe 130 FLANDERS MILL ANNEXATION. 11.Waiver of Right-to-ProtestSpecialDistricts A.Landowner shallexecutea Waiver of Right-to-ProtestCreationof SpecialImprovement Districtsor Special Districtsfor streetand transportationimprovements includingdesign and engineering,paving and subsurfaceimprovements,curb and gutter,sidewalk,stormwaterdrainage facilitiesfor(a)DurstonRoad between North Cottonwood Road and North FergusonAve,(b)Flanders Mill Road from Durston Road to West Oak Street,and (c)Ferguson Avenue.The Landowner agrees such SID or specialdistrictswill provide a mechanism for the fairand equitableassessment of constructionand maintenancecostsforsuch improvements.The waiver isattachedheretoas Exhibit "A"and ishereby incorporatedinand made a partof thisAgreement. B.Landowner shallexecutea Waiver of Right-to-ProtestCreationof SpecialImprovement Districtsor Special Districtsfor Intersectionimprovements including lighting,signalization/ channelization,paving,curb/gutter,sidewalk,and storm drainagefor a)Durston Road and North Ferguson,b)DurstonRoad and FlandersMillRoad,c)West Oak Streetand FlandersMillRoad,and d) FergusonAvenue and West Oak Street.The Landowner agreessuch SID orspecialdistrictswillprovide a mechanism forthe fairand equitableassessmentof constructionand maintenance costsforsuch improvements.The waiver isattachedheretoas Exhibit"B"and ishereby incorporatedinand made a partofthisAgreement. C.Landowner agreesthatin the eventan SID isnot utilizedforthecompletionof these improvements as describedin subsectionsA and B above,the Landowner shallparticipatein an alternativefinancingmethod forthecompletionofsaidimprovements on a fairshare,proportionatebasis 130 FLANDERS MILL ANNEXATION Ap,reement 8 asdeterminedby theCityon thebasisofthesquarefootageofproperty,taxablevaluationoftheproperty, trafficcontributionfrom thedevelopmentor a combinationthereof. 12.PublicStreetand UtilityEasements The Landowner understandsand agreesthata publicstreetand utilitycasementmust be provided atthetime Landowner retums thesignedannexationagreement for(45)feetfrom thecenterlineof the existingROW forFlandersMill Road along FlandersMillRoad propertyfrontageas depictedin the Bozeman TransportationMaster Planpriortotheadoptionof Resolutionof Annexation.The Right-of- Way must be executed using theCity'sstandardlanguage. A ten footprivateutilityeasement must be providedalong theproperty'sFlandersMillRoad frontagepriortotheadoptionof ResolutionofAnnexation.The executed easement must be delivered to the City Engineering Department.The easement must be executed on the City's standard easement form. The Landowner,atitssoleexpense,has createdsucheasementsina locationand form agreeable to theCity and the easements willbe filedattheGallatinCounty Clerk and Recorder'sOffice.The Landowner furtherunderstandsand agreesthatadditionalpublicstreetand utilitycasements may be requiredfordeliveryofmunicipalserviceswithfuturedevelopment and sucheasementshallbe provided attheLandowner's soleexpense. 13.StreetImprovements The Landowner understandsand agreesthatat thetime of futuredevelopment the portionof FlandersMill Road and itsrelatedtransportationinfrastructurefrontingthe 130 FLANDERS MILL ANNEXATION must be improved toa Citystandard. 130 FLANDERS MILL ANNEXATION Agreement 9 14.Impact Fees Landowner acknowledges thatannexationand development of theirpropertywillimpact the City'sexistingstreet,water and sewer infrastructure,and theCity'sfireservice.As approved by the City,theLandowner and itssuccessorsmust pay: A)Fireimpactfeesequaltotheamount perChpt.2,Art.6.Div.9 BMC,oras amended,at timeof issuanceof a buildingpermit. B)Transportationimpact feesequalto theamount per Chpt.2,Art.6.Div.9 BMC,or as amended,attimeof issuanceofa buildingpermit. C)Water impactfeesas requiredby Chpt.2,Art.6.Div.9 BMC,oras amended,atthetime ofconnectiontocitywater services. D)Sewer impactfeesasrequiredby Chpt.2,Art.6.Div.9 BMC,orasamended,atthetime ofconnectiontocitysewer services. The amount ofimpactfeetheLandowner or itssuccessorspay forconnectiontothecity'swater and sewer services,ifany,shallbe calculatedbasedon theprovisionsoftheBozeman MunicipalCode, as amended,ineffectatthetime of applicationfora permitto connect.The amount of streetor fire impact feestobe paid,ifany,shallbe calculatedbased on theprovisionsof the Bozeman Municipal Code,asamended,ineffectatthetimean applicationforbuildingpermitissubmitted. Landowner furtherunderstandsand agreesthatany improvements,eitheron-siteor off-site, necessarytoprovideconnectionofthe130FLANDERS MILL ANNEXATION municipalservicesand which are wholly attributableto the propertyas determinedexclusivelyby the cityare considered "projectrelatedimprovements"asdefinedinChapter2,Article6,Division9,Bozeman MunicipalCode, asamended,and assuch,arenotcligibleforimpactfeecredits. IfLandowner defaultson thisconditionatthetime such isto be performed,and shoulddefault not be remedied orcorrectedwithinthirty(30)days afterwrittennoticeby CitytotheLandowner and Landowner/Developerof such default,Citymay atitsoption: A)Declaretheamounts owing forimpactfeesimmediatelydue and payableand City shallhave therightand privilegetotakelegalactionagainstLandowners forthe collectionofsuchsum,includingtheentryofany judgment.Inaddition,theCity 130 FLANDERS MILL ANNEXATION Agreement 10 may,atitsoption,enforcepayment of such amount by levyingan assessmenton theproperty. B)Electany otherremedy availabletoCityunderthelaws of theStateof Montana. 15.Charges and Assessments Landowner understandsand agreesthatafterthisAgreement isrecordedthe130 FLANDERS MILL ANNEXATION willbe subjecttoCitychargesand assessmentsforarterialand collector streets,streetmaintenance,and treemaintenanceon thesame basisas allotherpropertiesintheCity. 16.AdditionalTerms The partiesrecognizethesedocuments must be filedand ofrecordwith theGallatinCounty Clerk and Recorderpriorto the saleof any landwithinthe 130 FLANDERS MILL ANNEXATION.The partiesfurtheragreethattheCitymay filethesedocuments atany time. 17.Governing Law and Venue This agreement shallbe construedunderand govemed by thelaws ofthestateof Montana.In theeventof litigation,venue isintheEighteenthJudicialDistrictCourt,inand forCounty ofGallatin, StateofMontana. 18.Attorney'sFees In the eventitbecomes necessaryforeitherpartyto thisAgreement to retainan attorneyto enforceany of theterms orconditionsof thisAgreement,thentheprevailingpartyshallbe entitledto reasonableattorney'sfeesand costs,toincludethesalaryand costsofin-housecounselincludingCity Attorney. 19.Waiver No waiverby eitherpartyofany breachof any term,covenantor agreement shallbe deemed a waiver ofthesame orany subsequentbreachofthissame orany otherterm,covenantoragreement.No covenant,term oragreementshallbe deemed waived by eitherpartyunlesswaived inwriting. 130 FLANDERS MILL ANNEXATION Agreement i1 20.InvalidProvision The invalidityor unenforceabilityof any provisionof thisagreement shallnot affecttheother provisionshereof,and thisAgreement shallbe construed in all respectsas if such invalidor unenforceableprovisionwere omitted. 21.Modificationsor Alterations No modificationsoramendment of thisAgreement shallbe validunlessevidencedby a writing signedby thepartieshereto. 22.No Assignment Itisexpresslyagreed thatthe Landowner and/orLandowner/Developer shallnot assignthis Agreement inwhole or inpartwithoutpriorwrittenconsentof theCity. 23.Successors ThisAgreement shallbe bindingupon,inureto thebenefitof and be enforceableby theparties heretoand theirrespectiveheirs,successorsand assignsand specificallytoany subsequentpurchaserof theannexed property. 24.Covenants toRun with the Land The partiesintendthattheterms of thisAgreement shallbenefitthe 130 FLANDERS MILL ANNEXATION and shallbe covenantsrunningwiththelandand shallnotexpireattheirdeathsorupon transferof ownershipoftheproperty.
