MUTUAL ACCESS AND PARKING EASEMENT AND AGREEMENT
This Easement and Agreement isestablishedthis 40 day of dLn 6 ,2022,between 19'h
Capital Group LLC,a Montana Limited LiabilityCompany,whose address is 322 W.
Mendenhall St.,Bozeman,Montana,59715 ("Grantee"),and University Crossing Property
Owners Association,a Montana mutual benefit corporation,whose address is 322 W.
Mendenhall St.,Bozeman,Montana,59715 ("Grantor");
RECITALS:
WHEREAS,University Crossing Property Owners Association is the record owner of the
following subservienttenement ("Easement Property"):
COMMON OPEN SPACE,UNIVERSITY CROSSING MlNOR SUBDIVISION NO.503,City
of Bozeman,according to the platthereofon fileand of record in the officeof the Clerk and
Recorder,GallatinCounty,Montana,and locatedin the SE 1/4of Section 14,Township 2 South,
Range 5 East of P.M.M.
WHEREAS,19thCapitalGroup LLC istherecord owner of thefollowingdominant tenement:
LOT 1A-1 of MINOR SUBDIVISION NO.503B,City ofBozeman,accordingtothe platthereof
on fileand ofrecordintheofficeoftheClerk and Recorder,GallatinCounty,Montana,and located
inthe SE 1/4of Section 14,Township 2 South,Range 5 East of P.M.M.;and
LOT 2A of MINOR SUBDIVISION NO.503A,City of Bozeman,according to the platthereof
on fileand of recordintheofñce of theClerk and Recorder,GallatinCounty,Montana,and located
inthe SE 1/4of Section 14,Township 2 South,Range 5 East of P.M.M.;and
LOT 3,of MINOR SUBDIVISION NO.503,City of Bozeman,accordingto theplatthereofon
fileand of recordin the officeof the Clerk and Recorder,GallatinCounty,Montana,and located
inthe SE 1/4of Section 14,Township 2 South,Range 5 East of P.M.M.;and
WHEREAS,thePartieshave determined thatitisintheirbestintereststo establishan accessand
parking easement forthe development of thelotdescribedabove;
NOW,THEREFORE,a mutual access and parking easement for a common driveway,parking
areaand ingressand egressishereby establishedas follows:
1.Description of Easement.The easement isover,under and acrossallof saidCommon
Open Space.
2.Perpetual Easement.This accessand parking easement shallbe a perpetualeasement and
shallbe superiorto and paramount totherightsof any of the subsequent owners of saidproperties
and the respectiveservientestatesso created.The Partiesfurtherstatethatthiseasement is a
covenant thatshallrun with the land,and shallbe forthebenefitof and inureto the Parties,their
successorsand assigns,theiragents,employees,tenants,and guestsof tenants,and shallburden
theirrespectiveparcels,perpetually.
3.Surface Easement;Reservation of Subsurface Rights;Access.This easement is
generallyconstrued as a surfacerightwhere the Partiesacknowledge thatGrantor has certain
subsurfacerights,primary relatedto the maintenance of a stormwater system.Grantor reserves
the righttoaccessitssubsurfacerightsviathe surfacelotforwhich Grantor isgrantingtoGrantee.
Grantor may reservethe rightto access itssubsurfacerightsas isreasonable and necessary to
preserve itssubsurfacerights,which may includethe need to destroy portionsof the easement
Property.Should Grantor need to access itssubsurfacerights,Grantor shallbe ableto utilizethe
Easement Property,with reasonable attemptsto minimize Grantor's interferencewith Grantee's
use of the Easement Property.Grantor shallbear allexpense to repairthe Easement Property to
reasonablyrestoretheEasement PropertytoitsconditionpriortoGrantor'saccess.Should Grantor
depriveGrantee of any space within the Easement Property formore than 30 days in 1 calendar
year,Grantor shallreasonably compensate Grantee.
4.Maintenance.Grantee shallgenerallybe responsibleforthemaintenance of theEasement
Propertyunlessotherwiseprovided inthisAgreement.
5.Successors.Subsequent owners and their heirs and assigns shall be bound to this
Agreement.
6.Indemnification.That Grantee shallindemnify Grantor againstany liabilityresultingfrom
itsuse of the Easement Property unlesssuch liabilityisdue toGrantor'snegligence.
7.No Encumbrances.That the mutual access and parking easement shallremain freeand
clearatalltimes from allencumbrances.
8.Attorney Fees.That the substantiallyprevailingparty in any disputearisingunder this
Agreement shallbe awarded itsreasonableattorneyfees.
9.Governing Law.This Agreement shallbe construed under the laws of the State of
Montana.
The Partieshave executed thismutual access and parking easement and agreement on the
day and year firstwrittenabove.
