1ST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
THIS 1ST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT FOR
Swim Center Engineering and Architectural Services, dated June 17, 2022 (the “Agreement”) is
made and entered into this _____ day of ____________, 2022, by and between the CITY OF
BOZEMAN, MONTANA, a self governing municipal corporation organized and existing under
its Charter and the laws of the State of Montana, 121 North Rouse Street, Bozeman, Montana, with
a mailing address of PO Box 1230, Bozeman, MT 59771, hereinafter referred to as “City,” and
Cushing Terrell, hereinafter referred to as “Contractor.”
In consideration of the mutual covenants and agreements herein contained, the receipt and
sufficiency whereof being hereby acknowledged, the parties hereto agree to amend the Agreement
as follows:
1. Extension of Term. This Agreement is effective upon the date of its execution and will
terminate upon satisfactory completion of the agreed Scope of Services as described in
Exhibit A, which may be amended from time to time by the mutual agreement of the
Parties pursuant to terms of this agreement, as determined by the City.
2. Addition to Scope of Work. This amendment will expand the scope of work for this
contract to include Design Services, Bidding Services, Permitting Services, and Contract
Administration Services related to the repair of the Bozeman Swim Center as described in
Exhibit A.
3. Addition to Payment. See Exhibit A for fee proposal for services to be provided.
4. Agreement still valid. All remaining terms and provisions of the Agreement remain valid.

the Bozeman Swim Center Building, located at 1211 W Main Street, in Bozeman, Montana.
The attached proposal provides a description of Cushing Terrell’s understanding of the project scope and
discusses the scope of services Cushing Terrell will provide. It also lists our proposed team, which accounts
for the disciplines and expertise anticipated for this work.

Proposal for Contract Amendments
Design, Permit, Bid, and Contract Administration for Phase 1 work at the Bozeman Swim Center Building
SCOPE OF PROJECT
The City of Bozeman is seeking architectural and engineering Design, Permit, Bid, and Contract
Administrations services for implementation of Phase 1 work to address emergency conditions as defined
below at their Bozeman Swim Center building located in Bozeman, Montana.
SCOPE OF SERVICES
Cushing Terrell will manage this project from our Bozeman office. Our professional team will be led by the
following key team members:
• Principal-in-Charge: Corey Johnson, Cushing Terrell
• Project Manager: Sky Cook, Cushing Terrell
• Project Architect: Ali Vasarella, Cushing Terrell
• Structural Engineer: Sam Fox, DCI Engineers
• Plumbing Engineer: Jay Listoe, Cushing Terrell
• Electrical Engineer: Carl Maehl, Cushing Terrell
• Envelope Specialist: Brady Gauer, Cushing Terrell
Cushing Terrell’s professional service offerings for Design, Permit, Bid, and Contract Administration will
include the scope as described below.
Design Services
Permit 1 – Phase 1 Design Scope
The items being addressed in this phase are as follows:
1. Provide truss repairs as detailed in the Immediate Repairs Report.
2. While completing the truss repairs in Item 1 above, repair any ceiling suspension wires as needed to
meet current seismic code requirements.
3. Patch the ridge cap of the natatorium roof to deter water intrusion at this location.
The design for Permit 1 items has been previously detailed in DCI’s Immediate Repairs Report. The proposal
assumes the information and drawings in the report to be adequate for permitting and construction and
does not include any site visits for further design of these items or meetings.

Permit 2 – Phase 1 Design Scope
The items being addressed via permittable drawings and specifications in this phase are as follows:
4. Full roof replacement down to existing roof substrate with above-deck insulation and asphalt roofing.
5. At the same time of the roof replacement, replace all deteriorated roof sheathing as needed.
6. At the same time of the roof replacement, create a positive connection between natatorium roof
trusses to exterior CMU walls.
7. At the same time of the roof replacement, transfer lateral forces from roof to exterior CMU walls.
8. At the same time of the roof replacement, update existing out-of-plane seismic connection at the wall
ends of the natatorium.
9. Sister damaged joists above Aquatic Director’s Office.
10. Retrofit TJI joists at Filter Room.
11. Address separation at natatorium exterior outside wall corners.
12. Demo all existing EIFS at exterior walls. Replace with new finish system including insulation and vapor
control system. This proposal includes two conceptual-level design options. Once a direction is given by
the City, the selection option will be further refined.
13. Create code-compliant threshold condition at north exterior overhead door. Paint metal lintel and cover
wood jambs with brake metal at this location.
14. At south courtyard door, adjust/replace hardware as needed and replace cracked storefront glazing
panel above.
15. At pool deck ridge and depression areas, remove tiles, grind down ridges and use leveler at
depressions, then patch back with new tile and non-rigid expansion joints.
16. New interior code-compliant interior signage throughout the building.
17. Address chemical storage fire code violations.
18. Address washing machine needs.
19. Replace faucets as needed to include vacuum breakers.
20. Address existing and add new fire alarm pull stations at natatorium.
The items being addressed in this phase that do not require permit and work will be documented via
narrative descriptions are as follows:
21. Patch, repair, and paint all exposed exterior CMU walls. Paint exposed unpainted fascias and metal
items.
22. Repair leak at Women’s Locker Room faucet. Replace tile at this location.
23. Scrape off paint at existing fire extinguisher so it can open. Install three new fire extinguishers.
24. New ramps to grade at west natatorium exit stoops.
25. Replace pipe supports and piping insulation as needed to address immediate concerns.
26. Install under-lav insulation kits and point-of-use mixing valves as needed.
27. Repair leaking hose bibs.
28. Install/replace exit signs and emergency egress lighting as needed.
29. Cover breakers and j-boxes as needed.
30. Attach demarcation box to exterior wall.
The design work includes the documentation for Permit 2 items as listed above.
The full design team will visit the site once during design to complete further investigation to complete the
scope above. Cushing Terrell will create Progress Reports to communicate project progress every two weeks
during the Permit 2 Design services period.

Bidding Services
Permit 1 – Phase 1 Bid Scope
This proposal assumes the General Contractor will coordinate with subs for all Permit 1 scope. The Design
Team will be available to respond to any comments or questions regarding these items.
Permit 2 – Phase 1 Bid Scope
This proposal assumes the General Contractor will coordinate with subs for all Permit 2 scope. The Design
Team will be available to respond to any comments or questions regarding these items. This proposal does
not include formal bidding work to meet State procurement process, including invitation to bid, pre-bid
conference, or bid opening meetings.
Permitting Services
Permit 1 – Phase 1 Permit Scope
Cushing Terrell will apply for Permit 1 following the City-standard permit application process. The Design
Team will be available to respond to any comments or questions regarding these items.
Permit 2 – Phase 1 Permit Scope
Cushing Terrell will apply for Permit 2 following the City-standard permit application process. The Design
Team will be available to respond to any comments or questions regarding these items.
Contract Administration Services
Services for Contract Administration for the Phase 1 work consist of site visits as noted below, monthly pay
application reviews, review submittals, and DCI and Cushing Terrell attendance OAC meetings every two
weeks for Permit 2 work. This fee is based on a schedule of four total weeks of construction for Permit 1 –
Phase 1 items and four months of construction for Permit 2 – Phase 1 items. If the schedule extends beyond
this timeline or if additional site visits are required, additional services will be charged at hourly rates.
Permit 1 – Phase 1 Contract Administration Scope
Weeks 1 and 2 – Construction Procurement:
• The Design Team will respond to any comments and/or revisions that come out of the Permit Review
process.
• Review submittals from Contractor as needed.
Weeks 3 and 4 - Construction
• Sam with DCI will visit the site two times to review progress and discuss any unexpected site

conditions.
• Ali Vasarella with Cushing Terrell will visit the site one time to review progress and discuss any
unexpected site conditions.
• Ali Vasarella will review one Pay Application from the General Contractor.
Permit 2 – Phase 1 Contract Administration Scope
Construction Procurement:
• The Design Team will respond to any comments and/or revisions that come out of the Permit Review
process.
• Review submittals from Contractor as needed.
Construction
• Sam with DCI and Ali Vasarella with Cushing Terrell will attend eight on-site OAC meetings (one every
two weeks). At these visits, they will review progress and discuss any unexpected site conditions.
• Ali Vasarella with Cushing Terrell will review four Pay Applications from the General Contractor.
• Brady with Cushing Terrell will visit the site twice to inspect the installation of the vapor barriers. Once
for the roof and once for the walls.
• At the end of construction, all key team members will visit the site to review the work and compile
their observations and final comments in a stamped Visual Observation Report. This will be in
conjunction with/at the same time as the Punch List, which will be coordinated by the General
Contractor.
Assumptions
This proposal is based upon Cushing Terrell’s understanding of the following assumptions:
• Jackson Contractor Group will be acting as General Contractor for the Phase 1 work.
• Cushing Terrell will be completing all application work for Permit 1 and Permit 2. The Design Team will
be able to respond to any comments and/or revisions that come out of both Permit Review
processes.
• The building is in the PLI zoning district, on a Principal Arterial street with Mixed street frontage
classification, with no overlay districts, SID, or Payback areas.

Estimated Reimbursable Expenses
Reimbursable expenses for the scope outlined above are estimated at $2,700. Reimbursable expenses include
travel (airfare, auto rental, mileage/fuel, lodging, and meals), printing, copying, legal fees and postage plus a
10% administrative/processing fee. These fees are subject to change if the scope of the project changes.
PROJECT SCHEDULE
The anticipated construction schedule/timeline for Permit 1 is to start upon acknowledgement from the City
of receipt of permit for the work. The schedule is anticipated to consist of two weeks of procurement and two
weeks of construction.
The anticipated construction schedule for Permit 2 is to start design upon completion of the Contract
Amendment (anticipated to be complete by mid-September 2022). Two City design review milestones are
included in this proposal. Each review will consist of a combination in-person/web conference meeting
followed by a 1-week review period for City review and comment. One review will take place mid-design and
another at the end of design prior to permit submittal. Permitting is anticipated to be submitted mid-
February 2023. Construction is anticipated to take four months after construction start (anticipating mid June,
2023 start).
This proposal is based upon prompt Owner review of and response to the submittals as shown above. The
Owner acknowledges that Owner-generated changes in the schedule of the project may result in
modifications of the associated professional fees.
This contract amendment proposal is valid for 30 (thirty) days from date of issue.
