Offer of Dedication
This Irrevocable Offer to Dedicate and Declaration of Restrictions(hereinafter"O ffer")is
made this /l day of /M 4 2022,by KQ BOZEMAN HARMON STREAM,L.L.C.
at 353 MARSHALL AVENU ,SUITE 1,ST.LOUIS,MO 63119 (hereinafterreferredto as
"Grantor").
WHEREAS,Grantor isthe legalowner insimple feeinterestof certainrealpropertieslocated
intheCounty of Gallatin,Stateof Montana,and describedas Tract 2A of the Amended Platof West
College Minor Subdivision No.195A situatedin the Northwest one-quarterof Section 14 and the
Northeastone-quarterof Section 15,T2S,R5E,P.M.M.City of Bozeman,GallatinCounty,Montana,
on Sle and of record in theofficeof the Clerk and Recorder of saidCounty (hereinafterreferredto as
the "Property")and
WHEREAS,Grantor applied to the City of Bozeman (the "Municipality")for approval to
undertakedevelopment as defined inChapter 38.7,BMC svithinthe City of Bozeman (hereinafterthe
"Permit");and
WHEREAS,approval of Application#21032 was grantedon .by
the Municipalityinaccordance with the provisionsof Title38,BMC,herebpincorporated by
reference;and
WHEREAS,Grantor wishes to meet the requirements of Title38,BMC,to provide public
access and/orallow simultaneousconstructionof infrastructureand improvements which willlaterbe
grantedtothe Municipality,with the buildings,remaining improvements and landappurtenantthereto
to remain in privateownership,as authorizedin Section38.270.030.C;and
WHEREAS,thewater and sewer improvements and streetinfrastructureappurtenanttoand to
be installedor constructedon or under the above described lands,and infrastructureand/or interests
thereinare to be dedicatedto the Municipality,freeand clearof allencumbrances,pursuant to said
Anal approval of the Permit;and,
WHEREAS,itisintendedthatthisOffer isirrevocableand shall,upon writtenacceptance by
the Municipalityand finalapproval of the Permit referencedherein,grant allrightsof use or access
formaintenance and repairof the saidimprovements and infrastructureoffered;
NOW THEREFORE,in considerationof the granting of,and conditioned upon,the final
approval forapplicationno.21032,theGrantor hereby offerstodedicatetotheMunicipality,thesewer
and water improvements and streetinfrastructureconstructedor to be constructedupon the real
property as specificallyset forth,described and identifiedin the plans and specificationsissuedor
prepared by Morrison-Maierle,Inc.at 2880 Technology Blvd.West,Bozeman,MT 59718 Project
6558.002.04 dated July 21,2021 (with subsequent approved revisions),which are by thisreference
incorporatedinthisinstrument.
1.Benefit and Burden.This Offer shall run with and burden the Property and all
obligations,terms,conditions,and restrictionshereby imposed shallbe deemed to be covenants and
restrictionsrunning with the land and shallbe,upon the issuanceof the finalPermit referenceherein,
be effectivelimitationson the use and access of the Property by Grantor and shallbind the Grantor
and all successors and assigns.This Offer shallbenefit the Municipality only so long as said
improvements and infrastructuresforsewer and water existon the Property.
2.Construction and Validity.Ifany provisionof these Restrictionsisheld to be
invalidor forany reason becomes unenforceable,no other provisionshallbe thereby affected
or impaired.
3.Successors and Assigns.The terms,covenants,conditions,exceptions,
obligations,and reservationscontained in thisOffer shallbe binding upon and inure to the
benefitof the successors and assigns of both the Grantor and the Municipality,whether
voluntaryor involuntary.
4.Limitations.The constructionand otherstandardsadopted or utili7-edby theCity
of Bozeman regarding legal form,constructionmaterials.warranty,and allother elements
relatingto improvements or infrastructureconstructedor be constructedpursuantto the Permit
shallbe fullyapplicable.
5.Term.This irrevocableOffer of Dedicationshallbe binding forthedurationof
FinalSitePlan approval process.Upon writtenacceptanceof thisOfferby the Municipality,this
Offer and the terms,conditions,and restrictionshereofshallexistin perpetuity,shallhave the
effectof a grantby Grantor,subjectto the conditionsstatedherein,and shallrun with the land
and be binding on the parties,theirheirs,assigns,and successors,PROVIDED,HOWEVER,
thisgrantshallbe nulland void ifthe Permit referencedhereinisnot grantedand issuedby the
Municipalityon or beforeone year afterthedateof FinalPlan approvalor extensionsof thedate
of approval.
