CABLE AND FACILITIES EASEMENT AND AGREEMENT
This CABLE AND FACILITIES EASEMENT ("Agreement")isentered into
between the City of Bozeman,a self-governingmunicipal corporationorganized and
existingunder itsCharterand the laws of the Stateof Montana,locatedat 121 N.Rouse
Ave,P.O.Box 1230,Bozeman,MT 59771-1230 ("Grantor"),and Bozeman Fiber,Inc.,a
Montana domestic nonprofitpublicbenefitcorporation,dba Yellowstone Fiber,locatedat
77A Nugget Lane,Belgrade,Montana 59714 (togetherwith itssuccessorsand assigns
"Grantee").Grantor and Grantee may hereinafterbe referredto collectivelyas the
"Parties"or singularlyas the"Party".
RECITALS:
A.Grantor isthe owner of certainrealpropertylocatedin GallatinCounty,
Montana,which is legallydescribed and shown on Exhibits B -0 ("Grantor's
Property").
B,Grantee wishes to acquirefrom Grantor,and Grantor wishes to grant to
Grantee,on the terms and conditionssetforthherein,a perpetualrightsubjectto certain
limitationsas establishedhereinand non-exclusiveeasement as describedin Section2
below,togetherwith the rightsof ingressand egress,in,under,through,over,across,
above,and upon Grantor'sProperty.
CABLE AND FACILITIES EASEMENT
NOW,THEREFORE,forgood and valuableconsiderationprovided by Grantee
toGrantoras identifiedon ExhibitA and themutual covenants,terms,and conditionsset
forthherein,the receiptand sufficiencyof which are hereby acknowledged,the Parties
agreeas follows:
1.Recitals.The Partiesagree thatthe foregoingrecitalsare trueand correct
and arehereby incorporatedintothisEasement.
2.Grantof Easement.Grantor herebygrantsand conveys toGrantee(together
with itssuccessorsand assigns),a perpetualas limitedherein,non-exclusiveeasement for
the benefitof Grantee,togetherwith therightsof ingressand egress,in,under,through,
over,across,above,and upon Grantor'sPropertysubjectto allmattersof recordto,at
Grantee's sole cost and expense,locate,survey,conduct environmental surveys for,
excavate,construct,entrench,maintain,protect,inspect,operate,repair and replace
(collectivelyreferredto as "Grantee's Necessary Actions")the cables and associated
system facilities,hardware and equipment (collectivelyreferredto as "Cables and
Facilities"),graphicallydepicted on the drawing includingon Exhibits B -O and
incorporatedby reference,in,under,through,over,across,above,and upon Grantor's
Property(the"Easement").
The Cables and Facilitiespermitted to be installedand maintained within the
Grantor'sPropertyarespecificallydescribedinExhibitsB -O,as attachedhereto.Such
Cable and Facilitiesshallbe limitedto a concretepad,generator,and telecommunications
shelter,inthesize,height,width,dimension and locationsspecificallysetforthinExhibits
B -O.The Cable and Facilitiesshallbe installedstrictlyinaccordance with the plansset
forthin Exhibits B -O and shallbe subjectto allthe terms and conditionsof this
Agreement.Grantee shall not construct,erect or installany structuresor other
improvements withinGrantor'sPropertywithoutthepriorwrittenapprovalof Grantorand
inaccordancewith City of Bozeman's Ordinances or otherapplicablelaws,including,but
notlimitedto,siteplan review procedures.
This Easement shallincludethenon-exclusiverightof individualsor entitieswith
which Grantee contractsto providenecessaryservicesto itsCables and Facilitieswithin
Grantor's Property to install,maintain and operate such necessary utilityfacilities
("Necessary UtilityFacilities")in,under,through,over,across,above,and upon
Grantor'sProperty,provided,thatsuch Necessary UtilityFacilitiescomply with allthe
terms and conditionsof this Easement,including all requirements and restrictions
regardingCables and FacilitieswithinGrantor'sProperty.

3.Term of Easement.The term of the Easement shallbe perpetualfrom the
dateof thisAgreement.
4.Costs.Grantee shallpay forallcostsassociatedwith Grantee'sNecessary
Actions.Grantee shallalso pay for allcosts associatedwith constructing,installing,
maintaining,or improving theCables and Facilitiesand theNecessary UtilityFacilities.
5.Improvements,Restoration,and Repairs.Inconsultationwith theGrantor,
Grantee shallhave the rightto cut,damage or remove ground,trees,plants,landscaping
and otherimprovements withinGrantor'sPropertytotheextentreasonableand necessary,
duringconstruction,maintenance,repairor replacementof theCables and Facilitiesor the
Necessary UtilityFacilities.If necessary,as determined by the Grantor,Grantee shall
restorethe surfaceof Grantor'sPropertyto the reasonablesatisfactionof Grantor in a
timely manner,not to exceed ten (10)businessdays (or as soon as weather reasonably
permits)following the completion of any of Grantee'sNecessary Actions,including
without limitation,construction,maintenance,repairor replacement of the Cables and
Facilitiesor the Necessary UtilityFacilities,or of any otherdisturbanceof Grantor's
Property.Grantee shallnot damage Grantor'sexistingfacilities,whether underground or
overground,and in the event of such damage shallrepairor cause to be repairedsuch
damage,atGrantee'ssolecostand expense.
6.Easement Conditions.The Easement shallbe subjectto the following
conditions:
a.The Partiesexpresslyacknowledge thatthe Easement is located
withinpublicpropertythatmay be utilizedby thepublicforparkor otherpurposes.
Grantee agrees,that,at alltimes,thisEasement shallbe subjectto any use of the
publicpropertyby theGrantorand thepublic.
b.Grantor reservesitsexistinguses,togetherwith any futureuses,of
the Grantor'sPropertywhich do not unreasonably interferewith Grantee'suse of
theGrantor'sProperty.
c.Any and allrightsgrantedhereinaresubjecttotherightsofexisting
utilities,rights-of-way,easements or other property interestsin the Grantor's
Property.Grantee shallbe responsible,at Grantee's sole costand expense,for
obtainingconsentsand approvals,includingthoseof theGrantor forrelocatingor

modifying thealignmentsof existingutilitiesas of the dateof thisAgreement,if
any,in order to maintain reasonableclearancesbetween such utilitiesand the
Cables and Facilitiesor theNecessary UtilityFacilities.
d.The Easement grantedhereinissubjecttothe rightsof Grantorand
itsinvitees,successorsand assigns to use the surface of Grantor's Property,
providedsuch use isreasonablycompatiblewith the use of the Grantor'sProperty
by Grantee for the purposes described herein.Notwithstanding the foregoing,
Grantorand itssuccessorsand assignsshallhave the righttodevelop theGrantor's
Propertywith driveways,parking areas,landscapingareas,curbs,gutters,and
paving and any appurtenancesnecessaryforpark or othermunicipalpurposes as
Grantor deems appropriatein itssole discretion;provided that Grantor first
provides Grantee thirty(30)days written notice of itsintentto installsuch
developments.
e.Grantee shallcause allof itsactivitieshereundertobe performed in
a safemanner and shallnotcausetoexistany dangerousconditionwithinGrantor's
Property.Grantee shall,at Grantee's sole cost and expense,perform all
maintenance of the Cables and Facilitieswithinthe Easement Property.Grantee
shallperform such maintenance of theCables and Facilitiesincompliance with all
applicablezoning laws,regulationsand ordinances.In addition,Grantee must
maintainthe Easement Area freeand clearof debris,regularlymow any grass,
maintainlandscaping,and controlallweeds.Grantee must alsoensureremoval of
snow or iceisnotplacedinlocationsso as to blocksidewalks,trailsor otherareas
used by thepublic.Grantee shallremove or paintover any graffition the Cables
and FacilitieswithintheEasement Area withinthree(3)businessdays from written
noticefrom theGrantor.
f.Grantee agrees to immediately repair any damage caused by
Grantee,itsagents,invitees,guests,hires,contractorsor subcontractorsto any
publicor privatepropertyoutsidethe Easement Area including,but not limitedto,
streets,curbs,sidewalks,and other infrastructureto,forpublicinfrastructure,the
currentCitystandardforthatinfrastructureand,forprivatelyowned infrastructure,
toaconditionacceptabletotheowner ofsuch privateinfrastructure.Granteeagrees
totimelycomply with any requestof City'sRepresentativeor otherswith theCity
to perform maintenance and repairsto streets,curbs,sidewalks and other
infrastructureoutside the Easement Area damaged by Grantee or itsagents,
invitees,guests,hires,contractors,or subcontractors.

7.Grantor'sAuthoritytoRequireRemoval or Relocation/GranteeRequest for
Relocation.Should Grantor,at Grantor's sole discretion,requirethe relocationof
Grantee'sfacilitiestoanotherlocation,Grantorshallgive Grantee 120 days writtennotice
ofsuch noticetorelocate.GrantorshallusereasonableeffortsincoordinationwithGrantee
to provide anothersuitablelocationforGrantee'sCables and Facilitiesina locationas
close as reasonably possible to the Easement Area.The Partiesshall execute a
reconveyance ofthisEasement Agreement atthesame timeas executinga new Cable and
FacilitiesEasement Agreement forthe new location.Iftheabove occurs,Grantee shall
within 120 days or in a time periodapproved by the City'sRepresentativerestorethe
surfaceof theoriginalEasement Area tothereasonablesatisfactionof Grantor following
therelocationof theCables and Facilities.Allcostsofrelocationshallbe theresponsibility
of Grantee.
In additionto the above,Grantee may requestGrantor authorizeGrantee to relocateits
Cables and Facilities.Grantor may authorizesuch relocationsubjectto the terms and
conditionsof thisEasement and Agreement.
8.Fencine or Protectionof Grantee'sCables and Facilitiesor Other Property.
With the approvalof the Grantor,Grantee shallhave the rightto installfencingor other
measures of protectionas approved by theGrantor from damage or vandalism inoraround
the Easement Area on Grantor'sProperty.
9.Abandonment.Grantee may at any time permanently abandon this
Easement.Grantee'sdiscontinueduse of theEasement and/ortheCables and Facilitiesfor
a term of one (l)year shallbe deemed a permanent abandonment without regard to
Grantee's intent.Upon such abandonment action,Grantee shallremove improvements
constructedthereon within sixty(60)calendardays of receiptof writtenrequestfrom
Grantor followingsuch abandonment and shallexecute and record a reconveyance and
releasehereofwithinfifteen(15)businessdays ofreceiptof writtenrequestfrom Grantor
followingsuch abandonment,whereupon thisEasement and allrightsand privilegesshall
be fullycancelledand terminated.Grantee shallwithin 120 days or in a time period
approved by the City's Representativerestorethe Easement Area to the reasonable
satisfactionofGrantor followingtheremoval of theCables and Facilities.
10.Representativesand Notices.
a.Grantor's Representative:The Grantor'sRepresentativefor the

purpose of thisAgreement shallbe theGrantor'sDirectorof Utilitiesor such other
individualas Grantor shall designate in writing.Whenever approval or
authorizationfrom or communication or submission toGrantor isrequiredby this
Agreement,such communication or submission shallbe directedto the Grantor's
Representativeand approvals or authorizationsshallbe issued only by such
Representative;provided,however,thatinexigentcircumstanceswhen Grantor's
Representativeis not available,Grantee may direct its communication or
submission to otherdesignatedGrantor personnelor agentsas designatedby the
Grantorinwritingand may receiveapprovalsor authorizationfrom such persons.
b.Grantee's Representative:The Grantee's Representativeforthe
purposeofthisAgreement shallbe Grantee'sChief ExecutiveOfficerorsuch other
individualas Grantee shalldesignate in writing.Whenever directionto or
communication with Grantee is requiredby thisAgreement,such directionor
communication shallbe directedtoGrantee'sRepresentative;provided,however,
thatin exigent circumstanceswhen Grantee's Representativeis not available,
Grantor may directitsdirectionor communication to other designatedGrantee
personnelor agents.
c.Notices:Allnoticesrequiredby thisAgreement shallbe inwriting
and shallbe provided to the Representativesnamed inthisSection.Noticesshall
be deemed given when delivered,ifdeliveredby courierto Party'saddressshown
above duringnormal businesshours of therecipient;or when sent,ifsentby email
or fax(witha successfultransmissionreport)tothe email address or fax number
provided by the Party'sRepresentative;or on the fifthbusinessday following
mailing,ifmailed by ordinarymailtotheaddressshown above,postageprepaid.
I1.Event of Default.IfGrantee failsto make theannual payment identifiedin
paragraph Iof ExhibitA or isindefaultofany otherprovisionofthisAgreement,Grantor
may providewrittennoticetoGranteeofsuch failuretopay orotherdefault.Grantee shall
have thirty(30)days from the dateof writtennoticeto cure the failureto pay or other
default.IfGrantee failsto cure the non-payment or defaultwithin thirty(30)days,this
Easement shallbe tenninatedand Grantee must execute a record of reconveyance and
releasehereofwithinthirty(30)days of theterminationdate,whereupon thisEasement
and allrightsand privilegesotherthantheremoval and indemnificationprovisionsshallbe
fullycancelledand terminated.

12.Binding on Successors.The provisionsof thisAgreement,includingboth
thebenefitsand burdens,and subjectto itslimitations,shallbe appurtenanttoand shallrun
with thetitleto Grantor'sPropertyand shallbe bindingupon and inureto the successors
and assignsofGrantor.Grantee may assignitsrightsand obligationsunder thisAgreement
thisEasement,in whole or in part,subjectto Grantor'swrittenpermission;provided,
however,thatnotwithstandingtheforgoingprovision,Grantee shallhave no obligationto
obtain Grantor'swrittenpermission to assignthe Easement for purposes of Grantee's
financing.
13.Amendment.This Agreement may be amended only by writteninstrument
executedby boththeGrantor and Grantee
14.Indemnity/Waiver of Claims/Insurance.To thefullestextentpermittedby
law,Grantee agrees to release,defend,indemnify,and hold harmless the Grantor,its
agents,representatives,employees,and officers(collectivelyreferredto forpurposes of
thisSectionas the Grantor)from and againstany and allclaims,demands,actions,fees
and costs (includingattorney'sfees and the costs and fees of expert witness and
consultants),losses,expenses,liabilities(includingliabilitywhere activityisinherentlyor
intrinsicallydangerous)or damages of whatever kind or natureconnected therewithand
without limitand without regardto the cause or causes thereofor the negligenceof any
partyor partiesthatmay be assertedagainst,recoveredfrom or sufferedby the Grantor
occasioned by,growing or arisingout of or resultingfrom or in any way relatedto the
negligent,reckless,or intentionalmisconduct of the Grantoror itsagents,contractors,or
subcontractorsfor any acts or omissions relatedto Grantor's activitiesunder this
Agreement.
Such obligationsshallnotbe construedtonegate,abridge,or reduceotherrightsor
obligationsof indemnity thatwould otherwiseexist.The indemnificationobligationsof
thisSection must not be construedto negate,abridge,or reduce any common-law or
statutoryrightsof the Grantor as indemnitee(s)which would otherwiseexistas to such
indemnitee(s).
Grantee'sindemnityunder thisSectionshallbe withoutregardtoand withoutany
righttocontributionfrom any insurancemaintainedby Grantor.
Should theGrantor be requiredto bringan actionagainstthe Grantee to assertits
righttodefenseor indemnificationunder thisAgreement or under theGrantee'sapplicable
insurancepoliciesrequiredbelow,theGrantorshallbe entitledtorecoverreasonablecosts

and attomey feesincurredinassertingitsrightto indemniñcationor defensebutonly ifa
courtof competentjurisdictiondeterminestheGrantee was obligatedtodefend theclaim(s)
or was obligatedto indemnify theGrantor fora claim(s)or any portion(s)thereof.
In the event of an actionBled againstthe Grantor resultingfrom the Grantor's
performance under thisAgreement,the Grantormay electto representitselfand incurall
costsand expenses of suit.
Grantee alsowaives any and allclaimsand recourseagainsttheGrantee,including
therightof contributionforlossor damage topersonor propertyarisingfrom,growing out
of,or inany way connectedwith or incidenttothe performance of thisAgreement except
responsibilityfor Grantor'sown fraud,for willfulinjuryto the person or propertyof
another,or forviolationof law,whether willfulor negligentas per28-2-702,MCA.
These obligationsshallsurviveterminationof thisAgreement and the services
performed hereunder.
In additiontoand independentfrom theabove,Grantee shallatGrantee'sexpense
secureinsurancecoveragethroughan insurancecompany or companies duly licensedand
authorizedto conduct insurancebusinessin Montana which insuresthe liabilitiesand
obligationsspecißcallyassumed by the Grantee inthisSection.The insurancecoverage
shallnot containany exclusionforliabilitiesspeciñcallyassumed by the Grantee in this
Section.
The insuranceshallcoverand apply toallclaims,demands,suits,damages,losses,
and expenses thatmay be assertedor claimed against,recoveredfrom,or sufferedby the
Grantorwithoutlimitand withoutregardtothecause thereforeand which isacceptableto
theGrantor.GranteeshallfurnishtotheGranteean accompanying certißcateof insurance
and accompanying endorsements inamounts not lessthanas follows:
Workers'Compensation -statutory;
Employers'Liability-$1,000,000 per occurrence;$2,000,000 annual
aggregate;
Commercial General Liability-$1,000,000 per occurrence;$2,000,000
annual aggregate;
Automobile Liability-$l,000,000 property damage/bodily injury per
accident;and
ProfessionalLiability-$1,000,000perclaim;$2,000,000annual aggregate.

The above amounts shallbe exclusiveof defense costs.The Grantor shallbe
endorsed as an additionalor named insuredon a primary non-contributorybasison the
Commercial General,Employer's Liability,and Automobile Liabilitypolicies.The
insuranceand requiredendorsements must be in a form suitableto Grantor and shall
includeno lessthana thirty(30)day noticeof cancellationor non-renewal.Grantee shall
notifyGrantorwithintwo (2)businessdays of Grantee'sreceiptofnoticethatany required
insurancecoverage willbe terminatedor Grantee's decisionto terminateany required
insurancecoverage forany reason.
Grantormust approve allinsurancecoveraceand endorsements priortotheGrantee
commencin a work.
15.Laws and Regulations.Grantee shallcomply fullywith allapplicablestate
and federallaws,regulations,and municipal ordinancesincluding,but not limitedto,all
workers'compensation laws,allenvironmental laws including,but not limitedto,the
generationand disposalof hazardous waste,the Occupational Safety and Health Act
(OSH.A),the safetyrules,codes,and provisionsof the Montana SafetyAct in Title50,
Chapter 71,MCA,allapplicableCity,County,and Statebuildingand electricalcodes,the
Americans with DisabilitiesAct,and allnon-discrimination,affirmativeaction,and
utilizationof minorityand small businessstatutesand regulations.
,)16.Nondiscriminationand Equal Pay.Granteeagreesthatallhiringby Grantee
ofpersonsperformingthisAgreement shallbe on thebasisofmeritand qualifications.The
Grantee willhave a policyto provideequal employment opportunityinaccordancewith
allapplicablestateand federalanti-discriminationlaws,regulations,and contracts.The
Grantee will not refuseemployment to a person,bar a person from employment,or
discriminateagainsta person in compensation or in a term,condition,or privilegeof
employment because ofrace,color,religion,creed,politicalideas,sex,age,maritalstatus,
nationalorigin,actualor perceivedsexualorientation,gender identity,physicalor mental
disability,exceptwhen thereasonabledemands of thepositionrequirean age,physicalor
mental disability,maritalstatusor sex distinction.The Grantee shallbe subjecttoand
comply withTitleVI of theCivilRightsAct of 1964;Section 140,Title2,United States
Code,and allregulationspromulgated thereunder.
Grantee representsitis,and fortheterm of thisAgreement willbe,incompliance
with the requirementsof the Equal Pay Act of 1963 and Section39-3-104,MCA (the
Montana Equal Pay Act).Grantee must reporttotheGrantorany violationsoftheMontana

Equal Pay Act thatGrantee has been found guiltyof within 60 days of such findingfor
violationsoccurringduring theterm of thisAgreement.
Granteeshallrequirethesenondiscriminationterms of itssubcontractorsproviding
servicesunder thisAgreement.
17.Non-Waiver.A waiverby eitherpartyof any defaultor breachby theother
partyofany terms orconditionsofthisAgreement does not limittheotherparty'srightto
enforcesuch term or conditionsor to pursue any availablelegalor equitablerightsinthe
eventofany subsequentdefaultor breach.
18.Permits.Unless otherwiseagreedtoinwritingby the parties,Grantee shall
provideallnotices,comply with allapplicablefederal,state,and locallaws,ordinances,
rules,and regulations,obtain all necessary permits,licenses,and inspectionsfrom
applicablegovernmental authorities,and pay allfeesand chargesinconnectiontherewith.
19.Attorney'sFees and Costs.In the event itbecomes necessaryforeither
Partyto retainan attorneyto enforceany of theterms or conditionsof thisAgreement or
togiveany noticerequiredherein,then theprevailingPartyor thePartygivingnoticeshall
be entitledto reasonableattorney'sfeesand costs,includingfees,salary,and costsof in-
house counsel includingtheCity Attorney'sOfficestaff.
20.Taxes.Grantee isobligatedtopay alltaxesof any kind or natureand.make
allappropriateemployee withholdings.
21.Liens and Encumbrances.Grantee shall not permit any liens or
encumbrances to be filedon Grantor'sPropertyrelatedto eitherthe Grantee'suse of the
Easement Area or theGrantee'sactionspursuanttothisAgreement.Priortotheexpiration
of thisAgreement orterminationas providedhereinGrantee shallfurnishtheGrantorwith
satisfactoryproofthatthereareno outstandingliensor encumbrances inconnectionwith
theGrantee'suseof the Easement Area.
22.DisputeResolution.
a.Any claim,controversy,or disputebetween theparties,theiragents,
employees,or representativesshallbe resolvedfirstby negotiationbetween senior-
levelpersonnelfrom each partyduly authorizedtoexecutesettlementagreements.
Upon mutual agreement of the parties,the partiesmay invitean independent,
disinterestedmediatortoassistinthenegotiatedsettlementdiscussions.

b.Ifthepartiesareunabletoresolvethedisputewithinthirty(30)days
from the datethe disputewas firstraised,thensuch disputemay only be resolved
in a court of competent jurisdictionin compliance with the Applicable Law
provisionsof thisAgreement.
23.Survival.Grantee's indemniñcation shallsurvive the terminationor
expirationof thisAgreement forthemaximum periodallowedunder applicablelaw.
24.Headings.The headings used inthisAgreement are forconvenience only
and are not be construedas a partof theAgreement or as a limitationon thescope of the
particularparagraphstowhich they refer.
25.Severability.If any portionof thisAgreement is held to be void or
unenforceable,thebalancethereofshallcontinueineffect.
26.ApplicableLaw.The partiesagree thatthisAgreement isgovemed in all
respectsby the laws of the Stateof Montana.
27.Binding Effect.This Agreement isbindingupon and inuresto thebenefit
of theheirs,legalrepresentatives,successors,and assignsoftheparties.
28.No Third-PartyBeneficiary.This Agreement isfortheexclusivebenefitof
theparties,does not constitutea third-partybeneficiaryagreement,and may not be relied
upon or enforcedby a thirdparty.
29.Counterparts.This Agreement may be executed in counterparts,which
togetherconstituteone instrument.
30.Intecration.This Agreement and allExhibitsattachedheretoconstitutethe
entireagreement oftheparties.Covenants or representationsnotcontainedhereinor made
a partthereofby reference,are not bindingupon the parties.There areno understandings
between thepartiesotherthan as setforthinthisAgreement.All communications,either
verbalor written,made priorto the date of thisAgreement are hereby abrogatedand
withdrawn unlessspeciñcallymade a partof thisAgreement by reference.
31.Consent to ElectronicSignatures.The Partieshave consented toexecute
thisAgreement electronicallyin conformance with the Montana Uniform Electronic
