SEWER AND WATER PIPELINE AND ACCESS EASEMENT AND AGREEMENT
Canyon Gate Investors,LLC ,theGRANTOR(S),inconsiderationof $1.00 and
othergood and valuableconsideration,receiptof which isacknowledged,grant(s)to The Cityof
Bozeman,a municipalcorporationoftheStateofMontana,with officesat 121 North Rouse
Avenue,Bozeman,Montana 59715,GRANTEE,itssuccessorsand assigns,a perpetualeasement
tolay,constructand maintaina waterpipeline with theusualservices,valves,connections,
accessoriesand appurtenancesforthepurpose oftransmittingwater in,through,and acrossa
stripof landsituatedinGallatinCounty,Montana,Thirty (30)feetwide to
be locatedon thefollowingdescribedrealproperty:Tract7B.COS 2408
The easement ismore particularlydescribedon the attachedExhibit(s)A which
by thisreferencearemade a parthereof.
This grantincludestherightof theGRANTEE,itssuccessors,permittees,licensees,and
assignsand itsand theiragentsand employees,to enteratalltimesupon theabove-described
landby usingexistingroadsor trailsorotherwiseby a routecausingtheleastdamage and
inconveniencetotheGRANTOR(S)inorderto surveyand establishtherouteand locationofthe
easement and thepipelineand to:
(1)Construct,operate,patrol,repair,substitute,remove,enlarge,replace,and maintainthe
pipeline,services,connections,accessoriesand appurtenances;
(2)Trim,remove,destroy,or otherwisecontrolany treesand brush insideor outsidethe
boundariesof theeasement which may,intheopinionofthe GRANTEE,interfereor
threatentointerferewith or be hazardoustotheconstruction,operationand maintenance
of thepipeline;
(3)Grade thelandsubjectto thiseasement and extendthecutsand fillsofthisgradinginto
and on thelandadjacenttothatwhich issubjecttothiseasement totheextentGRANTEE
may findreasonablynecessary;and
(4)Supportthepipelineacrossravinesand water courseswith structureswhich GRANTEE
deems necessary.
THE GRANTEE AGREES:
(1)That,inconnectionwith theconstruction,operating,patrolling,repairing,substituting,
removing,enlarging,replacing,and maintainingof said water
pipeline(s),itwillrepairor replace,atitssoleexpense,or pay toGRANTOR(S)the
reasonablevalueofany damages togrowing crops,existingfences,ditchesand other
appurtenancesof saidlandthatmay be disturbedby itsoperation.
(2)That,duringoperationsinvolvingexcavation,itwillremove thetopsoilfrom thetrenched
areatoa depthof one foot,or to thefulldepthofthetopsoil,whichever isless,and
stockpilesaidtopsoilforreplacementoverthetrench.Itwillremove from thesiteany
largerocksor surplusexcavatingmaterialor any debristhatmay have been exposed by
theexcavationand remainsafterbackfillingiscompleted.And,itwillleavethefinished
surfaceinsubstantiallythe same conditionas existedpriortothebeginningof operations
exceptthatthesurfaceof backfilledareasmay be mounded sufficientlyto preventthe
formationofdepressionsafterfinalsettlementhas takenplace.
THE GRANTOR(S)AGREES:
(1)At no time willthey build,construct,erectormaintainany permanent structurewithinthe
boundariesof saideasement withoutthepriorwrittenconsentofGRANTEE.
(2)At no time willtheymodify thefinishedgradeof thelandoverthepipelineby removal of
existingsoilor by placementof fillmaterialwithintheboundariesofsaideasement
withoutthe priorwrittenconsentoftheGRANTEE.
(3)That where thesubjectimprovements arenotlocatedunder improved publicorprivate
streetsor otherprovidedaccess,a 12 footwide all-weatheraccessroadmay be
constructedwithinthe easement where attheCity'sdiscretionsuchaccessisrequiredfor
operationand maintenance purposes.
(4)The GRANTOR(S)warrantsthatthey arelawfullyseizedand possessedofthereal
propertydescribedabove,thatthey have a lawfulrighttoconvey theproperty,or any part
of it,and thatthey willforeverdefendthetitletothispropertyagainsttheclaimsof all
persons.
(5)The GRANTEE may peaceablyhold and enjoytherightsand privilegeshereingranted
withoutany interruptionby theGRANTOR(S).The terms,covenantsand provisionsof
thiseasement and agreement shallextendtoand be bindingupon theheirs,executors,
administrators,personalrepresentatives,successorsand assignsofthepartieshereto.
