AGREEMENT FOR THE PAYMENT OF DEFERRED IMPACT FEES AND
NOTICE OF INTENT TO LIEN
THIS AGREEMENT ismade and enteredintothis -··---dayof ,2022,
by and between Henry PartnersLLC,111 W.Lamme Street,Suite101,Bozeman MT 59715
hereinaftercalledthe"Obligor,"and theCityof Bozeman,a MunicipalCorporationof theState
of Montana,hereinaftercalledthe"City."
WHEREAS,itisthe intentand purpose of the Obligor to meet the requirementsof
Commission Resolution#4433 toallowtheissuanceofbuildingpermit21-32138priortopayment
of transportationimpact feesrequiredby 2.06.1640BMC on propertylocatedat315 N.Tracy
Avenue and legallydescribedasLots1-6ofBlock3 ofBeall'sThirdAddition,PlatC-44-A located
inSec.7,T2 S,R6 E of theP.M.M.,Cityof Bozeman,GallatinCounty,MT.
WHEREAS,itistheintentof theObligortodeferpayment of transportationimpactfees
untiloccupancy fortheconstructionauthorizedunderbuildingpermit21-32138;and
WHEREAS,itistheintentand purposeof boththeObligorand theCitytoherebyenter
intoan Agreement which willguaranteethe fulland satisfactorycompletionof the required
payment;and itistheintentofthisAgreement,andofthepartieshereto,tosatisfytherequirements
ofthemunicipalcode and Commission Resolution#4433.
NOW,THEREFORE,inconsiderationofthemutualcovenantsand conditionscontained
herein,itisherebyagreedasfollows:
1.Property Description
This Agreement pertainsto and includesthose propertieswhich are designatedand
identifiedas 315 N.Tracy Avenue and legallydescribedas Lots 1-6of Block 3 of Beall'sThird

Addition,PlatC-44-A locatedinSec.7,T2 S,R6 E of the P.M.M.,Cityof Bozeman,Gallatin
County,MT.
2.Payment of Deferred Impact Fees
This Agreement specificallyincludesthepayment of transportationimpactfeescalculatedfor
buildingpermit21-32138,intheamount of$152,008.85(One Hundred Fifty-TwoThousand Eight
dollarsand Eighty-Fivecents).Obligoracknowledgesthattheabove impactfeemust be paidin
fullbeforetheCertificateofOccupancy may be issued.Obligoragreestopay theabove statedfee
inaccordancewith thisagreement and Commission Resolution#4433 beforethe structure(s)
identifiedinthebuildingpermitreferencedabove isoccupied.
3.Guarantee,Time forCompletion ofAgreement
No occupancy ofthestructure,eithertemporaryorpermanentpriortofullpayment ofthedeferred
transportationimpactfeeand completionof thisagreement.ThisagreementconstitutesaNotice
ofIntenttoLienagainstthepropertyintheeventthatthedeferredimpactfeesarenotpaid.Should
thefeesnot be paidtheCitymay withoutfurtheractionrecorda lienagainstthepropertyinthe
fullamount ofthedeferredfeesasstatedabove and forcostsrequiredforcollectionofthedeferred
fee.
4.Inspection
Representativesof theCityshallhave therighttoenterupon thepropertyatany reasonabletime
inorderto inspectitand todetermineiftheObligorisincompliancewiththisAgreement,and the
ObligorshallpermittheCityand itsrepresentativestoenterupon and inspectthepropertyatany
reasonabletime.
5.Default
Time isof theessenceforthisAgreement.IftheObligorshalldefaultinor failtofullyperform
any of itsobligationsinconformance withthetimescheduleunderthisAgreement theCitymay
electtoenforceany ofthefollowingspecifiedremedies:
A)The Citymay withholda CertificateofOccupancy and prohibituseoftheproperty.
B)The Citymay,atitsoption,recorda lienagainsttheproperty.
C)The Citymay enforceany otherremedy providedby law orthisagreement.

The Obligorherebyexpresslyagreesto indemnifyand holdtheCityharmlessforand againstall
claims,costsand liabilityofeverykindand nature,forinjuryor damage receivedorsustainedby
any person or entityin connectionwith,or on account of the performance of work at the
development siteand elsewhere pursuantto thisAgreement,or delays in the issuanceof a
CertificateofOccupancy pursuanttothisagreement.The Obligorfurtheragreestoaidand defend
theCity intheeventthatitisnamed asa defendantinan actionconcerningtheperformanceof
work pursuanttothisAgreement exceptwhere suchsuitisbroughtby theObligor.The Obligor
isnotan agentoremployee oftheCity.
7.Governing Law and Venue
ThisAgreement shallbe construedunder and governedby thelawsof theStateof Montana.In
the event of litigationconceming thisAgreement,venue is in the EighteenthJudicialDistrict
Court,GallatinCounty,Stateof Montana.
8.Changes inFee During DeferralPeriod
The feesdue atconclusionof thedeferralperiodshallnotchange from theamount determinedin
Section2.Intheeventtheamount offeesdue forthecategoryofdevelopmentfornewly submitted
projectswhich isthesame categoryasthatwhich isthesubjectofthisagreementeitherdecreases
or increasesno change intheamount offeesdue from theprojectwillbe made unlesstheproject
constructsmore or lessdemand generatingimprovementsthanoriginallydepictedon thebuilding
permitforthework.Intheeventofnon-payment additionalfeesforcollectioncostsand otherfees
asestablishedby Resolution4433 willbe chargedinadditiontothedeferredtransportationimpact
fee.
9.Attorney'sFees or Other Fees
Intheeventitbecomes necessaryforeitherpartytothisAgreement toretainan attorneytoenforce
any of theterms or conditionsof thisAgreement,then theprevailingpartyshallbe entitledto
reasonableattorney'sfeesand costs,toincludethesalaryand costsof in-housecounselincluding
CityAttorney.Otherfeesand costsmay be incurredas setforthinResolution4433 relatingtothe
enforcementofthisagreement.
10.Modificationsor Alterations
No modificationsor amendment of thisAgreement shallbe valid,unlessagreedto inwritingby

thepartieshereto.
11.InvalidProvision
The invalidityor unenforceabilityof any provisionof thisAgreement shallnotaffecttheother
provisionshereof,and thisAgreement shallbe construedinallrespectsas ifsuch invalidor
unenforceableprovisionwere omitted.
12.No Assignment
ItisexpresslyagreedthattheObligorshallnotassignthisAgreement inwhole,or inpart,without
priorwrittenconsentoftheCity.
13.Successors
Exceptas providedinparagraph10,thisAgreement shallbe bindingupon,enuretothebenefitof,
and be enforceableby thepartiesheretoand theirrespectiveheirs,successorsand assigns.
