HOLD HARMLESS AGREEMENT
ALLISON SUBDIVISION PHASE 4A
Thisagreementismade and enteredinto this day of ßdc4WS,20f_lby and between
E.G.ConstructionL.LC.,hereinafterreferredto as "Developer"and the City of Bozeman,a Municipal
CorporationoftheStateofMontana operatingpursuanttoitsCharter,hereinaftercalledthe"City."
AllisonSubdivisionPhase 4 (ApplicationNo.19002)was givenpreliminaryplatapprovalby the
Bozeman CityCommission on February10,2020.AllisonSubdivisionPhase 4 isa futuresubdivisionof
48.21 acresthatwillconsistsof thirty-tworesidentialsinglehousehold,ninetownhouse,fiveresidential
multi-householdand threerestricteddevelopmentlots,and includingstreetsand rightsofway.
The siteislocatedatSouth 1IthAvenue and Arnold Street.The projectsiteisgenerallylocated
southeastoftheintersectionofSouth 1Ithand OpportunityWay and extendspastGrafStreettothesouth
and to the Morning StarSchool eastof the site.Directlyeastalong the development isa historical
watercourseknown asFigginsCreek,which isa detailedmapped FederalEmergency Management Agency
(FEMA)specialfloodhazardarea.
Afterpreliminaryplatapproval,theDevelopersubmittedinfrastructureplans(roads,water,sewer,
lighting,and stormwater)totheCity'sengineeringdepartmentforreviewand approval.Infrastructure
approvalwas givenby theCity'sengineeringdepartmenton December 8th,2020.
The applicantsubmittedApplicationNo.21022 (FinalPlatforAllisonSubdivisionPhase4A),in
lateAugust 2021.Priorto submittingforfinalplat,theCityreceivedpubliccomment concerningnewly
installedstormwaterinfrastructureinJuly2021.The publiccitedspecificconcernsaboutthealterationto
theundevelopedsite'sexistingdrainagepatternandthatthenewly installedinfrastructuredoesn'tmaintain
thehistoricaldrainagepatternalongthewatercoursecorridor/FigginsCreek.Moreover,thatthesespecific
improvementscouldcauseor increasetheriskforflooding.The Cityengineeringdepartmentmet onsite
with theDeveloper'sengineer(Madison Engineering,LLC)on August 5th,2021 toreviewtheapproved
drainageplansand discusspubliccomment.DuringtheearlyAugust sitevisit,theCity'sengineeringstaff
became aware thatthestormwaterinfrastructurethatwas approvedand constructedwas inconsistentwith
the site'shistoricalrunoffconditionand subsequentlycouldadverselyincreasetheriskfordownstream

flooding.As a result,theCityand Madison Engineeringagreedthatthedrainageissuemust be rectifiedby
theDeveloperpriortotheCity'sacceptanceofthesubdivision'spublicdrainageinfrastructure.
In considerationof the mutual promises,and other valuableconsideration,the receiptand
sufficiencyofwhich areherebyacknowledged,includingtheCityapprovingthefinalplatfortheAllison
SubdivisionPhase4A priortocompletionofallrequiredsubdivisioninfrastructurepursuanttoChapter38,
Bozeman MunicipalCode,theDeveloperherebyagreesasfollows:
1.Agreement Required.
The DevelopersubmittedapplicationNo.21022 (FinalPlatforAllisonSubdivisionPhase4A)and
has requestedauthorizationfrom theCitypursuantto Chpt.38,BMC,to -approvethefinalplat
withoutCityformalacceptanceofthesubdivision'spublicstormwaterinfrastructureasindicated
intheapplication,untilsuch time thatalterationtothesubdivision'sstormwaterinfrastructureis
completed.Specificimprovements includetheconversionofDetentionPond #1 from a dentition
facilityto a retentionfacility,which willrequirethe facilityto be upsizedto hold additional
stormwaterrunoff.Also requiredareremovaloftheexistingoutletstructureinDrainagePond #1,
theremovaldrainageswaleand culvertthatdrainsDrainagePond #1,and theinstallationofa wide
low flowweirintheretentionfacilitythatmimics thesite'shistoricaldrainagepattemand overflow
drainagepath.The Developer'splansforinfrastructureimprovements have been reviewedand
approvedby theCity'sengineeringdepartmenton November 17,2021.
The Developermust enterintoan Improvements Agreement with the Citywhich requiresthe
Developer to completethe aforementionedimprovements by a datecertainestablishedin the
ImprovementsAgreement recordedwiththefinalplatofAllisonSubdivisionPhase4A and provide
securitytotheCitytoguaranteetheinstallationofimprovements(the"ImprovementsAgreement").
The Improvements Agreement isdated Ålat/g,4g /820 Mand recordedwith the Gallatin
County Clerkand Recorder as document number NA7 -.The Cityhas approved
application21022 subjectto certainlimitationsand conditions,which includethe Developer
enteringintothisAgreement.Developeragreestocomply withallsuchconditionsand limitations
asindicatedintheFindingsofFactortheDirectorofCommunity Development'sDecisionforthe
AllisonSubdivisionPhase 4A dated NatssYgot 4,20Mand known as application21022
respectivelyand theprovisionsof Chapter38,BMC.
2.Release/HoldHarmless/Indemnification.
a.Developeragreesto release,indemnifyand hold harmlesstheCity,itsofficers,agents,and
employees(the"indemnitees")from and againstanysuit,causeofaction,claim,cost,expenses,
obligation,and liabilityofany character,includingattorney'sfeesto includecostsand salary
of attorneysemployed by orretainedby thecity,which arebroughtorassertedforany injury,
death,orphysicaldamage toproperty,costs,damages,and forany otherexpenses,costs,and
feesrelatedtolossofuseofpropertyorothereconomic lossesofany nature,astheabovemay

be receivedorsustainedby any person,persons,property,businessorany otherentity,arising
outoforresultingfrom,orinconnectionwiththeimprovementssubjecttotheImprovements
Agreement and theCity'sdecisionsregardingtheapprovalofthe AllisonSubdivisionPhase
4A finalplat.
b.Such obligationsshallnotbe construedtonegate,abridge,or reduceotherrightsorobligations
of indemnitythatwould otherwiseexist.The indemnificationobligationsof thisAgreement
must notbe construedtonegate,abridge,orreduceany common-law orstatutoryrightsofthe
indemnitee(s)which would otherwiseexistastosuchindemnitee(s).
c.Developer'sindemnityunderthisAgreement shallbe withoutregardtoand withoutany right
tocontributionfrom any insurancemaintainedby theCity.
d.Should any indemniteedescribedhereinbe requiredtobringan actionagainsttheDeveloper
to assertitsrighttodefenseor indemnificationunderthisAgreement theindemniteeshallbe
entitledtorecoverreasonablecostsand attorneyfees,includingcostsand salaryof attorneys
employed by or retainedby an indemniteeincurredinassertingitsrightto indemnificationor
defense,butonlyifa courtofcompetentjurisdictiondeterminestheDeveloperwas obligated
to defendtheclaim(s)or was obligatedto indemnifythe indemniteefora claim(s)or any
portion(s)thereof.
e.In the event of an actionfiledagainstan indemniteeresultingfrom the indemnitee's
performanceunderthisAgreement,the indemniteemay electtorepresentitselfand incurall
costsand expensesofsuit.
f.Developeralsowaives any and allclaimsand recourseagainsttheCityor itsofficers,agents
or employees,includingthe rightof contributionforlossor damage to personor property
arisingfrom,growingoutof,orinany way connectedwith or incidenttotheperformanceof
thisAgreement.
g.These obligationsshallsurviveterminationof thisAgreement and the servicesperformed
hereunder.
3.Remedies.In additiontoany otherremedy availabletotheCityatlaw orequity,Developeragrees
thatshouldthe Developer not completethe improvements requiredby theFindingsof Factor
DirectorofCommunity Development'sDecisionand theImprovements Agreement referencedin
Section1,theCityor it'sagentmay,forany oftherealpropertythatisthesubjectofapplication
21022 and thisagreement,and withoutnotice:(i)issuean orderstoppingwork on theongoing
constructionof any buildingor structure;and/or(ii)deny theissuanceof any buildingpermitor
siteplanfinalapproval;(iii)entertherealpropertyand constructtheimprovementsoutlinedinthe
improvementsagreement.

4.Miscellaneous.
a.SuccessorsandAssigns.The terms,covenantsand conditionsofthisAgreement shallrunwith
the landand be bindingupon,and shallinureto thebenefitof,thepartiesheretoand their
respectivesuccessorsand assigns.
b.Attorney'sFees and Costs.That inthe eventitbecomes necessaryforeitherpartyofthis
Agreement toretainan attorneytoenforceany ofthetermsorconditionsofthisAgreement or
togiveany noticerequiredherein,thentheprevailingpartyorthepartygivingnoticeshallbe
entitledtoreasonableattorney'sfeesand costs,includingfees,salary,and costsincludingthose
attorneysemployed by orretainedby thecity.
c.GoverningLaw.ThisAgreement isexecutedand deliveredand istobe performedin,and shall
be governedby and construedinaccordancewith,thelawsoftheStateofMontana.
d.EntireAgreement.This Agreement expresslyterminatingallpreviousagreementsamong the
partiesrelatedtotheproperty,and constitutesand containstheentireagreementbetweenCity
and Developerand supersedesany and allpriornegotiations,correspondence,understandings
and agreements between the partiesrespectingthe subjectmatter hereof,except the
ImprovementsAgreement.
e.Expiration.This Agreement expiresupon the end of the warrantyperiodthatguarantees
installationof improvements in a workmanlike manner specifiedin the Improvements
Agreement.
