DocuSignEnvelopeID:114ECD63-F603-4893-823B-FC2672B04D60 nowmw 2766138 01 of Bozeman Di®si.E'sª-seffeiß²822i³%³ª""®®#°° Cl Clerk ||lll lll0lll|||Hll0llll||| P Box 1230 Beeman,MT 59771-1230 INTERLOCAL AGREEMENT FOR WASTEWATER TREATMENT This Agreement isenteredintothis14th day of December,20 21 ,by and between the RIVERSIDE COUNTY WATER AND SEWER DISTRICT NO.310,a politicalsubdivisionof the State of Montana located in GallatinCounty,Montana (the "District")and CITY OF BOZEMAN,a municipalitylocatedinGallatinCounty,Montana (the"City") RECITALS WHEREAS;theDistrictrepresentsitisa properlyorganizedand operatingwaterand sewer districtpursuantto §7-13-2200etseg.Montana Code Annotated ("MCA")and islocated contiguoustoand northof theBozeman,Montana withinportionsofTownship 1 South,Range 5 East,Section23,24,25 and 26 M.P.M.,GallatinCounty,Montana; WHEREAS,theDistrictrepresentsitowns and operatesfacilitiesand systemsthatprovide a potablewatersupplyand wastewatertreatmentand disposalforpropertieswithinits jurisdictionalboundaries,asshown on ExhibitA (the"RiversideProperties"); WHEREAS,withintheDistrict'sjurisdictionalboundaries,itrepresentsithaswastewater collectionareasthatcurrentlyinclude59 single-familyhomes on RiversideDriveand Park Plaza Road locatedeastof SpringHillRoad;64 townhouses on GallatinDrive locatedon thewest sideof SpringHillRoad,and theRiversideCountry Club (460 maximum members)on theeastof Spring HillRoad; WHEREAS,inDecember of 2011,theMontana Department ofEnvironmentalQuality ("MDEQ")conductedan inspectionoftheDistrict'swastewaterfacilitiesand informedtheDistrict ofa number of deficienciesthatneeded to be correctedwith respecttotreatmentand disposalof its wastewater; WHEREAS,theDistricthas exploredthecostsand benefitsof(i)correctingthedeficiencies withinitsfacilitiesby upgradingthesame or(ii)enteringintoan agreement withtheCitywhereby theCitywould treatand disposeofthewastewatercollectedwithintheDistrict; WHEREAS,theCityhas a wastewatertreatmentfacilityneartheDistrictand asofthedate ofthisAgreement representsithas thecapacitytotreatand disposeofthewastewaterthatis collectedwithintheDistrict; WHEREAS,theDistrictdesirestoenterintoan agreementwiththeCityfortheCityto acquiretheDistrict'swastewaterfacilities,nottoincludetheDistrict'sexistingtreatmentfacilities, and totreatand disposeofthe wastewatercollectedwithintheDistrictunderthetennsand conditionssetforthhereinand theCitydesirestoacquiretheDistrict'scurrentwastewater collectionfacilities,constructnecessaryextensionfacilities(collectively,"WastewaterExtension Facilities"),and toacceptthewastewatercollectedwithintheDistrictundertheterms and DocuSlgnEnvelope1D:114ECD63-F603-4893-B23B-FC2672B04D60 conditionssetforthhereinand thepartieshave theauthoritytoenterintosuchagreementspursuant to §7-11-101etseg.Montana Code Annotated; WHEREAS,exceptasspecificallydiscussedinSection3.12below,thepartiesunderstand and agreethatnothingwithinthisAgreement isintendedto includeorchange thestatusofthe District'spotablewatersystem oritswaterrightsrelatedthereto; WHEREAS,inan efforttoexplainthefuturerelationshipthatwillresultfrom annexation, theCity,incooperationwith theDistrictand theowners of theRiversideProperties,will preparean Extensionof ServicePlanforMunicipalServicestailoredtoRiversideProperties; WHEREAS,thepartiesagreethatasa conditionprecedenttotheCityacquiringthe District'swastewaterfacilitiesand acceptingthewastewatercollectedwithintheDistrict,the propertywithintheDistrict'sjurisdictionalboundariesmust be annexed intotheCityasevidenced by a "ResolutionofAnnexation";and WHEREAS,theCityadoptedCommission ResolutionNo.4972 on January28,2019 settingforththeprocessforannexation("Resolution4972"). NOW THEREFORE,inconsiderationofthemutualcovenants,provisions,and agreements setforthherein,thepartiesagreeasfollows: ARTICLE I DURATION AND PURPOSE 1.01 Recitals.The Districtand theCityagreethattherecitalstothisAgreement are intendedtodescribethebasisforitand theunderlyingintentionsofthepartiesinenteringintoit, and agreefurtherthattheymay be usedto informtheinterpretation,construction,and applicationof thisAgreement. 1.02 Duration.ThisAgreement isexecutory,and wholly contingentupon submittalofa PetitionforAnnexationtotheCitysignedby:(i)more than 50%of theresidentelectorsowning realpropertyinthe areaservicedcurrentlyby the District;or (ii)theowner or owners of real propertyrepresenting50%or more ofthetotalareaservicedcurrentlyby theDistrict.Upon submittalof a PetitionforAnnexation,togetherwith a PetitionforCreationof a Special Improvement Districtforthefmancing of certainpublicwastewater infrastructure,with the requisitesignatures,and upon adoptionofa Resolutionof Annexation by theCity,this Agreement shallserveto govern the undertakingdescribeduntil completion of Wastewater ExtensionFacilities. 1.03 Purpose.The purposeof thisAgreement istosetforththetermsunderwhich the CitywillagreetoacquiretheDistrict'swastewatercollectionfacilities(includingexistingpipes, manholes,and otherwastewaterinfrastructureacceptedby theDistrictused tocollectand deliver wastewaterwithintheDistrict'sboundaries)(collectively,the"C&D Infrastructure"),construct extensionfacilities,and providewastewatertreatmentand disposalservicestotheRiverside RWSD-BOZEMAN WASTEWATER AGREEMENT Page 2 DocuSignEnvelopeID:114ECD63-F603-4893-B23B-FC2672B04D60 Propertiesand intheprocess(i)describesthetasksnecessarytoconnecttheDistrict'sexisting wastewatercollectionfacilitiestothe City's;and (ii)assignstothe applicablepartiesthe responsibilitiesfordesigning,connectionand paying forsuch connections.The Cityisnot acquiringtheDistrict'sexistingwastewatertreatmentfacilitiesortheDistrict'swaterfacilitiesor water rights. ARTICLE II WASTEWATER EOUIPMENT &FACILITIES 2.01 Capacity.Upon approvalby theCityCommission of a Resolutionof Annexation, and completionoftheWastewater ExtensionFacilities,theCitywillprovidethe Riverside Propertieswastewatertreatmentand disposalservices.Inthisregard,theCityrepresentsthatupon completionoftheimprovements discussedinSection2.02below,theCityhas sufficientcapacityin theCity'swastewatertreatmentand disposalfacilitiesand systemstoaccommodate thewastewater treatmentand disposalneeds oftheRiversideProperties.Followingannexation,theCityshallhave thesoleand exclusiverightand obligationtooperateand maintainallthosefacilitiesand systemsto providewastewatertreatmentand disposalfortheRiversideProperties,as wellasotherproperties servedby theCity. 2.02 Wastewater ExtensionFacilities.The Cityoritsdesigneeshall(i)design,construct, and installanew wastewaterpipelinefrom thevicinityoftheDistrict'scurrentliftstationtodeliver wastewatertotheCity'sheadworks facilityoran upstreammanhole asdeterminedby theCityin ordertoconnectwiththeCity'sexistingfacilities;and (ii)upgrade orreplaceitsexistinglift stationtoCitystandardsincludingan emergency generatorand flow meter with radioread capabilities,allasreflectedon ExhibitB (the"WastewaterExtensionFacilities").TheCityshallbe solelyresponsiblefordesigning,constructing,installing,and obtainingallnecessarypermitsforthe Wastewater ExtensionFacilitiesinthesizeand manner itdeems appropriate,providedthatthesame meet thestandardsand requirementsoftheMDEQ and theCitythatapplytopublicwastewater systemsand aresufficientto servetheDistrict'sProperties. 2.03 Upon completionand approvalby theCityoftheWastewater ExtensionFacilities and annexation,theDistrictshallconvey totheCity,by Billof Sale,allofthe C&D Infrastructure, includingtheWastewaterExtensionFacilities.Thereafter,theCityshallbe solelyresponsiblefor allcollection,treatmentand disposalofwastewaterwithintheDistrict'sjurisdictionalboundaries. 2.04 Permitsand Approvals.The Cityshallbe responsibleforacquiringthepermitsand approvalsrequiredby thelaws oftheStateofMontana toconstructtheWastewater Extension Facilities.The Cityshallbe responsibleforacquiringany permitsand approvalsnecessarytotreat and disposeofthewastewaterfrom theRiversideProperties,asdiscussedherein. 2.05 Funding forWastewaterExtensionFacilities.The RiversidePropertiesshallbe solelyresponsibleforpaying fortheWastewater ExtensionFacilitiesincludingbutnotlimitedto costsand expensesof easements,permits,financing,etc.relatedtotheconstructionand permitting of thesame.Inthisregard,theCityshallwork withtheDistrictto createa SpecialImprovement District(an"SID")inaccordancewith §7-12-4101etseq.Montana Code Annotated.The costs RWSD-BOZEMAN WASTEWATER AGREEMENT Page 3 DocuSignEnvelopeID:114ECD63-F603-4893-B23B-FC2672B04D60 associatedwiththeWastewater ExtensionFacilitiesand SID (collectively,the"SID Costs")willbe assessedagainsttheRiversidePropertiespursuantto§7-12-4I62 Montana Code Annotated.As partoftheannexationdiscussedintheRecitalsabove theRiversidePropertiesshallwaive any protesttheymay have totheSID. 2.06 No InterestinWater System.The DistrictisnotconveyingtotheCityany interest whatsoeverintheDistrict'swatersystemorwaterrights.The Cityreservestherightto requirethe Districttoperiodicallytestthewatersystemtoverifythatnothinginthewaterortheflow rateor volume ofwater storedby theDistrictwould leadtoproblems withtheCity'swastewaterfacilityor itsfirefightingresponsibilities.FollowingannexationoftheRiversideProperties,theDistrictshall continuetoown and operate,and remain responsiblefor,itswater systemand itswaterrights. 2.07 The Beginning ServiceDate:The dateof completionand approvalby theCityof theconstructionoftheWastewater ExtensionFacilitiesand noticetotheDistricttheCityis readytoassume wastewaterservicesforthe RiversidePropertiesshallbe the "Beginning Service Date". 2.08 CostsofTreatmentand DisposalServices.FollowingtheBeginningServiceDate, theCitywillbilltheRiversidePropertiesforwastewaterserviceson a monthly basisinthemanner itbillsothersimilarlysituatedpropertieswithintheCity. ARTICLE III EVENTS FOLLOWING ANNEXATION 3.01 Transferof Wastewater Infrastructure.Followingannexationofthe Riverside PropertiesintotheCityand completionoftheProject,theDistrictshalltransfertotheCity,forno additionalconsideration,allright,titleand interestinand toitsC&D Infrastructurethesebeingall ofthepersonalpropertyowned by theDistrictused tocollectand transmittotheCitywastewater from RiversideProperties.The partiesagreetheyshallexecuteallinstrumentsnecessaryto effectuatesuch transferand access.Sewer servicelinesfrom thepropertylinetothepremisesare owned by theowner ofthepropertyserved.As owners of thesewer servicelines,allproperty owners willhave theresponsibilityofkeepingtheservicelinesand allothernecessary appurtenancesfrom thepropertylinetothepremisesingood condition.Should thelinesnotbe properlymaintained,theCitymay,atitsdiscretionand attheowner'sexpense,fixorcorrectany deficienciesthatoccurwhich may affecttheCity'sabilitytoprovidesewerservice. 3.02 Consistentwith theCity'spolicyand themanner inwhich ittreatsotherannexed properties,the RiversidePropertieswillbecome partof theCityupon annexationforall municipaland governmentalpurposesincludingvoting,debts,taxation,representation, enforcementof laws and ordinancesincludingtheCity'sUnifiedDevelopment Code (UDC),etc. Upon annexation,theRiversidePropertiesand theirowners/residentsshallbe entitledtothe same privilegesand benefitsasprovidedtootherpartsoftheCityand theirresidents.The City Commission,however,recognizesthattheRiversidePropertiesare unique inthatthey have been partof establishedneighborhoods with theirown characterformany years.As such,theCity Commission willnot atthetime of annexationrequirepropertyowners toupgrade streetsand RWSD-BOZEMAN WASTEWATER AGREEMENT Page 4 DocuSignEnvelopeID:114ECD63-F603-4893-B23B-FC2672B04D60 sidewalkswithintheDistrictto City standardsatthetime theRiversidePropertiesareannexed, or otherwisechange thephysicalappearanceoftheneighborhoods.The partiesunderstandthat such a decisioncannotbind futurecitycommissions,which may requirepropertyowners todo so. a.UntiltheWastewater ExtensionFacilitiesarecompleted,theDistrictmust be responsibleforcollectingand treatingwastewatercollectedwithinitsboundaries, aswellas chargingand collectingtheappropriatefeesforthe same. b.Upon completionof theWastewater CollectionFacilities,the Citywillchargeall costsforwastewatercollectionand processingdirectlytotheowners/residentsof theannexed propertiesinthe same manner as allotherCitywastewater customers.The Citywillrequiretheowners of each of theRiversidePropertiesor theDistrictas a conditionofreceivingwastewaterservicetoallow fortheCityor itsagentsto accessthepropertyto installindividualwatermeterson each property'swater servicetodeterminethevolume of wastewatergeneratedby the RiversideProperties.The City isauthorizedtocharge theRiversidePropertiesall reasonablecostsand expensesrelatedtotheinstallationof watermeters.Until such time asa water meter has been installedinan individualproperty,the Districtagreesthe Citymay chargecostsforwastewatertosuch propertybased on theCity'scurrentunmetered customer rate.Inaddition,theCitywilldetermine theassessmentrateand methodology forwastewatertreatmentincludingany additionalchargesfortreatmentof an individualproperty'ssump pump discharge. c.Owners oftheRiversidePropertiesmay plow theirown streetsthough all propertieswithintheareatobe annexed willbe subjectto fullCitystreet maintenanceassessments. d.The DistrictrecognizesindividualpropertieswithintheRiversidePropertiesmust atthetime of theBeginning ServiceDate comply withtherequirementsof Chapter40,Division3,Bozeman Municipal Code (BMC).Specifically, individualpropertieswithintheRiversidePropertieswillbe prohibitedfrom connectingroofdownspouts,foundationdrains,areaway drains,orothersources of surfacerunoffor groundwater intotheCity'swastewater collectionsystem pursuanttosection40.03.1060,BMC. 3.03 ExistingRural Improvement Districts.The City recognizestheRiverside PropertiesareincludedinGallatinCounty'sRuralImprovement District(RID)Maintenance Program throughRID 308 and RID 346.The DistrictunderstandstheexistenceoftheRIDs will notreduce theassessmentsby theCityforstreetand tree,and arterialand collectordistrict assessments.These existingRID's (308 and 346)willremain inplaceforongoing maintenance of thewater system.ExistingRID 310 isforwater and sewer servicesand residentswithinthe Districtareassessedannuallybased upon lotsquarefootage.The Citywillnotbe responsiblefor any outstandingmaintenance assessmentsor indebtednesstheRiversidePropertiesmay have for theseRIDs. RWSD-BOZEMAN WASTEWATER AGREEMENT Page 5 DocuSignEnvelopeID:114ECD63-F603-4893-B23B-FC2672B04D60 3.04 CentralVallevFireDistrictDebt.The RiversidePropertiesarecurrentlylocated withintheCentralValleyFireDistrictand thosepropertiesundertakenfinancialcommitments relatedto constructionof a new firestation.Upon annexation,theCityshalltakeover responsibilityforsatisfyingthatfinancialcommitment tothe CentralValleyFireDistrict. 3.05 Financineand RiversidePropertiesResponsibleforAll Costs ofthe Wastewater ExtensionFacilities/FinancingOptions.The RiversidePropertiesshallbe solelyresponsiblefor paying forallcostsof the Wastewater ExtensionFacilities.Consistentwith theterms ofthe Petition,the RiversidePropertiesdesirefortheCitytocreatea SID forsellingbonds tofinance thecostsoftheWastewater ExtensionFacilities,inadditiontothe petitionforannexation. Financingforthedesignand constructionwillbe through a SID or otherequitablefinancing method. 3.06 Indemnification.Upon annexation,theDistrictreleases,holdstheCityharmlessand indemnifiestheCityfrom any claimsor damages resultingfrom,arisingout of,or inany way relatedtopollutionand water qualitycompliance issuesstemming from the District'soperation of itswastewaterfacilitiesforboth pastactionand,forthosefacilitiesnot conveyed by the DistricttotheCity,forany futureissuesrelatedto theDistrict'sfacilitiesnot so conveyed.This indemnificationwillincludeholdingtheCityharmlessfrom any delayinthe Districtmeeting DEQ's requiredcompliance schedule.Upon annexation,theDistrictalsoreleasesand holdsthe City harmlessfrom any suitfrom any residentof theRiversidePropertiesregardingthe formationofa SID to fund theWastewater ExtensionFacilities. 3.07Constructionand Easements.Constructionwillbe managed by the City in accordancewith itsstandardproceduresforinfrastructureprojects,includingproceduresfor bidding,awarding and overseeingthe contractforconstructionand constructionitself. Notwithstandingtheforegoing,the City,withtheDistrictsassistance,shallbe responsiblefor obtainingthenecessarypermitsfortheWastewater ExtensionFacilitiesinaccordancewith the standardsand requirementsof theDEQ and theCity.Where applicable,any easementsor rights of way necessaryfortheprovisionof wastewaterserviceswillbe transferredtothe City upon annexation. 3.08Water forFirefighting.The Citywill,upon annexation,relyon theDistricttoensure adequatewater supplyforfiresuppressionpurposes.The Districtagreesto operateand maintain itswater distribution,storage,and supply system to maximize availablewaterflow forfire suppressionfrom the system and tomaintainthemeasured hydrantflows,as establishedthrough hydranttestingcompletedjointlywith theDistrictand theCityon June 29,2021.Upon annexationand connectionof theProjecttotheCity'swastewatersystem,theDistrictwill indemnifyand holdtheCityharmlessfrom any claimsor damages resultingfrom,arisingout of, or inany way relatedto inadequatewater supplyor flow relatedtoa firesuppressioneffortfrom theDistrict'swater system. 3.09CityNot Subjectto DEO Enforcement The partiesunderstandand agreethattheact of theCityof assistingtheDistrictand theRiversidePropertiesindesigning,constructing,and financingtheWastewater ExtensionFacilitiesdoes notsubjecttheCityto enforcementactionby RWSD-BOZEMAN WASTEWATER AGREEMENT Page 6 DocuSignEnvelopeID:114ECD63-F603-4893-B23B-FC2672B04D60 DEQ fortheDistrict'songoing water qualityissues.The Cityor itsdesignee,however,istaking responsibilityfordesigningand constructiontheProject. 3.10 CityAssumption of Wastewater Treatment.On theBeginning ServiceDate,as definedin Section2.08 above,theDistrictshallconvey totheCityitsC&D Infrastructureused to collectand deliverwastewaterwithinthe District'sboundariestotheCity'swater reclamation facilityneartheDistrictboundaries.Thereafter,theCity shallbe solelyresponsibleforall collection,treatmentand disposalof wastewatercoming from theRiversideProperties. 3.11NutrientCredits.The Districtacknowledges any futurenitrogenand/orphosphorus nutrientcreditsthatresultfrom removing theDistrict'swastewatertreatmentsystem from operationand which areprovidedby DEQ willbelong tothe Cityand may be used tooffsetthe City'snutrientdischargelimits. 3.12District'sWater System.The Districtisretainingitswater rights,water supplyand distributionsystem.The District'swater supplyand distributionsystem may be consideredto demonstratecompliance with the City'swater adequacy requirements.Notwithstandingthe foregoing,theDistrictagreesthatitwillnotexpand itsareaof water servicewithoutthewritten consentof theCity. 3.13 DistricttoMaintainResponsibilityforItsWastewaterTreatmentWorks.Afterthe Beginning Servicedate,as definedinSection2.08above,theDistrictwillcontinuetoretain possessionofand maintainresponsibilityforitsexistingwastewatertreatmentsystemand all infrastructureconnectedtothatsystemthatisnotconveyed totheCityastheC&D Infrastructure. 3.14 District'sOngoing Responsibilities.Following annexationand theBeginning ServiceDate,theDistrictwillcontinueto operateas itrelatestoprovidingwatertotheRiverside Properties,though itwillceasetooperateany sewer collectionor treatmentoperations.Using its existingsystems,theDistrictwillexistforwastewater purposessolelyto addressany outstanding reclamationand indemnity obligations. 3.15 Impact Fees.The City shallprovidea listingofthecostof impact feesby individualpropertythatmake up theRiversideProperties.The Citywillcollectallfireimpact feesand distributesuch tothefireimpact feecapitalfund atthetime of annexation.For wastewater impact fees,the Citycollectand willplacewastewaterimpactfeesina fund tobe heldby theCityuntilthecompletionoftheconnectionbetween the WRF and theRiverside Properties.At thetime theCitycommences treatingwastewatereffluentfrom theDistrict PropertiestheCitywilltransferallwastewaterimpactfeestothewastewaterimpact feecapital fund. RWSD-BOZEMAN WASTEWATER AGREEMENT Page 7 DocuSignEnvelopeID:114ECD63-F603-4893-B23B-FC2672B04D60 ARTICLE IV MISCELLANEOUS 4.01 Nondiscriminationand Equal Pay Affirmation.The partieshereby affirmthey willnotdiscriminateon thebasisof race,color,religion,creed,sex,age,maritalstatus,national origin,or because of actualorperceivedsexualorientation,gender identityor disability.In addition,thepartieshereby affirmthey willabideby theEqual Pay Act of 1963 and Section39- 3-104,MCA (theMontana Equal Pay Act),and have visitedthe Stateof Montana Equal Pay for Equal Work "bestpractices"website,https://equalp_av.mt.gov/BestPractices/Emplovers,or equivalent"bestpracticespublicationand have read thematerial. 4.02 Extensionor Termination.This Agreement may be extended or terminatedupon the mutual consentof allparties. 4.03 Notices.Any notice,consentor approvalrequiredorpermittedto be givenunder thisAgreement shallbe inwritingand shallbe deemed tohave been given upon (1)hand- delivery,or (2)one businessday afterbeingdepositedprepaidwith FederalExpress,United StatesPostalService,Express Mail,UPS,or any otherreliableovernightcourierserviceor transmittedby facsimiletelecopywith confirmationofreceipt,and addressedasfollows: Ifto the District:Ifto the City: RiversideWater &Sewer District Cityof Bozeman Attn:Chair Attn:CityManager P.O.Box 6233 P.O.Box 1230 Bozeman,Montana 59771 Bozeman,MT 59771 Eitherpartymay change itsaddressby givingnoticetothe otherinthemanner provided forinthissection. 4.04 Choice ofLaw.This Agreement ismade in,and shallbe construedin accordancewith,the laws of theStateof Montana. 4.05 Modificationsand Waivers.ThisAgreement may onlybe modifiedina writing signedby each oftheparties.No covenant,term or conditionorthebreachthereofshallbe deemed waived,exceptby writtenconsentofthepartyagainstwhom thewaiverisclaimed,and any waiver ofany covenant,term,or conditionshallnotbe a waiver of any precedingorsucceedingbreachof thesame orany othercovenant,term orcondition.Acceptance by one partyof any performanceby theotherafterthetimethesame shallhave become due shallnotconstituteawaiver by theformer ofthebreachordefaultof any covenant,term orconditionunlessotherwiseexpresslyagreedby the non-breachingpartyinwriting. 4.06 Assignment.ThisAgreement may notbe assignedwithoutthepriorwrittenconsent ofthenon-assigningparty. RWSD-BOZEMAN WASTEWATER AGREEMENT Page 8 DocuSignEnvelopeID:114ECD63-F603-4893-B23B-FC2672B04D60 4.07 RelationshipofParties.There shallbe no separatelegalentitycreatedas a conse- quence of thisAgreement.ThisAgreement shallnotbe construedtocreate,eitherexpresslyor by implication,therelationshipof agency orpartnershipbetween theparties.No party(includingthe party'sagent,employees or contractors)isauthorizedtoacton behalfofanotherpartyinany manner relatingtothesubjectmatterofthisAgreement.No partyshallbe liablefortheacts,errors or omissionsoftheofficers,agents,employees orcontractorsof theotherpartyenteredinto, committed or performedwithrespecttoorinperformanceofthisAgreement. 4.08 Captions.The titlesorcaptionsoftheprovisionsofthisAgreement aremerely for convenienceorreferenceand arenotrepresentationsof mattersincludedorexcludedfrom such provisions. 4.09 Severability.Ifany term or provisionof thisAgreement shall,toany extent,be determined by a courtof competent jurisdictiontobe invalidor unenforceable,theremainderof thisAgreement shallnotbe affectedthereby,and each term and provisionofthisAgreement shallbe validand enforceableto thefullestextentpermittedby law 4.10 EntireAgreement.ThisAgreement and allexhibitsheretoshallconstitutetheentire agreementand understandingbetween and among thepartiesheretowithrespecttothesubject matterhereofand supersedesallprioragreementsand understandingsrelatingtosuchsubject matter.The partiesexpresslyacknowledge and agreethat,withregardtothesubjectmatterofthis Agreement and thetransactionscontemplatedherein,(a)thereareno oralagreementsbetween the partiesand (b)thisAgreement,includingtheexhibitsattachedhereto,(i)embodies thefinaland completeagreementbetween theparties,(ii)supersedesallpriorand contemporaneousnegotiations, offers,proposals,agreements,commitments,promises,acts,conduct,courseof dealing, representations,statements,assurancesand understandings,whether oralorwritten,and (iii)may notbe variedor contradictedby evidenceofany such prioror contemporaneousmatterorby evidenceof any subsequentoralagreement oftheparties. 4.11 No ConstructionAgainstDrafter.ThisAgreement and each ofthepartshereofshall notbe construedagainstthepartydraftingtheAgreement orthatpart,and ineveryevent,this Agreement and allofitspartsshallbe construedas ifbothpartiesdraftedallitsprovisions. 4.12 ConfirmationofRecitals.The Recitalssetforthhereinaretrueand accurate. 4.13 Recordation.This Agreement shallbe filedwiththeGallatinCounty Clerk and Recorder and Montana SecretaryofStateas requiredby Section7-11-107,MCA. 4.14 FurtherAssurances.The partieswillcooperatein executingallfurtherdocuments necessaryto effectthetransactionsdiscussedherein. NOW THEREFORE,inconsiderationofthemutual covenants,provisions,and agreements setforthherein,thepartiesagreeasfollows: ARTICLE I DURATION AND PURPOSE 1.01 Recitals.The Districtand theCityagreethattherecitalstothisAgreement are intendedtodescribethebasisforitand theunderlyingintentionsofthepartiesinenteringintoit, and agreefurtherthatthey may be usedtoinformtheinterpretation,construction,and applicationof thisAgreement. 1.02 Duration.ThisAgreement isexecutory,and wholly contingentupon submittalof a PetitionforAnnexationtotheCitysignedby:(i)more than 50%of theresidentelectorsowning realpropertyintheareaservicedcurrentlyby the District;or (ii)theowner or owners of real propertyrepresenting50%or more of thetotalareaservicedcurrentlyby theDistrict.Upon submittalof a PetitionforAnnexation,togetherwith a PetitionforCreationof a Special Improvement Districtforthe financingof certainpublicwastewaterinfrastructure,with the requisitesignatures,and upon adoptionofa Resolutionof Annexation by the City,this Agreement shallserveto govern theundertakingdescribeduntil completionof Wastewater ExtensionFacilities. 1.03 Purpose.The purposeofthisAgreement istosetforththeterms underwhich the CitywillagreetoacquiretheDistrict'swastewatercollectionfacilities(includingexistingpipes, manholes,and otherwastewaterinfrastructureacceptedby theDistrictusedtocollectand deliver wastewaterwithintheDistrict'sboundaries)(collectively,the"C&D Infrastructure"),construct extensionfacilities,and providewastewatertreatmentand disposalservicestotheRiverside RWSD-BOZEMAN WASTEWATER AGREEMENT Page 2 DocuSignEnvelopelD:114ECD63-F603-4893-B23B-FC2672B04D60 Propertiesand intheprocess(i)describesthetasksnecessaryto connecttheDistrict'sexisting wastewatercollectionfacilitiestothe City's;and (ii)assignstotheapplicablepartiesthe responsibilitiesfordesigning,connectionand paying forsuch connections.The Cityisnot acquiringtheDistrict'sexistingwastewatertreatmentfacilitiesortheDistrict'swaterfacilitiesor water rights. ARTICLE II WASTEWATER EQUIPMENT &FACILITIES 2.01 Capacity.Upon approvalby theCityCommission ofa Resolutionof Annexation, and completionof theWastewater ExtensionFacilities,theCitywillprovidethe Riverside Propertieswastewatertreatmentand disposalservices.Inthisregard,theCityrepresentsthatupon completionoftheimprovements discussedinSection2.02below,theCityhas sufficientcapacityin theCity'swastewatertreatmentand disposalfacilitiesand systemstoaccommodate thewastewater treatmentand disposalneedsoftheRiversideProperties.Followingannexation,theCityshallhave the soleand exclusiverightand obligationtooperateand maintainallthosefacilitiesand systemsto providewastewatertreatmentand disposalfortheRiversideProperties,as wellasotherproperties servedby theCity. 2.02 Wastewater ExtensionFacilities.The Cityoritsdesigneeshall(i)design,construct, and installanew wastewaterpipelinefrom thevicinityoftheDistrict'scurrentliftstationtodeliver wastewatertotheCity'sheadworks facilityoran upstreammanhole asdeterminedby theCityin ordertoconnectwiththeCity'sexistingfacilities;and (ii)upgrade or replaceitsexistinglift stationtoCitystandardsincludingan emergency generatorand flow meter with radioread capabilities,allas reflectedon ExhibitB (the"Wastewater ExtensionFacilities").TheCityshallbe solelyresponsiblefordesigning,constructing,installing,and obtainingallnecessarypermitsforthe WastewaterExtensionFacilitiesinthesizeand manner itdeems appropriate,providedthatthesame meet thestandardsand requirementsoftheMDEQ and theCitythatapplytopublicwastewater systemsand aresufficienttoservetheDistrict'sProperties. 2.03 Upon completionand approvalby theCityoftheWastewater ExtensionFacilities and annexation,theDistrictshallconvey totheCity,by Billof Sale,alloftheC&D Infrastructure, includingtheWastewater ExtensionFacilities.Thereafter,theCityshallbe solelyresponsiblefor allcollection,treatmentand disposalofwastewaterwithintheDistrict'sjurisdictionalboundaries. 2.04 Permitsand Approvals.The Cityshallbe responsibleforacquiringthepermitsand approvalsrequiredby thelaws oftheStateof Montana toconstructtheWastewater Extension Facilities.The Cityshallbe responsibleforacquiringany permitsand approvalsnecessarytotreat and disposeofthewastewaterfrom theRiversideProperties,asdiscussedherein. 2.05 Funding forWastewater ExtensionFacilities.The RiversidePropertiesshallbe solelyresponsibleforpayingfortheWastewater ExtensionFacilitiesincludingbutnotlimitedto costsand expensesofeasements,permits,financing,etc.relatedtotheconstructionand permitting ofthesame.Inthisregard,theCityshallwork withtheDistricttocreatea SpecialImprovement District(an"SID")inaccordancewith §7-12-4101etseg.Montana Code Annotated.The costs RWSD-BOZEMAN WASTEWATER AGREEMENT Page 3 DocuSignEnvelopeID:114ECD63-F603·4893-B23B-FC2672B04D60 associatedwiththeWastewater ExtensionFacilitiesand SID (collectively,the"SID Costs")willbe assessedagainsttheRiversidePropertiespursuantto§7-12-4162Montana Code Annotated.As partoftheannexationdiscussedintheRecitalsabove theRiversidePropertiesshallwaive any protesttheymay have totheSID. 2.06 No InterestinWater System.The DistrictisnotconveyingtotheCityany interest whatsoeverintheDistrict'swatersystemorwaterrights.The Cityreservestherighttorequirethe Districttoperiodicallytestthewatersystemtoverifythatnothinginthewaterortheflowrateor volume ofwaterstoredby theDistrictwould leadtoproblemswiththeCity'swastewaterfacilityor itsfirefightingresponsibilities.FollowingannexationoftheRiversideProperties,theDistrictshall continuetoown and operate,and remain responsiblefor,itswatersystem and itswaterrights. 2.07 The BeginnineServiceDate:The dateof completion and approvalby theCity of theconstructionofthe Wastewater ExtensionFacilitiesand noticetothe DistricttheCityis readytoassume wastewaterservicesfortheRiversidePropertiesshallbe the"Beginning Service Date". 2.08 CostsofTreatmentand DisposalServices.FollowingtheBeginning ServiceDate, theCitywillbilltheRiversidePropertiesforwastewaterserviceson a monthly basisinthemanner itbillsothersimilarlysituatedpropertieswithintheCity. ARTICLE III EVENTS FOLLOWING ANNEXATION 3.01 Transferof Wastewater Infrastructure.Followingannexationofthe Riverside PropertiesintotheCityand completionoftheProject,theDistrictshalltransfertotheCity,forno additionalconsideration,allright,titleand interestinand toitsC&D Infrastructurethesebeingall ofthepersonalpropertyowned by theDistrictused tocollectand transmittotheCitywastewater from RiversideProperties.The partiesagreetheyshallexecuteallinstrumentsnecessaryto effectuatesuchtransferand access.Sewer servicelinesfrom thepropertylinetothepremisesare owned by theowner ofthepropertyserved.As owners ofthesewer servicelines,allproperty owners willhave theresponsibilityofkeepingtheservicelinesand allothernecessary appurtenancesfrom thepropertylinetothepremisesingood condition.Should thelinesnotbe properlymaintained,theCitymay,atitsdiscretionand attheowner'sexpense,fixorcorrectany deficienciesthatoccurwhich may affecttheCity'sabilitytoprovidesewer service. 3.02 ConsistentwiththeCity'spolicyand themanner inwhich ittreatsotherannexed properties,theRiversidePropertieswillbecome partoftheCityupon annexationforall municipaland governmentalpurposes includingvoting,debts,taxation,representation, enforcementof laws and ordinancesincludingthe City'sUnifiedDevelopment Code (UDC),etc. Upon annexation,theRiversidePropertiesand theirowners/residentsshallbe entitledtothe same privilegesand benefitsasprovidedto otherpartsofthe Cityand theirresidents.The City Commission,however,recognizesthatthe RiversidePropertiesareunique inthatthey have been partof establishedneighborhoods withtheirown characterformany years.As such,theCity Commission willnotatthetime of annexationrequirepropertyowners to upgrade streetsand RWSD-BOZEMAN WASTEWATER AGREEMENT Page 4 DocuSignEnvelopeID:114ECD63-F603-4893-B23B-FC2672B04D60 sidewalkswithintheDistrictto City standardsatthetime theRiversidePropertiesareannexed, or otherwisechange thephysicalappearanceof theneighborhoods.The partiesunderstandthat such a decisioncannotbind futurecitycommissions,which may requirepropertyowners to do So. a.Untilthe Wastewater ExtensionFacilitiesarecompleted,theDistrictmust be responsibleforcollectingand treatingwastewatercollectedwithinitsboundaries, aswellaschargingand collectingtheappropriatefeesforthesame. b.Upon completionofthe Wastewater CollectionFacilities,theCitywillchargeall costsforwastewater collectionand processingdirectlytotheowners/residentsof theannexed propertiesinthesame manner asallotherCitywastewater customers.The Citywillrequiretheowners of each oftheRiversidePropertiesor theDistrictas a conditionof receivingwastewater serviceto allowforthe Cityor itsagentsto accessthepropertyto installindividualwatermeterson each property'swater serviceto determinethevolume of wastewatergeneratedby the RiversideProperties.The CityisauthorizedtochargetheRiversidePropertiesall reasonablecostsand expensesrelatedto theinstallationof watermeters.Until such time asa water meter has been installedinan individualproperty,the DistrictagreestheCitymay chargecostsforwastewaterto suchpropertybased on theCity'scurrentunmetered customer rate.Inaddition,theCitywilldetermine theassessmentrateand methodology forwastewatertreatmentincludingany additionalchargesfortreatmentofan individualproperty'ssump pump discharge. c.Owners oftheRiversidePropertiesmay plow theirown streetsthough all propertieswithintheareatobe annexed willbe subjecttofullCitystreet maintenance assessments. d.The Districtrecognizesindividualpropertieswithinthe RiversidePropertiesmust atthetime oftheBeginning ServiceDate comply with therequirementsof Chapter40,Division3,Bozeman Municipal Code (BMC).Specifically, individualpropertieswithintheRiversidePropertieswillbe prohibitedfrom connectingroofdownspouts,foundationdrains,areaway drains,or othersources ofsurfacerunoffor groundwater intotheCity'swastewatercollectionsystem pursuanttosection40.03.1060,BMC. 3.03 ExistingRural Improvement Districts.The CityrecognizestheRiverside PropertiesareincludedinGallatinCounty'sRural Improvement District(RID)Maintenance Program throughRID 308 and RID 346.The DistrictunderstandstheexistenceoftheRIDs will not reducetheassessmentsby theCityforstreetand tree,and arterialand collectordistrict assessments.These existingRID's (308 and 346)willremain inplaceforongoing maintenance of thewater system.ExistingRID 310 isforwater and sewer servicesand residentswithinthe Districtareassessedannuallybased upon lotsquarefootage.The Citywillnotbe responsiblefor any outstandingmaintenance assessmentsor indebtednesstheRiversidePropertiesmay have for theseRIDs. RWSD-BOZEMAN WASTEWATER AGREEMENT Page 5 DocuSignEnvelopeID:114ECD63-F603-4893-B23B-FC2672B04D60 3.04 CentralValleyFireDistrictDebt.The RiversidePropertiesarecurrentlylocated withintheCentralValleyFireDistrictand thosepropertiesundertakenfinancialcommitments relatedtoconstructionof a new firestation.Upon annexation,theCity shalltakeover responsibilityforsatisfyingthatfinancialcommitment totheCentralValley FireDistrict. 3.05 Financingand .RiversidePropertiesResponsibleforAll Costsof theWastewater ExtensionFacilities/FinancingOptions.The RiversidePropertiesshallbe solelyresponsiblefor paying forallcostsofthe Wastewater ExtensionFacilities.Consistentwiththeterms ofthe Petition,theRiversidePropertiesdesireforthe Citytocreatea SID forsellingbonds tofinance thecostsoftheWastewater ExtensionFacilities,inadditiontothepetitionforannexation. Financingforthedesignand constructionwillbe through a SID or otherequitablefinancing method. 3.06 Indemnification.Upon annexation,theDistrictreleases,holdstheCityharmlessand indemnifiestheCityfrom any claimsordamages resultingfrom,arisingout of,or inany way relatedto pollutionand waterqualitycompliance issuesstemming from theDistrict'soperation of itswastewater facilitiesforboth pastactionand,forthosefacilitiesnot conveyed by the Districtto theCity,forany futureissuesrelatedtotheDistrict'sfacilitiesnot so conveyed.This indemnificationwillincludeholdingthe Cityharmlessfrom any delayinthe Districtmeeting DEQ's requiredcompliance schedule.Upon annexation,theDistrictalsoreleasesand holdsthe Cityharmlessfrom any suitfrom any residentoftheRiversidePropertiesregardingthe formationofa SID tofund theWastewater ExtensionFacilities. 3.07 Constructionand Easements.Constructionwillbe managed by theCityin accordancewith itsstandardproceduresforinfrastructureprojects,includingproceduresfor bidding,awarding and overseeingthe contractforconstructionand constructionitself. Notwithstandingtheforegoing,the City,with theDistrictsassistance,shallbe responsiblefor obtainingthe necessarypermitsforthe Wastewater ExtensionFacilitiesin accordancewith the standardsand requirementsoftheDEQ and theCity.Where applicable,any easements or rights of way necessaryfortheprovisionof wastewaterserviceswillbe transferredtothe Cityupon annexation. 3.08 Water forFirefightina.The Citywill,upon annexation,relyon theDistricttoensure adequatewater supplyforfiresuppressionpurposes.The Districtagreesto operateand maintain itswater distribution,storage,and supply system tomaximize availablewater flow forfire suppressionfrom thesystem and tomaintainthemeasured hydrantflows,as establishedthrough hydranttestingcompletedjointlywith theDistrictand theCityon June 29,2021.Upon annexationand connectionoftheProjecttotheCity'swastewatersystem,the Districtwill indemnify and holdthe City harmlessfrom any claimsordamages resultingfrom,arisingoutof, or inany way relatedto inadequatewater supplyorflow relatedto a firesuppressioneffortfrom theDistrict'swater system. 3.09CityNot SubjecttoDEO Enforcement.The partiesunderstandand agreethattheact oftheCity of assistingthe Districtand theRiversidePropertiesindesigning,constructing,and financingtheWastewater ExtensionFacilitiesdoes not subjecttheCitytoenforcementactionby RWSD-BOZEMAN WASTEWATER AGREEMENT Page 6 DocuSignEnvelopeID:114ECD63-F603-4893-B23B-FC2672B04D60 DEQ fortheDistrict'songoing water qualityissues.The Cityor itsdesignee,however,istaking responsibilityfordesigningand constructiontheProject. 3.10CityAssumption of Wastewater Treatment.On theBeginning ServiceDate,as definedinSection2.08above,theDistrictshallconvey totheCityitsC&D Infrastructureused tocollectand deliverwastewaterwithintheDistrict'sboundariestotheCity'swaterreclamation facilityneartheDistrictboundaries.Thereafter,theCityshallbe solelyresponsibleforall collection,treatmentand disposalof wastewatercoming from the RiversideProperties. 3.11 NutrientCredits.The Districtacknowledges any futurenitrogenand/orphosphorus nutrientcreditsthatresultfrom removing theDistrict'swastewatertreatmentsystem from operationand which areprovidedby DEQ willbelongtotheCityand may be used tooffsetthe City'snutrientdischargelimits. 3.12 District'sWater System.The Districtisretainingitswater rights,watersupplyand distributionsystem.The District'swatersupplyand distributionsystem may be consideredto demonstratecompliance withtheCity'swateradequacy requirements.Notwithstandingthe foregoing,theDistrictagreesthatitwillnot expand itsareaof water servicewithoutthewritten consentoftheCity. 3.13 DistricttoMaintainResponsibilityforltsWastewaterTreatmentWorks.Afterthe BeginningServicedate,asdefinedinSection2.08above,theDistrictwillcontinuetoretain possessionofand maintainresponsibilityforitsexistingwastewatertreatmentsystemand all infrastructureconnectedtothatsystemthatisnotconveyed totheCityastheC&D Infrastructure. 3.14 District'sOneoing Responsibilities.Following annexationand theBeginning ServiceDate,theDistrictwillcontinuetooperateas itrelatestoprovidingwatertotheRiverside Properties,though itwillceasetooperateany sewer collectionortreatmentoperations.Using its existingsystems,the Districtwillexistforwastewaterpurposessolelyto addressany outstanding reclamationand indemnityobligations. 3.15 Impact Fees.The City shallprovidea listingof thecostof impactfeesby individualpropertythatmake up theRiversideProperties.The Citywillcollectallfireimpact feesand distributesuch tothefireimpactfeecapitalfund atthetime of annexation.For wastewaterimpact fees,the Citycollectand willplacewastewaterimpact feesina fund to be held by the Cityuntilthecompletionoftheconnectionbetween the WRF and theRiverside Properties.At thetime theCitycommences treatingwastewatereffluentfrom theDistrict Propertiesthe Citywilltransferallwastewaterimpact feestothewastewater impactfeecapital fund.
