ELEVATOR MODERNIZATION BID PRICING / CLARIFICATIONS
Dear Mike and Dane:
Thank you for the opportunity to bid the elevator modernization at the Alfred M Stiff Building. We are very excited about
this project and welcome the opportunity to discuss details of the project in greater detail. Below are our bid
clarifications and bid form.
PROJECT-SPECIFIC CLARIFICATIONS
1. Modernization bid is contingent upon a five-year ongoing maintenance contract being awarded post warranty. 2. TK Elevator assumes compatibility with existing and future access control systems. 3. SECTION 2.5.B - TKEs bid includes retaining the slide guides on the cantilevered jack system in lieu of new roller guides due to space and application concerns. 4. SECTION 1.6 - Due to non-responsiveness of work by others contractors TKE has included the following
allowances for work by others trades. $15,000 allowance for FLS work to be performed by Johnson Controls.
$12,000 allowance for electrical related work. $12,000 allowance for HVAC work. $10,000 allowance for general
building work, namely a code compliant machine room (lots of piping running through room.)
5. Purchaser agrees to provide dry and secure storage/staging area onsite for the elevator modernization equipment.
6. SECTION 3.5.A. - TK Elevator will meet a mutually agreed upon ride quality, noise level, as well as floor-to-floor
and door time standards established between the Purchaser and elevator consultant based on existing elevator
and building conditions, current PMT readings and the specified equipment to be installed as part of the
modernization process.

STANDARD CLARIFICATIONS:
1. It is agreed that in the event asbestos material is knowingly or unknowingly removed or disturbed in any
manner at the jobsite, you will monitor our work place and prior to and during our manning of the job, you
will certify that asbestos in the environment does not exceed .01 fibers per cc as tested by NIOSH 7400. In
the event our employees or those of our subcontractors are exposed to an asbestos hazard, PCP’s, lead or
other hazardous substances, you agree to indemnify, defend, and hold us harmless from all damages,
claims, suits, expenses, and payments resulting from such exposure. Identification, notification, removal
and disposal of asbestos containing material, PCP’s lead or other hazardous substances are the
responsibility of the purchaser and/or owner representative.
2. TK Elevator will perform all tests described herein during regular working hours of regular working days as is
customary in the elevator industry. Should the Purchaser require performance of these tests outside the
regular working hours of regular working days as is customary in the elevator industry, TK Elevator will provide
Purchaser with a separate and additional proposal to accomplish those tasks at those times at an additional
cost.
3. TK Elevator shall not be liable for any damage to the building structure or the elevator resulting from the
performance of any tests it shall perform at any time under this Proposal.
4. Upon notice from TK Elevator that the work described herein has been completed, Purchaser will arrange to
complete an inspection of the work with TK Elevator and will provide Purchaser's final acceptance thereof in
writing by Purchaser's duly authorized representative at that time if the work is acceptable. The date and
time for such an inspection shall be mutually agreed upon. In no event shall that inspection occur more
than ten (10) business days after the date of TK Elevator's written notice to Purchaser that the work herein
has been completed unless both parties agree otherwise in writing. Immediately following its inspection of
the work, Purchaser's duly authorized representative shall execute TK Elevator's "Final Acceptance" form(s)
prior to turnover and use of the equipment described in this Proposal. Purchaser shall not unreasonably
delay or withhold such final inspection or its written acceptance of the work.
5. Spare Parts are not included in our bid pricing unless otherwise clarified.
6. Contractor's price is based on labor and material prices projected to be in effect when elevator is scheduled to
be installed. In the event that schedule changes or construction delays postpone installation and/or
adjustment of the elevator, providing delay has not been caused by Contractor, Contractor reserves the right
to increase the contract price by the actual amount of increase in material and/or labor costs resulting from
aforementioned delay.
7. In the event of termination for convenience, Contractor shall be paid the proportional contract value of work
performed including contract value of materials in process of fabrication, in transit, stored at jobsite or at
other storage location.
8. Any additional amount, including change orders, is due at the time of completion and approval by the local
authority having jurisdiction (if applicable), but prior to turnover of the equipment by TK Elevator to the
Purchaser for use. If there is more than one unit that is the subject of this Proposal, final payment shall be
made separately as each unit is completed.
9. TK Elevator shall retain exclusive ownership and control over all equipment installed and/or modernized
pursuant to this project until such time as Purchaser has paid TK Elevator 100% of the full Proposal amount
set forth on page 1 as modified by options/alternates (if applicable) along with all applicable change orders.
Purchaser agrees to waive any and all claims to the turnover and/or use of that equipment until such time
as those amounts are paid in full.

10. TK Elevator reserves the right to discontinue its work at any time until payments have been made as
agreed, and TK Elevator has received assurance satisfactory to it that the subsequent payments will be
made as they come due. Any payments not paid when due shall bear interest at 1 1/2 % per month or the
highest legal rate, whichever is less.
11. In the event the Purchaser defaults on any payment, or on any other provision of this Proposal, the unpaid
balance of the Proposal price (including any change orders), less the cost of completing the work, as
estimated by TK Elevator, shall immediately become due and payable.
Contractor reserves the right to review and amend any forthcoming documents not provided herein, as needed.
