ANNEXATION AGREEMENT
THIS AGREEMENT made and enteredintothis 78 day of O(p0 ST ,
2021,by and between the CITY OF BOZEMAN,a self-governingmunicipal corporation
organized and existingunder itsCharter and the laws of the Stateof Montana with officesat 121
N.Rouse Avenue,Bozeman,Montana 59771-0640,hereinafterreferred to as "City",and
BOZEMAN DEVELOPMENT LLC,899 West FoothillBoulevard,SuiteG,Monrovia California
91016,hereinafterreferredto as "Landowner".

WHEREAS,Landowner is owner in fee of a tractof certainrealproperty,hereinafter
referredto as the 2021 NE CORNER DAVIS LANE &WESTLAKE ROAD ANNEXATION
situatedin GallatinCounty,Montana,and more particularlydescribedas follows:

WHEREAS,the then Landowner petitionedthe City forannexationtothe City ofthe 2021
NE CORNER DAVIS LANE &WESTLAKE ROAD ANNEXATION;and
WHEREAS,theownership of the propertychanged during the annexation review process
and current Landowner desiresto complete annexation to the City of the 2021 NE CORNER
DAVIS LANE &WESTLAKE ROAD ANNEXATION;and
WHEREAS,the 2021 NE CORNER DAVIS LANE &WESTLAKE ROAD
ANNEXATION is not within the corporate limitsof the City or other municipality and may
thereforebe annexed to the City in accordance with the provisionsof thisAgreement and Title7,
Chapter 2,Part46,Mont.Code Ann.;and
WHEREAS,allpartiesrecognizetheannexationofthe2021 NE CORNER DAVIS LANE
&WESTLAKE ROAD ANNEXATION pursuant to Section 7-2-4601,etseq.,Mont.Code Ann.

will allow the 2021 NE CORNER DAVIS LANE &WESTLAKE ROAD ANNEXATION to
connect to and utilizeCity services,including municipal water and sewer service,parks and
recreation,fireand policeservices,and theCity'stransportationsystem;and
WHEREAS,Section 7-2-4610,Mont.Code Ann.provides that a municipality and
landowner can agreeto the provisionsof servicesto the areato be annexed;and
WHEREAS,the partiesrecognize additionaldevelopment on the 2021 NE CORNER
DAVIS LANE &WESTLAKE ROAD ANNEXATION will impact area parks,recreation,
transportation,police,and fireservices,and that futureimprovements may require additional
public infrastructurestreetimprovements includingtransportationfortrafficcirculationand the
provisionsof parks,recreation,police,and fireservices;and
WHEREAS,the Landowner findsthisAgreement willprovide forthe most satisfactory
and dependable water supply and sewer supply or service,and provide transportation,parks,
recreation,policeand fireservicefor development of the 2021 NE CORNER DAVIS LANE &
WESTLAKE ROAD ANNEXATION;and
WHEREAS,the partieshave determined thatitis in the best interestsof the City and
Landowner,and in furtheranceof the publichealth,safetyand welfare of the community to enter
intoand implement thisAgreement.
WI T N E S S E T H:
IN CONSIDERATION of the mutual covenants and agreements herein contained,the
partieshereto agree as follows:
1.Recitals
The above recitalsaretrueand correct.

2.Annexation
The Landowner filedan applicationfor annexation of the 2021 NE CORNER DAVIS
LANE &WESTLAKE ROAD ANNEXATION with the City on May 4,2021.By execution of
thisAgreement,the City manifests itsintentto annex the 2021 NE CORNER DAVIS LANE &
WESTLAKE ROAD ANNEXATION tract pursuant to the terms and conditions of this
Agreement.Subject to the provisionsof Title7,Chapter 2,Part 46,Mont.Code Ann.the City
shall,upon execution of this Agreement,adopt a Resolution of Annexation of the 2021 NE
CORNER DAVIS LANE &WESTLAKE ROAD ANNEXATION.Further,upon the execution
of thisAgreement,the Landowner shalldo allthingsrequiredby thisAgreement and allthings
necessary and proper to aid and assistthe City incarryingout the terms,conditionsand provisions
of this Agreement and to effectthe annexation of the 2021 NE CORNER DAVIS LANE &
WESTLAKE ROAD ANNEXATION.
3.Services Provided
The City will,upon annexation,make availableto the 2021 NE CORNER DAVIS LANE
&WESTLAKE ROAD ANNEXATION existing City servicesonly to the extent currently
available,or as provided in thisAgreement.
4.Municipal Water Service Defined
The term "municipal water service"as isused inthisagreement shallbe the servicewhich
is supplied by the City in accordance with Chapter 40,Article2,Bozeman Municipal Code,as
amended,as well as any other terms and conditions which apply to the City'sprovision of
municipal water servicebut does not includethe extension of linesor constructionof necessary
improvements atany costto the City fordeliveryof water to and within the 2021 NE CORNER
DAVIS LANE &WESTLAKE ROAD ANNEXATION.Nothing inthisAgreement shallobligate

the City to pay for right-of-way acquisition,engineering,construction,and other costs for the
deliveryof water to or within the 2021 NE CORNER DAVIS LANE &WESTLAKE ROAD
ANNEXATION to include,but not limited to,any impact fees,hook-up,connection,or
development chargeswhich have been or may be establishedby the City.
5.Municipal Sewer Service Defined
The term "municipal sewer service"as isused inthisAgreement shallbe theservicewhich
issuppliedby the City in accordance with Chapter 40,Article3,Bozeman Municipal Code,as
amended,as well as any otherterms and conditionswhich apply to the City'sprovision of this
servicebut does not include the extensionof linesor constructionof necessary improvements at
any costto the City forcollectionof sewage atand within the2021 NE CORNER DAVIS LANE
&WESTLAKE ROAD ANNEXATION.Nothing inthisAgreement shallobligatethe Citytopay
forright-of-wayacquisition,engineering,construction,and othercostsforthecollectionof sewage
services to or within the 2021 NE CORNER DAVIS LANE &WESTLAKE ROAD
ANNEXATION to include,but not limited to,any impact fees,hookup,connection,or
development charges which may be establishedby theCity.
6.Water Rights
The Landowner specificallyrecognizes and agrees the Landowner must provide water
rightsor cash in-lieuof water rightsupon furtherdevelopment or subdivisionof the property in
accordance with Section 38.410.130,Bozeman Municipal Code.The City will calculatethe
amount of water rightsor cash-in-lieuthereofdue atthetime of furtherdevelopment or subdivision
of the property based on the annual demand for volume of water the development will require
multipliedby themost currentannualunitpricein effecton thedatethewater rightsaretransferred
orpayment-in-lieuof water rightsisto be made totheCity.As such,the Landowner acknowledges

thatthe ratesforcash in-lieuof water rightsmay increaseover time as establishedby Resolution
ofthe City Commission.The applicantmust perform a water rightssearchtodetermine ifany exist
forthisproperty.The Landowner must transferany water rightsthatexistforthisproperty to the
City of Bozeman priorto development.Ifinsufficientwater rightsexist,theLandowner must pay
cash in lieuof water rights,in an amount determined by the Director of Public Service,priorto
development.
7.Comprehensive Water and Water Design Report
Priorto futuredevelopment of the property the City may requirethe Landowner to have
prepared by a ProfessionalEngineer,atLandowner's soleexpense,a comprehensive design report
evaluatingexistingcapacityof sewer and water utilitiesin the area.The reportmust include
hydraulic evaluationsof each utilityfor both existingand post-development demands,and the
reportfindingsmust demonstrate adequate capacityto servethe fulldevelopment of the land.If
adequate infrastructurecapacityis not availablefor the proposed development,the reportmust
identifywater or wastewater system improvements necessary for the proposed development.If
improvements to thiswater or wastewater system are necessary,the Landowner agrees priorto
development of the 2021 NE CORNER DAVIS LANE &WESTLAKE ROAD ANNEXATION
to complete,at Landowner's expense,the necessary system improvements to servethe proposed
development.
8.Future Development Limitations
The Landowner shallbe responsiblefor installingallfacilitiesrequired to provide full
municipal servicesto the propertyin accordance with the City'sInfrastructureMaster Plans and
all City regulations,policiesand guidelinesthat may be in effectat the time of any future
development.Thus,Landowner understandsand agreesLandowner has no right,eithergrantedor

implied,for itto furtherdevelop any of the 2021 NE CORNER DAVIS LANE &WESTLAKE
ROAD ANNEXATION untilitis verifiedby the City thatthe necessary municipal services,
includingbut not limitedto police and fireprotection,parks and recreation,transportation,and
sewer and water capacity,are availabletoallora portionof the2021 NE CORNER DAVIS LANE
&WESTLAKE ROAD ANNEXATION.Notice isthusprovided tothe Landowner thatpriorto
additionaldevelopment of theproperty,theLandowner willbe solelyresponsibleforinstalling,at
Landowner's sole expense,any facilitiesor infrastructurerequired to provide fullmunicipal
servicesto the 2021 NE CORNER DAVIS LANE &WESTLAKE ROAD ANNEXATION in
accordance with the City'sinfrastructureplans,adopted Growth Policies/Community Plans,and
allothercityregulations,policiesand guidelinesthatmay be in effectatthetime of development.
9.Stormwater Master Plan
Landowner understands and agreesa Stormwater Master Plan forthe 2021 NE CORNER
DAVIS LANE &WESTLAKE ROAD ANNEXATION fora system designed to remove solids,
oils,grease,and other pollutantsfrom the runoff from public streetsand other impermeable
surfacesmay be requiredto be provided to and approved by the City Engineer atthe time of any
futuredevelopment.The plan must demonstrate thatadequate treatment of runoff from public
streets,other impermeable surfaces,and all future lots will be achieved by providing spot
elevations,flow directionarrows,detentionand/or retentionbasin details(includingbasin sizing
calculationsand basin typicalsections),outletstructuredetails,and culvertcapacitycalculations.
The plan must alsolocateand provide easements foradequate drainageways withinthe 2021 NE
CORNER DAVIS LANE &WESTLAKE ROAD ANNEXATION to transporttreatedrunoff to
the stormwater receivingchannel.The plan shallincludesitegrading and elevationinformation,
typical stormwater detention/retentionbasin and discharge structure details,basin sizing

calculations,and stormwater maintenance plan.Landowner recognizesthe Citymay requiresuch
Stormwater Master Plan to be implemented inallor partas a conditionof approvalof development
of the 2021 NE CORNER DAVIS LANE &WESTLAKE ROAD ANNEXATION.
10.Waiver of Right-to-ProtestSpecial Districts
A.Landowner shallexecutea Waiver of Right-to-ProtestCreationof SpecialDistricts
(SID)or Special Improvement Districtsfor streetand transportationimprovements including
design and engineering,paving and subsurface improvements,curb and gutter,sidewalk and
stormwater drainagefacilities,and fiberopticconduitforDavis Lane,Westlake Road,EastValley
Center Road and signalizationimprovements forthefollowingintersections:a)East Valley Center
Road and Davis Lane and b)Davis Lane and Westlake Road as set forthin Exhibit "A".The
Landowner agrees such SID willprovide a mechanism for the fairand equitableassessment of
constructionand maintenance costs for such improvements.The waiver is attachedhereto as
Exhibit "A"and ishereby incorporatedinand made a partof thisAgreement.
B.Landowner agreesthatintheevent a specialdistrictor an SID isnotutilizedforthe
completion of these improvements as described in subsection A above,the Landowner shall
participatein an alternativefinancingmethod forthe completion of the improvements on a fair
share,proportionatebasisas determined by theCity on thebasisof the square footageof property,
taxable valuationof the property,trafficcontributionfrom the development or a combination
thereof.
C.Landowner understands and agrees thatthe City willchoose creationof a SID or
specialdistrictoran alternativefinancingmethod forthecompletion ofthe improvements and may
use eitherfinancingoptionatany time.

1L Public Streetand UtilityEasement
A.The Landowner understandsand agreesthata public streetand utilityeasement must be
provided forDavis Lane.The applicantmust provide theirrespectiveROW portionofDavis Lane,
which is a width of 50 feetfrom the centerlinerunning north-southalong the western property
boundary.The ROW must be provided as a City standardpublic streetand utilityeasement prior
totheadoption ofResolutionof Annexation.The Landowner,atitssoleexpense,has createdsuch
an easement in a locationand form agreeableto the City and the easement will be filedat the
GallatinCounty Clerk and Recorder's Office.
B.The Landowner understands and agreesthata publicstreetand utilityeasement must be
provided forWestlake Road.Westlake Road isa localstreet,which requiresa totalROW width
of 60 feet.Alignment of Westlake Road does not currentlymeet citystandardsas itapproaches
East Valley Center Road.The alignment of Westlake Road and the accesspoint onto East Valley
Center Road must be modified to meet currentcitystandards upon futuredevelopment of the
parcel.The ROW required for Westlake Road must be provided as a public streetand utility
easement inconnection with futuredevelopment.
12.Trail Easement
The Landowner understands and agrees thata 25 foot wide City standard public access
easement for a multi-use path adjacentto the frontage of the E.Valley Center Road must be
provided prior to the adoption of the Resolution of Annexation.The Landowner,at itssole
expense,has created such an easement in a locationand form agreeable to the City and the
easement willbe filedatthe GallatinCounty Clerk and Recorder's Office.

13.Street Improvements
The Landowner understands and agreesthatatthetime of futuredevelopment theportion
of Davis Lane,Westlake Road,and East Valley Center Road and itsrelatedtransportation
infrastructurefronting the 2021 NE CORNER DAVIS LANE &WESTLAKE ROAD
ANNEXATION thispropertymust be improved to a City standardatLandowner's expense.
14.Impact Fees
Landowner acknowledges thatannexation and development of theirpropertywillimpact
the City'sexistingstreet,water and sewer infrastructure,and the City'sfireservice.As approved
by the City,the Landowner and itssuccessorsmust pay:
A)Fire impact fees equal to the amount per Chpt.2,Art.6.Div.9 BMC,or as
amended,attime of issuanceof a buildingpermit.
B)Transportationimpact feesequal to the amount per Chpt.2,Art.6.Div.9 BMC,
or as amended,attime of issuanceof a buildingpermit.
C)Water impact feesas requiredby Chpt.2,Art.6.Div.9 BMC,or as amended,at
thetime of connection to citywater services.
D)Sewer impact fees as requiredby Chpt.2,Art.6.Div.9 BMC,or as amended,at
thetime of connection to citysewer services.
The amount of impact feethe Landowner or itssuccessorspay for connectionto the city's
water and sewer services,if any,shallbe calculatedbased on the provisions of the Bozeman
Municipal Code,as amended,in effectat the time of applicationfor a permit to connect.The
amount of streetor fireimpact feesto be paid,ifany,shallbe calculatedbased on theprovisions
of the Bozeman Municipal Code,as amended,in effectat the time an applicationfor building
permit issubmitted.
Landowner furtherunderstands and agrees thatany improvements,eitheron-siteor off-
site,necessary to provide connection of the 2021 NE CORNER DAVIS LANE &WESTLAKE
ROAD ANNEXATION municipal servicesand which arewholly attributableto the property as
2021 NE CORNER DAVIS LANE &WESTLAKE ROAD Annexation Agreement

determined exclusivelyby the City are considered "projectrelatedimprovements"as defined in
Chapter 2,Article6,Division 9,Bozeman Municipal Code,as amended,and as such,are not
eligibleforimpact feecredits.
If Landowner defaultson thisconditionat the time such isto be performed,and should
defaultnot be remedied or correctedwithin thirty(30)days afterwrittennoticeby City to the
Landowner and Landowner/Developer of such default,City may atitsoption:
A)Declare the amounts owing for impact fees immediately due and payable
and City shallhave the rightand privilegeto take legal action against
Landowners for the collectionof such sum,including the entry of any
judgment.In addition,the City may,atitsoption,enforcepayment of such
amount by levyingan assessment on the property.
B)Elect any other remedy availableto City under the laws of the State of
Montana.
15.Assessments
Landowner understands and agreesthatafterthisAgreement isrecorded the 2021 NE
CORNER DAVIS LANE &WESTLAKE ROAD ANNEXATION willbe subjectto City
assessments forarterialand collectorstreets,streetmaintenance,and treemaintenance on the
same basisas allotherpropertiesintheCity.
16.Groundwater
Due to high groundwater levelsin the areano basements arepermittedwith future
development.No crawl spaces willbe permittedwith futuredevelopment of the site,unlessa
professionalengineerregisteredinthe Stateof Montana certifiesthatthelowest pointof any
proposed structureislocatedabove the seasonalhigh groundwater leveland provides supporting
groundwater datapriorto thereleaseof buildingpermit.In addition,sump pumps arenot
allowed tobe connected to the sanitarysewer system.Sump pumps arealsonot allowed to be
connected to the drainage system unlesscapacityisdesigned intothe drainage system to accept

thepumped water.Water from sump pumps may not be discharged onto streets,such as intothe
curb and gutterswhere they may createa safetyhazard forpedestriansand vehicles.
17.Additional Terms
The partiesrecognizethesedocuments must be filedand ofrecordwith the GallatinCounty
Clerk and Recorder priorto the saleof any land withinthe2021 NE CORNER DAVIS LANE &
WESTLAKE ROAD ANNEXATION.The partiesfurtheragree that the City may filethese
documents atany time.
18.Governing Law and Venue
This agreement shallbe construedunder and governed by thelaws of the stateof Montana.
In the event of litigation,venue isinthe EighteenthJudicialDistrictCourt,in and for County of
Gallatin,Stateof Montana.
19.Attorney's Fees
In the event itbecomes necessary for eitherpartyto thisAgreement to retainan attorney
to enforce any of the terms or conditionsof thisAgreement,then the prevailingparty shallbe
entitledto reasonableattorney'sfeesand costs,to includethe salaryand costsof in-housecounsel
includingCity Attorney.
20.Waiver
No waiver by eitherparty of any breach of any term,covenant or agreement shallbe
deemed a waiver of the same or any subsequent breach of thissame or any otherterm,covenant
or agreement.No covenant,term or agreement shallbe deemed waived by eitherparty unless
waived inwriting.

21.Invalid Provision
The invalidityor unenforceabilityof any provisionof thisagreement shallnot affectthe
otherprovisionshereof,and thisAgreement shallbe construedin allrespectsas ifsuch invalidor
unenforceableprovisionwere omitted.
22.Modifications or Alterations
No modificationsor amendment of thisAgreement shallbe validunless evidenced by a
writingsigned by the partieshereto.
23.No Assignment
Itis expresslyagreed thatthe Landowner and/or Landowner/Developer shallnot assign
thisAgreement inwhole or inpartwithout priorwrittenconsent of theCity.
24.Successors
This Agreement shallbe binding upon,inureto the benefitof and be enforceableby the
partiesheretoand theirrespectiveheirs,successorsand assignsand specificallytoany subsequent
purchaser of the annexed property.
25.Covenants to Run with the Land
The partiesintendthatthe terms of thisAgreement shallbenefitthe 2021 NE CORNER
DAVIS LANE &WESTLAKE ROAD ANNEXATION and shallbe covenants running with the
land and shallnot expireattheirdeathsor upon transferof ownership of theproperty.
The undersigned Landowner afñrms thatthey have authorityto enterintothisAgreement
and tobind themselves to thisAgreement.

City of Bozeman,along with accompanying rights and privilegesand for other and valuable
consideration,the receiptof which ishereby acknowledged,and inrecognitionof the impacts to Davis
Lane,Westlake Road,East Valley Center Road and signalizationimprovements for the following
intersections:a)East Valley Center Road and Davis Lane and b)Davis Lane and Westlake Road which
will be caused by the development of the above-described property,the owner has waived and does
hereby waive foritself,itssuccessorsand assignsforevertherighttoprotestthecreationof one ormore

specialdistrictsor specialimprovement districtsfor the design and engineering,constructionand
maintenance of following improvements:lighting,paving and subgrade material,fiber optic
conduit,curb/gutter,sidewalk,storm drainage facilitiesfor Davis Lane,Westlake Road,East Valley
Center Road and signalizationor other trafficcontrol improvements forthe followingintersections:
a)East Valley Center Road and Davis Lane and b)Davis Lane and Westlake Road.Improvement area
forwhich thiswaiver appliesisallrightof way adjacentto the 2021 NE CORNER DAVIS LANE &
WESTLAKE ROAD ANNEXATION and includingand between theintersectionsmost near tothe 2021
NE CORNER DAVIS LANE &WESTLAKE ROAD ANNEXATION.
Landowner agrees the City has the sole rightto controlthe design and constructionof such
improvements and may include any of the above components and others necessary to ensure such
improvements comply with all adopted City infrastructureplans and requirements.Further,the
Landowner waives itsrightor to make any writtenprotestagainstthe sizeor area or creationof the
districtbe assessedin response to a duly passed resolutionof intentionto createone or more special
improvement districtswhich would includethe above-describedproperty.
In the event a specialdistrictor specialimprovement districtisnot utilizedforthe completion of
these improvements,the developer agrees to participatein an alternatefinancing method for the
completion of saidimprovements on a fairshare,proportionatebasisas determined by the City on the
basisof the square footage of property,taxablevaluationof the property,trafficcontributionfrom the
development or a combination thereof.Landowner understands and agrees thatthe City will choose
creationof a SID or specialdistrictor an alternativefinancing method for the completion of the
improvements and may use eitherfinancingoption atany time.
This waiver ismade forthe benefitof thepropertydescribedhereinshallbe a covenant running
with the land.

The terms,covenants and provisionsof thiswaiver shallextend to,and be binding upon the
successors-in-interestand assignsof the Landowner.
