ThisgrantincludestherightoftheGRANTEE,itssuccessors,petmittees,licensees,and assignsand itsand theiragentsand employees,toenteratalltimesupon theabove-described landby usingexistingroadsortrailsor otherwiseby a routecausingtheleastdamage and inconveniencetotheGRANTOR in ordertosurveyand establishtherouteand locationofthe easement and thepipelineand to: (1)Construct,operate,patrol,repair,substitute,remove,enlarge,replace,and maintainthe pipeline,services,connections,accessoriesand appurtenances; (2)Trim,remove,destroy,orotherwisecontrolany treesand brushinsideor outsidethe boundariesof theeasementwhich may,intheopinionoftheGRANTEE,interfereor threatentointerferewith orbe hazardoustotheconstruction,.operationandmaintenance of thepipeline; (3)Grade thelandsubjecttothiseasementand extendthecutsand f111softhisgradinginto and on thelandadjacenttothatwhich issubjecttothiseasementtotheextentGRANTEE may findreasonablynecessary;and (4)Supportthepipelineacrossravinesand watercourseswithstructureswhich GRANTEE deems necessary. THE GRANTEE AGREES: (1)That,inconnectionwiththeconstruction,operating,patrolling,repairing,substituting, removing,enlarging,replacing,and maintainingofsaidwaterand sewerpipeline(s),it willrepairorreplace,atitssoleexpense,orpay toGRANTOR thereasonablevalueof any damages togrowing crops,existingfences,ditchesand otherappurtenancesofsaid landthatmay be disturbedby itsoperation. (2)That,duringoperationsinvolvingexcavation,itwillremove thetopsoilfrom thetrenched areatoa depthof one foot,ortothefulldepthofthetopsoil,whicheverisless,and stockpilesaidtop soilforreplacementoverthetrench.Itwillremove from thesiteany largerocksor surplusexcavatingmaterialorany debristhatmay have been exposedby theexcavationand remainsafterbackfillingiscompleted.And,itwillleavethefinished surfaceinsubstantiallythesame conditionas existedpriortothebeginningof operations exceptthatthesurfaceofbackfilledareasmay be mounded sufficientlytopreventthe formationofdepressionsafterfinalsettlementhas takenplace. THE GRANTOR AGREES: (1)At no timewilltheybuild,construct,erectormaintainany permanent structurewithinthe boundatiesof saideasementwithoutthepriorwrittenconsentof GRANTEE. (2)At no timewilltheymodify thefinishedgradeofthelandoverthepipelineby removal of existingsoilorby placementoffillmaterialwithintheboundariesofsaideasement withoutthepriorwrittenconsentof theGRANTEE. (3)That where thesubjectimprovements arenotlocatedunder improved publicorprivate streetsorotherprovidedaccess,a 12 footwide all-weatheraccessroadmay be constructedwithintheeasementwhere attheCity'sdiscretionsuch accessisrequiredfor operationand maintenancepurposes. (4)The GRANTOR warrantsthattheyarelawfullyseizedand possessedoftherealproperty describedabove,thattheyhave a lawfulrighttoconvey theproperty,orany partofit, and thattheywillforeverdefendthetitletothispropertyagainsttheclaimsofall persons. (5)The GRANTEE may peaceablyholdand enjoytherightsand privilegeshereingranted withoutany interruptionby theGRANTOR.The terms,covenantsand provisionsofthis easement and agreementshallextendtoand be bindingupon theheirs,executors administrators,personalrepresentatives,successorsand assignsof thepartieshereto.
