Database Architecture and Data Maintenance Health Check January 15, 2021 Page 2 of 23 EXECUTIVE SUMMARY INTRODUCTION Langan Engineering & Environmental Services, Inc. (Langan), an Esri® Business Partner with an ArcGIS for Local Government and ArcGIS Online Specialty, is an international full-service engineering and environmental consulting firm. In addition to our core services of comprehensive geotechnical, site/civil and environmental engineering, our technical services extend to include Geographic Information Systems (GIS), traditional survey, mobile and stationary laser scanning, unmanned aerial survey (UAS), desktop/web/mobile application programing and Building Information Modeling (BIM). Langan was founded in 1970 and currently has over 1,200 employees spread over 33 offices, with regional offices in Seattle, Washington and Denver, Colorado. GIS SOLUTIONS FOR LOCAL GOVERNMENT Langan provides prompt on-call Geographic Information Systems (GIS) consulting services to local governments around the country to both implement and support their enterprise GIS efforts. These services include, but are not limited to, planning, design, implementation, maintenance and training of GIS to manage water, sewer and stormwater assets, track vehicle fleets and build multi-departmental datasets, as a means of providing accessibility of the information to both existing GIS and non-GIS users. Langan has extensive experience in the design and implementation of enterprise GIS at both small and large-scale for local government clients. This includes working with the staff to identify the end goal of the GIS and implement a strategy to reach these goals. The implementation of GIS can range from only a few employees to multiple departments with integrated data and applications. Our geospatial staff are trained in GIS architecture and design strategies to support development of GIS for desktop, web, and mobile use. This includes being trained by Esri® Authorized instructors on the most up-to-date software's. To complement our system architecture and design skill set, our GIS staff are also trained on database design and development. This includes adopting Esri® pre-defined database structures or developing customized schemas to meet the needs of the organization. We have extensive experience working with public works departments to create asset inventories, which includes, but is not limited to, street signs, trees/landscaping, park equipment, sidewalk assessments, and utility assets. For each of these, Langan can also offer laser scanning capabilities to precisely catalog the size, structure and location of the assets. In addition, we have developed a myriad of GIS-based mobile applications that provide custom reports to assist local government entities with regulatory reporting. Langan has also worked with several hardware vendors to provide Internet of Things (IoT) sensor data retrieval within an enterprise GIS to assist in collecting asset information. We understand the City is looking to hire a consultant to provide a GIS data and database architecture and data maintenance health check. Langan understands the initial scope of services includes nine tasks, which consist of, but is not limited to the following: 1. Review Existing use of Enterprise Geodatabase; 2. Review Existing use of File Geodatabases; 3. Review Existing use of Hosted Data; 4. Recommendations for Improving Database Maintenance and Overall Performance; 5. Recommendations to Improve Data Management and Integrations; 6. Recommendations for New Data Models; 7. Recommendations and Best Practices for Database Type Use; 8. Review of Existing GIS Integrations and Guidance for Efficient use of FME; and, 9. Transition Plan from ArcGIS Desktop to ArcGIS Pro. Langan has completed and worked on numerous GIS projects for local municipalities and facilities that run like a municipality. Because of this, we have garnered extensive knowledge that makes Langan uniquely qualified to perform municipality related GIS services. Throughout the duration of this project, Langan will draw upon its experience with similar municipal projects to ensure all the City's requirements and expectations are exceeded. We have provided a detailed technical proposal for each of the requested tasks and select specialized project experience below. Task 1 – Review Existing Use of Enterprise Geodatabase Based on our understanding, the City currently runs Microsoft SQL Server 2017, which is used both within the City's production ArcGIS Enterprise site and within the City's test ArcGIS Enterprise site. Many of our clients utilize Microsoft's SQL Server as their Relational Database Management System (RDBMS), and our team also uses Microsoft's SQL Server within our development, staging and production GIS environments. Our team has extensive experience working with Microsoft SQL Server as an Enterprise Database and have database administrators on staff, which will be essential to our team successfully completing this task. Typically, we recommend Enterprise Geodatabases for authoritative data when business requirements call for versioning, geodatabase replication, historical archiving, or multi-user editing. Versioning is a framework where multiple editors can work simultaneously on a single feature class without creating copies of the data, which provides a flexible data management framework that can meet a diverse set of demands. At present, there are two methods for versioning; Traditional and Branched Traditional versioning is intended for accessing the enterprise geodatabase directly via the database connection. However, datasets can be shared via feature services but will not have the same level of multi-user version management capabilities. Branched versioning facilitates the City of Bozeman, MT GIS Data and Database Architecture and Data Maintenance Health Check January 15, 2021 Page 5 of 23 web GIS model by allowing multi-user editing scenarios via a feature service. It is also required for the Utility Network (UN). Our team will review the City's current usage of Enterprise Geodatabases, architecture, and meet with IT as well as GIS stakeholders. Based on our review, we will make recommendations to migrate data to Hosted Data sources (ArcGIS Online & ArcGIS Data Store) and branched versioning based on the City’s business requirements. Task 2 – Review Existing Use of File Geodatabases Langan will evaluate the City's current File Geodatabases usage in conjunction with the City's ArcGIS Enterprise deployment. There are multiple methods that use File Geodatabases with ArcGIS Enterprise. File Geodatabases can be copied to each ArcGIS Server in an ArcGIS Enterprise site and shared as a map service or image services. This configuration minimizes network communication traffic among the different ArcGIS Server components and reduces Input/Output (I/O) contention when accessing the File Geodatabases. However, File Geodatabases are intended for read-only use with ArcGIS Server so they cannot be published as Feature Services. One of the most significant performance gains comes from using a File Geodatabase is for map caching. This method can eliminate multiple calls to the Enterprise Geodatabase that would usually occur across the network and can lighten the load on the database ultimately speeding up caching. Our team also uses File Geodatabases for working locally with data which operate an order of magnitude faster than referencing multiple shapefiles in most instances. Often this data is replicated from an Enterprise Geodatabase for performance purposes. In addition to this, we use File Geodatabases to archive data for long-term storage. Based on our experience, we recommend using File Geodatabases for caching Map Services and Image Services to display data. Map Image Services can also be published from Enterprise Geodatabases and hosted in Data Store. Data Store is the hosting server for ArcGIS Enterprise Portal. This method often aligns best with business needs for larger datasets that don't regularly update. To successfully complete this task, our team will review the City's current usage of File Geodatabases, architecture, and meet with IT and GIS stakeholders. Based on our review, we will make recommendations and outline the best practices surrounding the File Geodatabases' role in an ArcGIS Enterprise site and web GIS in the City. Task 3 – Review Existing Use of Hosted Data We understand the City is hosting data on ArcGIS Online and ArcGIS Portal in ArcGIS Data Store. There are different types of ArcGIS Data Stores; relational, tile, and spatiotemporal. Our team will evaluate the City's current usage of Hosted Data and provide recommendations to get the most out of the distributed web GIS model. However, we recommend that our clients not use ArcGIS Data Store or ArcGIS Online to host authoritative GIS data since an Enterprise Database provides the more features and flexibility. City of Bozeman, MT GIS Data and Database Architecture and Data Maintenance Health Check January 15, 2021 Page 6 of 23 Hosted data works well for simple data that requires editing but does not require all the Enterprise Geodatabase functionality. The hosted data is usually Feature Services or Map Image Services and have some distinct advantages over both Enterprise Geodatabases and File Geodatabases for ease of use within the web GIS model. However, we do typically host the following layers: • Feature Layers; o Feature Layer Views; • WFS Layers; • Tile Layers; • Vector Tile Layers; • WMTS Layers; • Scene Layers; and, • Elevation Layers. Our team will review the City's current usage of Enterprise Geodatabases, architecture, and meet with IT and GIS stakeholders. Based on our review, we will make recommendations on usage of Hosted Data and define its role within the Web GIS environment. Task 4 – Recommendations for Improving Database Maintenance and Overall Performance Based on our findings from Tasks 1, 2, and 3, we will provide recommendations to improve database maintenance and overall performance. For this task, we will focus on performance and reliability. During the health check, our team will review the City's data management practices to ensure that the systems fully align with business needs. This includes, but is not limited to, reviewing database backup and recovery, versioning, statistics, database version, and replication. As previously described, our team manages multiple ArcGIS Enterprise deployments that use Microsoft's SQL Server as their RDBMS. For this, we leverage scheduled tasks to perform both Esri's® recommended database maintenance and the recommended maintenance for SQL Server. We also profile databases to ensure query performance. While query performance starts at the database level, the way data is published as a web service also affects performance. Given this, our team often supplies our clients with flow charts and best practices to follow when publishing data. Task 5 – Recommendations to Improve Data Management and Integrations Data Management is imperative to a successful Enterprise GIS and is defined as how organizations collect, organize, and maintain accurate locations and details about assets and resources. It is vital to persist spatial data within storage models optimized for its unique characteristics. Storage models include the geodatabase (.gdb), spatiotemporal big data store (observation data), relational data store (hosted vector data), and tile cache (hosted raster data). Data Management represents server-side capabilities from an infrastructure perspective, exposed as web services that allow end-users to create, maintain, and transform geographic data. For example, you can use a mobile app to access a web service for data editing, allowing you to gather location data in the field. Key server-side data management capabilities include short and long transaction editing, data replication, and extract, transform, load (ETL) procedures. During this task, our team will leverage the insights gained during Tasks 1, 2, and 3 and our previous experience designing enterprise deployments as well as solutions to provide the City City of Bozeman, MT GIS Data and Database Architecture and Data Maintenance Health Check January 15, 2021 Page 7 of 23 with recommendations on how to improve their data management practices including, but not limited to, data stewardship, metadata standards, naming conventions, and quality control procedures. Our team will ensure the City is following the appropriate workflows when collecting new data or maintaining existing data during the health check and provide recommendations on how to improve as needed. Task 6 – Recommendations for New Data Models From our experience, the long-term success of all projects consist of setting up a standardized solution for the management of data with the GIS environment. As an Esri® Business Partner, Langan has used the industry standard Esri® Local Government Information Model (LGIM) as a base level for several of our clients. This would be an ideal starting point for the City. However, based on our experience, we anticipate that the City will benefit more from a simplified custom version of this data model. Starting with the LGIM and customizing the model will allow for the data model to be applicable to the day-to-day needs and scalable as the City expands its GIS in the future. We know that the City will most likely want to incorporate a number of custom attributes to help track the source (i.e., as-built, GPS, survey, etc.) and validation (i.e., high or low confidence) of their assets so that information can be updated over the long-term as budgets allow and projects occur. As such, we will work with the City to add these fields, along with pre-determined values in a drop-down menu so that users can only enter in approved values (i.e. surveyed, aerial photo, mapping grade GPS, unknown, etc.). To help with tracking the source and validity of the data, we recommend that the City enable editor tracking on all layers in the GIS so that certain fields will be updated automatically. By enabling editor tracking, the created date, created user, last edited date, and last edited user will all be automatically updated based on the computer clock and the current Windows account name or mobile device user if edited on a phone or tablet. Additionally, Langan will work with the City to determine opportunities to hyperlink or attach non-GIS data such as improvement drawings, CCTV inspections, photos, billing information, flow model results, and code violations, etc. to features within the GIS model so that the data can be recalled quickly via desktop GIS or a web/mobile GIS application. We understand the City is requesting recommendations for Esri’s new Utility Network (UN). From our experience, the UN is currently geared toward large utility companies with massive spatial and customer datasets. As such, we anticipate the City will benefit more from the creation of a geometric network for their GIS utility data such as sewer system, storm drain system, water system and other applicable utility networks in lieu of implementing the UN. A geometric network is a smart network in GIS that allows users to run modeling scenarios, identify upstream and downstream features, and ensure that all features are interconnected properly. City of Bozeman, MT GIS Data and Database Architecture and Data Maintenance Health Check January 15, 2021 Page 8 of 23 benefit to using a geometric network is the added functionality of the dynamic value table. The dynamic value table will allow the City to create custom rules that will auto-populate attributes based on other features, such as pipe slope, upstream/downstream ID, asset naming conventions, pipe length, etc. Following the review of the City’s existing data and after discussions with the City, we will be able to recommend data models that best suite the City’s current and future needs. If desired, Langan has the ability to provide utility modeling services on various GIS utility networks through programs such as InfoWater, XPSWMM, and SewerCAD. We have successfully integrated enterprise GIS databases in the past with these applications so that models can be run on the latest available information. The output from these models is then linked directly back into the GIS database and served up through interactive web viewers, map documents and static images. However, please note that a cost for the inclusion of utility modeling is not included under the proposed scope of services and that additional costs may be incurred. If not already in use by the City, we recommend utilizing the Esri Parcel Fabric for ArcGIS Pro toolset to create, maintain, and manage the City’s parcel dataset. This solution allows parcels to be interconnected to ensure that there are no gaps and that the topology of the dataset is always maintained. The Parcel Fabric toolset is also a solution for creating and managing subdivisions based on a parent parcel(s) that will be affected by the new subdivision. In addition, we recommend utilizing the Parcel Fabric Job Book and Editor Tracking throughout the parcel and subdivision development development. The Job Book and Editor Tracking keeps track of what parcel and/or subdivisions have been updated, which user made updates, when a parcel was created, and has been last updated. This data is stored in a feature table for all parcels and ensures that no parcels are updated multiple times. These tools ensure that all parcels are checked to conform to accuracy standards set forth by the City. In conjunction with the Esri Parcel Fabric toolset, we also understand the importance of an up to date and accurate address management system. If not already in use, we recommend utilizing the Address Data Management solution, which is an ArcGIS Solution provided for local government. The Address Data Management solution will assist with streamlining the City’s approach to collect, maintain, and use authoritative address information within the LGIM. It also included a series of preconfigured ArcGIS Data Reviewed checks that can be used to validate, maintain, and improve the integrity of the address data. City of Bozeman, MT GIS Data and Database Architecture and Data Maintenance Health Check January 15, 2021 Page 9 of 23 the City, we recommend utilizing Esri’s® Data Reviewer, which allows for Quality Assurance and Control (QA/QC) of data directly in the enterprise database. Data Reviewer automatically detects irregularities with features, attributes, and relationships in the database and provides interactive analysis results. For example, Data Reviewer will help check and report back mismatched topology, empty geometry, and missing feature ID’s, null values, etc. The Data Reviewer table, stored in the City’s enterprise geodatabase, manages results and allows the feature(s) to be modified based on the information available in the record or further analyzed if necessary. Task 7 – Recommendations and Best Practices for Database Type Use Langan has provided both systems design and health checks to many of our local government clients. For a similar municipality, our team successfully migrated their stand-alone ArcGIS Server to a ArcGIS Enterprise Site based on the Web GIS model. After reviewing the City’s current architecture and meeting with IT and GIS stakeholders in the aforementioned tasks, our team will outline our recommended best practices for the City. In general, our recommendations around the different Geodatabases will most likely be as follows: • Enterprise Geodatabase o Versioning o Complex multiuser editing ▪ Connection File ▪ Feature Service o Some third-party integrations o Feature Datasets ▪ Geometric networks ▪ Network datasets (Requires ArcGIS Network Analyst extension) ▪ Parcel fabrics ▪ Terrains (Requires ArcGIS 3D Analyst extension) ▪ Topologies • Hosted Data o Editing ▪ Feature Service o Map Image Service • File Geodatabase o Static Data (Caching) ▪ Map Service ▪ Image Service o Feature Datasets ▪ Geometric networks ▪ Network datasets (Requires ArcGIS Network Analyst extension) Example of publishing flow chart. For this task, we will also supply a functionality matrix and flow chart to help assist the City’s employees. Task 8 – Review of Existing GIS Integrations and Guidance for Efficient use of FME Langan works closely with our clients to connect many third-party systems and applications in either a one-way or two-way integration through software development kit (SDKs)/Application Programing Interface (APIs). These let our developers build custom capabilities for specific needs. At the infrastructure level, they reference objects and interfaces for your GIS servers, allowing you to extend, consume, and manage GIS services. For example, you can use ArcGIS Enterprise SDKs to add new operations to map services and extend the functionality of ArcGIS. In addition, with Esri's® other SDKs and APIs, many client and server technologies can be integrated with the ArcGIS platform. Langan understands that the City currently has several third-party integrations with their ArcGIS Enterprise Site. Task 9 – Transition Plan from ArcGIS Desktop to ArcGIS Pro We understand the City is seeking a transition plan to move their data from ArcGIS Desktop (ArcMap) to ArcGIS Pro. Since the release of ArcGIS Pro, we've worked with several of our clients to convert their ArcMap projects to ArcGIS Pro. ArcGIS Pro provides several out of the box tools to consume ArcMap documents automatically, we will work with the City to evaluate existing workflows and assess the City’s current ArcMap file types, including but not limited to, style files, database connections, title blocks and layouts. Following our review of the City’s current ArcGIS Desktop assets, we will work with the City to provide a transition plan outlining the steps and processes needed to transition to ArcGIS Pro. Along with out of the box tools provided by ArcGIS Pro, we've also engaged with several of our clients to develop customized tools and Add-Ins that use the ArcGIS Pro SDK and incorporate modern .NET features. These integrations are maintainable and lead to user-friendly solutions. In addition to new tools for ArcGIS Pro, our team regularly migrates legacy ArcMap Add-Ins to ArcGIS Pro. Over the last year, we have worked with SWT to integrate Tyler Technologies, Munis with their enterprise GIS database. Munis is Tyler Technologies ERP solution for government agencies which includes financials, procurement, HR, payroll, and revenues. The integration allows multiple departments within SWT to manage work orders through Munis based on assets in GIS. We have also configured the Esri® Utility Network (UN), updated land cover analysis, and are working with SWT to establish a stormwater fee billing system that relies heavily on GIS. City of Bozeman, MT GIS Data and Database Architecture and Data Maintenance Health Check January 15, 2021 Page 14 of 23 Greater New Haven Water Pollution Control Authority – Database Updates, GIS Mapping, Website Development, and Enterprise Integrations In 2011, the Greater New Haven Water Pollution Control Authority (GNHWPCA), a multi-municipality water/sewer authority, retained Langan as their full-service GIS consultant for a wide array of projects. Initial activities consisted of enterprise database updates and management along with GIS data conversion and mapping to support utility upgrades and maintenance projects. Additional activities included field GPS surveying, GIS software training, creation of a geometric network consisting of over 35,000 sewer/water features, automation of attributes based on feature connectedness, creation of geometric network connectivity rules and QA/QC to verify network connectivity. Over the last year, we have successfully deployed and configured ArcGIS Portal, Portal acts as the central information source and allows for organization integration. We also migrated the geometric network to Esri's® new Utility Network, which allows for advanced modeling. Langan also implemented multiple enterprise integrations such as Granite XP for CCTV inspections and automated One Calls (Call Before You Dig) requests. One calls were automated through feature services provided to PelicanCorp. Along with enterprise integrations we have also developed advanced web viewer applications for emergency repairs that automatically notify affected customers and flow test and plan review applications for advanced modeling. City of Bozeman, MT GIS Data and Database Architecture and Data Maintenance Health Check January 15, 2021 Page 15 of 23 Brookfield Water Pollution Control Authority – Database Updates, GIS Mapping, Mobile App Development, and Enterprise Integrations Langan was retained by Brookfield Water Pollution Control Authority (WPCA) in 2014 to perform several GIS related tasks for them. Our initial task was to institute the use of customized Esri® data models and create a geometric network to identify flow directions and ensure that all features were topologically correct in the database. This served as the basis for performing sewer flow modeling on the network as well through SewerCAD®. This modeling aided the WPCA in determining capacity flow for their entire system. Additional activities included development of web and mobile applications to support manhole and grease trap inspections. Since the start of the project we have hosted and managed all ArcGIS solutions for the WPCA. We have digitized all paper records and hyperlinked/attached the records to an ArcGIS web viewer application for data access. Over the last year, we have integrated the GIS of pump house assets, laterals, and link connection cards with ArchiBus. ArchiBus is a data management tool for managing facility and infrastructure data and allows for both interior and exterior data to be queried simultaneously to visualize an organization's assets and streamline enterprise workflow processes. We are currently working with the WPCA to digitize their utility system laterals and link connection cards for more advanced system modeling and greater resilience. City of Bozeman, MT GIS Data and Database Architecture and Data Maintenance Health Check January 15, 2021 Page 16 of 23 Port Authority of New York and New jersey – Law Enforcement/Computer-Aided Dispatch Mapping and ArcGIS Hub Deployment Langan was retained by the Port Authority of New York & New Jersey Police Department since 2014 to develop mapping for their Computer- Aided Dispatch (CAD) system and customize, deploy, and manage a variety of GIS solutions including ArcGIS Hub. Langan was responsible for creating an address geodatabase covering the Port Authority's jurisdiction, which would become the backbone of a new CAD and Records Management System (RMS). The goal of the project was to enhance dispatching reliability, as well as create geo-verifiable addresses for all calls and arrests. This would enable spatial analysis of crimes to help identify crime hot spots and better deploy resources, as well as streamlining crime reporting to state and federal agencies. Once the mapping data was imported into the Superion® ONESolution CAD system, Langan fine-tuned the CAD map settings to match the needs of dispatchers and officers using the CAD software. An ArcGIS Server was also utilized to host base map layers for the CAD mapping portal to improve the performance of CAD and to improve the visual appearance of the map. Over the last year, Langan has been working with the Port Authority to successfully deploy ArcGIS Hub. The application leveraged React, Material-UI, and Esri's® ArcGIS API for JavaScript version 4.16. During development, our team used the widgets that are available off the shelf in the ArcGIS API for JavaScript. Where these didn't meet business requirements, we extended these or created custom components. For example, at this time the Feature Table widget was just released and had limited functionality so we integrated the React DevExtreme Grid. This custom web application (displayed below) enabled advanced, multi-tier filtering and querying of hundreds of thousands of features across many related datasets. Langan customized several Esri® data models for asset management at the Township to be populated from previous hard copy as-built drawings. These included the digitization of water, sewer, and stormwater networks and the creation of geometric networks from Aeach of these features. This allowed the township to perform regular analysis of the network and to identify potential problem areas in Township. In addition, to support their stormwater efforts, Langan developed procedures and workflows to calculate impervious coverages across the Township and tied these calculations to their tax parcel data. Upon completion of the build out of the Township’s utility assets within GIS, Langan integrated their enterprise GIS with third party software packages including customer billing software. To assist Township staff with access to data, Langan developed several custom web and mobile applications which provide the ability to interact with their enterprise databases in real-time. This work includes an estimated 2,485 record plans detailing the stormwater system in the existing GIS database. The hyperlink provides the ability for Town personnel to retrieve the paper copies on web, mobile and desktop devices when needed. As part of this project, outfall data will be converted from its current digital or handwritten format into GIS data with attributes in a designed database schema. Contractor shall comply with the applicable requirements of the Workers’ Compensation Act, Title 39, Chapter 71, Montana Code Annotated (MCA), and the Occupational Disease Act of Montana, Title 39, Chapter 71, MCA. Contractor shall maintain workers’ compensation coverage for all members and employees of Contractor’s business, except for those members who are exempted by law. Contractor shall furnish the City with copies showing one of the following: (1) a binder an accord for workers’ compensation coverage by an insurer licensed and authorized to provide workers’ compensation insurance in the State of Montana; or (2) proof of exemption from workers’ compensation granted by law for independent contractors. Professional Services Agreement for The City of Bozeman GIS Data & Database Architecture and Data Maintenance Health Check FY 2021 Page 3 of 12 In the event that, during the term of this Agreement, any labor problems or disputes of any type arise or materialize which in turn cause any services to cease for any period of time, Contractor specifically agrees to take immediate steps, at its own expense and without expectation of reimbursement from City, to alleviate or resolve all such labor problems or disputes. The specific steps Contractor shall take shall be left to the discretion of Contractor; provided, however, that Contractor shall bear all costs of any related legal action. Contractor shall provide immediate relief to the City so as to permit the services to continue at no additional cost to City. Contractor shall indemnify, defend, and hold the City harmless from any and all third party claims and demands and the costs, expenses, damages, and liabilities resulting from such claims and demands to the extent caused by any labor problems or disputes or any delays or stoppages of work associated with such problems or disputes. 7. Indemnity/Waiver of Claims/Insurance: For other than professional services rendered, to the fullest extent permitted by law, Contractor agrees to defend (to the extent such defense is covered by general liability insurance required by this Agreement), indemnify, and hold harmless the City, its employees and officers (collectively referred to for purposes of this Section as the City) from and against any and all third party claims, demands and actions (“Claims”) and the fees and costs (including reasonable attorney’s fees and the costs and fees of expert witness and consultants), losses, expenses, liabilities (including liability where activity is inherently or intrinsically dangerous) or damages of whatever kind or nature connected therewith resulting from such Claims and without limit and without regard to the cause or causes thereof or the negligence of any party or parties that may be asserted against, recovered from or suffered by the City to the extent caused by: (i) the negligent, reckless, or intentional misconduct of the Contractor; or (ii) any negligent, reckless, or intentional misconduct of any of the Contractor’s agents. For the professional services rendered, to the fullest extent permitted by law, Contractor agrees to indemnify and hold the City harmless against Claims and the damages, losses, and expenses, including reasonable defense attorney fees, resulting from such Claims to the extent caused by the negligence or intentional misconduct of the Contractor or Contractor’s agents or employees. Such obligations shall not be construed to negate, abridge, or reduce other rights or obligations of indemnity that would otherwise exist. The indemnification obligations of this Section must not be construed to negate, abridge, or reduce any common-law or statutory rights of the City as indemnitee(s) which would otherwise exist as to such indemnitee(s). Contractor’s indemnity under this Section shall be without regard to and without any right to contribution from any insurance maintained by City. Professional Services Agreement for The City of Bozeman GIS Data & Database Architecture and Data Maintenance Health Check FY 2021 Page 4 of 12 Should the City be required to bring an action against the Contractor to assert its right to defense or indemnification under this Agreement or under the Contractor’s applicable insurance policies required below, the City shall be entitled to recover reasonable costs and attorney fees incurred in asserting its right to indemnification or defense but only if a court of competent jurisdiction determines the Contractor was obligated to defend the claim(s) or was obligated to indemnify the City for a claim(s) or any portion(s) thereof. In the event of an action filed against the City resulting from the City’s performance under this Agreement, the City may elect to represent itself and incur all costs and expenses of suit. Contractor also waives any and all claims and recourse against the City, including the right of contribution for loss or damage to person or property arising from, growing out of, or in any way connected with or incident to the performance of this Agreement except “responsibility for [City’s] own fraud, for willful injury to the person or property of another, or for violation of law, whether willful or negligent” as per 28-2-702, MCA. These obligations shall survive termination of this Agreement and the services performed hereunder. In addition to and independent from the above, Contractor shall at Contractor’s expense secure insurance coverage through an insurance company or companies duly licensed and authorized to conduct insurance business in Montana which insures the liabilities and obligations specifically assumed by the Contractor in this Section pursuant to the standard ISO policy form CG 00 01. Such. The insurance coverage shall not contain any exclusion for liabilities specifically assumed by the Contractor in this Section. The insurance shall cover and apply to all as applicable to claims, demands, suits, damages, losses, and expenses that may be asserted or claimed against, recovered from, or suffered by the City without limit and without regard to the cause therefore to the extent caused by the negligent performance of the Services by the Contractor and which is rated an A-VII or better to be acceptable to the City. Contractor shall furnish to the City an accompanying certificate of insurance and accompanying endorsements in amounts not less than as follows: • Workers’ Compensation – statutory; • Employers’ Liability - $1,000,000 per occurrence; $2,000,000 annual aggregate; accident/employee/policy limit; • Commercial General Liability - $1,000,000 per occurrence; $2,000,000 general annual aggregate; • Automobile Liability - $1,000,000 property damage/bodily injury per accident; and Professional Services Agreement for The City of Bozeman GIS Data & Database Architecture and Data Maintenance Health Check FY 2021 Page 5 of 12 • Professional Liability - $1,000,000 per claim; $2,000,000 annual aggregate. With the exception of Professional Liability, the above amounts shall be exclusive of defense costs. The City shall be endorsed as an additional or named insured on a primary non- contributory basis on both the Commercial General and Automobile Liability policies. The insurance and required endorsements must be in a form suitable to City and shall include no less than a thirty (30) day notice of cancellation or non-renewal. Contractor shall notify City within two (2) business days of Contractor’s receipt of notice that any required insurance coverage will be terminated or Contractor’s decision to terminate any required insurance coverage for any reason. The City must approve all insurance coverage and endorsements prior to the Contractor commencing work. 8. Termination for Contractor’s Fault: a. If Contractor refuses or fails to timely do the work, or any part thereof, or fails to perform any of its obligations under this Agreement, or otherwise breaches any terms or conditions of this Agreement, the City may, by written notice, terminate this Agreement and the Contractor’s right to proceed with all or any part of the work (“Termination Notice Due to Contractor’s Fault”). The City may then take over the work and complete it, either with its own resources or by re-letting the contract to any other third party. b. In the event of a termination pursuant to this Section 8, Contractor shall be entitled to payment only for those services Contractor actually rendered. c. Any termination provided for by this Section 8 shall be in addition to any other remedies to which the City may be entitled under the law or at equity. d. In the event of termination under this Section 8, Contractor shall, under no circumstances, be entitled to claim or recover consequential, special, punitive, lost business opportunity, lost productivity, field office overhead, general conditions costs, or lost profits damages of any nature arising, or claimed to have arisen, as a result of the termination. 9. Termination for City’s Convenience: a. Should conditions arise which, in the sole opinion and discretion of the City, make it advisable to the City to cease performance under this Agreement, the City may Professional Services Agreement for The City of Bozeman GIS Data & Database Architecture and Data Maintenance Health Check FY 2021 Page 6 of 12 terminate this Agreement by written notice to Contractor (“Notice of Termination for City’s Convenience”). The termination shall be effective in the manner specified in the Notice of Termination for City’s Convenience and shall be without prejudice to any claims that the City may otherwise have against Contractor. b. Upon receipt of the Notice of Termination for City’s Convenience, unless otherwise directed in the Notice, the Contractor shall immediately cease performance under this Agreement and make every reasonable effort to refrain from continuing work, incurring additional expenses or costs under this Agreement and shall immediately cancel all existing orders or contracts upon terms satisfactory to the City. Contractor shall do only such work as may be necessary to preserve, protect, and maintain work already completed or immediately in progress. c. In the event of a termination pursuant to this Section 9, Contractor is entitled to payment only for those services Contractor actually rendered on or before the receipt of the Notice of Termination for City’s Convenience. d. The compensation described in Section 9(c) is the sole compensation due to Contractor for its performance of this Agreement. Contractor shall, under no circumstances, be entitled to claim or recover consequential, special, punitive, lost business opportunity, lost productivity, field office overhead, general conditions costs, or lost profits damages of any nature arising, or claimed to have arisen, as a result of the termination. 10. Limitation on Contractor’s Damages; Time for Asserting Claim: a. In the event of a claim for damages by Contractor under this Agreement, Contractor’s damages shall be limited to contract damages and Contractor hereby expressly waives any right to claim or recover consequential, special, punitive, lost business opportunity, lost productivity, field office overhead, general conditions costs, or lost profits damages of any nature or kind. b. In the event Contractor wants to assert a claim for damages of any kind or nature, Contractor shall provide City with written notice of its claim, the facts and circumstances surrounding and giving rise to the claim, and the total amount of damages sought by the claim, within thirty (30) days after Contractor’s management becomes aware of the facts and circumstances giving rise to the claim. In the event Contractor fails to provide such notice, Contractor shall waive all rights to assert such claim provided that such waiver shall apply only if and to the extent that the City is actually prejudiced by the failure to Professional Services Agreement for The City of Bozeman GIS Data & Database Architecture and Data Maintenance Health Check FY 2021 Page 7 of 12 provide notice as and when specified herein. 11. Representatives and Notices: a. City’s Representative: The City’s Representative for the purpose of this Agreement shall be Tara Preston, Asset/GIS Systems Administrator or such other individual as City shall designate in writing. Whenever approval or authorization from or communication or submission to City is required by this Agreement, such communication or submission shall be directed to the City’s Representative and approvals or authorizations shall be issued only by such Representative; provided, however, that in exigent circumstances when City’s Representative is not available, Contractor may direct its communication or submission to other designated City personnel or agents as designated by the City in writing and may receive approvals or authorization from such persons. b. Contractor’s Representative: The Contractor’s Representative for the purpose of this Agreement shall be or such other individual as Contractor shall designate in writing. Whenever direction to or communication with Contractor is required by this Agreement, such direction or communication shall be directed to Contractor’s Representative; provided, however, that in exigent circumstances when Contractor’s Representative is not available, City may direct its direction or communication to other designated Contractor personnel or agents. c. Notices: All notices required by this Agreement shall be in writing and shall be provided to the Representatives named in this Section. Notices shall be deemed given when delivered, if delivered by courier to Party’s address shown above during normal business hours of the recipient; or when sent, if sent by email or fax (with a successful transmission report) to the email address or fax number provided by the Party’s Representative; or on the fifth business day following mailing, if mailed by ordinary mail to the address shown above, postage prepaid. 12. Permits: Contractor shall provide all notices, comply with all applicable laws, ordinances, rules, and regulations, obtain all necessary professional and business permits, licenses, including a City of Bozeman business license, and inspections from applicable governmental authorities, and pay all fees and charges in connection therewith. Notwithstanding the foregoing and the provisions of Section 13 below, with respect to the performance of professional services, Contractor shall exercise the Standard of Care to comply with laws, ordinances, rules and regulations specifically applicable to the performance of such services. Professional Services Agreement for The City of Bozeman GIS Data & Database Architecture and Data Maintenance Health Check FY 2021 Page 8 of 12 13 Laws and Regulations: Contractor shall comply fully with all applicable state and federal laws, regulations, and municipal ordinances including, but not limited to, all workers’ compensation laws, all environmental laws including, but not limited to, the generation and disposal of hazardous waste, the Occupational Safety and Health Act (OSHA), the safety rules, codes, and provisions of the Montana Safety Act in Title 50, Chapter 71, MCA, all applicable City, County, and State building and electrical codes, the Americans with Disabilities Act, and all non-discrimination, affirmative action, and utilization of minority and small business statutes and regulations. 14. Nondiscrimination and Equal Pay: The Contractor agrees that all hiring by Contractor of persons performing this Agreement shall be on the basis of merit and qualifications. The Contractor will have a policy to provide equal employment opportunity in accordance with all applicable state and federal anti-discrimination laws, regulations, and contracts. The Contractor will not refuse employment to a person, bar a person from employment, or discriminate against a person in compensation or in a term, condition, or privilege of employment because of race, color, religion, creed, political ideas, sex, age, marital status, national origin, actual or perceived sexual orientation, gender identity, physical or mental disability, except when the reasonable demands of the position require an age, physical or mental disability, marital status or sex distinction. The Contractor shall be subject to and comply with Title VI of the Civil Rights Act of 1964; Section 140, Title 2, United States Code, and all regulations promulgated thereunder. Contractor represents it is, and for the term of this Agreement will be, in compliance with the requirements of the Equal Pay Act of 1963 and Section 39-3-104, MCA (the Montana Equal Pay Act). Contractor must report to the City any violations of the Montana Equal Pay Act that Contractor has been found guilty of within 60 days of such finding for violations occurring during the term of this Agreement. Contractor shall require these nondiscrimination terms of its subcontractors providing services under this Agreement. 15. Intoxicants; DOT Drug and Alcohol Regulations/Safety and Training: Contractor shall not permit or suffer the introduction or use of any intoxicants, including alcohol or illegal drugs, by any employee or agent engaged in services to the City under this Agreement while on City property or in the performance of any activities under this Agreement. Contractor acknowledges it is aware of and shall comply with its responsibilities and obligations under the U.S. Department of Transportation (DOT) regulations governing anti-drug and alcohol misuse prevention plans and related testing. City shall have the right to request proof of such compliance and Contractor shall be obligated to furnish such proof. Professional Services Agreement for The City of Bozeman GIS Data & Database Architecture and Data Maintenance Health Check FY 2021 Page 9 of 12 The Contractor shall be responsible for instructing and training the Contractor's employees and agents in proper and specified work methods and procedures. The Contractor shall provide continuous inspection and supervision of the work performed. The Contractor is responsible for instructing its employees and agents in safe work practices. 16. Modification and Assignability: This Agreement may not be enlarged, modified or altered except by written agreement signed by both parties hereto. The Contractor may not subcontract or assign Contractor’s rights, including the right to compensation or duties arising hereunder, without the prior written consent of the City. Any subcontractor or assignee will be bound by all of the terms and conditions of this Agreement. 17. Reports/Accountability/Public Information: Contractor agrees to develop and/or provide documentation as requested by the City demonstrating Contractor’s compliance with the requirements of this Agreement. Contractor shall allow the City, its auditors, and other persons authorized by the City to inspect and copy its books and records for the purpose of verifying that the reimbursement of monies distributed to Contractor pursuant to this Agreement was used in compliance with this Agreement and all applicable provisions of federal, state, and local law. The Contractor shall not issue any statements, releases or information for public dissemination without prior approval of the City. 18. Non-Waiver: A waiver by either party of any default or breach by the other party of any terms or conditions of this Agreement does not limit the other party’s right to enforce such term or conditions or to pursue any available legal or equitable rights in the event of any subsequent default or breach. 19. Attorney’s Fees and Costs: In the event it becomes necessary for either Party to retain an attorney to enforce any of the terms or conditions of this Agreement or to give any notice required herein, then the prevailing Party or the Party giving notice shall be entitled to reasonable attorney's fees and costs, including fees, salary, and costs of in-house counsel including the City Attorney’s Office staff. Prevailing party is the party who recovers at least 67% of its total claims in the action or who is required to pay no more than 32% of the other party’s total claims in the action when considered in the totality of claims and counterclaims, if any. In claims for monetary damages, the total amount of recoverable attorney’s fees and costs shall not exceed the net monetary award of the prevailing party. 20. Taxes: Contractor is obligated to pay all taxes of any kind or nature and make all appropriate employee withholdings. 21. Dispute Resolution: Professional Services Agreement for The City of Bozeman GIS Data & Database Architecture and Data Maintenance Health Check FY 2021 Page 10 of 12 a. Any claim, controversy, or dispute between the parties, their agents, employees, or representatives shall be resolved first by negotiation between senior-level personnel from each party duly authorized to execute settlement agreements. Upon mutual agreement of the parties, the parties may invite an independent, disinterested mediator to assist in the negotiated settlement discussions. b. If the parties are unable to resolve the dispute within thirty (30) days from the date the dispute was first raised, then such dispute may only be resolved in a court of competent jurisdiction in compliance with the Applicable Law provisions of this Agreement. 22. Survival: Contractor’s indemnification shall survive the termination or expiration of this Agreement for the maximum period allowed under applicable law. 23. Headings: The headings used in this Agreement are for convenience only and are not be construed as a part of the Agreement or as a limitation on the scope of the particular paragraphs to which they refer. 24. Severability: If any portion of this Agreement is held to be void or unenforceable, the balance thereof shall continue in effect. 25. Applicable Law: The parties agree that this Agreement is governed in all respects by the laws of the State of Montana. 26. Binding Effect: This Agreement is binding upon and inures to the benefit of the heirs, legal representatives, successors, and assigns of the parties. 27. No Third-Party Beneficiary: This Agreement is for the exclusive benefit of the parties, does not constitute a third-party beneficiary agreement, and may not be relied upon or enforced by a third party. 28. Counterparts: This Agreement may be executed in counterparts, which together constitute one instrument. 29. Integration: This Agreement and all Exhibits attached hereto constitute the entire agreement of the parties. Covenants or representations not contained herein or made a part thereof by reference, are not binding upon the parties. There are no understandings between the parties other than as set forth in this Agreement. All communications, either verbal or written, made prior to the date of Professional Services Agreement for The City of Bozeman GIS Data & Database Architecture and Data Maintenance Health Check FY 2021 Page 11 of 12 this Agreement are hereby abrogated and withdrawn unless specifically made a part of this Agreement by reference. 30. Consent to Electronic Signatures: The Parties have consented to execute this Agreement electronically in conformance with the Montana Uniform Electronic Transactions Act, Title 30, Chapter 18, Part 1, MCA. 31. Limitation of Liability: Notwithstanding any other provision of this Agreement, to the fullest extent permitted by law, the total liability, in the aggregate, of Contractor and its officers, directors, partners, employees, agents, and subconsultants, to City, and anyone claiming through or under City, for any claims, losses, costs, or damages whatsoever arising out of, resulting from or in any way relating to this project or Agreement, from any cause or causes, including but not limited to tort (including negligence and professional errors and omissions), strict liability, breach of contract, or breach of warranty, shall not exceed the total compensation received by Contractor or $100,000, whichever is greater. 32. Mutual Waiver of Consequential Damages: Notwithstanding any other provision of this Agreement, Contractor and City waive all consequential or special damages, including, but not limited to, loss of use, profits, revenue, business opportunity, or production, for claims, disputes, or other matters arising out of or relating to the Agreement or the services provided by Contractor, regardless of whether such claim or dispute is based upon breach of contract, willful misconduct or negligent act or omission of either of them or their employees, agents, subconsultants, or other legal theory, even if the affected party has knowledge of the possibility of such damages.
