THIRD AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
THIS THIRD AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT FOR
Griffin Drive Reconstruction Project dated October 28, 2019 (the “Agreement”) is made and
entered into this _____ day of ____________, 2021, by and between the CITY OF BOZEMAN,
MONTANA, a self governing municipal corporation organized and existing under its Charter and
the laws of the State of Montana, 121 North Rouse Street, Bozeman, Montana, with a mailing
address of PO Box 1230, Bozeman, MT 59771, hereinafter referred to as “City,” Sanderson
Stewart, hereinafter referred to as “Contractor.”
In consideration of the mutual covenants and agreements herein contained, the receipt and
sufficiency whereof being hereby acknowledged, the parties hereto agree to amend the Agreement
as follows:
1.Scope of services, rate schedules, and budget for design services are outlined in
Attachment “Exhibit A - Scope of Services.”
2.Agreement still valid. All remaining terms and provisions of the Agreement remain valid.

Exhibit A – Scope of Services
Griffin Drive and Manley Road – Street and Stormwater Improvements
Bidding and Construction Contract Administration
05/06/21
Sanderson Stewart is pleased to provide this scope of work for the Griffin Drive and Manley Road
Street and Stormwater Improvements project. This phase of the project will consist of bidding
services, construction contract administration and observation, and construction staking. This scope
of work also includes several miscellaneous design tasks that were either new tasks specifically directed
by the City of Bozeman or tasks that had unique design challenges that were unexpected during the
development of the original scope of work. A detailed scope of services for these tasks is outlined
below.
Phase 1 - Project Initiation
This phase of the project includes preparation of the scope of work and amendment.
Phase 2 – Construction Bidding Services
This phase of the project will consist of construction bidding services, including the following:
· Prepare contract documents for bidding after City final plan review.
· Prepare bid advertisement
· Set up and coordinate bid process on QuestCDN
· Contractor coordination throughout bidding, prepare up to two addenda if needed
· Facilitate pre-bid meeting, prepare agenda and distribute minutes
· Attend bid opening, prepare bid tabulation and recommendation of award letter
Phase 3 – Construction/Contract Administration
This phase of the project will consist of contract administration and construction observation tasks,
including the following:
· Prepare contract documents for construction to address addenda and other items that came
up during bidding
· Process contract documents for a single contract (up to four copies)
· Facilitate pre-construction meeting, prepare agenda and distribute minutes
· Shop drawing and traffic control plan review
· Construction observation and documentation (assume observation for 10 hours each day and
a 180-calendar day construction contract)
· Site Visits by Engineer – up to 10 visits
· Respond to Contractor RFI’s including coordination with contractor and construction
inspector
· Construction materials testing coordination and review

· Process pay applications submitted by Contractor and any necessary work change directives,
verify material quantities on all contractor pay requests, and prepare supporting
documentation
· Process the Certificate of Substantial Completion, coordinate final inspection, prepare punch
lists and verify completion
· Prepare as-built (record) drawings
· Prepare City of Bozeman close-out submittal
· Conduct two-year warranty walkthrough, prepare punch list and verify completion
Phase 3 – Construction Staking
This phase of the project consists of the construction layout, anticipated to include the following:
· Stake demolition limits
· Stake subgrade cuts for streets one time; 25-foot spacing; 2 to 3-foot offset from back of curb
· Stake curb and gutter one time; 25-foot spacing, PC’s, PT’s, center of drive approaches,
medians
· Stake line and grade of multi-use paths one time – 2-foot offsets to edge
· Stake back of curb at storm inlets
· Stake retaining wall
· Stake culvert ends at invert elevation
· Stake flowline of new ditches
· Stake new SD manholes with double offsets
· Stake new curb cuts
· Stake new SD area inlets
· Stake horizontal layout of curb ramps with vertical benchmark for grade one time
· Stake signs one time
· Stake utility services and relocated utilities
· Stake signal poles and light poles one time
· Layout striping one time
Phase 4 – PS&E Additions
Over the duration of the project design, there were several design additions, changes, and unexpected
design challenges that were not anticipated during the development of the original scope of work.
Below is a list of the specific challenges that had additional design costs that could not be absorbed
into the original scope of work and budget.
· Storm Drain Design
o Regional Storm Pond Analysis – requested by the City of Bozeman in April 2020
o Challenges with drainage design associated with underground constraints (gas and
water main) to provide stormwater quantity and quality treatment.

o Revisions to the storm drain design after the Preliminary Plan submittal associated
with revisions to the approaches and path/sidewalk alignment, which resulted in
multiple drainage design iterations and multiple rounds of stormwater calculations.
o Addition of Phillips 66 runoff into City storm drain system
· Relocation of the water main at Manley Road and completion of associated DEQ design
reports and checklist, as well as additional design time associated with replacing and relocating
all of the existing fire hydrants on the corridor.
· Challenges associated with significant difference in grade between Griffin Drive and the
adjacent properties, as well as general approach design modifications requested by adjacent
property owners.
o Unexpected modifications to the profile to meet drive approach standards and avoid
impacts to the Gallatin Village Trailer Court and Whalen Tire properties in particular.
o Profile modifications resulted in the need for additional flowable fill over the gas main.
o Additional survey to determine the proposed approach tie in locations to the existing
ground surface.
o Revisions to storm drain design associated with profile changes.
o Multiple approach design iterations due to changes requested by Phillips 66,
ExxonMobil, Whalen Tire, Eagle Tire, HRDC, Mountain Supply and others.
The following items are not expected to be needed for this project and are therefore specifically
excluded from this scope of work:
· Material testing (By City Term Contract)
· SWPPP permitting and operation (By Contractor)
Fees and Billing Arrangements:

Total $359,055.00
Sanderson Stewart will bill for its services on a time and materials basis with a not to exceed amount
of $359,055.00. Sanderson Stewart shall submit invoices to the Client for work accomplished during
each calendar month.

Schedule
The anticipated schedule for this project will be based on the anticipated 180-calendar day
construction contract.
