Irrevocable Offer of Dedication
This Irrevocable Offer to Dedicate and Declaration of Restrictions(hereinafter"Offer")
ismade this ß)__day of d h 2020,by Gallatin TR LP,6136 Frisco Square Blvd
Suite400-441 Frisco Texas 75034 (hereinafterreferredtoas "Grantor").
WHEREAS,Grantor isthe legalowner in simple fee interestof certainrealproperties
located in the County of Gallatin,Stateof Montana,and described as Lot 12B &12C PH I
Gallatin Center Sub.PH 4,on fileand of recordin the officeof the Clerk and Recorder of said
County (hereinafterreferredto asthe "Property")and
WHEREAS,Grantor appliedtothe City of Bozeman (the"Municipality")forapprovalto
undertakedevelopment as defined inChapter 38.42,BMC withinthe City ofBozeman (hereinafter
the "Permit");and
WHEREAS,approval of Application 17585 was granted on October 3"',2017 by the
Municipality in accordance with the provisions of Title 38,BMC,hereby incorporatedby
reference;and
WHEREAS,Grantor wishes to meet the requirementsof Title38,BMC,toprovidepublic
accessand/orallow simultaneous constructionofinfrastructureand improvements which willlater
be grantedtothe Municipality,with the buildings,remaining improvements and landappurtenant
theretotoremain inprivateownership,as authorizedinSection38.39.030.C;and
WHEREAS,the water and sewer improvements and streetinfrastructureappurtenantto
and to be installedor constructedon or under the above describedlands,and infrastructureand/or
intereststhereinare to be dedicated to the Municipality,free and clear of allencumbrances,
pursuantto saidfinalapproval of the Permit;and,
WHEREAS,itisintendedthatthisOffer isirrevocableand shall,upon writtenacceptance
by the Municipalityand finalapproval of the Permit referencedherein,grant allrightsof use or
accessformaintenance and repairof the saidimprovements and infrastructureoffered;
NOW THEREFORE,in considerationof the grantingof,and conditionedupon,the final
approvalforapplicationno.17585,the Grantor hereby offersto dedicateto the
Municipality,the sewer and water improvements constructedor be constructedupon the real
propertyas specificallysetforth,describedand identifiedinthe plans and specificationsissuedor
prepared by Madison Engineering LLC,895 Technology Blvd,Suite 203,Bozeman,MT.
Project17585 dated Decem ber 13th,2017 (withsubsequent approved revisions),which areby this
referenceincorporatedinthisinstrument.
1.Benefit and Burden.This Offer shallrun with and burden the Property and all
obligations,terms,conditions,and restrictionshereby imposed shallbe deemed to be covenants
and restrictionsrunning with the land and shallbe,upon the issuanceof the finalPermit reference
herein,be effectivelimitationson the use and accessof theProperty by Grantor and shallbind the
Grantor and allsuccessorsand assigns.This Offer shallbenefitthe Municipalityonly so long as
saidimprovements and infrastructuresforsewer and water existon theProperty.
2.Construction and Validity.If any provisionof these Restrictionsis held to be
invalidor forany reason becomes unenforceable,no otherprovisionshallbe therebyaffectedor
impaired.
3.Successors and Assigns.The terms,covenants,conditions,exceptions,
obligations,and reservationscontainedinthisOffershallbe binding upon and inuretothe benefit
of the successors and assigns of both the Grantor and the Municipality,whether voluntary or
involuntary.
4.Limitations.The constructionand otherstandardsadopted or utilizedby the City
of Bozeman regardinglegalform,constructionmaterials,warranty,and allotherelements relating
to improvements or infrastructureconstructedor be constructedpursuant to the Permit shallbe
fullyapplicable.
5.Term.This irrevocableOffer of Dedication shallbe binding for the durationof
FinalSitePlan approval process.Upon writtenacceptance of thisOffer by the Municipality,this
Offer and the terms,conditions,and restrictionshereof shallexistin perpetuity,shallhave the
effectof a grantby Grantor,subjectto theconditionsstatedherein,and shallrun with the land and
be binding on theparties,theirheirs,assigns,and successors,PROVIDED,HOWEVER,thisgrant
shallbe nulland void ifthePermit referencedhereinisnot granted and issuedby theMunicipality
on or beforeone year afterthe date of FinalPlan approvalor extensionsof the dateof approval.
