TEMPORARY CONSTRUCTION EASEMENT
THIS TEMP RARY CONSTRUCTION EASEMENT (this "Agreement")is
entered intothist day of July,2018,by Saccoccia Lands,LLC ("Saccoccia"),and the
City of Bozeman,a municipal corporation ofthe StateofMontana,with officesat 121 North
Rouse Avenue,Bozeman,Montana 59715,GRANTEE,its successorsand assigns (the
"City")(collectively,the "Parties").
WHEREAS,Saccocciaistheowner of thefollowingrealproperty:
BRIDGER PEAKS VILLAGE SUB,801,TO2 S,RO5 E,Lot 5,
ACRES 11.85,PLAT J-368PLUS INEREST IN COMMON AREA
(the"Property").
WHEREAS,theCitydesiresto obtaina temporary constructioneasementtoperform the
activitiesdescribedbelow upon the portionof Saccoccia'sland describedand shown on the
attachedExhibitA astheareaforthetemporaryconstructioneasement (the"Easement Land");
WHEREAS,Saccocciaiswillingto granta temporary constructioneasement totheCity
upon theEasement Land upon theterms and conditionssetforthinthisAgreement.
NOW THEREFORE,inconsiderationoftherecitalsand covenantshereincontained,and
forothervaluableconsideration,receiptof which ishereby acknowledged,the partiesagree as
follows:
1.Saccoccia hereby grantsto the City a non-exclusiveTemporary Construction
Access Easement (the"Temporary ConstructionEasement")forthe Easement Land,to facilitate
the City'sconstructionof North 15th Avenue beginning at itsintersectionof PatrickStreet
includingitsconnectionto Tschache Lane,and otherrelatedimprovements inthevicinityof the
Easement Land (the"Project").The areaof the Projectwithin the Easement Land isfurther
describedinExhibitA.
2.The Temporary ConstructionEasement isgranted for vehicularand pedestrian
ingressand egresstoand from theTemporary Easement Propertyand forCity'susetodo allthings
reasonablynecessaryto constructand installtheProjectincluding,butnotlimitedto,thetransport,
stockpilingand storageof constructionmaterials,soil,equipment and vehicles.
3.Upon expirationof the Temporary ConstructionEasement,the City agrees to
restoretheEasement Land (andany portionofthePropertydamaged as a resultoftheTemporary
ConstructionEasement grantedhereunder)asnearlyaspossibletoitsconditionpriortotheCity's
use.

4.The term of thisAgreement shallbegin upon the dateof mutual executionhereof
and shallextend untilone hundred twenty (120)days following the effectivedate of this
Agreement oruntiltheProjecthas been completed,whichever firstoccurs(the"ExpirationDate").
The Temporary ConstructionEasement shallexpireand be of no forceand effectas of the
ExpirationDate.
5.At theExpirationDate,the entiretyof the completed projectwithintheEasement
Land shallbe consideredacceptedand become permanent propertyof Saccoccia.
6.The City agrees to indemnify,and hold Saccoccia harmless from,any and all
liabilitythatmay resultor arisefrom:(i)the City'sexerciseof rightsgrantedtoithereby,or (ii)
any breachofthe City'sobligationshereunder.
7.Saccocciahereby covenantsto the Citythatexcept as otherwiseprovidedinthis
Agreement:(i)Saccocciahas good titletothe Easement Land,and (ii)the Cityshallhave quiet
and peaceablepossessionof theEasement Land untiltheExpirationDate.
8.The rightsgrantedhereinshallnot be construedto interferewith or unreasonably
restrictSaccoccia'suseof theEasement Land including,withoutlimitation,therightofingressor
egressfrom thesame.
9.The City may not assignor transferthisTemporary ConstructionEasement or the
rightsgrantedithereunder.
10.The benefitsand burdens of theTemporary ConstructionEasement shallinureto
thebenefitof and be bindingupon thepartiesheretoand theirrespectivesuccessorsand assigns.
