Amendment 1 to PSA w Brendle Group for Climate Action and Resiliency PlanCommission Memorandum REPORT TO: Honorable Mayor and City Commission FROM: Natalie Meyer, Sustainability Program Manager Jon Henderson, Director of Strategic Services SUBJECT: First Amendment to the Professional Services Agreement with Brendle Group for a Climate Action and Resiliency Plan MEETING DATE: July 27, 2020 MEETING TYPE Consent RECOMMENDATION: Authorize the City Manager to sign the First Amendment to the Professional Services Agreement with Brendle Group to develop a Climate Action and Resiliency Plan. STRATEGIC PLAN ALIGNMENT: This project represents the second phase required to address item 6.3 (d) Sustainable Environment - Climate Change Adaptation and Mitigation. BACKGROUND: On June 24, 2019, the City signed a Professional Services Agreement with Brendle Group to develop a Climate Action and Resiliency Plan. The First Amendment for the above referenced project reflects two primary challenges, including the COVID-19 pandemic, which has extended our project timeline due to necessary modifications to our plan development strategy. Specifically, the project team was required to cancel an in-person Climate Team workshop, develop an unplanned remote survey, and increase the number of virtual meetings needed with our Climate Team in lieu of a consolidated in-person format. In addition, the electricity emissions factor provided by NorthWestern Energy was updated in recent months. This required significant modification to our analysis and projections used to benchmark our greenhouse gas emissions goals. A more detailed description of the revisions to the Scope of Services is included in the attached First Amendment to the Professional Services Agreement. These revisions will help ensure the final product will meet our original project goals. UNRESOLVED ISSUES: None FISCAL EFFECTS: The First Amendment increases the overall contract price up to $106,500, an increase of $21,500 to the original contract price of $85,000. Adequate funds are currently available within the FY 21 operating budget for the Sustainability Division. 30 ALTERNATIVES: As suggested by the City Commission. Attachments: First Amendment to the Professional Services Agreement - Brendle Group, Exh A - Scope of Services Professional Services Agreement - Brendle Group, Exh A - Scope of Services Report compiled on: July 16, 2020 31 First Amendment to Professional Services Agreement for the Climate Action and Resiliency Strategy FY 2019 – FY 2021 Page 1 of 3 FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT THIS FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT FOR a Climate Action & Resiliency Plan dated June 24, 2019 (the “Agreement”) is made and entered into this 27th day of July, 2020, by and between the CITY OF BOZEMAN, MONTANA, a self- governing municipal corporation organized and existing under its Charter and the laws of the State of Montana, 121 North Rouse Street, Bozeman, Montana, with a mailing address of PO Box 1230, Bozeman, MT 59771, hereinafter referred to as “City,” and Brendle Group, hereinafter referred to as “Contractor.” In consideration of the mutual covenants and agreements herein contained, the receipt and sufficiency whereof being hereby acknowledged, the parties hereto agree to amend the Agreement as follows: 1. Extension of Term. Section 2 of the Agreement is extended for an additional five (5) month period. The Agreement shall terminate on December 31, 2020. 2. Scope of Services. The Scope of Services, Section 3 is amended to incorporate the scope of work attached as Exhibit A, which is made a part of the Agreement by this reference. 3. Payment. Section 4 of the Agreement is amended to increase the amount City agrees to pay Contractor up to $21,500 as indicated on Exhibit A, for a total not to exceed $106,500. 4. Agreement still valid.
