AGENDA ITEM TYPE: Consent MEETING DATE: March 2, 2020 RECOMMENDATION: Authorize the City Manager to sign a Public Use Easement and Right-of-Way documents with 414 Holdings, LLC for improvements to West Babcock Street between 15th and 19th Avenues (CIP Project #SIF118). BACKGROUND: By adopting the City of Bozeman Capital Improvement Plan the City Commission has directed staff to improve West Babcock Street between 15th and 19th Avenues. In order to carry out that direction it is necessary to acquire the Right-of-Way described herein. The attached documents, which have been executed by the property owners, are the result of those efforts and are necessary to the completion of that project. The valuations used for these acquisitions were performed under the direction of Sanderson Stewart. UNRESOLVED ISSUES: None. FISCAL EFFECTS: The total cost of these acquisitions is $67,051.00 which will be paid for using the Street Impact Fee Fund. ALTERNATIVES: As suggested by the City Commission. Babcock St. R/W Acquisition — Closing for Parcel 12 Dear Mr. Kohte: We've completed the agreement with the owner of Parcel 12 for the W. Babcock St. project in association with the West Babcock Mixed Use development. To be able to execute the agreement and close on the acquisition, the City needs to sign the attached documents where indicated and prepare a wire transfer with the exact amount specified by the title company. The wire transfer should be sent to Montana Title and Escrow m the amount of $67,051.00. An itemized list of the final closing costs is included in the attached final closmg statements. The attached documents need to be signed (notarized as applicable) by the City and returned to Sanderson Stewart. The documents have been fuUy signed by the property owner where required. The City is required to sign the Memorandum of Agreement, Public Use Easement (notarized), Waiver Valuation, Escrow Instcucdons, Buyer's Insteuctions, and Closing Statements (2). Once the City completes the signing of the attached documents, I wiU proceed with closing out the agreement for this parcel. The easement •will be recorded, a check will be delivered to the property owner along with a copy of the fmal documents, and the original documents will be returned to the City. At that point, the agreement will be fully executed. In consideration of the payments herein set forth and the specific agreements to be performed by the parties hereto and written in this Agreement, the parties bind themselves to the terms and conditions stated herein. No verbal representations or agreements shall be binding upon either party. GRANTORS state they know of no encumbrances on the property not shown on this Agreement. If GRANTORS sell the subject property set forth above prior to the project being constructed, GRANTORS agree to provide the purchasers) with a copy of this entire Agreement and agree to make the sale of their remaining property subject to all the terms and conditions contained in this Agreement. GRANTORS agree that they will, at the GRANTEE'S request, execute deeds and/or easements required by for all real property agreed to be conveyed by this Agreement. 2. Taxes and special assessments, if any, delinquent from former years, and taxes and special assessments for the current year, if currently due, shall be paid by the GRANTORS. 3. This Agreement embodies the whole Agreement between the parties hereto as it pertains to the real estate, and there are no promises, terms, conditions or obligations referring to the subject matter hereof, other than as contained herein. 4. The GRANTORS hereby agree that the compensation herein provided to be paid includes full compensation for their interest and the interests of their life tenants, remaindermen, reversioners, liens and lessees, and any and all other legal and equitable interest that are or may be outstanding and said GRANTORS agrees to discharge the same. 5. This Agreement shall be deemed a contract extending to and binding upon the parties hereto and upon the respective heirs, devisees, executors, administrators, legal representatives, successors and assigns of the parties, only when the same shall have been approved by the City Manager on behalf of the Public Works Department. The property transfer shall be effective upon acceptance by GRANTORS and GRANTEE, evidenced by signatures set forth on this Agreement by the GRANTORS and GRANTEE and payment of the compensation amount. 7. The GRANTORS and GRANTEE agree that the existing trees, bushes and landscaping to be removed as shown on Figure 1 will be removed during the future road improvement project impacting those features at the expense of the road improvement project. The trees, bushes, landscaping, and any other improvements, installed removed and adjusted shall be made in substantial compliance with Figure 1 which is incorporated by reference into this Agreement. 8. The GRANTORS and GRANTEE agree that the existing business sign will be reset outside of the proposed easement, as shown on Figure 1, during the future road improvement project impacting the existing business sign at the expense of the road improvement project. The GRANTORS and GRANTEE agree that the GRANTORS will prepare and submit a sign permit application upon execution of this Agreement as the existing business sign is not currently permitted. 9. The GRANTORS and GRANTEE agree that the existing private luminaires shown on Figure 1 will not be impacted by this project. 10. The GRANTORS and GRANTEE agree that the GRANTEE will install new irrigation conduits beneath the new sidewalk, as shown on Figure 1, during the future road improvement project impacting those features at the expense of the road improvement project. 11. The GRANTORS and GRANTEE agree that the terms and conditions of this Agreement shall survive closing of the Public Use Easement and be in effect after the Public Use Easement is recorded. 12. The GRANTORS and GRANTEE agree that the GRANTORS shall be named additional insured on any insurance policy covering GRANTEE, its contractors, and agents for any work or maintenance performed in or around the area of this easement for the future road improvement project. Of the total amount of compensation hereinabove agreed upon, the sum of $66,150.00 shall be paid upon execution and delivery of a good and sufficient: ^ Public Use Easement. Disbursement of funds will be made in the following manner: GRANTORS Amount of Payment 414 Holdings, LLC $66,150.00 The GRANTORS state they know of no hazardous materials on the property being acquired. Upon completion of said project or maintenance for which access is hereby provided, the GRANTEE shall restore the property as nearly as possible to its original condition. The GRANTEE agrees to hold GRANTOR harmless from any and all liability that may result or arise from the exercise of the rights granted hereby.
