BE IT KNOWN, that for good and valuable consideration received by the
undersigned, Stephen Fairfield ("Fairfield"), the receipt and sufficiency of which is
hereby acknowledged, Fairfield hereby confirms the City of Bozeman's ownership
of the personal property created by Fairfield pursuant to the terms of that
Professional Services Agreement between Fairfield and The Trust for Public Land
("TPL") last signed by Fairfield and TPL on July 24, 2018 (the "Art Contract"),
which property is described as follows:
That work of art created by Fairfield and depicted on the attached Exhibit A
(the "Artwork:), which Artwork has been installed on the grounds of the
Story Mill Community Park as provided for under Section 7 of the Art
Contract.
Fairfield represents and warrants to TPL and the City of Bozeman that:
Fairfield has full authority to confer ownership of the Artwork on the City of
Bozeman;
Fairfield has received all compensation for the Artwork called for under the
Art Contract;
The Artwork is not subject to any liens, encumbrances, liabilities, and
adverse claims of any nature or description whatsoever; and
Fairfield has no knowledge of any hidden defects in Artwork.
TPL and the City of Bozeman have had an opportunity to inspect the Artwork and
are not relying on any representation or warranty made by Fairfield as to its quality
or suitability for TPL's or the City of Bozeman's intended purposes.
