BACKGROUND: Attached is a copy of Easement Agreement with the Sacajawea Audubon Society. The easement is for the City’s Front Street Trunk Sewer Main project. Engineering and legal staff have reviewed the document and found it to be acceptable. KauffmanKasting, Kauffman & Mersen, P.C.716 S. 20th Ave. Suite 101Bozeman, MT 59718EASEMENT AGREEMENT^, 2019,THIS AGREEMENT is made and entered into this S_ day of Au^u^,by and between SACAJAWEA AUDUBON SOCIETY, a nonprofit corporal&on locatedin GaUatin County, Montana ("SAS") and THE CITY OF BOZEMAN, a municipalcorporation of the state of Montana ("the City"),RECITALSWHEREAS, the City has an easement and right of way for a sanitary sewerline over property identified as "portions of the Blocks 25, 26, 36, 39, 47 and 48 ofNorthern Pacific Addition to the City of Bozeman, Montana" (the "Sande Property")as more particularly described in that certain Easement and Right-of-WayAgreement for Sanitary Sewer Line dated November 16, 1962 and recorded with theGallatin County Clerk and Recorder at Book 20 Pages 425-428 (the "OriginalAgreement");WHEREAS, the Original Agreement describes the location of a 30-foot sewereasement over the Sande Property (the "Original Easement");WHEREAS, SAS has acquired a portion of the Sande Property moreparticularly described as follows: Tract D of Certificate of Survey No. 68, located inthe NW V4 of Section 8, Township 2 South, Range 6 East, P.M.M., Tract D1A, MinorSub No. 344c, according to the plat thereof, on file and of record in the office of theCounty Clerk and Recorder, Gallatin County, Montana, (the "SAS Property"), andthe Original Easement traverses a portion of the SAS Property;WHEREAS, the City desires to improve the sewer pipeline for which theOriginal Easement was given and, in connection with such improvement, both theCity and SAS desire to relocate the sewer pipeline to a different part of the SASProperty, subject to the terms and conditions of this Easement Agreement;122 WHEREAS, SAS desires to grant to City a new easement for the relocatedsewer Une to replace the Original Easement, subject to the terms and conditionsbelow;WHEREAS, upon the completion of the relocation of the sewer pipeline, asmore fully described below, the parties desire to abandon/release the OriginalEasement in favor of the terms and conditions set forth herein>'NOW THEREFORE, in consideration of the mutual agreements, provisionsand covenants contained herein, the parties agree as follows:ARTICLE IINCORPORATING RECITALS1.01 The recitals set forth above are incorporated herein by reference.ARTICLE IIGRANT OF NEW EASEMENT2.01 SAS hereby grants to the City and its successors-in-interests a non-exclusive perpetual easement and right-of-way for the purpose of installing,operating, using, repairing, replacing, maintaining and removing a sanitary sewerline and appurtenances thereto upon and across the SAS property , said easementand right-ofway to consist of a strip of land thirty (30) feet in width lying and beingfifteen (15) feet on each side of the centerline as more particularly described anddepicted on Exhibit A and labeled "NEW SEWER & A.W.A. EASEMENTLOCATION" (the "New Sewer Easement").2.02 In addition to the New Sewer Easement, SAS hereby grants to the Cityand its successors-in-interests a non-exclusive perpetual easement and right-of-wayfor the purpose of providing an access road to the New Sewer Easement to consist ofa strip of land thirty (30) feet in width lying and being fifteen (15) feet on each sideof the centerline as more particularly described and depicted on Exhibits A and B,and labeled "NEW ROAD ACCESS LOCATION" (the "New Road AccessEasement").2.03 The parties understand and agree that the location for the New RoadAccess Easement, as shown on Exhibit B, may infringe on a potential building sitethat SAS is contemplating for an improvement in the future. In the event the NewRoad Access Easement invades the building site chosen by SAS in the future, (l) theCity shall re-locate the New Access Road Easement, at its sole cost and expense, sothat it does not invade the building site; and (2) SAS shall execute an amendment tothis Agreement that provides an easement to the City for the re-located New Access2123 Road Easement. In no event, however, will the building site chosen by SAS, if any,be within the New Sewer Easement.ARTICLE IIIDECONSTRUCTIONAND CONSTRUCTION3.01 The City will construct a new sewer pipe line in the New SewerEasement, substantially in the same form as described on Exhibit A attachedhereto. No sewer lines will be constructed in the New Road Access Easement shownon Exhibit B.3.02 Within 90 days of completion and commissioning of the new sewer linein the New Sewer Easement, the City shall cease using the sewer pipe in theOriginal Easement. In this regard it shall have taken the following actions withrespect to the sewer pipe in the Original Easement: (a) prevent any wastewater ofany kind from entering into the pipe; (b) fill portions of the pipe with flowableconcrete to prevent wastewater from flowing through the pipe; (c) place impervioustrench plugs at the locations shown on the construction plans indicated in ExhibitC; (d) remove the grade rings and concrete cone sections of the manholes within theSAS Property; and (e) reclaim the property disturbed by the foregoing to thecondition it was prior to such work by reseeding the area with seeds selected bySAS. For purposes of the section completion of the new sewer line" shall mean thedate that the new sewer line has been certified and commissioned as complete bythe engineers engaged on the new sewer line project.3.03 The City will also construct an all-weather access ("AWA") on andwithin both the New Sewer Easement and New Road Access Easement. The AWAshall be constructed substantially in the same form as reflected on Exhibits A andB. Both the City and SAS, as well as their respective employees, volunteers andinvitees, will be able to use the AWA and SAS will be permitted to add areasadjacent to the AWA on which SAS may construct viewing areas or other gatheringareas. Notwithstanding the foregoing, SAS may not construct an improvement onthe AWA itself such that it might interfere with the maintenance, repair orimprovement of the new sewer line. SAS will provide the City with areconimendation for the material to use on the surface of the AWA.3.04 Upon completion of the AWA, the City shall construct barriers thatwill prevent unauthorized vehicles from using the AWA. Unauthorized vehicles arevehicles that are not authorized by either the City or SAS. Both parties shall havethe means necessary to remove the barriers to allow authorized vehicles to pass.The general public shall not be permitted to use motorized vehicles on the AWA.3.05 At no time may the City or any of its agents, employees or contractorsuse any herbicides on or near the New Sewer Easement or New Road AccessEasement.3124 3.06 The City shall be responsible for maintaining the AWA to the levelmandated by any ordinance or regulation that pertains to the AWA. In the event aparty, or its agent/employee/volunteer/invitee, damages the AWA, the party whocreated the damage shall be responsible to repair the AWA.3.07 The parties understand that in connection with the new sewer line andthe AWA, there may be excess soil left over that is not used or useful by the City aspart of the construction or reclamation involved in its new sewer line project. TheCity shall coordinate with SAS on where SAS would like that excess soil, if any,stockpiled on the SAS property so that SAS can use the same as it deemsappropriate.ARTICLE IVADDRESSING ORIGINAL EASEMENT & ORIGINAL SEWER LINE4.01 The City will execute all documents necessary to abandon and/orrelease the Original Easement within 90 days of the date the new sewer pipe iscertified complete to the Montana Department of Environmental Quality by theengineering firm engaged for the new sewer pipe project and the new sewer pipe iscommissioned for use.4.02. Once the Original Easement has been abandoned/released, the Cityshall not be permitted to use the Original Sewer Pipe to convey wastewater.However, in no event is SAS releasing the City from, nor waiving, any claini,damage, fee, or cost arising out of or in any way related to the City conveyingwastewater through the Original Sewer Line, including any claims, damages, feesor costs related to any spill, leak, contamination or other environmentaldegradation related to the City's use of the Original Easement or Original SewerLine.4.03 Paragraph 5 on page 427 of the Original Easement provides, in part,that Grantors and their successors in interest were permitted to make oneconnection onto the sewer trunk line without a connection fee and at no cost to theGrantors. The parties recognize that SAS is a successor in interest to the Grantorsin the Original Easement and agree that SAS shall also be permitted to make oneconnection onto the sewer trunk line that will be installed in the New SewerEasement without a connection fee and at no cost to SAS, except the normal hookupconstruction costs.ARTICLE VCOVENANTS4125 5.01 The City covenants and agrees with SAS that in connection with theinstalling, operating, using, repairing, replacing, maintaining and removing of thesewer line in the New Sewer Easement and the abandomnent of the old sewer line,it shall do so in a workmanlike manner and at its sole cost and expense. In thisregard, the City recognizes that the SAS Property includes wetlands that SAS isattempting to preserve and enhance. The City shall not permit any lien to be placedon the SAS Property and, if such a lien is placed on the SAS Property, to promptlyremove the same irrespective of whether or not the City agrees with the accuracy orthe enforceability of the lien.5.02 The City covenants and agrees with SAS that it will reimburse SAS infull for any actual damage done to the SAS Property by virtue of the City's entrythereon outside the New Sewer Easement. The parties understand and agree thatsuch a covenant is consistent with the covenant the City provided to SAS'spredecessor in interest, as more fully discussed in paragraph 4 on page 427 of theOriginal Easement.5.03 SAS covenants and agrees that at no time will it build, construct, erector maintain any permanent structure over or above the new sewer line unless suchstructure is built, constructed and niaintained in such a manner that it would notinterfere with the operation, use, repair, maintenance, replacement and removal ofthe new sewer line. The parties understand and agree that such a covenant isconsistent with the covenant the SAS's predecessor in interest provided to the City,as more fully discussed in paragraph 1 on page 427 of the Original Easement.5.04 SAS covenants and agrees that the City may peaceably hold and enjoythe rights and privileges herein granted without any interruption by SAS or theirsuccessors and assigns.MISCELLANEOUS PROVISIONS6.01 The parties represent to each other that signatory for the entityexecuting this Agreement have the requisite authority to enter into this Agreementwhich shall bind that entity without reservation or exception.
