HomeMy WebLinkAbout93- Business Services, Inc. Technical Assistance Agreement , . . ' TECHNICAL ASSISTANCE AGREEMENT This Agreement is between Business Services, Inc., located at 16 W. South Street, P.O. Box 508, White Sulphur Springs, Mt., 59645 hereinafter known as "Consultant", and the City of Bozeman and Interfaith Housing, Inc., hereinafter referred to as the "City." The term of this Agreement is December 7, 1993, through January 18, 1994, unless extended in writing. The parties hereto agree as follows: The City hereby retains the Consultant to p/'Ovide services related to the development and submission of an application for funding under the HUD HOME program, due January 18, 1994, specifically: I. SERVICES TO BE PROVIDED. The Consultant will perform the following services: A. Research HOME application guidelines issued by the Montana Department of Commerce. B. Research proposal as developed by Interfaith Housing, Inc, and submitted to the Montana Board of Housing. C. Develop strategy for application that offers the most competitive proposal for HOME funding. D. Working with the City and Interfaith Housing, assemble information necessary for a complete application document, including: 1. Description of the City's planning process for assessing local needs in housing. 2. Description of the City's housing needs, in new construction for homeowners and renters, housing rehabilitation for homeowners and rentals, first-time homebuyer assistance, public rental housing, transitional, special needs and homeless housing, and rent assistance programs. 3. Description of past efforts the City has made to address its housing needs. 4. Description of the strategy proposed to implement the Interfaith Housing project, for developing affordable housing units. 5. Description of the City's plan to manage the program and the project during and after construction. 6. Maps, architectural and engineering designs, budget, implementation schedule. 7. All documentation to support the above narrative information. E. Assist the City in conducting the required public hearing prior to submission of the final application document. ,< . F. Produce final application document in one original and five copies. Submit by mail or hand deliver to the Department of Commerce, HOME program on or before January 18, 1994. II. INDEPENDENT CONTRACTOR STATUS: It is understood by the parties that the Consultant is an independent contractor and as such neither it nor its employees, if any, are employees of the City for purposes of tax, retirement system, or social security (FICA) withholding. It is further understood that pursuant to section 39-71-401, MCA, the Consultant has obtained, and will maintain at its expense for the duration of this Contract, coverage in a worker's compensation plan for its principals and employees for the services to be performed hereunder. III. COMPENSATION: The City agrees to pay the consultant for time and costs, according to the schedule set out in Attachment A, by this reference made a part hereof. IV. MODIFICATION OR TERMINATION: This contract may be modified or terminated under the following conditions: 1. Termination for Cause or Convenience: If, at any time before the date of completion, one of the parties determines that the other party has failed to comply with any of the terms and conditions of this contract, the aggrieved party may give notice, in writing, to the defaulting party of any deficiencies claimed. The notice will be sufficient for all purposes if it describes the default in general terms. If the defaulting party fails to cure and correct all defaults claimed within a reasonable period to be specified in the notice, the aggrieved party may, with no further notice, declare this contract to be terminated in whole or in part. If either party determines that continuing the work in progress would not produce the beneficial results expected, the party may terminate the contract. The two parties shall agree upon the conditions of termination, including the effective date, 2. Payment for services satisfactorily performed. Upon termination under any of the above circumstances, the Consultant is entitled to receive payment for those services satisfactorily performed to the date of termination. 3. Modification by Agreement of Parties. The time, scope, or compensation for services of this contract may be modified only by written agreement of and between the parties hereto. V. PRINCIPALS: It is agreed that Barbara Richard will be the consultant's designated principal for this contract. James Goehrung, neighborhood coordinator for the City of Bozeman, will be the representative for the City, and will be responsible for acting as liaison with the consultant. VI. SCHEDULE FOR COMPLETION: The consultant will provide the services described herein in a timely fashion, and will , ' . coordinate the schedule with the City Commission and the City liaison. A tentative schedule is attached hereto, as Attachment B. VII. ACCEPTANCE: The undersigned hereby approve and agree to the terms and conditions of this contract as described herein. ATTACHMENT A Upon completion and submission of the HOME application, the Consultant will bill the City for time and costs as follows: Consultant time: $50 per hour Clerical: $20 per hour (incl. fringe) Travel time: $12.50 per hour Mileage: .30 per mile Direct costs and overhead to be billed at 50% of hourly rate will include office and equipment costs, postage, copies, telephone and FAX, insurance and bonding. It is understood that the Consultant will utilize the assistance of the City Neighborhood Coordinator and the officers of Interfaith Housing, Inc., to the maximum extent possible to keep costs low. Costs for the services listed in Paragraph I are estimated to total $2,500 or less. If the scope of work increases, and it appears that costs will exceed $2,500, the Consultant will notify the City liaison well in advance of that cost threshold. " . . , . .
