AGREEMENT
THIS AGREEMENT made and entered into this ~;{9 ;17- day

of ~uJ{~7t- ,1983, by and between the City of Bozeman,
Montana, a municipal corporation of 411 East Main, Bozeman,
Montana 59715, hereinafter referred to as the "City" and
WILLIAM J. SEBENA, of 3.),-{ 0t- (J ""1). h{et:IC- , Bozeman,
Montana, hereinafter referred to as the "Builder."
WIT N E S SET H:
WHEREAS, the Builder of the proposed Sebena Northeast
Sewer Trunk, desires to finance, build, and maintain said
sewer trunk as a private sewer line and to enter into an
agreement with the City of Bozeman whereby sewage may be
discharged into the City's system on North Rouse Avenue.
WHEREAS, the City of Bozeman does agree to grant
permission to said Builder to construct and maintain said
private sewer on city street right of way in a manner
acceptable to the City Engineer.
NOW, THEREFORE, it is agreed that:
l. Prior Written Approval.
The City shall approve in writing the construction
contract plans and specifications prior to the start of
construction. The sewer trunk shall be sized to accommodate
all anticipated future connections that can be made within
the design service area as depicted on Exhibit A, attached
hereto and made a part hereof.
2 . Compliance with Plans and Specifications.
All construction shall be in accordance with the
construction contract plans and specifications approved by
the City. No changes in, or deviation from the plans and
specifications which effect capacity, maintenance, design
requirements or service area shall be permitted unless
revised plans shall have been submitted to, and approved
in writing by, the City.

3. Construction and Inspection.
All sewer construction shall be inspected and approved
by a registered professional engineer acting on behalf of
the Builder, or by duly authorized and competent representa-
tive of the professional engineer. No sewer trenches shall
be backfilled except as authorized by the inspection engi-
neer after having inspected and approved the sewer installa-
tion. within sixty (60) days following completion of
construction, the inspection engineer shall submit as built
plans and written certification to the City that the sewer
line has been constructed in conformance with the construc-
tion contract and specifications.
4. Costs.
It is expressly stipulated and clearly understood that
the sewerage system or facilities which are the subject of
this Agreement as well as all future connections to them
shall be constructed, operated and maintained at no cost to
the City.
5 . Connections.
The Builder must obtain the written approval of the
City prior to constructing any additions or connections to
the sewer line. The construction of any such addition or
connection shall be subject to the terms of paragraph 3,
above.
6 . Sewage Meter.
The Builder shall install a recording type meter
acceptable to the City Engineer at a location near the
discharge point on North Rouse so that the sewage quantity
entering the City's system can be accurately measured. Said
meter shall be enclosed and located at a site legally
accessible to the City.
Upon completion of construction, the Builder shall
transfer title to the City for the meter enclosure, meter,
and the sewer line between the meter enclosure and the
City's North Rouse sewer trunk at no cost to the City of
Bozeman.

7. Sewage Charges.
The City shall impose a charge upon the Builder for
accepting the sewage as metered into the City's system.
Said charge shall be a monthly charge.
The following charges shall be in effect on the date of
this agreement:
Base Rate ;= $2.90 per 750 cf per month
plus Variable Rate ;= $.48 per ccf per month
Plus Extra Strength Rate ;= $0.115 per pound per month
of suspended solids in
excess of 200 PPM
Plus Extra Strength Rate ;= $0.095 per pound per month
of Biochemical Oxygen Demand
in excess of 250 PPM
The City will credit the Builder $0.75 per 750 cf per
month for maintenance not performed by the City on the
Builder's sewer line.
The City may change these charges at any time upon
thirty (30) days I written notice to the Builder.
8 . Agreement.
This Agreement shall be in force for an initial term of
five (5 ) years from its date and may be renewed thereafter
by mutual agreement of the parties. However, this Agreement
shall expire if construction has not started within one (1 )
year from its date.
9. Rules and Regulations.
The Builder agrees to comply with any and all sanitary
regulations of the City and present and future rules,
regulations and instructions of the Department of Public
Works. The builder further agrees that the duly authorized
engineers and inspectors of the City, in collaboration with
the Builder, shall be allowed to make inspections and
require tests for tightness of the piping of the sewer
system connections in the private sewer system, and the
Builder further agrees to make such changes as in the

judgment of the Director of the Department of Public Works
are necessary. The failure, neglect or refusal on the part
of the Builder to make promptly and properly such changes in
its piping, to maintain tightness, or to eliminate undesir-
able connections upon notice in writing to do so, shall
furnish sufficient grounds for the City to discontinue the
service hereunder until changes and correction in said
piping or connections required by the City are made by the
Builder.
10. City Not Responsible.
City shall not be responsible for any failure to supply
sewerage disposal or for interruption of the sewerage
services furnished hereunder. The Builder shall be solely
responsible for and shall defend, indemnify and save
harmless the City from and against any and all claims,
costs, damages, or expenses the City may suffer, incur,
sustain or become liable for on account of any injury to, or
death of, any person or persons, or any damage to, or
destruction of, any real or personal property that may be
caused by the construction, use, state of repair, operation
and maintenance of the proposed facilities, arising out of
or as a result of this Agreement. Without limiting the
generality of the preceding sentence, the provisions of this
paragraph shall extend to indemnify and save harmless the
City from any claims or damages arising out of or in
connection with the termination of this Agreement.
ll. No Assignment.
No assignment or transfer of this Agreement shall be
made by the Builder without prior written approval of the
City.
12. No Other Understandings.
No officer, official or agent of the City has the power
to amend, modify or alter this Agreement or waive any of its
conditions or to bind the City by making any promise or
representation not contained herein.

13. Miscellaneous.
The terms and conditions herein set forth to be kept
and performed by Builder and the City shall be binding upon
and inure to the benefit of, and be enforceable by, the
heirs, assigns, personal representatives, and successors-in-
interest of the parties hereto.

incurred for design, construction and

credited by Builder to the reduction of
that project cost. The Builder will
provide the City with a breakdown of its
individual service fees initially and
whenever an adjustment is made in those
fees.
C. Design, construction and financing
costs will be est.ablished by invoice or
contract for purposes of arriving at the
maximum amounts expended by Builder
\vhich may be reduced by hookup and/or
portions of customer service fee s .
D. Amounts already negotiated between
the Builder and potential customers are
based on a per acre calculation. Those
customers, numbers of acres owned,
amounts to be paid by customers and
years in which payments are due are
listed in Exhibit C, attached hereto
and made a part hereof. The shares
of development costs for initially
establishing the Builc1pr's equity are
also listed in Fxhibi t-_ C.
2. Paragraph 8 , entitled Agreement shall be modified to
read as follows:
This agreement shall be in force for an
initial term of six ( 6 ) years from its date,
except, however, that it may be extend~d for
a maximum additional period of three ( 3 )
years upon mutual consent of the parties. At
its termination, thf" Builder sha 11 convpy the
sewer trunkline, its appurtenances and any
necessary easements to the City without cost
to the City.
The Builder agrees that, at the time of the
conveyance, he shall execute or cause to be
executed a bill of sale for the pipeline and
its appurtenances and shall warrant and
defend the conveyance of the personal
property against all persons whomsoever
lawfully claiming or to claim the same. In
addition, the Builder shall execute or cause
to be executed an assignment of all easements
necessary for the placement, operating,
using, repairing, replacing, maintaining,
and removing of the sewer pipeline and its
appurtenances to the City and shall agree to
warrant and defend the City's easement In the
real property against all persons whomsoever
lawfully claiming or to claim the same. Both
the personal property conveyed and the
easements assigned shall be free from all
liens or encumbrances.
However, this agreement shall expire if
construction has not started within one (1)
year from and after July 29, 1983.
3 . It is paragraph 14, ent i tIed Con.struct ion Pha s(~s , State

follows:

The City will recommend that the State of
Montana allow this project to be constructpd.
The project will be broken into three (3)
phases. Phase I will be released for
construction with special consideration
before Phases II and III will be allowed to
proceed. Phases I, II and III are delineated
in the map, Exhibit D, attached hereto and
made a part hereof.
The Montana State Water Quality Bureau
must approve engineering precautions and
procedures for Phases II and lIT.
4. Paragraph 15, entitled Waiver of Protest, shall be
added to the agreement and read as follows:
The Builder agrees that he shall cause the
record owners of any property outside the
City limits which is proposed for sewer
service by his trunkline to execute a Waiver
of Protest for Annexation, a copy of which lS
attached as Exhibit B and made a part hereof
and shall deliver an executed waiver to the
City Manager prior to providing sewer service
to the property.
5. Paragraph 16, entitled Ownership. shall be added to the
agreement and read as follows:
The Builder hereby agrees that the title :_0
all personal property conte~p10tcd for
conveYAnce to the City, including but not
limited to the sewer trunk lines anrl
appurtenances, and to all easements acquirerl
and contemplated for conveyance to the City
shall be held in his name as sole owner
during the term of this agreement.
