Memorandum of Agreement Between Gallatin County, the City of Bozeman, and the Montana Department of Transportation for Roadway Improvements to the North 19th Avenue Corridor in Bozeman, Montana August 1999 , . .. , , " This Memorandum of Agreement (MOA) by and among the Montana Department of Transportation (Department or MDT) and the City of Bozeman (City) sets forth the coordination of the planning, design, and costs of necessary future construction of Federal- aid roadways, specifically the North 19th Avenue Corridor, to accommodate the safety of the traveling public and increased traffic flow on such roadways due to the City's proposed actions, Whereas, the MDT is responsible for planning, designing, constructing and maintaining State Highways and roadways associated transportation facilities, including associated pull-offs, parking areas, and rest areas for the use and benefit of the traveling public, in a safe and efficient manner in accordance with Title 23 United States Codes (U.S.c.) and Title 60, Montana Code Annotated (MCA) and by agreement maintains and has jurisdiction for the North 19th Avenue Corridor which is a state designated urban system route, Whereas, the City is responsible for planning, designing, constructing and maintaining Bozeman city roadways and associated transportation facilities in a safe and efficient manner and has overall approval authority for development of the Bridger Peaks Town Center, The Gallatin Center, and StoneRidge Subdivisions, and is committed to the safety and efficient operation of North 19th Avenue as an important transportation link in the Bozeman urban area, Whereas, the City has conditionally approved preliminary plats for three individual major subdivisions along the North 19th Avenue Corridor which will affect roadways and streets under the jurisdiction of the MDT, City, and County, And, Whereas, the parties mutually agree that a cooperative delineation and identification of the statutory, regulatory and agreed duties and responsibilities of the parties is beneficial to the overall development process, Therefore, the parties set forth the fundamental duties and responsibilities necessary to accommodate the safety of the traveling public due to increased traffic flow on the affected MDT, City, and County roadways resulting from the City's preliminary plat actions, and agree that: 1. Purpose This memorandum of agreement (MOA) establishes the various funding, design, construction, and maintenance responsibilities necessary to complete roadway . improvements to the North 19th A venue including short term and long term phasing of its development. F or the purposes of this agreement, the North 19th A venue corridor includes the following termini and links: . North 19th Avenue (urban route 1201) from and including the northern intersection with Valley Center Road to and including the southern intersection with Durston Road. Page 2 of 8 . . , \ . ~ . Oak Street from the intersection with North 19th A venue east to the Bridger Peaks Town Center east property boundary. Project Phasing Improvements to the North 19th A venue corridor will be completed in several phases as development of adjacent properties advances. This agreement principally addresses Phase I of overall long-range corridor development. Improvements. planned for Phase I of the proposed development include the following, which are shown on the attached map, Phase I . Construct and stripe additional north and south bound travel lanes to provide a five-lane facility between Oak Street and Baxter Lane. This construction includes lanes north of Baxter Lane which meets MDT design standards taper to the remaining three-lane facility. . Intersection improvements and signalization of the Oak Street/North 19th Avenue and Baxter Lane/North 19th Avenue intersections. . Intersection and signal improvements at the North 19th A venuelDurston Road intersection, . Widen Oak Street to include a second westbound lane and curb/gutter for the full length of Phase I of the Bridger Peaks Town Center property, . Construct public access roads (Tschache Lane, Commerce Drive, & 22nd A venue) to serve as accesses to the planned developments, . Install all traffic striping and markings on both North 19th Avenue and Oak Street in accordance with MDT design standards. . Install lighting at all intersections within the project boundaries. Phases II-IV Additional planned roadway improvements are not specifically addressed by this agreement. However, to the extent possible it is the intent of the signatories that resources needed to support these future phases will be derived from those benefiting from the access to developing lands provided by the corridor. Page 3 of8 . . , t r '.J> Maintenance . Maintenance responsibilities for existing routes will remain as agreed to in the existing maintenance agreement dated October 20, 1995, 2. Responsibilities MDT Project Development . Will provide timely review and coordination of the conceptual plan, Design . Will provide MDT data and technical requirements and assistance necessary for the development, completion, and approval of the design for necessary roadway improvements. . Review plans, design and data submitted by the City and if found acceptable, approve individual submissions, to assure all MDT design standards are met. . Coordinate with the City and County in the overall review of conceptual plan. . Require that roadway plans include the installation of physical barriers (raised pork chop median) which allow only left in/right out turns onto North 19th Avenue for the approach to the Bridger Peaks Town Center between Tschache Lane and Oak Street and at the new Commerce Drive approach prior to State approval. Bids; Administration; Construction . MDT will let and administer the project for the construction of the traffic signal at the intersection of Oak Street and N. 19th Avenue, .. Review and approve if adequate the City's submittals related to the traffic control plan and traffic signal control equipment. . Request approvals or concurrence from the Transportation Conunission as needed throughout the course of the activities contemplated by this agreement. . Conduct final inspection of work for approval. Provide MDT and the County a detailed conceptual plan of their proposed roadway improvements targeting the expected access and traffic movement issues. Impacts from all developments should be considered collectively and cumulatively. . Coordinate the conceptual plan with the State's existing limited access resolution for N. 19th Ave & Oak Street. . Agree to prioritize, through the TCC, the traffic signal project at the intersection of Oak St. and N. 19th Ave and the traffic signal project at the intersection of Baxter Lane and N. 19th Ave so MDT may obligate necessary (estimated $ 160,OOO-Oak/$140,OOO- Baxter) Urban funds. . The City will provide the Department and County with periodic status reports during the development of the Project. . Coordinate and consult with MDT on review of conceptual plan, . Guarantee the through capacity of all signalized intersections will be maintained at no less than a Level Of Service (LOS) C. Also guarantees if/when a signalized intersection falls below this threshold, MDT approved improvements to regain the LOS will be funded and implemented by means other than the State of Montana, Design . Will pay costs, or secure funding sources, associated with the development, design and construction of the necessary improvements on state and local roadways related to the proposed actions of the developers, including any costs related to utility relocations, environmental mitigation or traffic control. . Will develop project geometries and detailed design in accordance with the MDT Geometric Standards and MDT Road Design Manual. . Will comply with MDT application processes for requests for new accesses or alteration to the existing access. This includes submittal of a final access analysis which addresses the influence of traffic on Oak Street, 19th Ave., and Durston Road, . Will support and be responsible for the development's drainage. Storm water at rates exceeding historic rates cannot be discharged upon 19th Ave, Durston Road, or controlled access right of way adjacent to the 19th Ave, interchange, . . Provide MDT a set of final plans that have been approved by MDT for the accesses and improvements on state roadways prior to MDT issuance of any permits, . Guarantee that no new access outside of the approved accesses will be allowed through the requirement that all approved plats include a 1 foot no-access strip along North 19th A venue frontage. Guarantee installation of physical barriers preventing left turns out at approaches as required by MDT, including: Bridger Peaks Town Center between Tschache Lane and Oak Street and at the new Commerce Drive approach, B ids;Administration; Construction . Be responsible for letting and administering all improvement projects (with the exception of the traffic signals at the intersections of Oak Street and N, 19th A venue and Baxter Lane and N 19th A venue that will be let and administered by the Department.) . Be responsible for acquiring all permits and authorizations including all environmental clearances necessary for the associated roadway improvements and for developing a plan acceptable to the MDT for those aspects of the development affecting state roadways, . Submit for MDT approval a traffic control plan that is sufficient to protect the traveling public and maintain traffic flow through the construction sites on state roadways, . Assure construction of the roadway improvements is done under the supervision of a professional engineer licensed in the state of Montana and meets all MDT standards and requirements. . Pay costs necessary to have an MDT inspector on-site_during construction of the roadway improvements and traffic signal installation (excluding the Oak Street/N. 19th Ave, and Baxter Lane/N, 19th Avenue signal projects administered by MDT), and ensure all required modifications and/or connections are accomplished in a reasonable amount of time, . Provide MDT a set of revised, reproducible construction plans depicting the as- built conditions, . Will agree maintenance for newly constructed public access roads including Tschache Lane and 22ndAvenue North is not MDT's responsibility, 3. Non-Discrimination The City will require during the performance of any work arising out of this agreement that the agreement, for itself, assignees and successors shall comply with all non- discrimination regulations shown on Attachment A, Additionally, the Department requires that any construction resulting from this agreement must include appropriate pedestrian facilities that meet or exceed current Department standards for accessibility as set fort in the U,S, Architectural & Transportation Barriers Board, American with Disabilities Act Accessibility Guidelines (ADAAG) and MDT Detailed Drawings, 608 Series, Page 6 of8 . , , . , ., 4. Modification and Amendment This MOA may be modified or amended, in writing, by the mutual agreement of the parties involved up until award of the contracts for the associated roadway projects. This MOA is assignable by the City only upon the written acceptance of the assignee by MDT, 5. Termination All parties agree to move in an efficient and expeditious manner towards development of these proposals under the conditions specified within this document. Any party may terminate this agreement and all obligations of all parties hereunder, with 30-day notice in writing to the other parties of the intention to do so. The MOA may not be terminated once the contract or contracts have been awarded for construction of the associated highway projects. 6. Governin~ Law The laws of the State of Montana shall govern this agreement. Venue for any litigation will be in Gallatin County, State of Montana, In case of conflict between the obligation imposed by this MOA and Montana law then Montana law will controL 7. Supplementation of A~reement The parties agree that it may be desirable to provide individual or more specific provisions which may be accomplished through the execution of supplements to this agreement as needed, 8. Indemnification The Department will not be liable for any claims or suits related to City financial participation in the Project, and the City will hold the Department harmless and immune from any such suits and to indemnify the Department in the event of any loss as the result of such claim or lawsuit. Additionally, the City will not be liable for any claims or suits related to MDT financial participation in the Project, and the Department will hold the City harmless and immune from any such suits and to indemnify the City in the event of any loss as the result of such claim or lawsuit. 9. Attorney's Fees Page 70f8 . . I ,. In the event it becomes necessary for either party of this Agreement to retain an attorney to enforce any of the terms or conditions of this Agreement, then the prevailing party will be entitled to reasonable attorney's fees and costs, including fees, salary and costs of in-house counsel to include the City Attorney, City staff attorneys as well as any Department staff attorneys. ATTACHMENT A NOTICE TO CITIES During the performance of this Agreement, the City, for itself, its assignees and successors in interest, agrees as follows: A) COMPLIANCE WITH TITLE VI OF THE CIVIL RIGHTS ACT OF 1964 FOR FEDERAL-AID CONTRACTS (1) Compliance with Regulations: The City shall comply with all Regulations relative to nondiscrimination in Federally-assisted programs of the Department of Transportation, 49 Code of Federal Regulations, Part 21, as they may be amended (hereafter referred to as the Regulations), which are incorporated by reference and made a part of this Agreement, even though only State fimding is here involved, (2) Nondiscrimination: The City, with regard to the work performed by it during the Agreement, shall not discriminate on the grounds of sex, race, color, or national origin in the selection and retention of subcontractors, including procurement of materials and leases of equipment. The City shall not participate either directly or indirectly in the discrimination prohibited by 49 CFR 21.5. (3) Solicitations for Subcontracts, Including Procurements of Materials and Equipment: In all solicitations, -whether by competitive bidding or negotiation by the City for work to be performed under a subcontract, including procurements of materials or leases of equipment, any potential subcontractor or supplier shall be notified by the City of the City's obligations under this Agreement and the Regulations relative to nondiscrimination. (4) Information and Reports: The City will provide all reports and information required by the Regulations, or directives issued pursuant thereto, and permit access to its books, records, accounts, other sources of information and its facilities as may be determined by Department or the Federal Highway Administration (FHW A) to be pertinent to ascertain compliance with Regulations or directives, Where any information required of the City is in the exclusive possession of another who fails or refuses. to furnish this information, the City shall so certifY to the Department or the FHW A as requested, setting forth what efforts it has made to obtain the information. (5) Sanctions for Noncom~liance: In the event of the City's noncompliance with the nondiscrimmation proviSIOns of this Agreement, Department may impose sanctions as it or the FHW A determines appropriate, including, but not limited to, (a) withholding payments to the City under the Agreement until the City complies, and! or (b) cancellation, termination or suspension of the Agreement, in whole or in part. - I , '.. (6) Incorporation of Provisions: The City will include the provisions of paragraphs (1) through (6) in every subcontract, including procurement of materials and leases of equipment, unless exempt by the Regulations or directives issued pursuant thereto, The City will take such action with respect to any subcontract or procurement as the Department or the FHW A may direct to enforce such provisions including sanctions for noncompliance: Provided, however, that in the event The City is sued or is threatened with litigation by a subcontractor or supplier as a result of such direction, the City may request the Department to enter into the litigation to protect the interests of the State, and, in addition, the City or the State may request the United States to enter into such litigation to protect the interests of the United States. MDT will assume all maintenance on this route. N. 19th Interchange 190, the interchange ramps and the crossroad from the intersection with Springhill Road (FAS411) to the intersection with East Valley Center Drive (FAS235) and the portion of Springhill Road lying between Old US 10 (FAS205) and the junction of N. 19th and Springhill Road. MDT will also maintain North 19th Street from East Valley Center Dr i ve (FAS235) south to Main Street (FAP50) . MDT will assume all maintenance on this route with the exception of the mowing of grass in the raised medians between Durston and Main which will continue 'to be done by 'the City of Bozeman. East Valley Center Drive (FAS235) Gallatin County will assume all maintenance on this route. Baxter Lane - from North 7th Avenue (FAU1207) going west in its entirety. Gallatin County will assume all maintenance on this route. X16209 MP 0.0 - 1.0 Haggerty Lane This route starts at MP 90.4+/- on P50 and goes southeast for 1.0 mile. Gallatin County will assume all maintenance on this route. Durston Road (West of N. 19th Ave) Gallatin County will assume all maintenance on this route. Kagy Blvd. (East of Highland Blvd. ) Gallatin County will assume all maintenance on this route. E. Griffin Drive (Rouse to Story Mi 11 Road) Gallatin County will assume all maintenance on this route. , - Babcock Street (Main St. to Ferguson) The City of Bozeman will assume all maintenance on this route. . \ I ~ '~ , ., S. It IS further agreed that the above defined maintenance responsibilities will remain in effect until modified by mutual agreement of all the parties. No functional classification or Federal aid status will be changed by this agreement. All billing for I i g h t i ng energy costs shall remain unchanged. MDT will continue to operate it's Adopt- A-Highway program on S. 19th and Haggerty Lane until the adopting groups can be relocated to areas maintained by MDT.
