Memorandum of Understanding for SBIR seminars to be administered by the Gallatin
Development Corporation through the City of Bozeman.
Purpose
The purpose of this agreement is for the Gallatin Development Corporation (Contractor) to provide
administrative support services and manage the logistics for seminars that will be conducted in
Bozeman, Helena, Butte and other cities in Montana as part of the Montana Department of Commerce's
Small Business Innovative Research (SBTR) program.
Scope of Work
'rile Gallatin Development Corporation shall be responsible for the following:
. Administer pre-registration for 10 workshops and one state-wide conference
. Provide facility coordination
. Prepare name badges
. Provide on-site registration support at Bozeman-based workshops and statewide conference
. Prepare name badges
. Provide onsite registration at Bozeman-based workshops and statewide conference
. Prepare and disseminate a participant list for each workshop
. Manage all revenues from workshop fees and partnership contributions
. Manage all accounts receivable and accounts payable
. Prepare quarterly reports and submit to the City Finance Department and the SBIR Program
Manager
. Procure all supplies for each workshop and statewide conference
Period of Agreement
This agreement will be in effect commencing immediately and end June 30, 2004 unless otherwise
terminated by law or in compliance with the terms of this contract.
Compensation
The Gallatin Development Corporation will submit an accounting of costs and administrative tirne for
each workshop. Gallatin Development shall be compensated at a rate of $50 per hour for site
coordination and seminar administration activities. The total compensation (administrative oversight
and direct expenses) shall not to exceed $6,500.00. Payment will be made within a reasonable time after
receipt of invoices from contractor. Invoices will be submitted to City of Bozeman, Finance DepL, P.O.
Box 1230, Bozeman, MT 59771.

Access to Records
The Contractor is required to maintain reasonable records of performance of duties pursuant to this
contract and will allow access to these records by the City of Bozeman, the Department of Commerce,
the Legislative Auditor and the Legislative Fiscal Analyst of the State of Montana.
Termination or Cancellation
The City of Bozeman may, by written notice to the Contractor, terminate this contract at any time the
Contractor fails to perform this contract.
Contractor may, by written notice to the City, terminate this eontraet at any tinle if the City fails to
perform this contract.
Default
Failure on the part of either party to perform the provisions of this contraet, eOllstitutes default. Default
may result in pursuit of remedy for breach of contract.
