WHEREAS, the LandoHners recognize that the annexation of the above
described property, hereinafter referred to as the "Green Pastures Tract"
will entitle the LandoVlOe rs to City services, including municipal water and
seHer service; and
\'lHEREAS, in recent years the City has taken action to improve and has
improved its available supply of water and is prepared to sell water to the
Landowners to serve the Green Pastures 'l'ract \vi th payment for the said
water to be made at the time each subdivision is approved; and
HHEREAS, the Green Pastures Tract is located in the area classified as
Urban Residential by the 1990 Bozeman Area Haster Plan Update adopted by
the City of Bozeman on October 29, 1990, vlh i c h classification provides in
part as folloHs:
" URBAN RESIDENTIAL: Urban residential areas are undeveloped areas
outside of the existing City limits, but within the identified "Service
Boundary of Existing SeHer System" (See Haster Plan Hap attached) .
Residential development in these areas must connect to City services and
may develop at urban densities up to six (6 ) dHellings units per acre;

LandovlOe rs were entitled to rely and did rc.Lj' upon Lhe above quoted
provision and other provisions of the Bozeman Area lIas te r Plan Update; and,
\~HEREAS , despite any bottlenecks, there is adequate sewer service
capacity to serve all of the land previously annexed to the City and Hithin
the city limits. It is understood that much of this land is not being
developed Hith no plans for development and no attempts or plans to extend
sewer services within the annexed property and the recent and expected
future g rO\lth of the City is in this area Hhere \'1 est fie 1 d is rapidly
developing and building residences and the Green Pastures Tract is
immediately south and an obvious extension of the \'1 est fie 1 d Development;
and
\'IHEREAS, it is not to the best interest of the City nor is it fair tc.
the Landowners to reserve city service capacity for those areas which are
annexed but Hhich are not currently being developed and thus necessarily
delay income to the city for taxes and from charges for city sewer and
water; and

HHEREAS, all parties recognize that the development of the Green
Pastures Tract will impact the South Third Avenue, Wagomvhee I Road, and the
intersection of South Third Avenue and Wagonwheel Road, and will require
additional public streets for traffic circulation; and
WHEREAS, the Landovme rs find that this Agreement will provide for the
most satisfactory and dependable water supply or service available to
furnish water, provide for the most satisfactory and dependable sewer
service available to furnish sewer collection service, and provide traffic
circulation tor development within the Green Pastures tract; and
WHEREAS, the making and performance of this agreement is desirable to
promote the development of the most adequate water supply, sewer collection
and traffic circulation pattern for the City as it now exists and as it is
reasonably expected to enlarge; and
HHEREAS, the Lando','me rs understand and agree that no development shall
be approved for any of the Green Pastures tract until adequate provisions
are made for water and seYler services and street improvements to result in
adequate transportation, Hhich adequacy shall be determined by the Director
of Public Se;rvice or his designee, but which determination and approval
shall l1(.,t be unreasonably \/ithheld; and
WHEREAS, the securing of an adequate water Sllpply, seHer collection,
and traffic circulation system by the C it:, is necessary and of mutual
advantage to the parties hereto.
H I T N E S S E T H:
IN CONSIDERA'l'ION of the mutual covenants and agreements herein
contained, the parties hereto agree as follows:
1. Recitals.
The above recitals are true and correct.
2. Annexation.
The City Commission will annex the Green Pastures Tract in
accordance with its decision on December 16, 1991.
3. Services Provided by City.
Pursuant to Section 7-2-4305, H.C.A. and Commission Resolution
No. 2849, the City will, after annexation, make City services, including
municipal water and sewer service, available to the Green Pastures Tract
subject to Section 9. Considerations.

4. Municipal Hater Service Defined.
The term "municipal "'l ate r service" as is used in this Agreement
shall be the service Hhich is supplied by the City in accordance Hith
Chapter 13.12, Bozeman Municipal Code, as well as any other terms and
conditions which apply to the City's provision of this service. The term
does not contemplate the extension of lines or construction of necessary
improvements for delivery of water to and within the Green Pastures Tract
or any hook-up, connection, or development charges which may be established
by the City.
(" Hunicipa1 SeHer Service Defined.

The term "municipal sevIer service" as is used in this agreement
shall be the service ilhich is supplied by the City in accordance Hith
Chapter 13.24, Bozeman 11un i c ipal Code, as well as any other terms and
conditions Hhich apply to the City's provision of this service. The term
does not contemplate the extension of lines or construction of necessary
improvements for collection of sewage at and within the Green Pastures
tract or any hook-up connection, or development charges w h i I; b .nd}" be
established by the City.
6. Hater.
The City represents that it does not have sufficient Hater supply
or sufficient Hater rights to furnish water to the Green Pastures Tract ~' .'.'J
the same are developed. The LandoHner agrees to pay to the City sufficient
money so that the City can acquire enough Hater or Hater rights in the
City's name for treatment and sale of treated Hater to the Lando\vners or
their successors. 'fhe sale of \1 ate r shall take place as each subdivision
is platted and the LandoHners shall pay to the City for the said treated
\'l ate r upon the approval of each subdivision based upon the following
formula:
A single family unit Hould require .574 acre feet of water on an
annual basis. The cost of that water 1S $200.50 per single family
unit. This is a one-time payment to be made by the Lan d 0 t'Tl1 e r s to the
City upon the approval of each subdivision, multiplied by the number
of units in that subdivision. The price of $200.50 per single family
unit is based upon 1991 figures and shall increase or decrease in
direct proportion to any increase or decrease in the cost of the water
as determined by the 40-year contract that the City of Bozeman has or
will have with the DNRC and by any increase or decrease in operation
or maintenance costs from the lIiddle Creek Water Users Association.

'l'he LandoHners have the option of conveying useable domestic water
liqhts to the City to fulfill all or part of this obligation.
7 . ~v a i ve rs of Right to Protest Special Improvement Districts for.
Improvements to South 'I' hit' d Avenue and Waqnnwheel Road.
'rhe Landowners have executed a Waiver at Right to Protest
Creation ot Special Improvement Dist.ricts tor improvements to Sout.h Third
Avenue and Wagonwheel Road. These Waivers are attached hereto a.s Exhibit
A and Exhibit B and incorporated herein by reference.
8. Reconstruction of the Intersect.ion of South '1' h i r d Avenue and
Waqonwheel Road.
Plans have already been made for improvement of the intersection
ot South rrhird and Wagonwheel Road in which the City ot Bozeman and
Gallatin County Hill furnish labor and equipment to do the bulk of the
Hark. However, the LandoHners do hereby agree to participate in the east,
ot such improvement in the amount of twenty-five pereent (25%) of the cost
ot the improvement, which amount shall not exceed THREE THOUSAND FIVE
HUNDRED DOLLARS ($3,500.00).
9. Correct:ion of Existing Sanitary Sewer Capacity Problems.
Both parties hereby recognize that current bott:leneck problems
exist in the City's sanitary sewer collection system which will serve the
Green Pastures 'I' r act and other tracts Hithin cit~y limits. The City
understands and agrees that it is the obligation of the City and not that
of the Landowners to take act,ion to eliminate these bottlenecks. Although
no current plan is nO\i~ in effect to raise the money for such action, by
entering i n t~o this Annexat.ion Agreement, the City agrees, within a period
of three (3 ) years, to commence to raise the money for that and similar
pllrposesi and t:he City further agrees that \i~i th in a reasonable period not
to exceed ten (10 ) years tram this date, the City shall have removed enough
ot said bot~ tlenecks or \ili 11 take such other action as is necessary t.o
furnish sewer services to the Green Pastures subdivisions.
In the meant,ime, the Landowners represent that under current
conditions they \,Ii J 1 develop the first phasl?' of the Green Pastures Tract
and will file a subdivision plat within tour (4 ) years. Before any
subdivision plat is tiled, t~h e Landowne r::; shall give the city at least six

Health and Environmental Sciences and by the Director of Public Works of
the City of Bozeman. '1'he Lando~'me rs and their successors, including the
lot o~...ne rs or homeoHners associations, shall be responsible and shall pay
for the operation and maintenance of said S'l'EG or STEP system. Within a
reasonable time after seHer capacity is available to the subdivision using
S'l'EG or S'l'EP, the OHners ot lots in that subdivision shall convert to a
regular seHer system.
10. Additional 're rms for Road Easements and Haivers.
All parties recognize that this Annexation Agreement and Exhibit
A attached hereto must be filed and of record Hith the Gallatin County
Clerk and Recorder prior to the sale of any land within the Green Pastures
Tract by the LandOHners, and the parties agree that either party hereto may
file thesf= documents at any timl::. In addition to executing the Haivers
described herein, the Landot.me rs shall dedicate all public streets on the
Final Subdivision Platts).
11. Utility Easements.
'1'he LandoHners understand and i'lgree that utility easements,
tinrty !, 30) feet in \,/ i d t h , will be nece~sarv for the installation and
m a i n ten ,0\ n ce of water and s e vI e r utility services to the annexed pat-eel. The
Landov;(l,:,:rs shall create such easements in locations agreeable to the City
durir>-:; subdivision, conditional use, planned unit development, or site plan
revie\'" procedures, but in no event later than the filing ot any final plat
or site plan, or issuance of a building pe rmi t.
12. Governinq La" ,
'1'his Agreement shall be construed according to the laVls of the
State of Hontana.
13. Invalid Provision.
'1'he invalidity or unenforceability of any provision of this
Agreement shall not affect the other provisions hereof, and this Agreement
shall be construed in all respects as it such invalid or unenforceable
provision Here omitted.
14. Hodifieations or Alterations.
No modification or amendments of this Agreement shall be valid
unless evidenced by a writing signed by the parties hereto.

1:;. No Ass iqnment.
It is expressly agreed that the Landowners shall not assign this
Agreement in whole or in part without prior written consent of the City.
16. Successors.
This Agreement shall be binding upon, inure to the benefit of and
be enforceable by the parties hereto and their respective heirs, successors
and assigns.
17. Covenants to run with the Land.
The parties intend that the terms of this Agreement shall be
covenants running with the land and shall not expire at their deaths or
upon transfer of ownership of the property.

accompanying rights and privileges and for other and sufficient independent
consideration, to which the undersigned are parties, and in recognition of
the traffic impact to South Third Avenue and 'II agonHhee 1 Road which will be
caused by the development of the above described property, herein referred
to as Green Pastures 'r r act, we, the undersigned parties, have waived and do
hereby for ourselves, our heirs, personal representatives, successors and
assigns, waive the right to protest the creation of one or more special
improvement districts for improvements (including pavement widening, curb,
gutter, sidewalk and stormdrains) to Wagonwheel Road, or to make any
written protest against the proposed vl0 r k or against the extent or creation
of the district to be assessed in response to a duly passed resolution of
intention to create onp or more special improvement distr~lc t.:o: .:h lch would
include the above-descr':'bed property.
