SUBJECT: First Amendment to the Professional Services Agreement with
Brendle Group for a Climate Vulnerability Assessment &
Resiliency Strategy

RECOMMENDATION: Authorize the City Manager to sign the First Amendment to the
Professional Services Agreement with Brendle Group to develop a Climate Vulnerability
Assessment & Resiliency Strategy.
STRATEGIC PLAN ALIGNMENT: This project represents the first phase required to
address item 6.3 (d) Sustainable Environment - Climate Change Adaptation and Mitigation
and will help support future Fire Department work under 3.2 (b) Health & Safety - Perform a
Community Risk Assessment.
BACKGROUND: On May 21, 2018, the City signed a Professional Services Agreement with
Brendle Group to develop a Climate Vulnerability Assessment & Resiliency Strategy.
The First Amendment for the above referenced project reflects several process revisions,
including an extra staff work session, refinement of the vulnerability assessment methodology,
consolidation of project workbooks to serve as a tool for future project work, and extension of
the contract term for draft revision and review. A more detailed description of the revisions to
the Scope of Services is included in the attached First Amendment to the Professional Services
Agreement.
Brendle Group’s original Scope of Services and budget assumes a partnership with the National
Institute of Standards and Technology (NIST) Community Resilience Program with two NIST
Fellows and up to 240 hours of project support available. In October 2018, The NIST
Community Resilience Project Manager was replaced. Orienting a new NIST Project Manager
affected project workflow and resulted in a reallocation of Brendle Group’s time. The revised
Scope of Services compensates for these changes and helps ensure the final product will meet
our original goals.

UNRESOLVED ISSUES: None
FISCAL EFFECTS: The First Amendment increases the overall contract price up to $41,410,
an increase of $6,500 to the original contract price of $34,910. Adequate funds are currently
available within the FY19 operating budget for the Sustainability Division. Brendle Group will
provide up to $7,000 of in-kind contributions towards project completion.
ALTERNATIVES: As suggested by the City Commission.

FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
THIS FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT FOR
a Climate Vulnerability Assessment & Resiliency Strategy dated May 21, 2018 (the “Agreement”)
is made and entered into this 14th day of January, 2019, by and between the CITY OF
BOZEMAN, MONTANA, a self-governing municipal corporation organized and existing under
its Charter and the laws of the State of Montana, 121 North Rouse Street, Bozeman, Montana, with
a mailing address of PO Box 1230, Bozeman, MT 59771, hereinafter referred to as “City,” and
Brendle Group, hereinafter referred to as “Contractor.”
In consideration of the mutual covenants and agreements herein contained, the receipt and
sufficiency whereof being hereby acknowledged, the parties hereto agree to amend the Agreement
as follows:
1. Extension of Term. Section 2 of the Agreement is extended for an additional four (4)
month period. The Agreement shall terminate on April 30, 2019.
2. Scope of Services. The Scope of Services, Section 3 is amended to incorporate the scope
of work attached as Exhibit A, which is made a part of the Agreement by this reference.
3. Payment. Section 4 of the Agreement is amended to increase the amount City agrees to
pay Contractor up to $6,500 as indicated on Exhibit A, for a total not to exceed $41,410.
4. Agreement still valid. All remaining terms and provisions of the Agreement remain valid.
