WHEREAS the parties previously entered into a Professional Services Agreement dated July 11,2011,herein referred to as the Original Agreement, for professional engineering services for the North 71h Lighting Design and Construction Administration project;and WHEREAS, the scope of the Original Agreement included preliminary design, final design, bidding and negotiating services,construction services and miscellaneous services; and WHEREAS, the scope of Amendment No.1 to the Original Agreement included additional miscellaneous services; and WHEREAS, the scope of Amendment No.2 to the Original Agreement included a pre-design investigation services phase;and WHEREAS,the scope of Amendment No.3 to the Original Agreement included additional preliminary design, final design,bidding and negotiating services,construction services and miscellaneous services;and WHEREAS, the scope of Amendment No.4 to the Original Agreement included additional pre-design investigation services;and WHEREAS,the scope of Amendment No.5 to the Original Agreement included additional preliminary design, final design,bidding and negotiating services,construction services and miscellaneous services for the project.; and WHEREAS, the scope of Amendment No.6 to the Original Agreement to transfer budget from construction engineering services to preliminary and final design level engineering services. This transferred budget previously allocated for construction services between West Villard Street and West Main Street to preliminary and final design services between Durston Road and West Villard Street. This amendment did not change the total contract amount;and WHEREAS, the scope of Amendment No.7 to the Original Agreement included additional pre-design investigation services,final design engineering services,construction services and miscellaneous services for the project.; and WHEREAS, the scope of Amendment No.8 to the Original Agreement included additional final design engineering services,construction services and miscellaneous services for the project.;and WHEREAS, the parties desire to amend provisions of the Original Agreement to included additional final design engineering services,construction services and miscellaneous services for the project. NOW,THEREFORE,IN CONSIDERATION OF THE MUTUAL COVENANTS CONTAINED HEREIN,the parties agree as follows: 1 The conditions and provisions set forth in the attached EXHIBIT C-9 —SCOPE OF SERVICES FOR NORTH 7TH LIGHTING DESIGN AND CONSTRUCTION ADMINISTRATION and EXHIBIT D-9 — ENGINEERING FEE ESTIMATE are hereby incorporated in and made part of this agreement. The Scope of Services and Engineering Fees are increased per these exhibits. ARTICLE 1-ENGINEERING SERVICES Article 1.1 of the original agreement is modified to include the following: 1.1. The detailed description of the specific project components is described as follows: Perform final design level engineering services for improvements to North 7'Avenue,between West Mendenhall Street and Beall Street. Perform final design level engineering services for improvements to North 7'Avenue,between Beall Street and Durston Road. Perform construction administration services for improvements to North 7'Avenue,between West Mendenhall Street and Beall Street. Perform miscellaneous engineering services as requested by the Owner. ARTICLE 6-COMPENSATION FOR ENGINEERING SERVICE Article 6.1 of the original agreement is modified as follows: 6.1 LUMP SUM AGREEMENT FOR BASIC SERVICES AND EXPENSES OF ENGINEER 6.1.1 Payment. The OWNER shall for design phase services performed as Basic Engineering Services under sections 4.1 through 4.3 of this agreement pay a total sum in the amount of$418,156.59 for such services. 59 6.1.2 Payment Schedule. Total cumulative payments for the design phase engineering services (sections 4.1 through 4.3)shall not exceed the following ceilings: $62,280.56(-15%of design fee)until the Pre-Design Investigation Phase report and exhibits have been submitted to the OWNER. $144,184.03(-34%of design fee)until the Preliminary Plans and Specifications have been submitted to the OWNER and review authorities. $211,692.00(-51%of design fee)until the Final Plans and Specifications have been submitted to the OWNER and review authorities. 6.1.3 General. Engineer shall submit monthly statements for services rendered. The statements shall be based upon Engineer's estimate of the proportion of the total services actually completed at the time of billing,subject to any limitations on Payments based on completion of tasks or specific retainage requirements pursuant to the payment provisions of the Agreement. 6.1.4 Reimbursable Expenses. Only those expenses specifically identified for payment under section 6.2 of this Agreement are reimbursable. All other design related expenses are included in the Lump Sum Payment for the Basic services(4.1 through 4.3)and are not separately reimbursable. Additional Services specifically identified under the scope of design services for payment under 6.1 are not separately reimbursable. 2 6.2 DIRECT LABOR COST PAYMENT FOR BASIC SERVICES AND EXPENSES OF ENGINEER. Article 6.2 of the original agreement is modified as follows: Construction and project documentation services performed as Basic Engineering Services under sections 4.4 through 4.7 including General Administration of Construction Contract,Resident Project Representation,Project Documentation, and Construction Testing shall be compensated in accordance with the following: 6.2.1 The OWNER shall pay for Construction Phase and Project Documentation Services an amount not to exceed$ 117,019.00 except as provided under 6.2.1.2 and 6.2.4. 6.2.1.1 Costs Compensation. Compensation for these services shall be based on the ENGINEER's Direct Labor Cost times a factor of 3.15 for services rendered which shall cover Direct Labor,Direct Labor Overhead,General&Administrative Overhead and Profit. 6.2.1.2 Notification. At any time during the construction that it becomes apparent that the Construction Phase and Project Documentation Services rendered under this Agreement will exceed the negotiated compensation for these services, and prior to performing services in excess of the contract ceiling,the ENGINEER shall give OWNER written notice thereof. Promptly thereafter OWNER and ENGINEER shall review the scope and progress of the project work. ENGINEER shall obtain written authorization from OWNER,prior to any additional costs being incurred under paragraph 6.2.1.3. If it is determined that due to a change in project scope under paragraph 5.2.1, the ENGINEER is entitled to additional compensation,OWNER and ENGINEER may negotiate terms as provided under 6.2.1.1. The amount and terms of any additional compensation under 6.2.1.1 or 6.2.1.3 shall be negotiated and agreed in writing pursuant to 9.16. 6.2.1.3 Costs Exceeding Estimated Compensation. Except as allowed under 5.2.1,when the total cost of the original scope Construction Phase and Project Documentation Services exceeds the negotiated compensation for these services,the OWNER shall pay only for the direct costs incurred in excess of the estimated compensation. These costs consist of an amount equal to the ENGINEER'S Direct Labor Cost times a factor of 2.74 for services rendered which shall include Direct Labor,the federally audited payroll Direct Labor Overhead,and General&Administrative Overhead costs,but shall not include any allowance for profit. 6.2.2. Reimbursable Expenses, as defined in section 7.4 of this Agreement,for Basic Services and Approved Additional Services shall be paid to the ENGINEER by the OWNER in the actual amount of the costs incurred up to an amount not to exceed$ 8,360.00 which includes $ 0.00 for consultants employed by the Engineer and$ 8,360.00 for all other reimbursable expenses. 6.2.3. Failed Test Expenses. The ENGINEER shall maintain and provide to the OWNER,a record of the costs associated with failing quality control tests performed for the OWNER during the course of the construction of the project and recommend an amount the OWNER deduct from the contractor(s)payments. 6.2.4 The OWNER shall pay an amount for Additional Services rendered by the ENGINEER and approved in writing by the OWNER on the basis of the ENGINEER'S Direct Labor Costs times a factor of 3.15,or an amount otherwise negotiated at the time such services are requested and approved by the OWNER. 6.3 DIRECT LABOR COST PAYMENT FOR MISCELLANEOUS SERVICES AND EXPENSES OF ENGINEER. Article 6.3 of the original agreement is modified as follows: Task 701,702 and 703 shall be compensated in accordance with the following: 6.3.1 The OWNER shall pay for Miscellaneous Services an amount not to exceed$90,014.80 except as provided under 6.3.1.2 and 6.3.3. 3 6.3.1.1 Costs Compensation. Compensation for these services shall be based on the ENGINEER's Direct Labor Cost times a factor of 3.15 for services rendered which shall cover Direct Labor,Direct Labor Overhead,General&Administrative Overhead and Profit. 6.3.1.2 Notification. At any time during the project that it becomes apparent that the Miscellaneous Services rendered under this Agreement will exceed the negotiated compensation for these services,and prior to performing services in excess of the contract ceiling,the ENGINEER shall give OWNER written notice thereof. Promptly thereafter OWNER and ENGINEER shall review the scope and progress of the project work. ENGINEER shall obtain written authorization from OWNER,prior to any additional costs being incurred under paragraph 6.3.1.3. Except as specifically amended herein,the Original Agreement shall remain in full force and effect and the parties shall be bound by all terms and conditions therein. 4 In witness whereof, the Parties hereto do make and execute this Agreement. November, 2018 Final Design Phase Includes finalizing construction plans for regulatory review and bidding. Specifically for this amendment it includes the following. # Description Mendenhall to Beall Construction Plans 1 Modification of construction plans and specifications for this specific stretch of North 7th Avenue. This section was previously approved by MDT. Due to recent changes in policy by MDT they have reduced clear zone distances allowing for the improved design for trees and associated improvements. This includes incorporating Stratavaults,tree grates and guards and pavers. Site furnishings will also be added to the plans. This modified design will be submitted to MDT for review and approval. 2 Add parcel S on-site improvements to the construction plans. Design of landscaping adjacent to the streetscape improvements, includes moving the existing sign to a different location on the parcel. Two concept plans will be prepared and presented to the City and owner,with a final iteration to be incorporated into the construction plans. # Description Beall to Durston Construction Plans 1 Modify existing 90%construction plan set(civil,electrical, landscape)to match streetscape section adjacent to parcels H and I,as well as what is being modified for the Mendenhall to Beall stretch. Prepare City/MDT response letter and accompanying documentation for submittal to regulatory agencies. We will incorporate the previously completed Villard Street intersection design into the overall construction plans. Bus stop design(excludes bus shelter, by others)will also be included in this set and landscape restoration will be completed for the Fork&Spoon,adjacent to the bus stop. Task 201 Final Plan Set Preparation Task Description—A review set of construction plans based on comments and changes requested from the governing reviews and comments, as noted above. Task deliverable—Plan set for review. Task 202 Final Specifications Task Description — A review set of construction specifications. Specifications and contract documents will be a mix of City of Bozeman standards and MDT standards, as noted above. Task deliverable— Specifications and bidding documents for review. Task 203 Final Review/Permitting Coordination[Meetings Task Description — Final coordination for review and permitting items associated with the project, as noted above. Task deliverable—As necessary. Task 204 Quality Assurance/Quality Control Task Description — This task includes effort associated with project quality control and quality assurance review, and adds a level of QA/QC not originally scoped for the project based on requirements of MDT. Bidding or Negotiating Phase The bidding or negotiating phase will proceed following written authorization to proceed from the owner. The following sections describe each task as well as identifying the deliverable for each task. Based on recent conversations with MDT and the City we are providing a scope of services for modifying the 100%Construction Drawings for the Mendenhall to Beall (dated 2/23/2018)to include landscape design for a private property(Parcel S);tree soil cells,grates,and guards; new permeable paving extents;site furnishing layout; and revised details and specs that incorporate lessons learned from Phase 1 construction. In our review of the previous submission of the document package for this phase,the following changes to the original design have been identified: • A simple landscape design for front yard of Parcel S (120 North 7t" Ave, Tracy's 2"d Addition, Block E) that faces N 7t" Avenue that includes a rough cost estimate and two concept design iterations. Planting plan and any associated details will be included in the 100% CD package. No irrigation design will be included for this portion of the project. • Site materials and landscape plans will show tree grates and guards instead of planters. • A new set of plan drawings showing soil cell extents and layout will be created. We will coordinate with Civil and Irrigation on the development of this plan. • Soil cell, boulevard planting, paving, and permeable unit paving soil cell details will be updated. • Irrigation plans and details will be updated to address soil cell planting condition. DHM will communicate with City Forestry about standardizing tree irrigation detail. No irrigation design will be provided for the Parcel S property. • Site Furnishings (benches and bike racks) will be added back into this phase of the corridor. Additional attachment details will be provided as necessary. • Modifications to landscape details and specifications based on Phase 1 construction changes. • Preparation of a rough Cost Estimate for landscaping portions of the Parcel S to help City determine extents for this area. Cost estimating for Parcel S irrigation will not be included. • Revised take-offs and Measurement and Payment info to check contractor's Change Order numbers for Phase 2 redesign. DENVER CARBONDALE DURANGO BOZEMAN WWW.DHMDESIGN.COM 27 East Main Street,Suite D I Bozeman,MT 59715 P:06.219.2022 HHM HISIGH Scope of Services: We have structured our proposal in a similar format to our previous North 7tn Avenue scope of services agreements. The goals of this Scope of Services will be to: • Redesign 100%CD set of the section of the corridor from Mendenhall St to Beall St on both the east and west sides of North 71h Ave, and new landscape design for Parcel S(120 North 71h Avenue). • Address all redesign items in the list above • DHM will incorporate these changes into the 100%CDs and make one round of revisions based on comments from MDT and City, if necessary • Incorporate technical changes based on approved submittals from Phase 1 construction • Prepare a revised cost estimate that reflects the new scope of work • Add minimal Construction Administration Support for Parcel S. CA support for the remainder of this phase will be covered under a previous contract. Task 1—Parcel S(120 North 7th Ave)Concept Design DHM Design will create two iterations of quick hand drawn sketches showing a landscape design for Parcel S. These plans will show materials and plantings for the yard fronting North 71h Avenue and shall be reviewed by the City and property owner.The first iteration will show up to two options for the landscape design. DHM will also provide a rough cost estimate for the work to be performed so that the City can provide direction on the scope and extents. DHM will then incorporate the feedback from the City and owner into the construction document set. No irrigation design will be provided for this property and shall be handled by the contractor through a design-build process. Deliverables and Meetings • (1) Meeting with Owner and City to discuss scope and considerations (Completed) • (1) Plan sketch of the landscape design with cost estimate (two iterations). Task 2—100%Construction Documents(For Construction Set) Based on the design changes to be incorporated in Phase 2 (Mendenhall Street to Beall Street on both sides of the 7th Avenue) DHM will issue 100% CD drawing sheets and specifications. DHM assumes final base files to be provided by Civil Engineer.This effort will include reformatting and updating all sheets including plans and details to comply with design changes, inclusion of Parcel S design, MDT comments, City comments, and coordination with Civil. Our revised documents will be submitted to Morrison Maierle in digital PDF format. We will prepare a simple cost estimate based on a template provided by Morrison Maierle and consider Phase 1 (Short St to Durston St) bid and construction information in revising unit prices. DHM Design will perform an internal quality assurance review prior to the distribution of the 100%Construction Documents to the project Page 2 HHM USIEN team.We understand that this set will be used for both Regulatory Review and For Construction and that there will only be minimal changes based on the review and comment. Our deliverables include: Deliverables and Meetings (1) Meeting with the Midtown Board to discuss project • Complete 100% Landscape Construction Plans, Details, Irrigation Plan and Landscape Specifications with a focus on the changes listed above and new project boundary from Mendenhall Street to Beall Street, along North 7th Avenue and Parcel S. Prepare a Cost Estimate that reflects the new project boundary of work, materials, and layout (1) Meeting with Morrison Maierle to coordinate changes Task 3—Parcel S Construction Administration Support DHM has a limited Construction Administration (CA) Support budget for the streetscape portion of this phase covered under the previous Phase 2 contract.This task covers the addition of the Parcel S component to the project scope. DHM will provide CA Support for the Parcel S property in the form of responding to RFIs, reviewing Submittals, and two visits to the site including one to assist the contractor with plant layout. No Design or CA Support will be provided to the contractor related to the modification and installation of the irrigation system on this property. If any additional CA Support will be required it can be done at an hourly basis. Deliverables and Meetings (2) Site visits to review construction progress and assist with plant layout Responses to RFIs and Submittals Fees We have provided an hourly breakdown task matrix to provide detail in how we arrived at the fees below. If there are tasks that are not necessary,we are happy to adjust as needed. Task 1—Parcel S Concept Design $3,120 Task 2—100%CD set (For Construction Set) $6,320 Task 3—Parcel S CA Support $1,650 Total $11,090 Billing The billing for the work outlined above will be done on a monthly basis for time and materials to the not to exceed fees as identified above. The top-set number as provided is sufficient for the tasks as we know them at this time. An itemized statement shall be sent monthly, and payment is due within 45 days of receipt. Additional Services Should additional services such as additional schemes, multiple rounds of revisions, additional meeting etc. become necessary, this work will be done on an hourly basis. DHM will notify you prior to completing any additional services for approval. If this work becomes significant we may, at your request,submit a proposal at that time which will identify the extent of any additional work prior to commencement of the work. Based on recent conversations with the City we are providing a scope of services for developing 100% Construction Drawings for the 90%level design (dated 12/23/2016)for the section of North 7th Avenue from Beall Street to Durston Street. Given that the 90%drawing package is almost two years old a number of revisions and additional subtasks have been added to the original scope. Construction of the streetscape on the east side of North 7th Avenue between Short Street and Peach Street has been completed but the following scope will provide direction on adding street furnishings to that portion of the project as well. In our review of the previous submission of the document package for the extents covered under this phase,the following changes to the original design have been identified: • Tree locations and species will be reviewed in coordination with Civil Engineer to address utility, sight triangle, and lighting constraints. • A new set of plan drawings showing soil cell extents and layout will be created. We will coordinate with Civil on the development of this plan. • Soil cell, boulevard planting, paving, and permeable unit paving soil cell details will be updated Irrigation plans and details will be updated and shall address tie-in to previous phases of work. DHM will review tree species selection with City Forestry and document a standardizing tree irrigation detail, as discussed in a separate contract. • DHM will provide tree canopy information for light modelling and make one round of revisions to tree species based on model results. • Landscape design for the Streamline bus stop will be provided and included in this scope. • Review and inclusion of site furnishing(benches and bike racks) layout information and details. • Operations and Maintenance (O&M) recommendations will be created for the landscape and irrigation components of the project. Scope of Services: We have structured our proposal in a similar format to our previous North 7th Avenue scope of services agreements. The goals of this Scope of Services will be to: • Finalize the Landscape and Irrigation pieces of Bid Documents for this phase • Address all redesign items in the list above • Incorporate technical changes based on approved submittals from Phase 1 and 2 construction • Prepare a revised cost estimate that reflects the new scope of work • Provide minimal Construction Administration Support for these extents Task 1-100%Construction Documents(For Regulatory Review) Based on the design changes listed above DHM will issue 100%CD drawing sheets,specifications, and a cost estimate for review by MDT and the City.This effort will include reformatting and updating all sheets including plans and details to comply with new project boundary, design changes, previous MDT comments, previous City comments, coordination with civil, coordination with MEP, and design changes from Phase 1. DHM will also provide tree canopy information for light modeling exhibits. Our revised documents will be submitted to Morrison Maierle in digital PDF format. We will prepare a cost estimate based on a template provided by Morrison Maierle and consider Phase 1 and 2 bid and construction information in revising unit prices. DHM Design will perform an internal quality assurance review prior to the distribution of the 100% Construction Documents to the project team. We understand that there will only be one round of review and comment on this set (Task 2). It is our understanding that there will be no changes to the site furnishings locations from the previous 90%CD set, but supplemental attachment details will be provided, as necessary. DHM can begin work once final CAD plan linework is received from Morrison Maierle. Our deliverables include: Deliverables and Meetings • Complete 100% Landscape Construction Plans, Details, Irrigation Plan and Landscape Specifications with a focus on the changes listed above for the project boundary from Beall Street to Durston Street, along North 7th Avenue. • Tree canopy information provided to Civil for light modeling and subsequent revisions • Prepare a Cost Estimate that reflects the new project boundary of work, materials, and layout • (1) Design of the Community Cafe/Streamline bus stop landscape. • (1) Meeting with City Forestry to discuss tree and plant selection Page 2 HHM • (1) Meeting with Morrison Maierle to coordinate changes Task 2—100%CD Revisions(For Construction Set) After receiving and responding to comments from MDT and the City on the 100% CD set for Regulatory Review, we will develop a 100%CD set for bid and construction.This package will include landscape and irrigation sheets, technical specifications, and cost estimate. Our revised documents will be submitted to Morrison Maierle in digital PDF format. DHM Design will perform an internal quality assurance review prior to the distribution of the revised 100% Construction Documents to the project team. We anticipate only minor changes and coordination-related revisions between Tasks 1 and 2. Our deliverables include: Deliverables and Meetings Complete 100% Landscape Construction Plans, Details, Irrigation Plan and Landscape Specifications • Prepare a Cost Estimate that reflects the project boundary of work • Provide information for Operations and Maintenance Manual, to be reviewed and compiled by Morrison Maierle • (1) Meeting with Morrison Maierle to coordinate changes Task 3—Bidding Support During the bid phase of the project DHM will provide support to Morrison Maierle by reviewing bid unit costs, providing answers to contractor questions and providing clarification on the landscape design for bidding purposes. No Addendum, if necessary, is included.There will be no meetings or deliverables in this phase. Task 4—Construction Administration Support The scope for this task was created based on previous phase construction administration work. Once a bidder has been awarded for the construction of Phase 3, DHM will provide support to Morrison Maierle during the construction administration process.This will include attending a Pre-construction meeting, up to two onsite meetings to review progress, and responding to contractor RFIs and Submittals as required. Our deliverables for this task include: Deliverables and Meetings • RFI and Submittal responses for all landscape and irrigation related items • (1) Pre-Construction Meeting with construction team and client (3) Onsite Meetings including a punch-list walkthrough for landscape items. Final punch-list document to be compiled and issued by Morrison Maierle. Up to four hours of additional contractor support/clarification Page 3 HHM USIGH Fees We have provided an hourly breakdown task matrix to provide detail in how we arrived at the fees below. If there are tasks that are not necessary,we are happy to adjust as needed. An itemized statement shall be sent monthly, and payment is due within 45 days of receipt. Additional Services Should additional services such as additional schemes, multiple rounds of revisions, additional meeting etc. become necessary, this work will be done on an hourly basis. DHM will notify you prior to completing any additional services for approval. If this work becomes significant we may, at your request,submit a proposal at that time which will identify the extent of any additional work prior to commencement of the work.
